1.  The salient features of the sale and purchase agreement (SPA):        -  The purchase price of the serviced apartment shall be settled by upfront 10% cash deposits payable to the Vendor and follow by progressive payment for the balancing 90% based on percentage of completion of the serviced apartment by the Vendor.      -   The Vendor shall deliver the vacant possession of the serviced apartment within 48 months from the date of the SPA. 2.  The source of fund shall derive from internal fund and bank borrowings with 40% and 60% respectively of the purchase price. 3.  Built-up area of the serviced apartment is 103.5 square metres. The serviced apartment shall be utilized to accommodate potential business associate or business partner of our F&B division particularly the foreign guest/VIP for the purpose of bringing foreign F&B brand into our F&B division in order to expand our F&B division. Apart from the above, the serviced apartment will also serve as staff benefit for the management staff. 4.  The completion date of the development of the serviced apartment is 48 months from the date of SPA. 5.  The acquisition of the serviced apartment represents a long-term investment of the Company for potential capital appreciation given that the serviced apartment is designed to attach to a Hotel under the same development located at the central of Kuala Lumpur. 6.  The Proposed Acquisition will increase the Group gearing from a debt to equity ratio of 0.055 to 0.089. 7.  The estimated time frame to complete the Proposed Acquisition is 48 months from the date of SPA. （吉隆坡11日讯）富科斯（FOCUS，0116，创业板）建议削减面值，将每股面值10仙的股票，削减至5仙，以抵消累积亏损。

该公司昨天向马交所报备，在削减面值后可获得7055万278万令吉，用以抵消累积亏损。

自2009年7月31日截止的财年至今年6月30日，公司的累积的亏损达637万令吉。

除了去年的9月和10月，该公司自2013年起，都在低于面值的水平交易，因此，不符合标准发新股，而削减面值将提供筹资的灵活性，同时可拉近股价和面值的距离，有利于公司在未来执行企业活动。

该公司估计在今年末季，可完成这项活动。
