雙威產託末季淨利挫18%

(吉隆坡6日訊)受到雙威布特拉購物中心關閉整修活動影響,雙威產業信托(SUNREIT,5176,主板產業投資信托組)截至2013年6月30日止第四季淨利從前期的2億7千828萬4千令吉下跌17.72%至2億2千897萬1千令吉,令全年淨利倒退6.69%至3億9千232萬2千令吉。

第四季營業額為1億零390萬6千令吉,增長1.31%,全年營業額達4億1千594萬6千令吉,走揚2.34%。

派息2.02仙

該公司董事部建議派發每單位2.02仙分利,令全年分利達到8.3仙。

雙威產業信托經理人指出,受雙威布特拉購物中心蒙虧,以及雙威布特拉酒店和雙威布特拉大樓因大型裝潢工程恐造成收入減少影響,將透過內部增長來緩衝相關負面衝擊,預期2014財政年每單位股息可能持平或有所減退。

展望未來,零售資產將繼續成為組合成長動力來源,而正面消費者情緒、強勁旅客到訪等宏觀因素將是支撐業務增長的主因,將延續資產強化措施(AEI)、促銷活動等來提高購物人潮,並推介新零售概念來確保個別購物中心的領導地位。

雙威產業投資信託首席執行員拿督黃中立表示,新財政年業務規劃將穩步落實來確保收入的可持續性,其中包括未來2至3年投入約5億令吉的資產強化措施在內的資本開銷。(星洲日報/財經)

刚刚优于了很久,PAVilion VS sun reit  2 只股都很想要,最后买下了pavilion 1.39. 没钱买sunreit 了。。
我奇怪哦,为什么我刚才买股的时候用CDS acc 买就直接reject的? 后来用trading acc 才可以排队。。。 为什么????
CDS是用saving acc 的资金?还是nominee Acc 的?

1.        INTRODUCTION


    We refer to our announcement dated 9 October 2012 in relation to the master lease made between RHB Trustees Berhad (formerly known as OSK Trustees Berhad) as Trustee for SUNREIT (“the Trustee or the Lessor”), Sunway REIT Management Sdn Bhd as the Manager for SUNREIT (“the Manager”) and Sunway Medical Centre Sdn Bhd (“SMC or the Lessee”), a subsidiary of Sunway City Sdn Bhd (“SunCity”) which in turn is a wholly-owned subsidiary of Sunway Berhad (“Sunway”) (“MLA”) whereby the Trustee agreed to lease to SMC, the SunMed Property for a term of 10 years commencing from 31 December 2012 and expiring on 30 December 2022 at the rental as set out in the MLA.



    The Manager had on 8 May 2013, issued a letter of approval (“Letter of Approval”) to SMC in relation to the proposed renovation works to Level 4 (Tower Block A) and Level 5 (Tower Block B) (“Renovation Works”) of the SunMed Property pursuant to Clause 11.1(b) of the MLA at estimated cost of RM7.053 million. The Renovation Works are expected to be completed by 30 November 2013.

    Subsequently, the Lessee had on 16 May 2013, accepted the conditions as set out in the Letter of Approval and the parties have agreed to document the variations required pursuant to Clause 22.7 of the MLA to reflect the new terms and conditions in relation to the Renovation Works subject to the terms and conditions of the Letter of Approval (“Supplemental Letter to the MLA”).

2. SALIENT TERMS OF THE SUPPLEMENTAL LETTER TO THE MLA


    Pursuant to the Supplemental Letter to the MLA, the parties have agreed to vary the MLA to reflect that the final total cost and expense of the Renovation Works to be carried out at SunMed Property shall be borne by the Lessee during the construction stages and later reimbursed by the Lessor in one lump sum payment upon completion of the Renovation Works which is the date of receipt of the certificate of completion and compliance by the Lessee from the relevant authorities (“Completion Date”).

    As such, additional rent will be charged to the Lessor from the Completion Date or any other date as may be agreed by the parties in writing as follows:-
    (a)        the amount of the additional rent shall be calculated at the rate of 6.13% of the Final Total Cost and Expense.

    (b)        the additional rent shall be added to the existing Rent which in aggregate shall constitute the new rent payable by the Lessee to the Lessor and shall therefore be subject to the agreed 3.5% annual rental increase for Year 2 onwards of the Principal Lease Period. The new Rent payable shall be reflected in an amended Schedule 3 of the MLA to be signed by the Parties by way of a supplemental agreement to the MLA.

3. INFORMATION ON SUNWAY, SUNCITY, SMC, THE MANAGER, THE TRUSTEE AND SUNREIT
3.1 Sunway


    Sunway is a company incorporated in Malaysia and having its registered office at Level 16, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 46150 Petaling Jaya, Selangor Darul Ehsan. The authorised and paid-up share capital of Sunway are RM10,000,000,000/- and RM1,723,489,001/- respectively. The principal activities of Sunway are investment holding and provision of management services.



3.2 SunCity


    SunCity is a company incorporated in Malaysia and having its registered office at Level 16, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 46150 Petaling Jaya, Selangor Darul Ehsan. The authorised and paid-up share capital of SunCity are RM3,500,000,000/- and RM251,354.14 respectively. The principal activity of SunCity is investment holding.

3.3 SMC


    SMC is a subsidiary of SunCity which in turn is a wholly-owned subsidiary of Sunway, is a company incorporated in Malaysia and having its registered office at Level 16, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 46150 Petaling Jaya, Selangor Darul Ehsan. The authorised and paid-up share capital of SMC are RM220,000,000/- and RM131,121,845/- respectively. The principal activity of SMC is operating of medical centre.

3.4 The Manager


    The Manager, a wholly-owned subsidiary of Sunway, is a company incorporated in Malaysia and having its registered office at Level 16, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 46150 Petaling Jaya, Selangor Darul Ehsan. The authorised and paid-up share capital of the Manager are RM1,000,000/- respectively. The principal activity of the Manager is managing and administering a real estate investment fund.



3.5 The Trustee


    The Trustee is a company incorporated in Malaysia and having its registered office at Level 10, Tower One, RHB Centre, Jalan Tun Razak, 50400 Kuala Lumpur. It is registered as a trust company under the Trust Companies Act, 1949.

    The principal activity of the Trustee is providing professional retail and corporate trustee services.



    The present authorised share capital of the Trustee is RM25,000,000 comprising 2,500,000 ordinary shares of RM10.00 each, of which 1,200,000 ordinary shares are currently issued and credited as partially paid-up of RM5.00 each in the Trustee.

3.6 SUNREIT


    SUNREIT was established pursuant to a Deed dated 20 May 2010 (as amended by a Supplementary Deed dated 10 June 2010) entered into between the Manager and the Trustee. The principal investment policy of SUNREIT is to invest in commercial, office, industrial and other real estate assets.

4. RATIONALE


    The Renovation Works will enable SMC to increase its operational bed capacity and more outpatient clinics to cater for needs of patients. SMC will accordingly pay an additional rent to Sunway REIT as explained in Section 2 above.

5. EFFECTS OF THE SUPPLEMENTAL LETTER TO THE MLA5.1 On Unit Capital and Substantial Unitholders’ Unitholding


    The Supplemental Letter to the MLA will not have any effect on the total units of SUNREIT in issue and substantial unitholders’ unitholding of SUNREIT as they do not involve any allotment or issuance of new units by SUNREIT.

5.2 On Net Asset Value (“NAV”)
The Supplemental Letter to the MLA will have no material impact or changes to the unaudited NAV of SUNREIT at the time of completion.

5.3 On Earnings
The Supplemental Letter to the MLA is not expected to have any material effect on the earnings of SUNREIT for the financial year ending 30 June 2014.

6. APPROVALS REQUIRED


    Pursuant to the Securities Commission’s Guidelines on Real Estate Investment Trusts, the Supplemental Letter to the MLA does not require approvals from the Securities Commission or the unitholders of SUNREIT.

7. DIRECTORS' AND MAJOR UNITHOLDERS' INTERESTS


    Tan Sri Dato' Seri Dr Jeffrey Cheah Fook Ling and Sarena Cheah Yean Tih are Directors of Sunway as well as the Manager. Dato’ Ngeow Voon Yean is Director of the Manager and has deemed interest in SUNREIT.

    Tan Sri Dato’ Seri Dr Jeffrey Cheah Fook Ling, Puan Sri Datin Seri (Dr) Susan Cheah Seok Cheng, Sarena Cheah Yean Tih, Sungei Way Corporation Sdn Bhd and Active Equity Sdn Bhd are major shareholders of Sunway and major unitholders of SUNREIT.

    Accordingly, Tan Sri Dato' Seri Dr Jeffrey Cheah Fook Ling, Dato’ Ngeow Voon Yean and Sarena Cheah Yean Tih have abstained from deliberation and voting in the Board of the Manager in respect of the Supplemental Letter to the MLA.



    Save as disclosed above, none of the other directors of the Manager or major unitholders of SUNREIT or persons connected with them has any interest, direct or indirect, in the Supplemental Letter to the MLA.

8.        THE MANAGER’S AUDIT COMMITTEE’S RECOMMENDATION


    The Audit Committee of the Manager, after having considered all aspects of the Supplemental Letter to the MLA, is of the opinion that the Supplemental Letter to the MLA is in the best interests of SUNREIT and is not detrimental to the interests of the non-interested unitholders of SUNREIT. The Audit Committee of the Manager is of the view that the Supplemental Letter to the MLA is fair, reasonable and on normal commercial terms.

9.        STATEMENT BY THE BOARD OF DIRECTORS


    Save and except for Tan Sri Dato' Seri Dr Jeffrey Cheah Fook Ling, Dato’ Ngeow Voon Yean and Sarena Cheah Yean Tih, the Board of Directors of the Manager is of the opinion that the Supplemental Letter to the MLA is in the best interests of SUNREIT.

10. DOCUMENT AVAILABLE FOR INSPECTION


    The Supplemental Letter to the MLA is available for inspection by unitholders of SUNREIT at the registered office of the Manager at Level 16, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 46150 Petaling Jaya, Selangor Darul Ehsan during normal business hours (9.00 a.m. to 6.00 p.m.) from Monday to Friday (except public holidays) for a period of 3 months from the date of this announcement.

(吉隆坡12日訊)雙威產業信托(SUNREIT,5176,主板產業投資信托組)全年淨利下跌6.69%至3億9千232萬2千令吉,但仍符合預期,分析員指出,雙威布特拉購物中心(Sunway Putra Mall)暫時關閉進行翻新工程雖潛在導致短期盈利受壓,惟一旦重新營業,相信可持續支撐業務發展。

無論如何,興業研究提醒,債券回酬率上升可能導致雙威產托等產托領域估值受壓。

雙威產托將專注在內部成長,並斥資5億令吉充作未來2、3年的翻新資本開銷,除了布特拉購物中心的龐大翻新工程,也包括在雙威酒店底層承建連接通道及擴建雙威金字塔購物中心。

儘管該公司放眼展開收購計劃,不過肯納格研究認為目前難以攫取可帶來良好回酬的資產,而管理層則透露今年杪前潛在收購一項資產,以維持每年收購一項資產的政策。

雙威金字塔購物中心
帶動短期盈利

黃氏唯高達研究相信雙威金字塔購物中心將帶動短期盈利增長,因為其53%可出租面積即將在2014財政年到期,惟辦公單位的租金調整則不大,因為須維持具競爭性的出租費及確保出租率高企。

“這對雙威大廈而言存有下滑風險,因為租用前景較不明朗。”

儘管雙威布特拉購物中心處於施工翻新期間,但管理層有信心其他資產的成長將有助於維持分利派發成長。

黃氏唯高達指出,雙威布特拉購物中心翻新可能會抑制短期內的盈利成長,導致2014及2015財政年財測遭下調0.3%至6.6%,不過相信該購物中心開幕後,情況將有所改善。

管理層表示將維持雙威產托2014財政年8.3仙分利派發額,不過一旦雙威布特拉購物中心盈利貢獻欠佳,加上若雙威布特拉大廈無法取得聯熹沃利帕森斯(Ranhill Worley Parsons)這個“大租客”,此目標則顯得具挑戰性。

肯納格將該公司2014財政年分利派發額削減5%至7.7仙。

謹慎管理資本水平

最近雙威產托也翻新雙威金字塔購物中心Oasis Boulevard 5,並帶來另2萬平方呎可出租面積,預計將達到近10%投資回酬。

該公司謹慎管理資本水平,其中80%債務的利息是固定的,以起護盤作用對抗債券回酬揚升走勢。

黃氏唯高達說,由於雙威產托擁有龐大辦公面積而令“受青睞”幅度減低,不過仍展現強韌盈利表現,而且也潛在獲雙威(SUNWAY,5211,主板產業組)注入龐大資產。(星洲日報/財經)

全年业绩达标 双威产托财测不变

(吉隆坡12日讯)双威产托(Sunreit,5176,主板产业信托股)2013财年全年业绩,基本上符合分析员的预测。

安联投资研究分析员表示,双威产托全年实际净收入(RNI)符合他们预估。

受惠于双威金字塔购物中心的稳健表现,以及源自双威医疗中心(SMC)的新收入,营业额按年涨1.3%。

分析员说,双威金字塔的租用率稍微跌至98.3%,但购物中心24%的可租用面积(到期合约的94%)已更新合约,平均租金上调18.1%,为期3年。

按季比较,2013财年末季的营业额下跌2.4%,主要因为酒店和办公室业务表现疲弱。

翻新Putra广场收入减

另外,Sunway Putra广场在4月关闭进行翻新工程,也造成收入上的损失。

分析员说,在净产业收入(NPI)方面,双威产托按年增长3.5%,按季则下跌1.4%,显示管理层善于控制成本。

此外,融资成本也显著下跌,按年跌18.4%,按季跌3.5%。

整体而言,末季每单位核心增长3.3%,而国外持股权从3月的21.8%,减至20.5%。

分析员表示:“由于业绩符合预期,因此我们维持业绩预估不变。”

另一方面,MIDF研究分析员则表示,双威产托的业绩表现也符合他们预估,达全年预估的102%。

分析员说,虽然Sunway Putra广场开始翻新工程,零售业务仍是2013财年唯一增长的业务,按年增长2.9%。

分析员认为,内部增长可抵消SunwayPutra广场翻新工程导致的收入损失。

Sunway Putra进行翻新,营业额贡献从过去5个季度平均610万令吉,减至末季的100万令吉。

另外,Sunway Carnival广场也有好的表现,2013财年更新租约的租金调升率达21至71.8%。

分析员说,双威产托把原本由主要租户租用、达3万9700平方尺的面积,分拆成更小的面积,预计能取得更高的租金,租户组合也会改善。

全年净利跌7%

双威产托2013财年全年营业额虽增长2.34%至4亿1594万6000令吉,但全年净利却下跌6.69%,报3亿9232万2000令吉。

产托上财年净利和营业额,分别是4亿2046万3000令吉和4亿642万6000令吉。

2013财年每股盈利为14.11仙,比上财年的15.62仙少。

双威产托全年派发每单位8.3仙的股息,优于上财年同期的7.5仙。

股票就是在大家不看好的时候买进。更何况Sunreit的基本面没有改变。看看Sunway Putra广场在4月关闭进行翻新工程,全年净利只跌了少少。当Sunway putra重开后,净利绝对会上涨。
