施朝全起诉建裕珍厂

（吉隆坡11日讯）去年6月份退休的拿督施朝全，起诉建裕珍厂（Kianjoo，3522，主板工业产品股），要求支付至少692万9319令吉的退休慰劳金，以及5个月薪金及花红等。

建裕珍厂向马交所报备，1月7日接获施朝全的律师函，起诉建裕珍厂及索偿。

根据起诉书，施朝全要求建裕珍厂支付652万8057令吉退休金、去年首5个月薪金34万4390令吉，以及5万6870令吉花红，并需各支付上年利息8%。

施朝全亦要求建裕珍厂支付5个月的雇员公积金，以及赔偿其他损失。

此外，他希望退休金不受公司法限制、无需获得股东批准，同时要求建裕珍厂支付所有堂费。[南洋财经]

罐裝業務盈利激增‧建裕珍廠末季淨利增2倍

（吉隆坡19日訊）在罐裝業務盈利激增激勵下，建裕珍廠（KIANJOO，3522，主板工業產品組）截至2012年12月31日止，末季淨利大起212.40%至4千465萬1千令吉，並促使全年淨利增長13.81%至1億1千841萬5千令吉。

派息6.25仙

末季營業額則錄得3億1千131萬3千令吉，上升7%，而全年營業額則起7.21%至11億6千192萬2千令吉。

董事部建議派發2.5仙終期單層股息及3.75仙特別單層股息，相等於6.25仙總派息額。

建裕珍廠發表文告指出，由於銷售賺幅走低及營運成本高企，罐裝業務全年稅前盈利下跌4%，但紙盒業務卻獲銷售高企利好帶動而增長27%，至於包裝業務則因庫存及應收賬項撥備而大挫61%。

該公司認為原料成本及外匯走勢波動，加上最低薪金制實行將對業績造成影響，並會致力於克服種種挑戰。（星洲日報／財經）

（吉隆坡21日訊）建裕珍廠（KIANJOO，3522，主板工業產品組）2012財政年淨利超越預期，分析員認為汝來新產線可帶動未來兩年產能錄取超過20%增長，加上大股東冠旺（CANONE，5105，主板工業產品組）可能提供協同利益，一致推介買進評級。

大眾投資研究說，建裕珍廠末季業績在強勁年杪銷售和越南貢獻走強帶動下迎來爆發，帶領全年淨利高於市場預期約20%，完美告別2012年。

肯納格研究表示，業績表現強穩消除過去1年股東變化帶來的憂慮，雖然罐裝業務去年初出現些許波動，總結全年卻仍保持正面成長，看好該公司有能力進一步改善產能效率，營造內部成長和區域擴張動力。

達證券則認為，建裕珍廠去年整體銷售保持亮眼，錄取約7%成長，其中罐裝業務銷售在本地和出口需求增加帶動下成長6.8%，成為主要成長動力，罐裝業務佔該公司約71%銷售額，去年展開的產能擴張活動符合市場需求成長。

“預料汝來新罐裝產線今年開始作出貢獻，惟我們相信今年新產能今年使用率只有30%，然後在明年改善至50%，因此估計罐裝產能將於今明兩年分別上揚29%和21%。＂

3大利好支撐‧建裕珍廠前景看好

（吉隆坡25日訊）建裕珍廠（KIANJOO，3522，主板工業產品組）因3大利好支撐，未來業務前景續受看好。

達證券指出，在和該公司管理層面談後，對該公司2013年財政年業務前景樂觀，主要是核心產品鋁罐，馬口鐵及紙箱等市場需求有增無減，預測其2012年至2015年間，淨利复合平均成長料可達16.3%。。

該公司擁有3大利好，包括旗下雪州峇都喼單一250毫升產品的生產線全面操作、無須進行顯著的庫存攤消，及今年稅務率仍然低至15%等。

建裕珍廠靠近峇都喼的單一250毫升系的生產線已全面操作，惟公司管理層沒有透露它是否要進行產能擴充計劃，而該行相信短期內可能推行一項擴充計劃，特別是窄型鋁罐產品，以供如雀巢（米祿）及其他外國品牌的需求。

該行認為，目前其唯一250毫米生產線的年產品為5億5千萬件，若是年杪增加同樣產量的新生產線，預料旗下鋁罐業務的2014年財政年的總產量將增加33.3%，而淨利則增加約4.0%。

達證券指出，該公司在2012年財政年第三季為馬口鐵存庫作出910萬令吉的庫存攤消，惟該公司今年料不會再有顯著的存庫攤消，主要是新管理層重新檢討舊有嚴格逾期政策，特別是馬口鐵擁有逾10年耐用期。

該公司去年有效稅率為12.1%，主要是新產線的重新投資津貼，以及其他稅務相關利惠。該公司管理層表示，今年的有效稅率仍然低至15.0%。這促使達證券將其今年有效稅率預測從25%調低至18%，惟2014年及2015年則保持在25%水平。

評級維持

該行預測其2013年財政年的淨利為1億3千520萬令吉，以及2014年則為1億6千零90萬令吉，2015年則為1億7千370萬令吉。

冠旺和建裕股價大波動‧私有化傳言再起

（吉隆坡14日訊）冠旺（CANONE，5105，主板工業產品組）和建裕珍廠（KIANJOO，3522，主板工業產品組）過去兩天價量猛漲，平息一年的私有化傳言再次升溫。

不過，在連升兩天後，二股今日雙雙回落，其中冠旺下跌27仙收3令吉27仙，成交量報155萬3千600股；建裕珍廠也滑落5仙至2令吉68仙，成交量為117萬3千600股。

此前市場盛傳，掌握建裕珍廠32.9%股權的冠旺，有意收購其餘67.1%股權，以私有化這家罐頭巨擘，這項消息推動冠旺過去兩個交易日猛漲94仙，並在昨日刷下3令吉60仙全年新高後，收在3令吉54仙；同在昨日改寫全年新高2令吉79仙的建裕珍廠，則在兩天內上揚28仙，昨日收2令吉73仙。

以建裕珍廠今日閉市價2令吉68仙推算，冠旺若有意收購建裕珍廠的其餘2億9千810萬股，須耗資8億令吉。

除了冠旺，建裕珍廠另外兩大股東分別是僱員公積金局和前董事經理、施氏家族代表拿督施朝全，兩者持股各達9.9%和6.2%。

消息人士批露，雖然冠旺的市值僅有5億3千950萬令吉，遠低於建裕珍廠的12億1千萬令吉，但仍有餘裕私有化建裕珍廠，惟他並未透露冠旺的融資計劃。冠旺此前透過貸款收購建裕珍廠，市場抨擊該公司此舉忽視財務狀況。（星洲日報／財經）

建裕申请中止诉讼 或与冠旺庭外和解

（吉隆坡6日讯）牵涉建裕珍厂（KianJoo，3522，主板工业产品股）与冠旺（Canone，5105，主板工业产品股）的两宗法庭诉讼案，因建裕珍厂申请中止诉讼，因此案件可能庭外和解。

建裕珍厂今天向马交所报备，首宗涉及冠旺起诉建裕珍厂等五造的诉讼案，他们以答辩方身分，向法庭申请中止案件；而联邦法院也指示双方入禀终止上诉通知书（Notice of Discontinuance），且择定7月2日过堂。

另外一宗是建裕珍厂前董事经理拿督施朝全连同13人，起诉冠旺、毕马威（KPMG）等5造的案件。

建裕珍厂表示，申请方向吉隆坡高庭申请中止。

（吉隆坡7日訊）冠旺（CANONE，5105，主板工業產品組）收購建裕珍廠（KIANJOO，3522，主板工業產品組）32.9%引起的新舊股東糾紛傳來落幕消息，帶動2家公司股價週五明顯走高。

冠旺昨日發文告引述高等法庭消息說，施朝全和另13位原告已決定不再繼續就冠旺收購建裕珍廠股權一事進行上訴，意味這宗長達數年的法律拉鋸戰已來到終點，長期困擾2家公司的變數已經消失。

受消息帶動，冠旺股價今日走勢勇猛，一度漲30仙或9%至3令吉63仙，儘管閉市時漲幅因套利而稍微放緩，全天仍漲20仙或6%，以3令吉53仙收場，成交量197萬7千300股；建裕珍廠則閉市掛3令吉零2仙，漲8仙，成交量171萬股。

冠旺數年前收購建裕珍廠32.9%引起建裕珍廠大股東施氏家族反彈，向高庭提出法律訴訟，而建裕珍廠隨後建議的紅股送憑單計劃則引起冠旺反擊，同樣向法庭申請禁止有關建議，惟上述兩項訴訟案最終均以原告敗訴收場。

加強越南業務‧建裕開拓印尼市場

（吉隆坡18日訊）建裕珍廠（KIANJOO，3522，主板工業產品組）持續加強越南業務，同時亦正在著手開拓印尼市場。

該公司執行董事拿督施朝源於股東大會後表示，為了應付越南日漸趨升的需求，已撥出500萬至600萬美元（約1千577萬至1千892萬4千令吉）款項於越南的制罐業務，將興建工廠提高產能。

此外，他也補充說，之前公司已投入約2千萬美元（約6千308萬令吉），拓展越南紙箱業務。

印尼方面，他提到，該公司已有一些印尼客戶，只是尚未於當地設立公司，所以不排除以獨資或合資的方式，物色適合的地方設廠，正式進軍當地市場。

施朝源也指出，大馬業務仍是主要盈利來源，且業務發展穩定，在錫罐與鋁罐市場分別擁有50%和70%的市佔率，其龐大的經濟規模無疑是一項成本優勢，有助公司繼續馳騁大馬市場。

詢及最低薪金制會否對公司生產成本產生負面影響時，他表示管理團隊向來都在積極提高成本效益，使公司的生產線更趨自動化，預料該項政策對公司財務不會有太大的影響。

然而，施朝源也不忘提及原材料價格上漲依然是公司的隱憂，尤其若政府批准馬來西亞鍍錫工業有限公司（PERSTIMA）長達5年的馬口鐵（製罐原料）反傾銷保護令的申請後，公司制罐的成本料會增加。

消息人士透露，這次冠旺可能會結合公積金局（EPF）的力量，全面獻購建裕珍廠。

目前冠旺及公積金局各持有建裕珍廠的32%及10.03%股權。

建裕珍廠取消紅股

（吉隆坡20日訊）建裕珍廠（KIANJOO,3522,主板工業產品組）董事部經過一番考量後，決定取消紛擾多時的紅股送憑單計劃。

該公司透過文告說，董事部經過詳細考量後，認為紅股計劃並非是對公司最好的建議，所以決定取消有關計劃。

上述紅股計劃早前一度引起新大股東--冠旺（CANONE，5105，主板工業產品組）的不滿，甚至因此向法庭申請禁止有關建議，惟後來以失敗收場。

無論如何，由於原本與冠旺水火不容的建裕珍廠大股東施氏家族在今年6月決定不再繼續追究冠旺收購建裕珍廠32.9%股權一事，意味雙方長達數年的法律拉鋸戰正式落幕，取消紅股計劃進一步證明雙方確實已經和解。（星洲日報／財經）

Reference is made to the Company’s announcements dated 25 February 2011, 28 March 2011, 11 April 2011, 22 April 2011 and 18 May 2011 in relation to the Proposals. Reference is also made to the Kuala Lumpur High Court Suit No. 22NCC-833-2011 and Federal Court Civil Application No. 08(i)-561-12/2011(W) filed by Can-One International Sdn Bhd against the Company and 4 Others in relation to the Proposals. Both the aforesaid cases have been struck out and discontinued as announced on 11 April 2013 and 10 July 2013 respectively. The Board of Directors of KJCF (“Board”) wishes to announce that they had, after due deliberation, decided to abort the Proposals. （吉隆坡25日訊）管理層地震或重大企業宣佈？馬股3家聯號公司冠旺（CANONE，5105，主要板工業）、建裕珍廠（KIANJOO，3522，主要板工業）和大馬紙盒（BOXPAK，6297，主要板工業），今日中午以“重大宣佈”為由，即時暫停交易，至本週四（28日）下午5點。

上述3家公司今午休市前分別向馬證交所報備，配合公司即將發佈一項重大宣佈，應循上市條例要求從12時09分開始暫停交易，直至本週四下午5點。這項停牌申請已獲當局批准。

停牌前，除了大馬紙盒股價無波動維持在2.25令吉，冠旺和建裕珍廠股價走勢南轅北轍，冠旺停牌前最后報價3.46令吉，漲9仙，成交量25萬4300股。

徐启良公积金局联手 Aspire全购建裕大马纸盒

（吉隆坡26日讯）建裕珍厂（KIANJOO，3522，主板工业产品股）执行董事徐启良与雇员公积金局（EPF），宣布全面收购建裕珍厂和大马纸盒厂（BOXPAK，6297，主板工业产品股）。

建裕珍厂今日向马交所报备，Aspire Insight以14亿6575万3693令吉，或相等于每股3.30令吉的价格，献购该公司所有资产和债务。

据了解，Aspire Insight大股东为公积金局独资子公司———Ekuiti Merdu私人有限公司，以及徐启良持有的Alleyways私人有限公司。

献购大限下月10日

徐启良刚在昨日宣布辞去冠旺（CANONE，5105，主板工业产品股）执行董事的职务。他在冠旺直接持股1.02%。

鉴于在收购建裕珍厂后，Aspire在大马纸盒厂的持股权也将提高至54.83%，因此有义务强制全面献购（MGO）后者所有未持有股权。

建裕珍厂的股东可在12月10日（周二）下午5点前，回应是否接受献购。

目前，铝罐制造商冠旺持有建裕珍厂32.9%股权，后者持有大马纸盒厂54.83%股权；雇员公积金局持有建裕珍厂10.03%股权。

公积金早有意收购

冠旺在2009年2月，成功以每股1.65令吉，购下建裕珍厂32.9%股权，但却与建裕珍厂创办人施氏家族发生纠纷，引发长达3年的官司纠纷。

根据《The Edge》财经日报早前报道，雇员公积金局其实早已有意增持建裕珍厂持股，但碍于该公司与冠旺的官司未解，该局因此为有进一步行动。

这三家公司在周一宣布暂停交易。

在停牌前，冠旺最后作价为3.46令吉；建裕珍厂报3.21令吉；大马纸盒厂收在2.25令吉。

建裕珍厂目前市值达14亿3000万令吉，大马纸盒厂市值则为1亿3505万令吉，冠旺市值达5亿2730万令吉。

建裕Q3净利涨13%

铝罐和纸箱业务表现亮丽，带动建裕珍厂截至9月30日第三季净利，增长13.25%，至3193万令吉，或每股盈利7.19仙，上财年分别为2819万4000令吉和6.35仙。

同时，当季营收则从2亿8013万5000令吉，扬升16.64%至3亿2675万4000令吉。

首三季方面，净利涨幅有27.98%，从去年同期的7386万9000令吉提高至9453万5000令吉；营业额则从8亿5153万2000令吉，增长11.56%至9亿5001万令吉。[南洋网财经]

建裕珍厂业绩优异

（吉隆坡21日讯）建裕珍厂有限公司（KIANJOO，3522，工业产品组）公布，在截至2013年9月30日止第3财季，所取得的税前利润按年从3630万令吉上升至4220万令吉。

该集团向马交所发布文告说，至于营业额由前期的2亿8010万令吉增加至3亿2670万令吉。

它称，制罐业务录得较高的收入，主要是国内及越南业务好转，因该处的客户需求上涨，而铝罐产量也同样增加。

建裕珍厂指出，集团在越南河内的纸箱业务扩充行动，正按计划进行，而该制造厂将在今年第3季度开始运作。
