將遭國庫控股私有化?‧UEM陽光:沒接獲通知

(吉隆坡30日訊)UEM陽光(UEMS,5148,主板產業組)高級獨立非執行董事歐錦順(譯音)表示,該公司目前沒接獲任何私有化通知,董事們也沒聽說國庫控股(Khazanah)將私有化UEM陽光。

歐錦順在股東特大後向《星洲財經》表示:“我們(UEM陽光董事)不清楚國庫控股是否會私有化UEM陽光,但截至目前為止,我們沒得到母公司(UEM集團)的私有化通知。”

UEM集團是UEM陽光的母公司,持有UEM陽光66%股權,而UEM則為國庫控股所有。

持有UEM陽光66%股權的UEM集團已過33%股權的全面限售門檻,以目前UEM陽光的股價計算,UEM集團只需要18億7千萬令吉就可把UEM陽光私有化,不過UEM陽光今日剛通過可贖回可轉換優先股(RCPS)計劃,若要私有化UEM陽光就會涉及較大的金額。

UEM陽光在早前傳出私有化傳聞後,股價在一個星期內大漲23%,從87仙飆漲至1令吉零7仙,過後仍繼續走高,截至今日,UEM股價掛1令吉25仙,從私有化消息傳出至今已大幅成長43.7%。

柔產業大幅走緩

公司業務方面,柔佛產業市場目前大幅走緩,歐錦順表示,該公司在柔佛的努沙再也(Nusajaya)產業也有明顯放緩的跡象,所以正積極往其他地區發展,減少對努沙再也市場的依賴。

UEM陽光有75%地庫位於努沙再也,由於柔佛產業放緩,在今年第二季裡UEM陽光的新銷售放緩至2億1千萬令吉,上半年銷售額也只有6億令吉。

為開拓海外市場,UEM陽光在8月時宣佈以5千800萬澳元(越1.61億令吉)在澳洲墨爾本購得一座21層樓辦公室,計劃進一步發展成為結合超級豪華公寓和零售商場的綜合房產項目。

除了澳洲的計劃以外,該公司也積極將發展區域擴展至大馬其他州屬,下週該公司將會在萬宜推出新產業計劃。

在今年5月及6月,UEM陽光已在巴生河流域分別推出2項產業發展計劃。( 星洲日報/財經‧報道:陳林德)

答:UEM陽光以RCPS取代原先配發新股計劃,大馬研究相信通過發售7億9千300萬股優先股,可協助集團籌集7億9千300萬令吉,用來贖回旗下努沙再也城鎮發展公司(BND)在2005年11月28日配給UEM集團的優先股。

UEM陽光當初發售債券的目的是為繳付8億令吉貸款,而該批2005年的優先股將在今年11月27日期滿,需9億2千300萬令吉贖回。

大馬研究說,UEM陽光將以1億3千800萬令吉脫售公主灣的商業資產以補足贖回2005年債券的差額。

“若該2005年優先股無法補足差額,屆時將自動轉換成BND的股權,UEM集團享有22%的股權。”

大馬研究認為,基於UEM陽光將維持BND的100%持股,因此維持淨利預測及評級不變。

但MIDF研究認為,隨著新股配售計劃取消,預計UEM陽光2015及2016財政年營業額將維持不變,因此調高其2015及2016財政年每股淨利7.4%及11.5%至9.14仙及9.38仙。

不過,MIDF研究表示,若該公司派發任何股息給普通股持有者,股息則可能受到影響,因其需派發同樣的額度給優先股持有者,加上現有股價上升空間有限,因此下調其評級至“中和”,目標價則維持1令吉13仙不變。(星洲日報/投資致富‧投資問診‧文:李文龍)

銷售放緩‧UEM陽光第三季淨利挫33%

(吉隆坡26日訊)UEM陽光(UEMS,5148,主板產業組)因工程近尾聲及產業銷售放緩,截至9月30日第三季淨利大挫33.2%至4千774萬2千令吉,9個月淨利則跌10.96%至1億8千479萬1千令吉。

第三季營業額挫33.4%至3億5千305萬8千令吉,9個月也跌13.4%至11億4千281萬9千令吉。

UEM陽光表示,本財政年表現將繼續受產業放緩及整體經濟影響,依斯干達產業需求疲弱,與投資者商討位於南部的賣地計劃預計在明年才可完成。(星洲日報/財經)

Edgenta和UEM阳光 联营市镇与产业管理

(吉隆坡30日讯)Edgenta(EDGENTA,1368,主板贸服股)和UEM阳光(UEMS,5148,主板产业股)缔结联营,合作提供市镇与产业管理服务。

根据文告,Edgenta子公司Edgenta市镇管理服务公司(ETMSSB),今日与UEM阳光签署了联营协议,以在本地设立联营公司。

ETMSSB及UEM阳光在联营公司的持股率,分别为70%和30%,双方将共同从事市镇、分层、安全和产业管理服务业务。

Edgenta指出,这项联营协议符合本身扩展资产管理业务的策略,同时也能借助UEM阳光负责的产业发展计划,为这些计划提供相关服务。【南洋网财经】

2亿入股WCT子公司 UEM阳光联营30亿房产

(吉隆坡1日讯)UEM阳光(UEMS,5148,主板产业股)入股WCT控股(WCT,9679,主板建筑股)子公司,合作在雪兰莪总面积608.63亩的土地展开综合发展项目,发展总值达30亿令吉。

UEM阳光董事经理兼总执行长安华沙林,今日在签约仪式上表示,这是公司在雪州的第四项发展项目,可带来柔佛以外的营业额贡献。

“公司计划增持在柔佛以外的土地,注重发展柔佛以外的项目,平衡收支来源和区域发展。”

他希望未来柔佛和其他区域的发展贡献额比例,逐渐达到各半水平。

出席今天签约仪式的包括WCT控股独立非执行主席拿督阿末苏菲安、董事经理陈锦华,以及执行董事曾凯强、UEM阳光主席阿末达祖丁,以及商业部营运总监谢浩志。

年营收4000万

根据协议,UEM阳光独资子公司Sunrise有限公司,以2亿1488万743令吉,入股WCT间接子公司JubilandtCourtyard(简称JC),持股100万或50%。

UEM阳光将支付10%,即2148万8074.30令吉作为订金,剩余的1亿9339万2668.70令吉在未来3个月支付。

JC公司旗下拥有10块位于乌鲁雪兰莪双元丹市(Bandar Serendah)的土地,总面积608.63亩。

目前双方还未决定发展详情,谢浩志预料,通过这项发展,能为公司自2018财年带来每年3000万至4000万令吉营业额。

今年20亿销售在望

UEM阳光有信心今年达到20亿令吉销售额的目标。

安华沙林说:“市场都认为产业消费情绪疲软,然而在中产阶级的购房表现来看,似乎没有太大的变化,因此对我们的产业销售没有大影响。”

目前公司营业额中,有70至80%来自柔佛州产业销售;该公司目前在当地拥有1万亩左右的地皮。

在截至9月30日的第三季业绩显示,净利和营业额按季下跌33.2%和25.1%,分别录得4774万2000令吉以及3亿5306万令吉。

而在首9个月中,净利和营业额同样按年分别减少11%和13.4%,跌至1亿8479万令吉和11亿4282万令吉。【南洋网财经】

(吉隆坡2日訊)UEM陽光(UEMS,5148,主板產業組)與WCT控股(WCT,9679,主板建筑組)強強聯手,在烏魯雪蘭莪發展總面積達608.63英畝的城鎮計劃,分析員看法正面,認為可締造雙贏,UEM陽光得以減少依賴柔州依斯干達產業,而WCT控股則可獲得逾2億令吉特別收益和從中降低負債。

UEM陽光減少依賴依斯干達產業

在聯營計劃下,UEM陽光將以2億1千500萬令吉買入WCT控股旗下Jubilant Courtyard的50%股權,兩家公司將分別持房產項目的各50%股權。

馬銀行研究表示,此收購符合UEM陽光的計劃,以減少依賴依斯干達地庫及多元化盈利基礎。

土地成本相等於每方尺16令吉20仙,接近目前市價(16至24令吉),因此屬於合理價位。

該聯營公司將專注發展中低檔有地產業,發展總值約30億令吉,為期10年,從2017年第四季開始銷售。

假設稅前盈利為15%,預期此聯營計劃每年淨利貢獻為1千690萬令吉(根據UEM陽光的50%股權計為每股盈利0.37仙)。

不過,分析員預計,完成收購後,UEM陽光的淨負債將從截至今年9月的0.32倍躍升至0.35倍。

豐隆研究認為,土地成本相等於估計發展總值的14%,因此視收購價為合理。

在完成此收購後,UEM陽光將有逾1萬英畝地庫未發展,潛在發展總值850億令吉。

大眾研究指出,土地成本佔發展總值14%,仍是可接受水平,目前土地成本通常佔發展總值的10至15%,相比過往為約10%。

MIDF研究表示,收購價相等於每方尺16令吉21仙,高過今年3月該區一項交易的每方尺12令吉92仙,這可能由於這次交易的地點較佳,靠近南北大道。

該行指出,由於柔佛產業市場疲軟,令UEM陽光股價升勢受阻,但該股跌勢也有限,因股價已低過每股1令吉30仙的淨有形資產。

UEM阳光3.7亿售澳服务式公寓

(吉隆坡3日讯)UEM阳光(UEMS,5148,主板產业股)的澳洲独资子公司,以1亿2000万澳元(相等於3亿7080万令吉)脱售位於墨尔本拉筹伯街的服务式公寓予Ascendas澳洲酒店信託。

该服务式公寓为Aurora墨尔本中心综合发展项目的部份產业,预计將在2019年完成。

该公司表示,管理酒店及服务式公寓,並非UEM阳光的核心业务。同时,在脱售活动完成后,该公司可专注在营销及销售在墨尔本的產业项目。

此脱售活动预料將对UEM阳光2019財政年带来约2695万澳元(相等於8327万令吉)盈利贡献,而该笔脱售收益也將作为其他在墨尔本的发展资金。

另外,UEM阳光董事经理兼首席执行员安华沙林表示,在此买卖协议下,双方创造了可持续发展的商业环境。

同时,他指出,这並非是该公司首次与Ascendas的策略性合作,双方之前也以联营方式,共同发展努沙再也科技园(Nusajaya Tech Park),而首阶段估计將在明年完成。【东方网财经】

售澳公寓‧UEM陽光20億營收可達標

(吉隆坡4日訊)UEM陽光(UEMS,5148,主板產業組)脫售澳洲服務公寓,獲得分析員一致正面看待,並預期這項脫售可協助該公司達到20億令吉的營業額目標。

該公司昨日公佈,以1億2千萬澳元(約3億7千萬令吉)脫售墨爾本中心極光塔(Aurora Melbourne Central)的服務式公寓給騰飛集團(Ascendas)旗下酒店信托公司。

豐隆研究看好上述脫售,認為將讓UEM陽光首9個月的營業額從11億8千萬令吉推高至15億5千萬令吉。

豐隆補充,除了上述資產,該公司另外一項澳洲產業項目Conservatory和Imperia辦公樓的銷售,也有助UEM陽光達到全年營業額目標。

包括Conservatory項目,UEM陽光在墨爾本還有發展總值達16億令吉的產業計劃。



MIDF研究預期,UEM陽光將在2016或2017財政年推出極光塔發展項目餘下的1億澳元(約3億零8千萬令吉)的商場及辦公樓。

大眾研究表示,基於UEM陽光脫售上述的產業項目,需在2019年才可全面取得入賬,因此建築成本仍將推高該公司的負債率至0.4倍。目前該公司的負債率為0.32倍,屬於健康水平。

未入賬銷售料走高9%至44.3億大眾研究指出,預期該公司在柔佛辦公樓產業項目將在第四季可取得入賬,該辦公樓總值1億3千800萬令吉。

馬銀行研究預計,該公司的未入賬銷售將走高9%至44億3千萬令吉,為2016財政年的營業額預測的2.07倍,可改進該公司的短期淨利。

豐隆提醒,柔佛產業市場放緩、無法達到營業額目標及高貝它性質股項,是UEM陽光所面對的風險。(星洲日報/財經‧報道:謝汪潮)

20億銷售料過關‧UEM陽光財測不變

(吉隆坡11日訊)UEM陽光(UEMS,5148,主板產業組)的20億令吉銷售有望輕易達標,也料推出總值20億令吉產業發展計劃,分析員維持財測不變。

該公司有信心在Aurora服務式公寓及Teega辦公樓整棟銷售支撐下輕易達到20億令吉銷售目標。

截至9個月止財政年,該公司取得12億令吉新銷售,若加入整棟數額將達到17億令吉銷售。

大眾研究相信,未來該公司將推出10億至20億令吉產業,並維持同樣20億令吉銷售保持獲利。

2016財政年該公司主要在中馬區及澳洲推出產業發展計劃。

該行相信,柔佛區將專注於出清Almas及Estuari滯銷產業,估計滯銷值11億令吉,同時也不急於推出同類型產業。

但計劃推出一些規模較小、中低價產業,如努沙再也門戶可負擔公寓及第一期Signature Residences,發展總值分別約6千200萬令吉及8千300萬令吉。

中馬區則是Serene高原及Solaris3新一期發展計劃,發展總值約13億令吉,海外則是墨爾本的St Kilda再發展計劃,發展總值約7億2千200萬令吉。

柔佛公主港土地脫售方面,大眾研究看好有3億令吉進賬。該脫售計劃原本預計去年完成,已延遲至2016上半年。

烏雪聯營計劃發展總值料超預期

至於該公司與WCT控股(WCT,9679,主板建筑組)的烏魯雪蘭莪聯營計劃,該公司正在轉換土地及規劃藍圖,預計2017年推出,發展總值料高於早前的30億令吉預測。

大眾研究早前預測,每英畝發展總值將輕易突破至每英畝700萬令吉,或相等於潛在40億令吉發展總值。

最佳例子是綠盛世(ECOWLD,8206,主板產業組)在鄰近的依約(Ijok)計劃興建的2千198英畝城鎮計劃,估計發展總值150億令吉或每英畝700萬令吉。

該行表示,UEM陽光料收購更多土地提昇中馬區覆蓋率,同時努沙再也門戶的35億令吉賽車城聯營計劃將在今年5月動土。

UEM前線、UEM陽光、美迪尼‧聯營城鎮管理服務公司

(吉隆坡13日訊)UEM前線(EDGENTA,1368,主板貿服組)、UEM陽光(UEMS,5148,主板產業組)和美迪尼依斯干達大馬公司(Medini Iskandar Malaysia)合作,創辦全馬首家提供全面城鎮管理服務聯營公司,並計劃將此服務提供予其他房產發展公司。

根據協議,U E M前線和UEM陽光共同持有的UEM陽光前線TMS公司(UEMSET),將與美迪尼依斯干達大馬公司屬下Township管理服務公司(TMS)組成聯營公司,以70%和30%持股比例經營上述業務。

UEM陽光前線TMS公司分別由UEM前線和UEM陽光掌握70%和30%股權。

UEM前線董事經理兼首席執行員阿茲米爾馬力表示,目前聯營公司尚未命名,初步計劃投入550萬令吉的繳足資本。

他是在聯營協議簽約儀式後,在新聞發佈會上如是表示。

美迪尼依斯干達董事經理兼首席執行員拿督凱里爾說,聯營公司預計在今年投入運作,提供美迪尼和依斯干達公主城(Iskandar Puteri)城鎮管理服務,並希望獲得其他房產發展公司的合約。

另外,凱里爾也表示美迪尼依斯干達暫時沒有任何上市的計劃。(星洲日報/財經)

UEM阳光 马化国际 柔佛发展50亿综合计划

(吉隆坡16日讯)UEM阳光(UEMS,5148,主板產业股)与马化国际(MULPHA,3905,主板贸服股)联手在柔佛进行一项发展期限长达20年,发展总值50亿令吉的项目。

这项计划是由双方的独资子公司负责执行。

UEM阳光旗下的UEM置地(UEM Land),与马化国际旗下的Leisure Farm公司,將成立一家联营公司,双方各持有50%股权。

该发展项目座落在柔佛依斯干达特区,土地总面积约200英亩,其中的129.79英亩为UEM阳光所有,而马化国际则持有其余的65.48英亩。

该项目为一项综合性发展计划,包括住宅及商业用途產业。

UEM阳光首席执行员安华沙林表示,这项计划將在2016下半年开始动工,分12个阶段进行。

他也透露,「该项目的首阶段预计將在2018年推出,发展总值约为1亿5000万令吉。」首阶段將包含双层半独立式房屋及店屋等。

他是在今天的签约仪式上,发表以上谈话。

出席者包括UEM阳光首席营运员谢浩志、UEM集团首席执行员拿督依札丁、马化国际主席李成煌、首席財务员李永良以及总经理俞德辉。

针对市场认为依斯干达特区一带產业前景仍低迷,安华沙林表示,由於该项计划主要是以有地產业为主,同时,亦有马化国际的休閒农场为卖点,因此,相信对於买家而言,仍有一定的吸引力。

除此之外,他也指出,这发展项目地点適中、交通方便,距离马新第二通道仅需1小时15分钟车程。

安华透露,该公司將与依斯干达一带的发展商联手,发展快捷巴士(BRT),以提高这地区的便捷度。

與馬化國際發展柔50億計劃‧ UEM陽光利好風險並存

UEM陽光(UEMS,5148,主板產業組)與馬化國際(MULPHA,3905,主板貿服組)攜手發展柔佛231.4英畝產業計劃,產業總值高達50億令吉。

上述產業計劃將由UEM陽光及馬化控股雙方的獨資子公司聯營設立,雙方各佔50%股權。有關地庫,其中140.1英畝由UEM陽光撥出,餘下地庫則由馬化控股撥出。

UEM陽光及馬化控股在上述利好因素帶動下,分別起4仙及3.5仙,各報1令吉及29.5仙。

分析
分析員看好UEM陽光這項聯營,顯示該公司在逐漸釋放土地資產價格,並認為該公司有龐大的收購土地”武器”,但風險是過度集中在柔佛,曝露在外圍的緩和風險中。

豐隆研究表示,UEM陽光在此次脫售地庫中,預期可取得1億4千500萬令吉的淨利(佔2014年30%的淨利),不過,脫售所得將在未來2年內逐步進賬。

馬銀行研究表示,有關UEM陽光土地脫售,取決於聯營公司何時收購上述土地,因此,維持UEM陽光重估淨資產估值(RNAV)每股2令吉82仙不變。

大眾研究表示,U E M陽光脫售土地價格每方呎作價51令吉64仙,對比該公司在2014年與吉隆坡甲洞(KLK,2445,主板種植組)聯營產業項目,每方尺作價40令吉,因此正面看待上述產業計劃。

肯納格研究預期,上述產業項目土地成本佔發展總值的13%,UEM陽光若在2018財政年脫售土地,預期股東淨利(PATAMI)為1億零900萬令吉,可將公司的負債率降低至0.05倍。該公司2015財政年的負債率預計為0.3倍。

安聯星展研究看好上述產業計劃,因該產業計劃靠近馬新第二通道,並表示UEM陽光地庫為1萬4千600英畝,其中75%位於伊斯幹達地區,相信該公司暫時不會將地庫脫售套現。

MIDF研究表示,上述產業計劃的首期銷售項目將在2018年才推出,因此維持UEM陽光2016及2017財政年的淨收入為2億1千800萬令吉及4億2千700萬令吉不變。(星洲日報/財經)

UEM阳光偕狮城公司 发展公主港1.9亿项目

(吉隆坡23日讯)UEM阳光(UEMS,5148,主板产业股)与新加坡公司SULT Marina(SULTM)控股有限公司合作,发展柔佛公主港(Puteri Harbour)项目,总投资额为6660万新元(约1亿9880万令吉)。

根据文告,UEM阳光子公司UEM置地与SULTM成立联营公司,其中UEM置地持有40%,而SULTM持有60%股权。

SULTM是新加坡SULT集团公司旗下的休闲业务子公司,该集团也有消费产品和科技业务。在休闲业务中,除了即将启动的公主港项目外,SULT集团也持有和经营新加坡圣淘沙湾的ONE15游艇俱乐部。

联营公司将在这项目中,负责发展和经营公主港的公共与私人码头,以及大型游艇码头。

此外,联营公司也通过私人游艇俱乐部公司,发展和经营私人游艇俱乐部,也经营运动中心。

The Company wishes to announce that its wholly-owned subsidiary, UEM Land Berhad (“UEML”) had on 22 February 2016 entered into a Joint Venture Agreement (“JVA”) with SUTL Marina Holdings Pte Ltd (“SUTL”) to establish a joint venture company with a 40% : 60% (UEML : SUTL) equity share to co-operate in incorporating, financing and operating a joint venture company in Malaysia for the purpose of carrying out the following businesses:

Financial Effects

(吉隆坡25日訊)賣地活動減少,UEM陽光(UEMS,5148,主板產業組)截至2015年12月31日止第四季淨利按年大減73.41%至7千242萬1千令吉,全年淨利則報2億5千721萬2千令吉,按年跌46.4%。

第四季營業額報6億零704萬7千令吉,按年跌54.74%,全年營業額報17億4千986萬6千令吉,挫34.25%。

派息1.6仙

該公司建議派每股1.6仙股息。

董事部說,第四季和全年業績下滑主要因集團去年同期脫售兩項總值7億8千萬令吉的資產,造成比較基礎偏高。(星洲日報/財經)

受益賣地‧UEM陽光財測不變

(吉隆坡3日訊)UEM陽光(UEMS,5148,主板產業組)第四季業績低於預期及下調產業銷售目標,分析員看好今年可從脫售土地中受益,維持財測不變。

大眾研究指出,該公司因土地銷售走低,全年淨利走跌46%至2億5千720萬令吉,只達到該行及市場全年淨利預測的77%及82%。

第四季營業額貢獻主要來自澳洲墨爾本的產業發展項目,帶動全年銷售超越20億令吉目標,至23億6千萬令吉,未結賬銷售47億令吉。

不過,因市況艱難,該公司降低銷售目標至15億令吉,低於2015財政年銷售目標25%,並專注推出更多中價及可負擔住宅產品及出清依斯干達區域的現有產業庫存。

目標價下調

大眾研究看好2016財政年,該公司將脫售公主港數片土地,相信該1萬1千英畝土地所隱藏的價值。不過,考量依斯干達房市供過於求狀況,下調目標價。

另外,大馬研究認為該公司業績符合預期,不過2016財政年僅推出12億令吉產業,低於2015財政年的26億令吉。

該行指出,今年UEM陽光專注更多可負擔產業,包括努沙再也可負擔住宅、雪州萬宜(Bangi)排屋及澳洲的St.Kilda服務式公寓。

UEM阳光CEO今起放假 依沙丁依德利斯接手

(吉隆坡15日讯)UEM阳光(UEMS,5148,主板产业股)董事经理兼总执行长安华沙林,将从周六(16日)起放假,UEM集团董事经理兼总执行长拿督依沙丁依德利斯,将接手相关职务。

UEM阳光在文告中指出,公司已批准安华沙林请假,以专注处理私人事务。

在他放假的过渡期间,公司的业务一切照常,并委任依沙丁依德利斯担任执行董事,负责董事经理兼总执行长的职务。
