Encik Ferdaus Mahmood started his career as Trainee Accountant with Tractors Malaysia Bhd in 1974 and joined United Estate Projects Sdn Bhd (UEP)(initial developer of Subang Jaya, Selangor) in 1976 where his last position in UEP was the Credit Controller. Subsequently, in 1980, Encik Ferdaus made a decisive switch in his career into the main stream of the property industry and since then has garnered extensive experience in this industry especially in the areas of marketing, sales, credit control and property management. In 1990, Encik Ferdaus joined L&G as the General Manager in one of the property subsidiaries of L&G. In 1998, he was appointed the Chief Operating Officer to head the property operations of L&G in Australia and is currently based in Kuala Lumpur as the Executive Director, a position he has held since 2008. He also sits on the boards of a few subsidiaries of L&G.

末季地产业务表现佳 置地通用收入飙增2倍

(吉隆坡31日讯)置地通用有限公司(L&G,3174,产业组)宣布,在截至2016年3月31日止第4财季,所取得的税前利润按年从644万令吉剧增至7604万令吉。

收入方面则由之前的5637万令吉飙涨2倍至1亿8419万令吉。

不过,在截至2016年3月31日止全年财政年的税前利润,按年从1亿9234万令吉降至1亿2734万令吉。

该集团向大马交易所报备时表示,至于收入则由前期的4亿6537万令吉下滑至3亿4206万令吉。

就上述财季而言,该集团指出,所录得的高额税前利润主要是受惠于房地产业务。

相比于去年同季的934万令吉,在截至2016年第4财季,置地通用的房地产业务的营运利润录得7519万令吉,而收入方面则由之前同季的5046万令吉飙涨至1亿7862万令吉;主要贡献来自该季度正式竣工并交付的斯里白沙罗Foresta公寓项目第一阶段。

基于全球经济疲软,再加上房地产市况放缓以及房贷政策的日益严格,该集团预料2017年将会是个充满挑战性的一年。置地通用表示:“在面对挑战之际,我们将会不断寻求创新的营销方式,以提高销售量。”

与此同时,它补充:“为了进一步改善股东们的利益,集团将会继续物色并收购新土地以添加到现有的发展管道,或以发展为目的参与联营企业。”【光华日报财经】

置地通用可否趁低吸购?

吉隆坡文良港读者陈奕光问:

置地通用(L&G,3174,主板产业组)最新业绩如何?特别是现金和负债方面。基于股价相当低,而且我记得这家公司是一家相当有名望的发展商,所以想问可否买进该股作投资?

答:截至2016年3月31日为止第四季,置地通用的净利为5498万2000令吉(每股净利为5.03仙)。该公司营业额为1亿8419万4000令吉。

全年净利为9505万令吉(每股净利为8.75仙)。该公司全年营业额为3亿4206万1000令吉。

谈到公司第四季盈利表现较佳,该公司表示,这主要是旗下白沙罗Foresta第一期的产业工程已经完成及交屋的推动。

财务状况方面,截至2016年3月31日为止,该公司的总资产为10亿9085万令吉;其中在非流动资产下的产业/工厂/器材总额有8139万5000令吉、供产业发展用途的土地为2188万7000令吉、投资产业为9065万5000令吉。

至于流动资产下的产业发展成本为2亿零502万4000令吉、库存为4619万9000令吉,贸易及其他应收款项为1亿1228万7000令吉、以及你所关心的存款/现金/银行余款为5亿2590万6000令吉。

同时,该公司的总负债为3亿8907万8000令吉,包括非流动负债下的拨备金为3825万1000令吉、贸易及其他应付款项为2983万5000令吉,借贷为8305万6000令吉。

流动负债下的贸易及其他应付款项为2亿2510万5000令吉、借贷为9万5000令吉。

该公司的股本为2亿1861万8000令吉,由10亿9309万股每股面值20仙的普通股组成。该公司保留盈利为3亿9967万3000令吉,其他储备为2053万2000令吉。

至于目前股价是否相当低,由于在过去至少6个月里,并没有证券行进行剖析,所以没有推荐是否可作投资。

不过,看看公司管理层对其未来业务展望的看法以作为参考;该公司在宣布最新业绩时表示,由于全球经济疲弱、本地产业市场走软、银行借贷政策依然紧缩,使该公司认为2017年将是具挑战的一年。

采创新行销加强产业销售

惟该公司认为,在面对上述挑战,该公司将继续采取创新的行销步伐以加强产业销售。为了进一步改善股东价值,该公司将继续寻找新的地库,以收购增加其现有发展计划及/或进行联营发展。

置地通用首季净利减半

(吉隆坡30日讯)置地通用(Land & General Bhd)宣布首季净利从去年同期的2111万令吉,减近半至1028万令吉。

该公司昨日公布,截至6月杪的2017财政年首季净利下跌,主要因为产业部门的Astoria项目仍处于施工初期,贡献微不足道。

一家本地资产管理的基金经理指出,这是业绩走弱的市场反应。

“置地通用的盈利表现可能是市场反应的原因,因自8月以来上涨14.29%至高达44仙。从Astoria项目确认的收入小对我们来说是正常的,因尚处于早期。我们已看到盈利的周期趋势,举例说,在2016财年第三季,仅取得585万令吉的净利。”

他补充,以39.5仙的股价计算,2仙股息,意味着周息率为具吸引力的5.06%。

置地通用指出:“随着放贷政策继续严格,以及市场信心疲弱,本集团预未来几个季度的业绩将具挑战,因必须慎重考虑推介项目,以避免持有高库存。”

“然而,集团预计未来几个季度的业绩将由进行中的新推介,以及未售单位的销售所推动。”

今明年陆续推新项目
置地通用最少忙7年

(吉隆坡7日讯)置地通用(L&G,3174,主板产业股)指出,旗下进行中的安邦路Astoria、白沙罗Foresta第二期,以及森美兰新那旺Sena Parc等产业项目,将使该公司维持忙碌至少7年。

置地通用董事经理刘毅德,今天在公司股东大会后向媒体表示,这些发展项目将于今明年陆续推出。

安邦路Astoria的发展总值为8亿6000万令吉,首座公寓大楼已取得60%认购率。

刘毅德冀望,第二座公寓能在今年底推出,并录得高达80%的认购率。

此外,Sena Parc及白沙罗Foresta第二期,也将在今年底至明年初陆续推出。

Sena Parc发展总值为6亿令吉,刘毅德相信,隆新高铁的森美兰站,将可带动周边产业发展。

截至今年6月底首季,置地通用取得1028万令吉净利,比上财年同季的2111万3000令吉,按年下滑51.31%。

当季营业额也按年猛挫83.34%至1189万6000令吉,上财年同季为7139万5000令吉。

莎阿南购地近完成

另一方面,刘毅德指出,进行中的莎阿南土地收购计划,预料能在1至2个月内完成。

他说,该土地将分成3个阶段来发展有地房产。

关于未来展望,刘毅德指出,虽然市场充满挑战,但该公司有信心凭着旗下项目位于理想的地点,可以扶持2017财年(3月底截止)的全年业绩。

一同出席媒体发布会者,包括财务总监黄吉来。

好价或脱售教育业务

另外,置地通用旗下的教育业务虽然维持稳健增长,不过,若获得理想的价格,不排除脱售这项业务。

刘毅德说:“我们有收到献购建议,倘若价格吸引人,我们会认真考虑。”

目前,产业业务占置地通用营业额92%比重,余下8%比重来自教育、种植及休闲等。

截至6月杪首季,教育业务营业额报328万令吉,优于上财年同季的321万令吉。当季营运盈利为146万令吉,按年扬8.15%。【e南洋】

置地通用3.36亿购5公司.5配8售附加股

(吉隆坡15日讯)置地通用(L&G,3174,主板产业组)宣布以3亿3556万3000令吉现金向大股东收购4家产业发展公司全部股权和透过回购选择权计划,收购另一家产业发展公司、及以5配8比例发售附加股筹资充当收购资产用途。

该公司文告指出,该公司建议向大马置地产业有限公司(Mayland)收购4家产业发展公司全部股权,包括以1亿2847万令吉收购Primal-Milestone有限公司、597万令吉收购Quantum-Bonus有限公司、1亿1815万令吉收购Triumph-Bliss有限公司、及以4573万令吉收购Forward-Esteem有限公司。

该公司也代上述4家公偿还拖欠大马置地产业有限公司的公司间的余款。

大马置地产业有限公司也颁予该公司一项回购选择权,以3725万令吉现金收购产业发展公司──Soho-Prestige有限公司的全部股权。该公司也代后者偿还拖欠大马置地产业有限公司的公司之间的余款。

该公司将以5配8比例,发售最高19亿1406万3296股的附加股,而最低认购水平为8亿2000万股。为参考用途,若附加股每股参考发售价为21仙,预料将可筹得最高4亿零195万令吉的资金,而大部份资金将充当收购上述产业发展公司股权用途。

在落实上述计划后,该公司大股东──Mayland-Parkview有限公司持股权将从30.74%扩大至60.04%,将向当局申请,以豁免强制性全面收购其余尚未持有的公司股票及可转换证券。

文告指出,上述收购的5家产业发展公司,总共持有446.32英亩的产业发展地,涉及的发展总值为42亿零74万令吉。

它指出,目前该公司股本为2亿2369万3000令吉,一旦落实上述计划后,它的股本最高可增加至6亿2207万1000令吉,由31亿1035万3000股的股票组成。

On behalf of the Board of Directors of the L&G, Public Investment Bank Berhad wishes to announce that the Company proposes to undertake the following:

(i)        proposed acquisitions by the Company from Malaysia Land Properties Sdn Bhd (“Mayland” or “Vendor”) of the following:
(a)        entire equity interests in Primal Milestone Sdn Bhd (“PMSB”) for a cash consideration of approximately RM128.47 million (“Proposed PMSB Acquisition”);
(b)        entire equity interests in Quantum Bonus Sdn Bhd (“QBSB”) for a cash consideration of approximately RM5.97 million (“Proposed QBSB Acquisition”);
(c)        entire equity interests in Triumph Bliss Sdn Bhd (“TBSB”) for a cash consideration of approximately RM118.15 million (“Proposed TBSB Acquisition”); and
(d)        entire equity interests in Forward Esteem Sdn Bhd (“FESB”) for a cash consideration of approximately RM45.73 million (“Proposed FESB Acquisition”),
and the settlement of respective outstanding inter-company balances owing by PMSB, QBSB, TBSB and FESB to Mayland and its subsidiaries as at the completion date of the proposed acquisitions;

(Collectively, the Proposed PMSB Acquisition, Proposed QBSB Acquisition, Proposed TBSB Acquisition and Proposed FESB Acquisition are collectively referred to as the “Proposed Acquisitions”.)

(ii)        proposed call option granted by Mayland in favour of the Company for the acquisition of the entire equity interests in Soho Prestige Sdn Bhd (“SPSB”) for a cash consideration of RM37.25 million (“Option”) (“Proposed SPSB Option”) and the settlement of outstanding inter-company balances owing by SPSB to the Mayland Group as at the completion date of the proposed acquisition upon exercise of the Option;

(iii)       proposed renounceable rights issue of up to 1,914,063,296 new ordinary shares of RM0.20 each in L&G (“L&G Shares”) (“Rights Shares”) at an issue price to be determined later on the basis of eight (8) Rights Shares for every five (5) existing L&G Shares held on an entitlement date to be determined and announced later (“Entitlement Date”) based on a minimum subscription level of 820,000,000 Rights Shares (“Proposed Rights Issue”); and

(iv)       proposed exemption to Mayland Parkview Sdn Bhd (“MPSB”), the major shareholder of the Company under Paragraph 4.08 of the Rules on Take-Overs, Mergers and Compulsory Acquisitions from the obligation to undertake a mandatory take-over offer for all the remaining L&G Shares and convertible securities in the Company not already owned by MPSB and person(s) acting in concert with MPSB (if any) upon completion of the Proposed Rights Issue (“Proposed Exemption”).

Hereinafter, the Proposed Acquisitions and Proposed SPSB Option are collectively referred to as the “Proposed Acquisitions and Option”; the Proposed Acquisitions and Option, Proposed Rights Issue and Proposed Exemption are collectively referred to as the “Proposals”.

LAND & GENERAL BERHAD ("L&G") ACQUISITION OF THE ENTIRE ISSUED AND PAID UP CAPITAL IN PEMBINAAN JAYA MEGAH SDN BHD ("PJMSB") BY VICTORY VISTA SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF L&G  AT PURCHASE CONSIDERATION OF RM90.0 MILLION ("ACQUISITION")
We refer to the announcements dated 10 June 2015 and 14 September 2016 in relation to the Acquisition and are pleased to announce that the Acquisition had been completed on 17 January 2017 with the receipt of land titles and fulfillment of all conditions precedent as set out in the Share Sale Agreement dated 10 June 2015 and Supplemental Share Sale Agreement dated 14 September 2016.

Upon completion of the adjudication of shares transfers, PJMSB shall be a wholly-owned subsidiary of Victory Vista Sdn Bhd, which is a wholly-owned subsidiary of L&G.

置地通用发附加股购资产

读者和尚陆问:

(1)置地通用(L&G,3174,主板产业组)最近的股价都跌至近一年来的最低价,业绩如何?可以买进吗?未来前景又是怎样呢?

答:(1)置地通用截至2016年9月30日为止第二季净利下跌至1027万7000令吉(每股净利为0.93仙)。第二季营业额为1571万3000令吉。

首6个月,净利为2055万7000令吉(每股净利为1.87仙)。

首6个月营业额为2760万9000令吉。

最新业绩较逊色

该公司最新第二季及首6个月业绩表现较差,主要是旗下产业发展业务因产业市场走软而取得较低营收、教育领域业务则略有改善、以及其他业务领域则因取得较高特别股息而获较好表现。

近年来没有证券行给予该股剖析与推荐。这里给予一个例子供参考,即截至2017年1月11日,置地通用的收市价为30仙,若将其2016年9月30日为止首6个月的每股净利1.87仙年度化,即等于每股净利预测为3.74仙,若以此假设为准,预测本益比则为8.02倍。同期间的每股资产值为62.53仙,也可作为参考因素。

至于未来业务前景,该公司在宣布上述最新业绩时表示,大马经济前景不明朗及走软,使现有财政年未来两季的产业市场成长料保持平平。

惟该公司表示,将继续为其现有Astoria产业计划及未售出存货加强促销活动,同时开拓创新概念,以改善未来推介产业计划的竞争力。

收购5产业公司

另一方面,置地通用较新的一项企业动作,料可影响其业务发展,值得注意与追踪其进一步发展。该公司在2016年11月15日宣布,以3亿3556万3000令吉现金,向大股东大马置地产业有限公司收购4家产业发展公司的全部股权、透过回购选择权计划收购另一家产业发展公司,同时以5配8比例发售附加股筹资充当收购资产用途。

该公司附加股计划,发售最高19亿1406万3296股新股(每股料21仙),最高料可筹得4亿零195万令吉资金,大部份资金充当收购上述产业公司。

上述收购的5家产业发展公司,总共持有446.32英亩的产业发展地,涉及发展总值为42亿零74万令吉。

附加股计划料冲淡每股盈利

该公司的附加股计划料冲淡每股盈利,这也可能是股价走低其中一项因素。不过,在收购5家产业发展公司后,将可影响其未来业务表现,是好是坏有待进一步观察。

置地通用特大通过大股东注资

(吉隆坡15日讯)爭议不休的置地通用(L&G,3174,主板產业股)5配8附加股,以及大股东Mayland注资的议程,今日以71%的大多数票通过。

该公司今日举行股东特大,股东们在会上的诸多提问,致使该股东大会歷时3句钟之久。

置地通用董事经理刘毅德隨后接受记者访问时表示,股东们对于公司的账目和收购意图有疑问,因此管理层也理应花上更多时间向股东解释,而该议程也获71%的股东票数通过。

刘毅德说,该公司早几年因为旗下发展项目不能稳定地贡献营业额,导致业绩起伏不定。

「因此,我们现在急需收购一些发展中的项目,以確保公司未来有源源不绝的收入。这也是我们这次所建议的收购议案最主要的目的。」置地通用將向大股东Malaysia Land產业私人有限公司(Mayland)收购旗下5家子公司,总收购价约3亿3556万令吉。

该公司將通过內部资金和发售附加股,融资这项收购。

尔后,置地通用將以5配8比例,发售19亿1406万股附加股,每股发售价为21仙。

地皮发展总值42亿

置地通用欲收购的公司为Primal Milestone公司、Quantum Bonus公司、Triumph Bliss公司和Forward Esteem公司,这些都是Mayland公司的子公司。

另外,置地通用也將优先拥有后者Soho Prestige公司股权的优先认购权。

该公司估计,此收购案囊括的土地未来发展总值(GDV)逾42亿令吉,而发展成本则逾22亿令吉,这代表公司可从中获取逾19亿令吉的发展盈利,这笔生意可说有利可图。

目前,Primal Milestone公司和Quantum Bonus两家公司正以联营方式,与碧桂园公司共同发展士毛月钻石城(Diamond City)项目。

刘毅德预计钻石城的发展项目將在4年內完成,而其他新收购子公司旗下的土地,料將在6年內陆续开发。

保留资金发展土地

根据公司財报,截至去年12月31日,置地通用手握现金高达3亿1089万令吉,该公司在现金充裕的情况下,执意发售附加股集资,让股东们摸不著头脑。

对此,刘毅德解释,置地通用的现金已略减,主要是为了还清早前购买一片土地的尾款。

「如果公司以內部融资购买这些资產,手上现金將荡然无存,因此管理层才决定保留这笔资金作为发展土地的营运资本。」

该公司现阶段正积极开发安邦的Astoria项目,並预计將在今年第3季展开Foresta第2阶段和Sena Parc发展项目。这3个项目的发展总值分別是8亿4000万令吉、4亿8000万令吉和6亿令吉。

刘毅德並未透露公司的未入账销售,仅表示公司的未入账销售不多,相信这次的收购能够带领公司重回轨道。

针对该公司股价低于每股净资產,刘毅德认为,產业公司的收入不稳定,公司的股价有时难免会被低估。

根据该公司2017財政年第3季(截至去年12月31日止)业绩报告,置地通用的每股净资產为63.92仙,而该股今日则以33仙掛收,全天下跌4.35%或1.5仙。【东方网财经】
