Description
Joint Venture Between PT Tresure Development Services (“PT TDS”) and PT Ekasurya Mandiri (“PT EM”) for the Settig Up a Concrete Batching Plant (“Joint Venture”)
1.    INTRODUCTION
The Board of Directors of Landmarks Berhad (“Landmarks” or “Company”) wishes to announce that its indirect wholly-owned subsidiary, PT TDS had on 3 July 2014 entered into a Joint Venture Agreement with PT EM to undertake the business of producing and supplying ready mix and dry mix concrete and mortar for use in construction works via a joint venture entity to be incorporated in the Republic of Indonesia.

2.    DETAILS OF THE JOINT VENTURE

A limited liability company to be named PT Pesona Lagoi Mandiri (“PT PLM”) or such other name as may be agreed by PT TDS and PT EM, and approved by the authorities, will be incorporated to undertake the business of producing and supplying ready mix and dry mix concrete and mortar (“Concrete”) for use in construction works.  A batching plant will be set up by PT PLM on Bintan Island to supply Concrete for the development of Treasure Bay Bintan, a resort destination being developed by the Landmarks Group or to such other places in the Republic of Indonesia as may be efficacious.   


The authorised capital of PT PLM shall be IDR40 billion (equivalent to approximately RM10.75 million), comprising 40 million shares of IDR1,000 (equivalent to approximately RM0.27) each.  The intended paid-up capital of PT PLM is IDR10,003,000,000 (equivalent to approximately RM2.69 million) comprising 10,003,000 shares of IDR1,000 each.


PT TDS will subscribe for 5,101,530 shares amounting to IDR5,101,530,000 (equivalent to approximately RM1.37 million), representing 51% of the paid-up capital of PT PLM.   PT TDS will assign and transfer batching plant equipment acquired by it at cost amounting to IDR4,544,619,000 (equivalent to approximately RM1.22 million) to PT PLM as part consideration for its subscription to the shares in PT PLM with the balance in cash.  PT EM will subscribe for 4,901,470 shares amounting to IDR4,901,470,000 (equivalent to approximately RM1.32 million), representing 49% of the of the paid-up capital of PT PLM in cash.


3.    INFORMATION ON PT EM

PT EM is a limited liability company registered in the Republic of Indonesia on 24 January 1994 and has an authorised capital of IDR4 billion (equivalent to approximately RM1.07 million) comprising 40,000 shares of IDR100,000 (equivalent to approximately RM26.87) each.  The paid-up capital of PT EM is IDR2 billion (equivalent to approximately RM0.54 million) comprising 20,000 shares of IDR100,000 each.


PT EM is owned and managed by the following Indonesian individuals:

PT EM is a building and engineering contractor and has experience and expertise in setting up and operating concrete batching plants in the Republic of Indonesia, particularly in Bintan island.
  
4.    RATIONALE FOR THE JOINT VENTURE

The Landmarks Group is developing a resort destination in Treasure Bay Bintan, Republic of Indonesia.  The construction of the resort destination will require large amounts of Concrete and the Joint Venture will ensure that the Group will have adequate, timely and cost effective access to the construction material, tapping on the experience and expertise of a proven supplier.


5.    FINANCIAL EFFECTS OF THE JOINT VENTURE

5.1     Earnings, Net Assets and Gearing

The Joint Venture is not expected to have any material effect on the earnings, net assets and gearing of Landmarks for the financial year ending 31 December 2014.

5.2     Share Capital and Shareholdings of Substantial Shareholders

The Joint Venture will not have any effect on the share capital or the shareholding of the substantial shareholders of Landmarks.

6.    DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the directors, major shareholders or persons connected with them have any interest, direct or indirect, in the Joint Venture.

印尼胜地发展启动 龙马料获20亿发展值

(吉隆坡4日讯)龙马有限公司(LANDMRK,1643,酒店组)现已准备重新吸引目光,出台位于印尼民丹岛的第1期综合胜地发展,称为民丹休闲湾(Treasure Bay Bintan),总发展值达到6亿5000万美元(20亿8000万令吉)。

龙马继2008年斥资7亿6912万令吉收购印尼民丹岛一幅面积338公顷渡假胜地发展地段后即沉寂一时。

龙马首席营运员方志君(译音)透露,第1期发展的初期设备称为Chili Cove,包含一个6500万令吉水上乐园和拥有40间小屋的酒店。这2项设备将在今年最后一季开幕经营。

在2016年前,龙马将全面发展拨作第1期的90公顷地段,包括一间将由著名美国水疗营运商Canyon Ranch经营的疗养胜地、娱乐区、酒吧、餐馆、水上运动设备、零售区、及至少8间酒店。

民丹休闲湾发展将耗时数年时间成形。

询及原因时,方氏透露:“我们不愿成为另一个只建造硬体的发展商。我们实际利用许多时间研究市场。”

民丹休闲湾首席营运员梁保罗(译音)也同意这点。

他说:“我们消耗一些时间分析,然后作出正确决定,以确保民丹岛计划提供适当的新产品、特征、游戏、饮食及零售。”

排除推出另一项产业发展和促进其产业销售,龙马已选择区别本身,与国际品牌联营提供健康与疗养主题胜地,以吸引游客到访。

不过,梁氏称,该集团现将专注于其民丹休闲湾,投资者可预期‘酒店经营商’和‘联营伙伴’的未来宣布。

在促进这项发展方面,梁氏表示,随着集团资产负债表已经谨慎管理,处于净现金地位的龙马并没有筹集额外资金的需要。截至2013年12月31日止该集团的现金企于1亿1540万令吉,而借贷则为8850万令吉。

方氏指出,龙马已经获得国际酒店品牌的酒店管理合约,如Budget和Mercure等,同时现也与数间5星级国际酒店品牌进入管理合约的最后洽商。

他说,民丹休闲湾第1期发展的完成,将让目前酒店房间将从1375间,增至1500间,协助降低酒店房间供应的短缺。

这将有利于对民丹休闲湾的贡献,因它现享有房租率从每晚最低160新元(410令吉)至1000新元,以及高达65%的健康平均出租率。【光华日报财经】

Proposed Disposal of Resorts Equities Sdn Bhd
The Board of Directors of Landmarks Berhad (“Landmarks” or “Company”) wishes to announce that its wholly-owned subsidiary, Landmarks Hotels & Realty Sdn Bhd (“LHR”) has on 25 February 2015 accepted an offer from Peremba Panorama Sdn Bhd (“PPSB”) to acquire two (2) ordinary shares of RM1.00 each in Resorts Equities Sdn Bhd (“RESB”) held by LHR.


RESB is a wholly-owned investment holding subsidiary of LHR, owning sixteen (16) Saujana Resorts (M) Berhad Class B Shares (“Saujana Shares”). PPSB will acquire RESB for cash consideration of RM5,000 payable to LHR on completion which will take place after the Saujana Shares have been transferred to a related company of LHR. PPSB shall, on completion, reimburse LHR for the transfer fees amounting to RM160,000 and stamp duties incurred arising from the aforesaid transfer of the Saujana Shares to its related company. RESB will have no assets and liabilities at the completion of the disposal to PPSB. Completion of the disposal of RESB is expected to take place 30 days from the acceptance of the offer by LHR.


None of the directors, major shareholders or persons connected with them have any interest, direct or indirect, in the proposed disposal of RESB.

度假村业务失利 龙马首季亏154万

(吉隆坡23日讯)度假村发展业务蒙受390万令吉的营运亏损,拖累龙马(LANDMRK,1643,主板酒店股)截至3月31日首季净亏154万2000令吉,业绩按年由盈转亏。

公司首季净亏154万2000令吉或每股亏损0.32仙,上财年同期净赚159万9000令吉,或每股盈利0.33仙。

根据文告,度假村和目的地发展业务蒙受亏损,主要因为Treasure Bay Bintan第一发展阶段Crystal Lagoon,以及基建工程面对较高的净亏。

不过,营业额却从1761万9000令吉,按年上扬9.56%,至1930万4000令吉。【南洋网财经】

龍馬民丹島打造度假村‧恐面對供過於求風險

(吉隆坡9日訊)龍馬(LANDMRK,1643,主板旅店組)計劃在印尼民丹島建造佔地338公頃的度假村,這可能加劇當地酒店供過於求的困境。

這個被新加坡人視為週末度假勝地的印尼離島,正面對遊客和酒店房價下跌的問題。

購地費7.3億
首階段發展開銷1.5億

龍馬首席營運員方志君(譯音)受訪時說,該公司斥資大約2億5千萬新元(約7億3千萬令吉)收購民丹島的土地,並再撥出5千萬新元(約1億5千萬令吉)作為第一階段的發展開銷。

他補充,民丹島項目未來可能貢獻高達80%的集團營業額。

目前,龍馬在浮羅交怡擁有一座度假村,也握有東方快車的少數股權。

他說:“我們預期這項投資的回酬可達10%左右。我們看中新加坡非常龐大的研討會和會議市場,我們想將市場擴展到民丹島。為了吸引遊客,我們必須擁有5千至7千間房間。”

民丹島的遊客正在減少,龍馬和新加坡上市公司GallantV e n t u r e等正積極擴展當地業務。

Gallant Venture在當地擁有1千300公頃的房產項目。研究機構HVS的數據顯示,民丹島的新加坡遊客從2012年的9萬8千274人降至2014年的8萬4千零75人。

龍馬的民丹島項目將分為3期發展,這個項目將面對其他高檔酒店的競爭。

HVS估計,未來兩年內,民丹島的酒店房間總數將穩定增長,其中,高檔酒店會增加1千300間新房間,估計明年的入住率將減少4%。

方志君表示,龍馬並不僅僅專注於高檔遊客,他們也會爭取預算較低的客戶。

“我們的投資著眼於未來,我們知道市場波動不小,我們會長時間耕耘。”

他補充,民丹島機場將在2017年竣工,該公司的項目顯得非常合時。這座機場將銜接民丹島與東南亞其他旅遊勝地,協助將民丹島打造為更受遊客喜愛的旅遊地點。

他表示,龍馬也正積極爭取亞洲的保健旅遊商機,並看好印尼將成為其中一個增長快速的保健和水療度假村市場。

他指出,除了開始營運的Canopi酒店,Ibis和Mercure酒店將陸續在2017年之前開張。第一期發展項目共有13家酒店,包括2018年初啟用的CanyonRanch。龍馬將在今年底開始銷售CanyonRanch的別墅,售價介於350萬至650萬新元。(星洲日報/財經)
