Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“LR”), the Board of Directors of VCB (“Board”) wishes to announce that its wholly owned subsidiary, ViTrox International Sdn Bhd (“VISB”) had on February 22, 2019 acquired the entire share capital of a foreign business entity in Germany namely, ViTrox Technologies GmbH (“ViTrox Germany”) from Expandeers Global Network GmbH at EUR25,000 (or RM121,125 equivalent computed at EUR1.00:RM4.845). In consequent thereof, ViTrox Germany has become a wholly-owned subsidiary of VCB held through VISB [the “Investment”]. Please refer the attachment for the full announcement.

Please be informed that the Board of Directors of ViTrox has on even date, proposed the Final Dividend of 4.0 sen per share exempt from Income Tax for the year ended 31 December 2018 to be approved by the shareholders at the forthcoming 15th Annual General Meeting of the Company. However, the entitlement date and date of payment of the dividends have yet to be finalized at the moment. A further announcement will be made at a later date upon finalization of the entitlement date and date of payment of the above. This announcement is dated 28 March 2019.

On behalf of the board of directors of ViTrox, Affin Hwang Investment Bank Berhad wishes to announce that the Company proposes to undertake the following: (i) bonus issue of up to 472,431,300 new ordinary shares in ViTrox (“ViTrox Share(s)”) (“Bonus Share(s)”) on the basis of 1 Bonus Share for every 1 existing ViTrox Share held by the shareholders whose names appear in the Record of Depositors as at the close of business on an entitlement date to be determined and announced later (“Proposed Bonus Issue”); and (ii) establishment of an employees’ share grant scheme of up to 5% of the total number of issued shares of the Company (excluding treasury shares, if any) at any point of time during the duration of the scheme for the eligible executive directors and employees of ViTrox and its subsidiary companies (excluding subsidiary companies which are dormant, if any) (“Proposed SGS” or “Scheme”).
