The Company wishes to announce that Simat, an associate company operating in Thailand which Grand-Flo currently holds 69,908,522 common shares of Baht 1.00 each representing 23.14% interest had entered into an Internet Joint Service Agreement with SBN, a subsidiary of AIS, effective from 18 March 2014 to jointly provide the high speed internet service in Nakornratchasima, Chiangmai and other provinces to be jointly agreed in the future. Simat is principally involved in the supply and installation of Enterprise Data Collection and Collation System (“EDCCS”) solutions and trading of computer related equipment. AIS is the No.1 mobile operators in Thailand, both in terms of subscribers base and revenue market shares. It also has the largest network coverage with over 15,000 cell sites in Thailand nationwide. This is a mutually beneficial agreement to both Simat and SBN. On one end, it enables Simat to leverage on SBN’s wide clientele network and its well-established and trusted brand in telecommunication in Thailand. On the other end, it enables SBN to provide immediate high speed broadband internet service to the abovementioned two provinces via the fiber optic network owned and already installed by Simat. The Company is pleased to announce that the Board of Directors of GRAND-FLO (“the Board”) has recommended a final tax exempt dividend of 1 (one) sen per share for the financial year ended 31 December 2013. The proposed final dividend is subject to the approval of shareholders of the Company at the forthcoming Annual General Meeting. The entitlement and payment dates shall be finalised by the Company at a later date and announced in due course. The dividend proposed is about 25% of the Group's net profits for the financial year ended 31 December 2013 which is in line with the dividend policy adopted by the Company which aims to distribute to its shareholders a minimum of 20% of the Group’s net profits for each financial year. （吉隆坡25日訊）宏流（GRANFLO,0056,創業板科技組）將透過發售新股和現金方式，以1千500萬令吉收購產業發展公司Innoceria的50.0004%股權，並計劃將核心業務多元化至產業發展項目。

該公司發文告指出，將透過發售2千941萬1千765股，每股發售價34仙的新股，相等於1千萬令吉，以及500萬令吉現金收購Innoceria的50.0004%股權，同時賣方也將確保集團在未來2年可從Innoceria取得不少過1千500萬令吉的淨利保證。

Innoceria主要涉足產業發展，現持有發展總值達2億2千萬令吉的Vortex商業院工程的發展權，整個工期為3年，將在2017年竣工。

宏流表示，在完成收購計劃後，Innoceria將成為集團50.0004%子公司，預計可帶來最低750萬令吉淨利，已超越集團總淨利的25%，因此董事部將在特別股東大會上尋求股東批准業務多元化議程。（星洲日報／財經）

宏流进军產业　2收购贡献二成净利

（吉隆坡24日讯）正式进军產业领域的宏流方案（GRANFLO，0056，主板科技股）预计，在完成2项產业公司股权收购计划后，將可以为公司2014財政年（12月31日结帐）带来高达20%的净利贡献。       

宏流方案集团主席陈木丰指出，大马未来的追踪解决方案（Tracking Solution）將面临很大的挑战，因此，他们决定把业务多元化至房產领域。

他表示，公司目前拥有2000万令吉的净现金，同时在明年4月份將有一批凭单到期，在完成转换后，可以得到一笔总值1600万令吉的现金。

「公司明年將拥有3600万现金，並计划把部份资金投入產业业务。」

他估计，今年公司的资本开销將达300万令吉，包括所有业务的营运资本，除此，他认为，在更多新项目正式推出市场后，公司的房產业务贡献明年將更加持稳。

他在宏流方案执行董事叶莉莉的陪同下，出席今日股东大会后的记者会时，如此指出。其他出席者包括宏流方案执行董事郑秉亮。

宏流方案2项新產业项目，分別为：第一、与Jalur Bina私人有限公司合作的第一项產业发展计划--「The Glades」位于檳城大山脚（Bukit Mertajam），共有76个住宅单位，包括2和3层半独立式房屋，及「无围墙半独立式房屋」（Zero Lot Bungalow），预计会在7月中推出市场。

该项目的总发展价值为6300万令吉，在初始阶段已收到33份买卖申请。陈木丰表示，这是个好兆头，相信在该项目正式推出后，可以取得成功。

第二、是和Innoceria私人有限公司合作，进行位于檳城峇都加湾附近的武吉淡汶（Bukit Tambun）的產业发展计划，即发展总值约2亿2000万令吉的Vortex商业园发展项目。

该项目包括60间4层楼半独立式办公楼和52间5层楼的轻工业工厂。

陈木丰指出，该项目耗时3年，料在2017年完成。这两个项目都是靠近檳城第二大桥，並毗邻南北大道，因此，宏流方案对此发展充满信心。

立足檳城放眼首都

他表示，目前他们的联营公司將会著重于檳城发展，未来將有兴趣投资在吉隆坡地段，但基於发展迅速和竞爭力庞大，他们在短期內不准备进入柔佛產业市场。

「公司目前的地库面积为28英亩，並正在积极寻找有潜力的地库。」

他补充，公司第二项產业发展，將会有合作伙伴进入成为公司的股东，然而他却表示，一切仍在初步计划，在来临8月份的股东特大才会正式宣布。

在询及近期泰国业务进展，叶莉莉指出，其持有23%的泰国子公司--Simat科技公司刚与超级宽频网络有限公司签署联营合约，以合作提供呵叻府（Nakhon Ratchasima）和清迈高速互联网服务，及未来扩展至其他地区。

她表示，这2个地区已开始销售，並获得1500名订户。另外，他们在华欣（Hua Hin）地区也拥有合作伙伴，当地公司供应资產，而他们则负责市场销售、支援和顾客服务工作。

她透露，宏流方案最新的互联网服务地区是在孔敬府（Khon Kaen），「每个省份假设可以获得1万3000至1万4000名订户，公司泰国宽频网络业务未来预计，可以达到20万名用户。」

她指出，该业务要至少2年时间才可以看到显著的贡献。

至於越南的条型码標（Barcode Label）业务，她希望，可在今年杪增持子公司High Rich贸易和服务公司的股权至70%，目前的持股率为40%。

另外，郑秉亮也指出，该公司的企业资料收集和整理（EDCCS）的合约订单，在2014財政年上半年都取得健康成长，但来到第三季將会稍微走弱，这归咎于即將来临的斋戒月。

「我们目前的合约订单为2000万令吉，並相信可以维持跟去年相同的表现。」

他预计，相比去年业务表现，今年EDCCS业务將会走缓，这是因为政府目前较著重于基础设施和石油领域的发展高於科技领域，因此这对科技业是很大的挑战。

即將在2015年推行的消费料可带动宏流方案的业务，郑秉亮表示，公司目前正处理和帮助现有客户提升和更新系统工作。

（吉隆坡12日讯）宏流方案（GRANFLO，0056，主板科技股）集团总裁陈木丰表示，该公司將平衡发展资讯科技业务及產业业务，並且预计这两项业务將各占明年营业额的50%。

虽然將业务多元化至產业发展，但是，陈木丰指出，该公司没有打算放慢其原有的核心业务--企业资料收集和整理（EDCCS）以及条型码標（BarcodeLabel）的发展步伐，同时该公司会同样的积极发展產业领域，为公司带来更大的市场以及盈利。

他出席该公司今天召开的股东特別大会后，向媒体如此表示。

陪同出席记者会的还包括该公司首席执行员郑秉亮以及执行董事叶莉莉。

该公司在今早的股东大会中提出两项议案：以1500万令吉收购一家產业公司--Innoceria私人有限公司的50.0004%股权、以及將现有的公司业务多样化至產业领域。

该两项建议获得股东通过。目前，该公司拥有两项產业发展项目，陈木丰表示，今年总发展额已达2亿8300万令吉，预计將在第三项工程公佈后將会增至5亿令吉。

被问及明年实行的消费税对该公司两大业务的影响，郑秉亮提到，该政策的实行对公司带来正面的影响。

「市场上的销售系统因为该政策的实行，而必须植入新软件系统，公司近期接获了不少来自商家的新软件购买订单。」

谈及对房產业的衝击，陈木丰称，虽然已察觉到產业领域购屋情绪已放缓，但消费税预计对该公司的房產业务衝击不大。

「明年我们將会推出第三个產业计划，因此我们必须要把该项因素考虑在內。在商討中的第三项房屋计划將针对中產阶级，因此售价將会在消费者的接受范围中。」【东方网财经】
