想知道GRANFLO 的ROE 是多少,可以从SUMMARY OF KEY FINANCIAL INFORMATION  得到的是吗?怎样算呢?是不是
Basic earnings/(loss) per share (sen)除以Net assets per share attributable to ordinary equity holders of the parent (RM0??

对,你没有算错。根据财务报告,2004是16% ,2005是19%,
2006是15%,2007是19% 。

28-02-2008: Grand-Flo’s FY07 net profit jumps 77% to RM6.4m

KUALA LUMPUR: Grand-Flo Solution Bhd’s net profit for the year ended Dec 31, 2007 (FY07), jumped 76.7% to RM6.39 million from RM3.61 million, underpinned by a stronger customer base and new market segments.

Its revenue rose 38.9% to RM64.91 million compared with RM46.74 million a year earlier. Earnings per share was 5.15 sen versus 3.41 sen. The company has proposed a final tax-exempt dividend of two sen per share.

Grand-Flo facilitates asset tracking and sales force automation, besides enabling automated collation of real-time data to assist enterprises in improving business efficiency.

Commenting on the FY07 results, managing director Derrick Tan said: “We have managed three straight years of record financial performance, with group revenue and net profit growing 69.6% and 54.7% respectively, on a compounded annual growth basis from 2004 to 2007.

“We are pleased with this high growth, and believe that with our recent acquisitions, we are poised to continue this trend in the years to come.”

For the fourth quarter, the Mesdaq-listed company registered a 76.7% in its net profit to RM2.2 million from RM1.24 million. Revenue increased 22.6% to RM18.64 million against RM15.2 million a year earlier.

Going forward, Tan said: “Our imminent focus is on expanding the group’s operations into emerging Southeast Asian countries.

“Currently, we are in advanced talks to establish a direct presence in Vietnam to market our comprehensive range of tracking solutions to the booming economy,” he said.

积极收购公司兼拓展市场 宏流方案前途无限
二零零八年三月十六日 晚上六时三分

(吉隆坡16日讯)宏流方案有限公司(GRANFLO,0056,自动报价市场)通过合并收购扩充务业的策略取得成果。根据最近公布的2007年未稽查业绩,该家自动报价市场挂牌公司净利剧增77%,大部分盈利来自大约3年前挂牌市上市后所收购的公司。

自2005年4月以来,宏流方案已完成4宗主要收购;最新的是1月31日收购标签制造厂商标签网络私人有限公司(Labels Network Sdn Bhd)。

宏流方案计划在本区域扩充业务,特别是在越南、印尼以及中国。这意味着将有更多收购合并。该家资讯通讯公司选择创业悠久的伙伴进军海外。

董事经理兼集团总裁陈木丰说,由于在销售与盈利方面大多数公司属轻量级,投资者似乎忽略自动报价市场公司。宏流方案在2004年11月挂牌上市时,该年盈利只是170万令吉以及营业额大约1300万令吉。即使增加一倍,仍然是小额。因此,更快速增长的唯一途径是收购公司。

他说,该公司的合并收购对象必须带来相辅相成效益,以便双造扩充业务。宏流方案在去年录得营业额将近6500万令吉以及净利640万令吉。在过去3年的每股盈利复合常年增长率超过40%。

该公司经营的企业数据收集与核对系统(EDCSS)为客户提供综合方案,包括管理销售队伍与资产的自动操作软件。这主要涉及扫描密码收集数据,但是该公司也计划开拓无线电频率识别系统市场。

陈氏说,在该行业,宏流方案是东南亚唯一的供应商。该公司销售软件与设备,甚至是打印密码标签。除了马来西亚外,该公司也在新加坡以及泰国营业,分销网络伸延至印尼。

购Simat科技进军泰国市场

该公司进军泰国,是通过收购49%Simat科技公司股权;后者于去年12月12日在泰国证券交易所的创业板市场挂牌上市,使到宏流方案的首次公开售股计划获盈余100万令吉。

陈氏说,宏流方案收购Simat科技时,后者的营业额是700万令吉以及盈利大约75万令吉。在过去3年来获得宏流方案的科技与专长所支撑,去年营业额增至3500万令吉以及盈利超过300万令吉。

决定将Simat科技上市,是由于泰国的条例限制宏流方案持股顶限49%。若是该公司须筹集资金扩充业务时,该限制将是其他子公司以及个人股东的考验。

他补充说,宏流方案可以在马来西亚筹集资金导入Simat科技,但是它的伙伴将面对难题。

Simat科技目前是联号而不是子公司,宏流方案仍然是最大股东持股37%以及积极参与管理层。陈氏说,首次公开售股筹集资金后,该公司计划在泰国积极扩充业务以及考虑通过Simat科技进行收购。

在收购合并计划下的一个相辅相成例子,是宏流方案与Simat科技联营企业子公司标签网络(Labels Network)在泰国制造密码标签以及洁净室精密标签的工厂,预定今年第2季开始投入生产。

筹备登陆越南印尼市场

宏流方案希望在越南取得有如在泰国的成果。该公司已鉴定越南伙伴以及将近完成洽商。陈氏说,越南是一个新兴市场,成本较低以及伙伴仍然是小型公司;目前适时进军该国。

但是在印尼则不同。宏流方案仍未寻获适合伙伴,以及可能须独自的由起点开始艰辛创业。

至于该公司的合并收购准则,陈氏说,宏流方案寻找根基强稳的伙伴,提供科技专长以及分销网络,从而加速业务增长。公司管理层素质也是重要因素。

宏流方案的其他合并收购计划已扩大客户群以及产品系列。在2006年11月收购Spritvest私人有限公司以及研发支臂后,制造业客户扩大至其他行业例如畅销消费品、货运、零售、保健、以及官联公司。

The Board of Directors of Grand-Flo is please to announce that the incorporation of Kopacklabels (M) Sdn. Bhd. ("Kopacklabels") with Labels Network Sdn. Bhd. ("LNSB"), a wholly-owned subsidiary of Grand-Flo, holding an equity interest of 50% therein. Presently, the authorised capital of Kopacklabels is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each and issued and paid-up capital is RM2.00 comprising of 2 ordinary shares of RM1.00 each. Kopacklabels is presently dormant and its principal activities are intended to carry on the business of manufacturing for printing of adhesive labels and stickers.

On incorporation, the shareholders and their respective shareholdings of Kopacklabels are LNSB (50%) and Mr. Tan Bak Hong (50%).

On 26 March 2008, LNSB acquired the remaining equity of 50% in Kopacklabels from Mr. Tan Bak Hong ("the Acquisition").

With the Acquisition, Kopacklabels has become a wholly-owned subsidiary of LNSB.

This announcement is dated 26 March 2008.

这个算不算TAN BAK HONG 在A钱? 他是Granflo的大股东。而Granflo 刚在1月收购LNSB。

一直想要问这个问题,可是忘记很久了。

Lim Wee Chai 是Topglove 的大老板吗?
Granflo的第五大股东,居然是他。拥有4.82%。或6M的票。
2006年的财务报告没有他。他是在2007年买的。看来我买的价钱,还要比他低。


不过这个人也许是不好运,加进来后,公司的股价和Topglove 一样,越卖越低。

Granflo的股东List里,只有Moi Minghuei 不断卖出。
其他的股东依然一样。

Grand-Flo aims to seal M&A deal by H1 2009

PETALING JAYA: Mesdaq-listed Grand-Flo Solution Bhd hopes to seal a merger and acquisition (M&A) deal in Hong Kong or China latest by the first half of next year, according to managing director and group president Derrick Tan.

“We are currently in negotiations with a few parties.

“Besides distributing our existing solutions, we aim to bring the barcode label and radio frequency identification (RFID) manufacturing business, which is a new downstream business for us, to China,” he told StarBiz, adding that the group would set up a manufacturing plant in China to tap the huge market.

Grand-Flo, which provides enterprise data collection and collation system solutions, has completed four major acquisitions since 2005.

The latest was the purchase of a 55% stake in label manufacturer Labels Network Sdn Bhd completed in January, which gave Grand-Flo a new revenue stream as well as a business that is synergistic to its core business.

This resulted in Grand-Flo's Thai associate, Simat Technologies plc, setting up a 60:40 joint-venture company with Labels Network in Bangkok to produce barcode labels and RFID. The factory is expected to begin production by month-end.

Tan sees barcode label and RFID manufacturing as a business with vast potential and one that would contribute “quite substantially” to the group's future earnings.

“The new business should contribute to earnings this year,” he said, adding that revenue contributed by the division should be at least 20% of the group's total revenue in Dec 31, 2007 (FY07).

Grand-Flo's net profit surged 76.7% to RM6.4mil for FY07 compared with FY06 while revenue rose 38.9% to RM64.9mil.

Tan said the company was “very close” to signing another M&A deal in Vietnam to develop the group's barcode label and RFID manufacturing business in that country.

“We plan to set up a manufacturing plant in Vietnam once the M&A is completed,” he said, adding that the Vietnamese market was four to five times larger than Malaysia's.

Currently, Grand-Flo has offices in Thailand and Singapore as well as resellers in Indonesia, Vietnam and the Philippines.

Barring any unforeseen circumstances, Tan is confident Grand-Flo would be able to transfer to the Bursa Malaysia main board next year.

“It should not be an issue once the main and second boards are merged and the qualifying criteria for the unified board will be the current second board criteria,” he added.

1. INTRODUCTION
The Board of Directors of Grand-Flo (“Board”) is pleased to announce that Grand-Flo’s associate company, Simat, has on 9 April 2008 entered into a Share Sale and Purchase Agreement to acquire 40% each of the charter capital of Sino and High Rich for a total purchase consideration of RM2,400,000.00, payable in cash, in three (3) tranches.

2. PRINCIPAL ACTIVITIES
Established under the laws of Vietnam in 1995, Sino is in the business of providing tracking solutions and High Rich specializes in the manufacturing of labels, both are market leaders in their respective industries.

Headquartered in Ho Chi Minh city, Sino has market presence in three key indo-china markets namely Vietnam, Laos and Cambodia.

3. RATIONALE FOR THE PROPOSED ACQUISITION
The Proposed Acquisition presents an opportunity for Grand-Flo to expand regionally into Vietnam and synergise with Grand-Flo’s operations. The Board believes that with the current market positioning of Sino and High Rich, coupled with the strong technical support from Grand-Flo, the acquiree companies are poised to grow at a more rapid pace. The Proposed Acquisition is expected to strengthen the presence of Grand-Flo in the regional market for its solutions, products and services and bring the Company closer to becoming a truly regional company. The Proposed Acquisition is expected to contribute positively to the profit after tax of Grand-Flo.

4. DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTERESTS
None of the Directors and/or substantial shareholders of Grand-Flo and persons connected to them, insofar as the existing Directors and substantial shareholders are able to ascertain and are aware, have any interest, direct or indirect, in the Proposed Acquisition.

5. ESTIMATED TIME FRAME FOR COMPLETION
Barring any unforeseen circumstances, the Board expects the Proposed Acquisition to be completed by last quarter of 2008.

Grand-Flo will buy a 40 per cent stake each in tracking solutions provider Sino and labels manufacturer High Rich Trading & Service for RM2.4 million

INTEGRATED tracking solutions provider Grand-Flo Solution Bhd has set up a presence in Vietnam with its Thai-listed associate Simat Technologies Public Co Ltd after signing an agreement today to acquire a stake in two Vietnamese companies.

Under the agreement, Grand-Flo will acquire a 40 per cent stake each in tracking solutions provider Sino Company Ltd and labels manufacturer High Rich Trading & Service Company Ltd for RM2.4 million.

The acquisition marked the group’s fourth direct presence in Southeast Asia after Malaysia, Thailand and Singapore.

“We are pleased to mark our foray into this emerging economy as there is a growing demand for tracking solutions in Vietnam,” Grand-Flo’s group president and managing director Derrick Tan said in a statement.

Tan said among the factors boosting demand for tracking solutions is the increasing inflow of foreign direct investment into Vietnam and more multinational companies setting up their facilities there.

“Noteworthy, Vietnam is becoming increasingly popular as an alternative manufacturing hub to China. This is evident from the increasing number of customer requests through our local clientele to provide tracking solutions in Vietnam,” he said.

According to Tan, the acquisition enabled the group to not only leverage on the acquired companies’ knowledge of Vietnam’s tracking solutions industry but also tap into their distribution channel, ensuring an instantaneous entry into the Vietnamese market at low entry cost.

“With this acquisition, we are a step closer towards becoming a truly regional player,” he said.

Based in Ho Chi Minh City, Sino is in the business of providing tracking solutions while High Rich specialises in barcode labels manufacturing. Both have over 12 years of experience in the industry and are considered pioneer players in their respective market segments.

Under the agreement, Sino and High Rich will provide a combined profit guarantee of about RM2.2 million over a two-year period. With a total valuation of about RM6.0 million for both companies, this worked out to an earnings multiple of 5.5 times, Grand-Flo said.

The acquisition will be financed by Simat’s internally generated fund, which will be paid in three tranches within two years, the group said.

Tan said the company planned to introduce some of its existing solutions, such as the sales force automation system, into Sino’s product line.

“The group will also bring in higher-end barcode labels printing solutions currently produced in Malaysia and Thailand to High Rich,” he said. — Bernama

林博士也是大股东。同样有收购消息,可是同人不同命,这是真的消息,市场没有反应。手套是假消息,却起得棒棒声。

看来越南是另外一个Granflo的地盘了。而且用了孩子来买孙子,是对我们有利的做法。
那些都是泰铢来的。
