The sub-contract involves the manufacture and delivery of coated steel pipe piles. The risks are the normal operational risks associated with the manufacturing, coating and delivery of steel pipe which is one of the core business of WSC Group. The sub-contract is expected to be completed by the third quarter of 2016. The sub-contract is expected to contribute positively to the earnings of WSC Group over the sub-contract period. The sub-contract is project specific and is not renewable. None of the Directors, major shareholders of WSC and/or persons connected to them have any interest, direct or indirect, in the contract. About the Pengerang Deepwater Petroleum Terminal Project: The main contract of the Pengerang Deepwater Petroleum Terminal Project involves the procurement and construction contract for marine facilities (Jetty 2) and associated dredging for Pengerang Deepwater Petroleum Terminal located in the district of Kota Tinggi, Johor, Malaysia with marine facilities and jetty. （吉隆坡20日讯）市场分析员普遍正面看待华商控股（WASEONG，5142，主板工业产品股）取得边佳兰深海石油终站的分包合约能捎来盈利贡献，但仍有分析员对于原油领域趋软的市况存有隐忧。

华商控股子公司PPI Industries和Petro-Pipe沙巴，获得Penta-Ocean建筑公司，颁发总值1亿8896万令吉令吉的分包合约，以为边佳兰深海石油终站，供应和涂层钢管桩，预料在明年第三季完工。

肯纳格投行分析员对于该公司取得合约不感意外，因如市场所预料，并认为在充满挑战的市况下仍能赢得合约，足以反映出实力。

“我们假设油管涂层和制造业务，贡献现财年约6亿令吉的营业额，相信可以达标。”

大众投行研究分析员认为，该公司截至5月，共赢得约4亿令吉的翻补订单，足以支撑盈利表现。

该分析员透露，关丹和挪威的Polarled项目，即将迈入尾声，料将贡献显著的盈利，推动现财年年的业绩，而手握总订单企于12亿令吉。

不过，丰隆投行研究分析员点出利空因素，该公司竞标50亿令吉的合约，其中80%为油气项目。

宏观油价走低，加上勘探和生产业者削减开销，因此谨慎看待翻补订单率。

“受到市况影响，该公司欲将非油气资产分拆来释放价值的计划，恐在短期内无法落实。再者，种植业务仍处于孕育期，需数年才能达到收支平衡。”

放眼挪威4亿合约

由于华商控股放眼和Statoil夺得挪威第二项总值1亿美元（约4.1亿令吉）的Polarled合约，肯纳格投行分析员或会上修评级。

无论如何，基于大部分原油业者紧缩开销，恐在近期内未能实现，因此分析员未有纳入财测，并在等待次季业绩出炉的期间，维持财测不变。

展望未来，肯纳格投行分析员指，油管涂层服务将是该公司主要营收推动力；至于大众投行研究分析员则认为公司的业绩表现将由油气和再生能源支撑，因考量到涡轮和工业锅炉的需求增长。

设厂成本1.28亿 华商联营印度业务

（吉隆坡26日讯）华商控股（WASEONG，5142，主板工业产品股）子公司Wasco能源与Welspun企业成立联营公司，在印度发展混凝土配重涂层业务。

根据文告，联营是为了结合双方在混凝土配重涂层业务的能力和专业知识。

其中，Wasco能源将持有联营公司的49%股权，而其余的51%则由Welspun企业所持。

Welspun企业是全球最大的钢管制造商之一，在印度、美国和沙地阿拉伯均有设厂。

肯纳格研究分析员相信，联营计划能让华商控股进一步拓展在印度的立足点，而Welspun企业也能借助于前者在混凝土配重涂层的经验。

联营公司计划在印度古吉拉特邦设厂，成本预计1亿2750万令吉。

分析员估计，华商控股今明年的资本开销，料增加6250万令吉，负债率也料扬至0.8倍。

华商次季净利挫72%

（吉隆坡29日讯）旗下业务表现差强人意，拖累华商控股（WASEONG，5142，主板工业产品股）截至6月30日次季净利急退71.6%，写1136万8000令吉；惟仍派息2仙。

同期营业额挫29.3%，报4亿6101万6000令吉。

累计上半年，净利跌37.7%，录得3778万6000令吉；营业额亦萎缩13.3%，报9亿8386万令吉。

根据文告，华商控股旗下油气和再生能源业务的营业额和净利均走跌。

而工业贸易与服务及种植业务，则双双写下税前亏损。

目前，公司的订单企于11亿令吉，其中5.亿是来自油气领域、3.129亿令吉源自再生能源。

另有2.39亿令吉由工业贸易与服务业务贡献。

虽然充满挑战，但华商控股仍持续累积订单，并不断提升效率，增强韧性，以更好地应对全球经济环境挑战。【南洋网财经】

前景兩極化‧華商機構財測下調

（吉隆坡2日訊）華商機構（WASEONG，5142，主板工業產品組）上半年業績落後預期，分析員紛下砍今明兩年財測21至37%之間，並對該公司前景呈兩極化看法。

其中，看淡華商機構的豐隆研究指出，華商機構上半年僅報淨利3千100萬令吉，佔全年財測27%，主要因來自油氣業務的貢獻減少。

今年至今攫8億合約

目前，華商機構持有約10億令吉訂單在手，同時仍競標另外43億令吉合約；今年至今，華商共攫獲價值8億令吉的合約。

“我們對華商的訂單填補速度持謹慎看法，因該公司目前的油氣訂單只有5億2千萬令吉，只能維持約1年，加上業績落後，因此決定調低2015和2016年財測36%和27%。”

大眾投資研究的看法相對樂觀，直言仍看好華商的更長期前景，認為華商近期宣佈以聯營方式進軍加拿大和印度，顯示該公司未來可望加速滲透新市場。

大眾估計，新市場可能在2016財政年中帶來貢獻。

不過，考慮到上半年財測落後，大眾決定調低2015財政年財測21%。

根据文告，集团第三季净赚295万3000令吉或每股净利0.38仙，显著低于上财年同期的3030万6000令吉或3.92仙。

此外，营业额则减少31.21%，达4亿757万令吉。

同时，首九个月净利也按年萎缩55.23%，达4073万9000令吉，或每股5.27仙；而营业额则下跌19.44%，达13亿9143万令吉。

The Board of Directors of the Company wishes to announce that pursuant to Paragraph 9.19(24) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, WSC has diluted it’s indirect 51.00% equity interest held to 48.96% via its wholly-owned subsidiary namely WS Agro Industries Pte Ltd (“WS Agro”) in the paid up capital of Atama Resources Inc. (”ARI”) following the Renounceable Rights Issue Exercise undertaken by ARI of 750,000 Ordinary Shares of USD1 each (“Right Shares”) which comes together with 750,000 Detachable Warrants of USD1 each (“Detachable Warrants”) issued and allotted on a proportionate basis to its existing shareholders (“Renounceable Rights Issue Exercise”) which WS Agro had renounced its rights in totality. 净利疲弱主要是因为油气业务的营业额走软，以及其他业务的净利表现欠佳。

首9个月的净利乃符合预期，惟剔除了外汇收益，净利则不达预期。

截至9月，公司订单企于9亿7400万令吉，其中4亿6000万令吉源自油气领域、3亿1200万令吉是来自再生能源领域，另外的2亿200万令吉是从工业贸易及服务所得。

（吉隆坡4日訊）華商機構（WASEONG，5142，主要板工業）宣布，旗下運輸管面涂層（pipe coating）業務獲頒總值3950萬美元（約1億6724萬令吉）合約，預計2017年中竣工。

該公司向馬證交所報備，管面涂層部門獲挪威國家石油公司（Statoil ASA）頒發總值3950萬美元合約，預計明年末季動工，2017年中竣工。

文告指出，將在該項合約下，為全長430公里的18吋及36吋運輸管面，進行3種類型的涂層工作。18吋運輸管全長156公里，36吋運輸管長達283公里。

是項合約是在Johan Sverdrip Export Pipeline計劃（JoSEPP）下進行，預計將貢獻至集團盈利，不過合約將不獲更新。該計劃負責將油氣從油田運輸至終站。【中国报财经】

The Board of Directors of Wah Seong Corporation Berhad (“WSC”) is pleased to announce that its pipe coating business unit has been awarded a contract valued at approximately USD39.5 million (equivalent to RM167.24 million based on the exchange rate of USD1.00 to RM4.2338) by Statoil ASA Norway for the total Scope of Coating Work for the Johan Sverdrup Export Pipeline Project (JoSEPP), including Anti Corrosion Coating, Internal Flow Coating and Concrete Weight Coating. The contract involves coating of approximately 430 km of 18” and 36” pipes. Activity is expected to commence in the last quarter of 2016 and be completed by the middle of 2017. The contract is for provision of pipe coating services which is the core business of the WSC Group and the risks are the normal operational risks associated with provision of pipe coating services. The contract is expected to contribute positively to the earnings of WSC Group over the contract period. The contract is project specific and is not renewable. About the Johan Sverdrup Project: Johan Sverdrup Export Pipeline Project’s (JoSEPP) objective is to provide a transport solution for the oil and gas from the Johan Sverdrup field to onshore oil and gas terminals (Mongstad and Kårstø). The 36” OD oil export pipeline is approximately 283 km which will go north to Mongstad. The 18” OD gas export pipeline is approximately 156 km which will go east from the Johan Sverdrup riser platform (JSRP) to a hot tap at Statpipe (S31) rich gas pipeline at approximately 130 m water depth.

油價低迷‧合約減速‧華商評級不變

（吉隆坡7日訊）華商機構（WASEONG，5142，主板工業產品組）獲挪威國家石油公司（Statoil ASA）頒發1億6千724萬令吉油氣管塗層合約，目前手上訂單將更增至11億4千萬令吉，惟在油價低迷情況下，分析員認為公司未來獲頒合約和盈利將減少，因此維持其評級不變。

該合約預計會在2016年第四季開始進行，2017年中旬完成。MIDF表示，根據合約的動工時間，這份合約不會對2016年盈利貢獻有顯著的影響，而是會反映在2017年的財年上。

肯納格研究認為，在油氣領域紛紛大砍預算的情況下，公司的利息和稅前賺幅相較起在好景時的15%，有可能降至10%以下。

雖然如此，這是華商機構第二次獲得挪威國家石油頒發的合約，這證明了雙方之間建立了良好的客戶關係。分析員相信未來華商機構會獲得更多挪威石油的工程。

豐隆研究則指出，公司未來競標的合約大約為50億令吉，其中有80%是油氣領域的工程。在油氣低迷的情況下，分析員對該公司的合約填補速度保持謹慎的態度。以目前手上6億2千500萬的訂單來看，公司大概只能維持一年時間。

肯納格研究認為，公司2015年第三季的合約從去年的11億令吉跌至9千740萬令吉，主因是油氣領域合約增加速度減緩。儘管如此，管道塗層仍會是該公司主要盈利來源。

雖然，華商機構雖然有高達92%的債務以美元結算，但公司的主要收入也來自國外，形成了自然對衝，因此對公司衝擊不大。

（吉隆坡8日讯）华商控股（WASEONG，5142，主板工业产品股）虽获得挪威国家石油公司（Statoil ASA）新合约，但却无法追上现有订单被消耗的速度，引起市场忧虑。

华商控股获挪威国家石油公司颁发总值3950万美元（约1亿6724万令吉）的合约，为Johan Sverdrup出口输油管项目（简称JoSEPP）长达430公里的管道，提供防腐蚀涂料、内部流动涂层和混凝土配重涂层服务。

分析员估计，合约税前赚幅料薄弱，相比市况好时的15%以上，上述合约的赚幅可能不及10%，因大型业者都因下行周期而缩进预算。

管道涂层业务支撑

截至第三季，华商控股的订单从上季的11亿令吉，跌至9.74亿令吉，归咎于油气领域的新订单数量减少。

未来，管道涂层业务预计仍会是净利的主要推动力。

整体而言，BIMB证券分析员正面看待华商控股会有更多合约流入。不过，新订单的速度却持续比消耗率更快，料对2016财年净利捎来风险。

而丰隆投行分析员也谨慎看待新订单情况，并对公司现有的6.25亿令吉油气订单感到担忧，因只足够支撑一年。无论如何，这项新工程将在明年末季展开，预计可在2017年中旬完成。

分析员普遍仍正面看待此消息，因这有助于补上逐渐被消耗的订单。

肯纳格研究分析员指出，这已是该公司从挪威国家石油公司获得的第二项合约，显示出华商控股正与挪威企业开拓良好的客户关系。

“若华商控股能持续交出有素质的服务，相信可持续从挪威国家石油公司取得更多合约。”【南洋网财经】

The Board of Directors of WSC wishes to refer to the article entitled “MISIF Lodges Complaint With MOF” appeared in The Edge Financial Daily dated 29 February 2016. WSC wishes to clarify that PPI Industries Sdn Bhd (“PPI”), an indirect wholly-owned subsidiary of the Company was subjected to the steel related industry-wide audit visits conducted by the Royal Malaysian Customs Department (“RMCD”) under The Customs Act 1967 together with other governmental bodies such as the Royal Malaysia Police, the Ministry of Finance and the Attorney General’s Chambers of Malaysia on 23 February 2016 at PPI’s business premise in Penang, whereby RMCD had taken custody of certain of the records and documents of PPI and some of PPI’s bank accounts had been temporarily frozen to facilitate RMCD’s audit and investigation. PPI had extended and will continue to extend its fullest cooperation to RMCD to resolve the matter as expeditiously as possible. The Group is committed in ensuring compliance with all relevant laws and regulations. PPI’s business operation is on-going as usual. The audit and investigation by RMCD do not have any material implication on the financial and operation of PPI or on the WSC Group. This announcement is dated 29 February 2016.
