The Board of Directors ("Board") of F&NHB refers to the announcement dated 8 October 2019 which stated that the Company's direct wholly-owned subsidiary, F&N AgriValley Sdn Bhd (formerly known as Rimba Perkasa Sdn Bhd) (“F&N AgriValley”) had on 8 October 2019 entered into a conditional sale and purchase agreement (“SPA”) with MSM Perlis Sdn Bhd (“MSM Perlis”), a direct wholly-owned subsidiary of MSM Malaysia Holdings Berhad, in relation to the proposed acquisition of approximately 4,453.92 hectares of leasehold land located in Mukim Chuping, Daerah Perlis, Negeri Perlis, for total cash consideration of RM156.00 million. Pursuant to the SPA, the stipulated timeline for F&N AgriValley to obtain the approval from the Ministry of Economic Affairs (formerly known as the Economic Planning Unit of the Prime Minister’s Department of Malaysia) (“EPU”) ends on 8th April 2020, which falls within the government's mandated Movement Control Order period between 18 March 2020 to 14 April 2020. MSM Perlis had, on 6 April 2020 and 9 April 2020, informed F&N AgriValley that: (i) MSM Perlis will not grant any extension of time for the satisfaction of conditions precedent under the SPA; and (ii) MSM Perlis rescinds the SPA and will refund the retention sum held by its solicitors and the deposit to F&N AgriValley in accordance with the SPA. In light of these developments, F&NHB and F&N AgriValley are considering its options. The Board will make further announcement in this regard in due time. This announcement is dated 9 April 2020.

1.   INTRODUCTION On 6 April 2020, the Company announced that F&N AgriValley Sdn Bhd (formerly known as Rimba Perkasa Sdn Bhd) (“F&N AgriValley”), a direct wholly-owned subsidiary of the Company, entered into a shareholders’ agreement dated 6 April 2020 (“Shareholders’ Agreement”) with D.Y.M.M. Tuanku Syed Sirajuddin ibni Almarhum Tuanku Syed Putra Jamalullail ("DYMM Tuanku”) pursuant to which DYMM Tuanku had subscribed for 3,000,000 ordinary shares representing 30% of the issued and paid-up share capital of F&N AgriValley (“Equity Interest”) at an aggregate consideration of RM3,000,000. F&NHB held 7,000,000 ordinary shares representing 70% of the issued and paid-up share capital of F&N AgriValley. It was the intention of DYMM Tuanku together with F&NHB, through their investment in F&N AgriValley, to promote and facilitate the development of the proposed integrated crop and dairy farming project that the F&NHB group had intended to embark upon on the successful completion of the acquisition of  approximately 4,453.92 hectares of leasehold land located in Mukim Chuping, Daerah Perlis, Negeri Perlis known as Ladang Chuping (“Ladang Chuping”). The Company subsequently announced on 9 April 2020 that the vendor, MSM Perlis Sdn Bhd, had not granted any extension of time for the satisfaction of conditions precedent under the sale and purchase agreement for the acquisition of Ladang Chuping and had rescinded the sale and purchase agreement. 2.   ACQUISITION OF SHARES AND TERMINATION OF SHAREHOLDERS’ AGREEMENT In view of this development, DYMM Tuanku has decided to divest his Equity Interest in F&N AgriValley and has entered into an agreement (“Shares Sale Agreement”) with F&NHB on 1 June 2020 to dispose his entire Equity Interest in F&N AgriValley to F&NHB for a consideration of RM3,000,000. Following completion of the Shares Sale Agreement on the date hereof, F&NHB has become the sole beneficial owner of F&N AgriValley. Accordingly, the Shareholders’ Agreement has ceased to be in force. 3.   DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST Save and except for YAM Tengku Syed Badarudin Jamalullail, Chairman and a Non-Independent Non-Executive Director of the Company and also a Director of F&N AgriValley, being the brother of DYMM Tuanku, none of the directors, major shareholders of F&NHB and/or persons connected to them has any interests, direct or indirect, in the acquisition of the Equity Interest. Description	SALE AND PURCHASE AGREEMENT RELATING TO THE DISPOSAL OF THE "TEAPOT" TRADEMARK FOR A CASH CONSIDERATION OF RM83,175,000 (THE "PROPOSED DISPOSAL")
The Board of Directors ("Board") of F&NHB refers to the announcement dated 29 July 2020 relating to the Proposed Disposal of the “Teapot” trademark by its direct wholly-owned subsidiary, Lion Share Management Limited (“Lion Share Management”) to F&N Global Marketing Pte Limited (“F&N Global Marketing”), a direct wholly-owned subsidiary of Fraser and Neave, Limited (“F&NL”). Completion of the Sale and Purchase Agreement occurred on 30 September 2020. At completion, F&N Global Marketing entered into Trade Mark Licence Agreements (“TMLAs”) with F&N Beverages Marketing Sdn Bhd; F&N Dairies (Thailand) Limited and F&N Dairies Distribution (Singapore) Pte Ltd. respectively, all of whom are wholly-owned subsidiaries of F&NHB (“F&NHB Subsidiaries”), granting the F&NHB Subsidiaries a non-exclusive, non-transferable licence to use the “Teapot” trademark for the sole purpose of preparing, packaging, manufacturing, marketing, distributing, and selling products under the “Teapot” trademark in the respective territories to which each of the F&NHB Subsidiaries have been licensed. The entering into the TMLAs between F&N Global Marketing and each of the F&NHB subsidiaries to give effect to the transactions contemplated by the TMLAs are deemed to be recurrent related party transactions pursuant to Paragraph 10.09 of the Bursa Malaysia Securities Berhad Main Market Listing Requirements. The transactions contemplated by the TMLAs are recurrent transactions of a trading nature, are necessary for the day-to-day operations of the F&NHB group of companies (“F&NHB Group”), are carried out in the ordinary course of business on normal commercial terms which are consistent with the F&NHB Group’s normal business practices and policies, and on terms not more favourable to the F&NL group of companies (“F&NL Group”) than those extended to other third parties, and not to the detriment of the minority shareholders. F&NHB at its Annual General Meeting held on 20 January 2020 (“2020 AGM”) had obtained from its shareholders a mandate to enter into various categories of recurrent transactions of a revenue or trading nature with various related parties of which the F&NL Group is one such related party. This shareholders’ mandate remains in force until a)   the conclusion of the next annual general meeting of F&NHB, at which time it will lapse, unless the mandate is renewed by a resolution passed at such annual general meeting; b)   the expiration of the period within which the next annual general meeting of F&NHB is to be held pursuant to section 340(2) of the Companies Act 2016; or c)   revoked or varied by F&NHB in a general meeting. The shareholders’ mandate obtained at the 2020 AGM covers the transactions contemplated by the TMLAs. The Company will make a further announcement in the event that the actual value of recurrent related party transactions exceeds the total estimated value of recurrent related party transactions of RM853,121,000 mandated at the 2020 AGM by 10% or more. Description	SHARE SALE AGREEMENT RELATING TO THE ACQUISITION OF THE ENTIRE EQUITY INTEREST IN EACH OF THE 3 COMPANIES, AS DEFINED IN PARAGRAPH 2.1 BELOW ("SRI NONA COMPANIES") WHOSE PRINCIPAL ACTIVITIES ARE THE MANUFACTURE, DISTRIBUTION AND SALE OF, AMONG OTHERS, RICE CAKES AND CONDIMENTS FOR A CASH CONSIDERATION OF RM60,000,000 (THE "PROPOSED ACQUISITION")
The Board of Directors ("Board") of F&NHB wishes to announce that its direct wholly-owned subsidiary, Awana Citra Sdn Bhd (“Awana Citra” or the “Purchaser”) had on 13 December  2020 entered into a conditional share sale agreement (the “Share Sale Agreement”) with Mr. Siew Yun Sing and Mdm. Tong Saw Man (both together hereinafter referred to as the “Vendors”), in relation to the Proposed Acquisition. Subject to the terms and conditions of the Share Sale Agreement, the aggregate cash consideration for the Sri Nona Companies is up to RM60,000,000 (the "Purchase Consideration"). Details of the Proposed Acquisition are set out in the attachment below. This announcement is dated 15 December 2020.

The Share Sale Agreement relating to the Proposed Acquisition was completed on 15 January 2021 in accordance with the terms of the Share Sale Agreement. This announcement is dated 18 January 2021.
