The Board of Directors of Nexgram wishes to announce that its wholly-owned subsidiary, Nexgram Land Sdn Bhd had on 25 September 2014 entered into a Share Sale Agreement with South Venture Holdings Limited, for the acquisition of Four Million and Two Hundred Thousand (4,200,000) ordinary shares of RM1.00 each in Top Symphony Sdn. Bhd. (“TSSB”), representing seventy per cent (70%) equity interest in TSSB for a total cash consideration of Ringgit Malaysia Twenty Four Million and Eight Hundred Thousand (RM24,800,000) only.

(吉隆坡26日讯)终端流动应用服务供应商Nexgram控股有限公司(NEXGRAM,0096,创业板)已收购斐济一家公司的70%股权,让它可进军当地产业发展、建筑以及资讯科技相关业务。

在致给大马交易所的文件中,Nexgram控股说,其独资子公司Nexgram置地私人有限公司,已与南方投资控股有限公司签署一份股票脱售协议,后者是一家在英属维尔京群岛成立的公司。

在上述协议下,它将以2480万令吉现金,买入Top Symphony私人有限公司的70%股份,或420万股票。

Nexgram控股指出,建议中收购将开放门户让它参与斐济经济发展和成长步伐,该国现仍处于初步的发展阶段。

“透过由Top Symphony与斐济当局签署的设计-建造大蓝图协议,它将给予一个新发展机会,开发一个海外政府领导和推广的建筑与综合发展计划。”

上述斐济当局为房屋局,是一个在斐济房屋法令下成立的法定机构。

上述设计-建造大蓝图协议将配合包含商业、工业与住宅单位的综合发展计划而执行。

这项计划涉及建造和联营发展超过6000住宅单位、商业和其他工业设备,总发展期逾10年。

“另外,透过多元化至产业发展的新市场,建议中收购也提供进一步机会予集团的其他相关商业领域成长,尤其是资讯科技相关设备与服务,以及CCTV监视业务进军斐济。”

建议中收购将透过内部基金和银行借贷融资,惟配额现暂未决定。

成立于2008年1月8日的Top Symphony,主要活动是产业发展和建筑合约。它拥有注册与缴足资本各1000万令吉和600万令吉。在财务上,该公司于截至2011、12和13年12月31日止最新3个财政年度均蒙亏,只在2011财政年录得5万令吉盈利。

Nexgram控股表示,建议中收购预料不会对截至2015年4月30日止财政年度的收益和净资产值产生任何重大影响。不过,这项行动预料于长期方面为集团带来正面贡献。

在完成建议中收购后,Top Symphony将成为Nexgram控股的子公司,而其余30%将继续由Synergy Windfall私人有限公司拥有。

Reference is made to Nexgram’s announcement on 25 September 2014 and Bursa Malaysia Securities Berhad’s letter dated 29 September 2014 pertaining to the above matter.

The Board of Directors of Nexgram wishes to furnish the following additional information of the abovementioned matter.
1.       Details of South Venture Holding Ltd
South Venture Holdings Ltd is incorporated in the British Virgin Islands on 12 June 2014.  The company’s principal business activity is investment holding. The sole director of the company is Wong Chung Sing and he holds a 100% equity stake in the company.

2.       Details of Synergy Windfall Sdn Bhd
Synergy Windfall Sdn Bhd is a private limited company incorporated under the law of Malaysia on 13 January 2014. The company’s business activities are property development and contractors. The directors of the company are Wong Chung Sing and Kwok Weng Khing. The shareholders of the company as at to date are Wong Chung Sing (70%), Kwok Weng Khing (15%) and Dato’ Sharifuddin Bin Abdul Wahab (15%).

3.       The postal address or identification (lot, title number, district and state) and size of the land on which the Project will be carried out (“Land”)
The postal address for the project land is not available as the said project land is currently a vacant land. The subject freehold land is situated at Waila, Nausori, 15 kilometers to the northeast of central Suva City, which is the capital of Fiji. Area is approximately 332.25 hectares (821 acres) and is described as Lot 1, DP 7071, Calia, Nausori.

4.       The existing use of land
The said land currently is empty and vacant.

5.       Name of Projects and types of development
The Proposed development name is Waila City. The types of development will be mixture of residential, industrial, commercial and public amenities which are divided into 7 phases. The actual number and mix of units/types of development shall be based on the relevant Supplementary Agreement to be executed for each phase.

6.       Total development cost of the Project
The development cost for the projects are current unavailable and is expected to be finalised upon entering of supplementary agreements (“Supplementary Agreements”) for each 7 phases of development in due course.

7.       The expected commencement and completion date of development
The expected commencement shall be 1st quarter of 2015 with estimated development of 10 years the entire development.

8.       The sources of fund to finance the development cost
The sources of funds to finance the development costs shall be from combination of internal generated funds and/or bank borrowings.

9.       Contract sum to be paid to Nexgram arising from the Design Build Master Agreement (“DBMA”)
DBMA was entered between TSSB and Fiji housing authority on 11 May 2012. There was no contractual relationship between Nexgram and Fiji Housing Authority in DBMA. Hence the contract sum payable to Nexgram is not applicable.

10.     The effect of the Proposed Acquisition on gearing of Nexgram Group.
There will not be material impact on the gearing position of Nexgram in relation of the proposed acquisition.

11.     Prospects of TSSB
Going forward, with the involvement and support of the Nexgram Group, TSSB is of the view that it can kick start the project and complete the development as required under the DBMA. With the DBMA agreement, TSSB would be exclusively be entitled to be rewarded and believes that the project should yield recurrent income streams from the construction and development profits in relation to the phases of development over the next 10 or so years.

The Proposed Acquisition will provide the Nexgram Group with the opportunity to participate in Fiji’s economic development, in particular to be involved with a Fiji government led and promoted project, which may prove to be lower risk than to enter into transactions with Fijian private entities. The said development contract shall contribute positive financial impact to Nexgram for the next 10 years.

For consistency purposes, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Company's announcements made on 25 September 2014 and 30 September 2014 in relation to the proposed acquisition of 70% equity interest in Top Symphony Sdn. Bhd. for a purchase consideration of RM24.8 million.

Further to the Company’s announcements made on 25 September 2014 and 30 September 2014, the Company wishes to announce the following additional information.

1.         Total development cost of the Project

The party that shall bear the development cost (i.e. whether the Fiji Authority solely or jointly by TSSB and the Fiji Authority) can only be determined upon signing of the relevant Supplemental Agreement.

2.         The sources of fund to finance the development cost

The breakdown of the sources of fund cannot be determined at this present juncture, as it depends on the terms of the relevant Supplemental Agreements.  TSSB shall procure the project financing with the financier and the Housing Authority of Fiji must assist TSSB with the procurement of the project financing.

3.         Contract sum to be paid to Nexgram arising from the Design Build Master Agreement (“DBMA”)

The manner of payment to TSSB (whether by way of a contract sum or by way of sharing of profits) can only be determined upon signing of the relevant Supplemental Agreement.

Further details on the above matter will be made in accordance with the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad upon signing of the relevant Supplemental Agreement.

我没有收到年报,可能是因为我只买nexgram-wc而已吧!我应该是不会参加股东大会,如果您有去的话,有好消息记得告诉我哦。。。

冀2年内贡献30% NEXGRAM盼成产业巨擘

(吉隆坡27日讯)NEXGRAM(NEXGRAM,0096,创业板)放眼在5年内成为国内大型房产业者,预计房产业务可在未来1至2年内,为营收捎来30%贡献比重。

NEXGRAM原是一家手机应用程序和平台供应商,核心业务仍是电讯、传媒和科技业务(简称TMT)。

不过,该公司在2012年购入赛城一块土地,并在之后携手富达(PRTASCO,7045,主板建筑股),加入国内大热的产业领域。

总执行长郑博毅在股东大会后向媒体指出,虽然公司在房产领域还是新兵,但团队经验丰富,冀望可在未来5年内,跃升为国内顶尖的房产业者。

该公司目前正等待相关机构批准,在赛城和布城兴建可负担房屋项目,各占地6英亩,发展总值预计为12亿令吉,相信可在9至12个月后推出市场,未来5年或可取得15%的赚幅。

完成这两项计划后,NEXGRAM不排除购地及通过联营方式继续拓展业务。

“我们不急于求进,旨在采取稳定和保守作风,保障投资者和股东的利益。”

TMT长期贡献稳定

在TMT核心业务方面,NEXGRAM目前正竞标至少两个国内项目,包括我国边境保安系统项目等,但未透露合约价值,仅表示规模可观。

郑博毅认为,TMT可提供长期的持续收入,而房产业务短期内的贡献也会较显著。

他预计,房产能为营业额贡献30%,TMT则占70%;若前者表现标青,也有望超越30%的目标。

前身为亿丰网通的NEXGRAM,为扩大TMT业务,在去年10月杪至11月初期间,曾购入RA通讯2亿股股权。

够资金抵御消费税

郑博毅说,消费税将对领域带来一定挑战,惟庆幸公司年初已筹集足够资金,应付未来的业务发展。

“公司会谨慎为房产定价,希望不会加重消费者的负担。”

他认为,房市需求仍殷切,提供市场所需要的房产类型,如可负担房屋,乃是关键。

若有合适机会,也会考虑多元化至其他领域。

与富达协议告吹

另一方面,郑博毅表示,由于富达的进度不达标准,因此双方协议已告吹。

他说,富达的进度太慢,无法满足NEXGRAM的要求。

不过,若未来富达的表现提升,将再次考虑合作。

目前,NEXGRAM已针对赛城的4亿令吉综合型项目,选出入围的伙伴和承包商。

双方是在今年5月展开初步洽谈。

富达大股东要罢黜2董事职 郑博毅和黄国安今交代详情

富达与郑博毅的纠纷再升级,持股10.51%的股东要求召开特大罢黜郑博毅和黄国安(译音)董事,而后者则宣告在明日(28日)召开记者会表明清白。

富达今日向马交所报备,持股8.99%的大马大华银行代表公司(UOBM Nominees),以及持股1.52%的非独立非执行董事陈兴奎(译音),提出召开特大罢黜上述两人。

另一方面,郑博毅方面也不甘示弱,他今日在NEXGRAM股东大会接受媒体追访时透露,将召开记者会交代清楚。

根据本报收到的邀请函,郑博毅将和黄国安以富达非执行董事的身份,公开证据、抗辩和这项诉讼案的最新进展。

富达和PT Anglo Slavic Utama(ASU)曾签署买卖协议,以5500万美元(1亿8130万令吉)购入PT Anglo Slavic(ASI)76%股权。

富达报案

随后在今年1月,双方签署经调整的买卖协议,改为以2200万美元购入63%股权,还包括为期4年2200万美元盈利担保。

不过,这项交易因为卖方和担保人没有在规定时间内履行协议而告吹。

上月22日,富达以涉嫌违反协议为由,向ASU索偿2200万美元(7200万令吉),以及每年5%的利息。

同时,富达也指郑博毅和黄国安存有串谋欺骗嫌疑,并在日前向警方报案,但两人一直否认指控。【中国报财经】

郑博毅黄国安 减持NEXGRAM 0.39%

(吉隆坡12日讯)近日动作频频的郑博毅及伙伴黄国安,减持了NEXGRAM(NEXGRAM,0096,创业板)的730万股或0.39%股权。

郑博毅是NEXGRAM总执行长兼董事经理,黄国安则是主要股东。最近两人因卷入富达(PRTASCO,5070,主板建筑股)董事部纠纷,而引起市场关注。

根据NEXGRAM呈马交所的文告,完成售股活动后,郑博毅还直接持有NEXGRAM约15.71%或2亿9583万股。

同时,他通过持股15%的Smart Tower私人有限公司,间接持有NEXGRAM达1亿6006万股或8.5%股权。

另一个文告则显示,黄国安自上月底,持续售出NEXGRAM的股票,共售出了9703万股或5.15%股权。

与其同时,威拉阿育也会兼任公司的独立非执行董事。

威拉阿育现年60岁,为前大马皇家警察局长。他在1977年加入警队,已在今年退休。【南洋网财经】

Dato' Sri Wira Ayub obtained his Diploma in Public Admin from the Institut Teknologi MARA and Diploma in Police Science from the Universiti Kebangsaan Malaysia. He obtained the Certificate in Sustainable Leadership at Wolfson College, University of Cambridge, United Kingdom.
Working experience and occupation
Dato' Sri Wira Ayub joined the Royal Malaysia Police in 1977. In 1978, he was stationed in Pulau Pinang as an Officer responsible for the Crime Investigation Department. He was appointed as a Coach of the Police Training Center in Negeri Sembilan and subsequently was appointed as a Development Officer of the Ministry of Home Affairs and also Logistic/Finance Department, Bukit Aman, Kuala Lumpur. He was then promoted to the Superintendent of Police.

From 2000 to 2005, Dato' Sri Wira Ayub was promoted to the Assistant Commissioner of Police and served as Aide de Camp (ADC) to His Majesty The Yang Di Pertuan Agong. He was then attended and had successfully completed a program in the acpect of Community Policing at University of Cambridge, United Kingdom. He was then served as the Chief of Police in the state of Melaka and Terengganu. In 2008, he was promoted to the Chief of the Police Department in Pulau Pinang.

In 2012, Dato' Sri Wira Ayub was appointed as the Chairman in NKRA Secretariat of Criminal Investigation Department in Bukit Aman, Kuala Lumpur and subsequently was promoted as the Commisioner of Police. In the following year, he was being appointed as the First Director of the Crime Prevention and Suppression Department.

Dato' Sri Wira Ayub retired with the position of Commissioner in 2014 and now appointed as a member of the Editorial Board of Trustees, Yayasan Pengaman of Malaysia and Police Corporative of the Royal Malaysia Police.

NEXGRAM 14.5 亿卖2房产计划

(吉隆坡22日讯)NEXGRAM(NEXGRAM,0096,创业板)宣布将以14.45亿令吉,脱售布城和赛城的发展计划。

NEXGRAM旗下的Nexgram置地和Nextnation Datacity公司,今天与MyangkasaBina公司签署首份买卖合约,以11亿4720万令吉,脱售赛城的混合商业发展计划给后者。

同时,Nexgram置地及Top Valley产业公司,与MyangkasaBina公司签署第二份买卖合约,以2亿9738万7000令吉,脱售布城的混合产业发展计划给后者。

Myangkasa Bina公司为大马合作社组织(Angkatan Koperasi Kebangsaan Malaysia Berhad)的子公司,核心业务是以合作社市场为主的建筑与产业发展计划。

NEXGRAM过去数年致力于进军产业发展领域。集团解释,最新合约符合进军产业发展领域、提升集团盈利和前景的计划。

降低销售风险

集团指出,Myangkasa Bina公司全数买下这两个发展计划,更是为集团盈利与多元化业务打下强心针,并降低产业销售风险。

Nexgram置地为两个计划的发展商。

赛城计划将分为3个阶段,包含办公楼、商店、服务式公寓等,建筑成本是6亿3980万令吉。

布城计划则是3栋服务式公寓,并设有零售商店,建筑成本为2亿6620万令吉。

NEXGRAM计划通过各种方式融资,包括今年1月完成的附加股计划(只限赛城计划而已)、银行贷款,以及其他筹资方案,如发股集资。

不过,集团目前未能确定融资组合,因有待相关公司确定所获银行贷款额。【南洋网财经】

(i) Nexgram Land and Nextnation Datacity (both wholly-owned subsidiaries of Nexgram), had today entered into an Off Take Agreement cum Sale and Purchase Agreement with MyAngkasa where the Cyberjaya Proprietor and the Developer agree to sell and the Purchaser agrees to purchase the entire development project comprising a mixed commercial development known as “ANGKASA ICON CITY” to be undertaken by the Developer on a freehold land measuring 5.906 acres in Cyberjaya (“Cyberjaya Land”) (“Cyberjaya Project”) held by the Cyberjaya Proprietor for a total consideration of RM1,147,200,000 (“Cyberjaya Purchase Price”) (“Cyberjaya Agreement”); and

(ii) the Developer had today entered into a second Off Take Agreement cum Sale and Purchase Agreement with the Purchaser and Top Valley where the Selangor Proprietor and the Developer agree to sell and the Purchaser agrees to purchase the entire development project comprising a mixed property development to be undertaken by the Developer on a piece of land neighbouring to Putrajaya (“Selangor Land”) (“Selangor Project”) which is to be identified and purchased by the Selangor Proprietor for a total purchase consideration of RM297,387,000 (“Selangor Purchase Price”) (“Selangor Agreement”); and

The Cyberjaya Project and Selangor Project are collectively referred to as the “Projects”.

NEXGRAM 次季转亏

(吉隆坡30日讯)产品销量减少,导致NEXGRAM(NEXGRAM,0096,创业板)截至10月杪财年次季从盈转亏,净亏7000令吉,上财年同期净赚137万4000令吉。

同期营业额也年跌7.8%,录得2497万5000令吉,上财年同期是2708万4000令吉。

合计两季,净利报148万6000令吉,或每股盈利0.19仙,较上财年同期的290万令吉,大跌48.76%。

上半年营业额从上财年同期的5206万3000令吉,跌5.5%至4920万4000令吉。

NEXGRAM原是一家手机应用程序和平台供应商,但近期转攻房地产发展领域,放眼在5年内成为国内主要发展商之一。【南洋网财经】

(吉隆坡5日讯)NEXGRAM(NEXGRAM,0096,创业板)独资子公司Nexgram置地与Top Valley房地产有限公司签署联营协议,在雪邦进行综合房地产发展计划。

NEXGRAM向马交所报备,在联营协议下,Top Valley房地产将给予Nexgram置地独家发展权,在相关土地上进行发展活动,后者将全权负责该发展计划的成本,以及土地用途转换申请程序。

相关地图面积达2.154公顷,建设项目包括3栋共669个单位的大楼,其中659间为服务式公寓,另外10间是商务或零售单位。

报备文件指,Top Valley房地产可在这项发展项目中,享有4.5%的发展总值,其余的份额则归Nexgram置地。

在去年12月间,NEXGRAM以14.45亿令吉,脱售布城和赛城的发展计划予大马合作社组织子旗下的Myangkasa Bina公司。【南洋网财经】

Unless otherwise stated, the abbreviations and definitions set out in the Company's announcement dated 22 December 2014 shall apply herein.

Further to the Company’s announcement made on 22 December 2014, the Board of Directors of Nexgram (“Board”) is pleased to announce that on 5 February 2015, Nexgram Land (1016195-X), a wholly owned subsidiaryofNexgram, had entered into a Joint Venture Agreement (“JVA”) with TVP (1114033-K) to construct and develop on a piece of all that agriculture leasehold held under PM 8688, Lot 104160 (formerly known as H.S (M) 15921 PT 32378), Mukim Dengkil, Kg Limau Manis, Daerah Sepang, Negeri Selangor measuring approximately 2.154 hectares (“Development Land”) into a mixed property development which shall comprise of three (3) blocks of towers comprising a total of 669 units, whereby 659 units is designated to be service apartments with total net floor area of 656,900 square feet and 10 units of commercial/retail shops with total net floor area of 7,500 square feet only or such other total number of units or built up area per unit as the Developer shall decide either in substitution thereof and/or in addition thereto from time to time and at any time or times at its absolute discretion, in the manner set out in the Off Take Agreement cum Sale and Purchase Agreement dated 22 December 2014 entered between the Developer, the Proprietor and MyAngkasa (“Proposed Development”) (“Joint Venture”).
