（吉隆坡20日讯）上游石油与天然气服务供应商Perisai Petroleum Teknologi Bhd全日上扬0.5仙或7.69%，此前大股东Ezra Holdings Ltd根据美国破产法第十一章申请破产。

新加坡上市的Ezra是PN17公司Perisai的间接股东，持有约2亿8134万股或23.01%。

根据Inter-Pacific证券研究主管冯廷秀，此举被视为对Ezra有利，Perisai亦是，因Ezra可能会出现新股东。

“如果一个新股东加入Ezra，这也意味着Perisai有新股东。”

闭市时，Perisai收报7仙，共373万100股易手。市值为8826万令吉。

在过去12个月，该股下挫了73%。今年来跌近18%。

Ezra昨日连同独资子公司EMAS IT Solutions私人有限公司和Ezra Marine Services私人有限公司宣布，已提出自愿请求，以重组其财务状况。

Perisai于2016年10月列入PN17行列，因独资子公司Perisai Capital（L）Inc未能支付多币中期票据的本金和利息。

柏利赛与债权人会面
确保继续营运

（吉隆坡22日讯）正努力重组债务的柏利赛石油（PERISAI，0047，主板贸服股），据称日前与债权人会面，并大派定心丸。

该公司发言人法兹琳指出，与企业债务重组委员会（CDRC）的会议中，向债权人，包括债券受托人承诺，会致力确保可以继续营运，并保留上市地位。

“我们希望让重要的客户大马国家石油放心，以及解决监管机构的担忧。”

该公司同意委任财务顾问给债券持有人。 安永（Ernst & Young）和Sage 3资本将会对债务重组计划提供咨询。

本月初，有报道指，柏利赛石油在与债券持有人会面中，提出以340万美元（约1512万8300令吉）现金，以及发行总值8590万美元（约3.82亿令吉）不可赎回可转换债券，以偿还公司债务。

该公司称，这批不可赎回可转换债券，会在马交所上市及交易，并可在5年后转换成母股。

（吉隆坡22日讯）受到新会计标准折旧认列、未实现营运费用亏损以及联号遣散费用增加拖累，贝利赛（PERISAI，0047，主板贸服组）截至2017年3月31日止3个月净亏6529万5000令吉。

该公司营业额为4612万9000令吉。

由于该公司更换财政年，因此无前期数据。

该公司在文告中指出，该公司贝利赛Perisai Kamelia以及其他8艘船舰的合约，将分别在今年5月和8月到期，公司将继续为旗下资产寻找合适的营运机会。

至于该公司债务重组部份，贝利赛表示，在今年第二季之前与债权人达成协议。在今年5月5日，贝利赛也获得大马高庭颁发，针对该公司以及Perisai Capitald的法律诉讼限制令，该限制令长达3个月。相关法律诉讼安排将在今年第三季之前完成。

柏利赛与PPL
推迟交付钻井台

（吉隆坡2日讯）PN17公司柏利赛石油（PERISAI，0047，主板贸服股）与PPL造船厂同意，推迟2座自升式钻井平台交付日期至8月31日。

柏利赛石油向交易所报备，双方同意展延Perisai Pacific 102和103的交付日期。

双方同意借此机会，在这期间寻找和评估任何选项。 除此之外，其他合约条款维持不变。

早前，Perisai Pacific 102的交付日已延至去年10月31日；Perisai Pacific 103的最初交付日期则是7月30日。

董事部称，由于岸外钻探全球市场疲软，延迟交付是公司最佳利益，而暂缓成本对财务状况有正面影响。

该公司也预计，一旦使用Perisai Pacific 103，将会贡献净利和净资产。

（吉隆坡19日讯）由于调遣浮式生产储卸油轮（FPSO）的工作增加，所以柏利赛石油（PERISAI，0047，主板贸服股）需支付多31万1193美元（约133万3462令吉）。

根据文告，柏利赛石油旗下Emas Victoria (L) 公司（简称EVLB）支付给Emas岸外建筑与生产（简称EOCP）的FPSO Perisai Kamelia费用，从54万5319美元（240万2948令吉），增加至85万6512美元（约367万154令吉）。

双方在4月中签约，EOCP为EVLB的Perisai Kamelia，提供调遣相关的项目管理、工程与支援服务。

除了调整费用之外，其他合约条款维持不变。

撤清盘诉讼

另一方面，柏利赛石油指，新加坡籍拉维慕拉卡在上月20日撤销对公司的清盘诉讼。

因此，该公司也在同一日撤回有关撤销该项清盘诉讼的申请。

去年10月27日，柏利赛石油向交易所报备，因为无法偿还1500万新元（约4518万令吉）的票据加利息，而接获拉维慕拉卡提出的清盘诉讼。

Pursuant to the terms of the Proposed Settlement Agreement and the lapse of the Proposed Settlement Agreement, the put option granted by EOL to Perisai pursuant to the SSA is revived accordingly. This gives Perisai the right to sell its 51% equity interest in SJR Marine to EOL. Perisai had earlier served the Put Option notice to EOL on 8 December 2016. Following the lapsing of the Proposed Settlement Agreement, Perisai is pursuing to complete the Put Option, which shall take place 30 days from 17 August 2017 in accordance with the terms of the Put Option notice served on EOL earlier. Based on the above, the Proposed Settlement Agreement detailed in the announcement on 23 December 2016 has been aborted. 狮城Emas寻求法律咨询

（吉隆坡21日讯）柏利赛石油（PERISAI，0047，主板贸服股）宣布，与新加坡上市公司Emas岸外另签署的和解协议到期，因此将恢复引用双方在2012年时的协议，脱售SJR Marine的51%股权。

对此，Emas岸外回应，正在咨询法律顾问的意见。

柏利赛石油上周四向马交所报备，双方在去年12月针对SJR Marine股权的争议，所签署的另一份协议，已经延长至上月23日，但Emas岸外至今都没有确认收购相关股权，也没有派代表来协商。

因此，柏利赛石油将沿用在2012年11月30日时的协议，有权利脱售SJR Marine的51%股权，给Emas岸外。

原本冀筹8941万

较早前，Emas岸外不愿购买柏利赛石油手上的股权，而有意接触协议，但柏利赛石油反对，双方闹上法庭。

为了解决这些诉讼，双方在去年12月23日达成共识，Emas岸外将以4303万1406美元（约1.9亿令吉），买下SJR Marine的51%股权。

否则，柏利赛石油将从本月17日起的20天内，行使脱售选择权的权利。

该公司本预计完成交易后，将利用收益中的2000万美元（约8941万令吉），来确保债务重组顺利，并作为营运资本。【e南洋】

柏利赛石油遭索赔1368万

（吉隆坡22日讯）柏利赛石油（PERISAI，0047，主板贸服股）接获付款通知书，遭索赔1368万2059令吉。

柏利赛石油向交易所报备，原告为三家公司，分别是Konsortium Pelabuhan Kemaman私人有限公司（简称KPKSB）、Pangkalan Bekalan Kemaman私人有限公司（简称PBKSB）和EPIC Mushtari工程私人有限公司（简称EPIC）。

而接获付款通知书的是子公司柏利赛钻探私人有限公司（简称PDSB），后者被追讨1368万2059令吉。

通知书声称PDSB在拖船方面违反合约义务，导致原告在截至8月4日损失1368万2059令吉。

根据通知书，PDSB即日起有7天时间，去支付该笔金额。

若无法如期支付，原告将在没有进一步通知的情况下，对PDSB展开法律诉讼，这样一来，PDSB或会涉及更多的利息与成本。

不过柏利赛石油表示，这不会影响公司的财务及运作。同时，也已经通知保险公司关于索赔一事。【e南洋】

The claim originated from the letter of offer dated 1 August 2016 (“Letter of Offer”) in which EPIC agreed to offer PDSB its facilities including but not limited to providing berthing space for its rig namely, Perisai Pacific 101 (“Rig”) within the Kemaman Port. Pursuant to the Letter of Offer, PDSB agreed to undertake full responsibility for the Rig berthing, use and keep the said area and shall indemnify all damages caused or occasioned to the said area. The Notice alleges that as a result of PDSB’s failure to moor the Rig on 5 September 2016, the Rig broke free of the moorings, drifted off and came into contact with a mobile offshore unit, namely Naga 4 and subsequently, the Rig continued drifting and collided with Berth 6 and 7 respectively, which are owned by PBKSB. The Notice further alleges that as a result of the collision, the finger jetty, Berth 6 and 7 and quay wall/wharf of Pangkalan Bekalan Kemaman were damaged. On 6 September 2016, KPKSB made arrangements for tug boats to be mobilised and sent to the East Wharf to retrieve the Rig, which was subsequently secured to the West Wharf by employees of KPKSB. The Notice alleges that due to the breach of PDSB’s contractual obligations to moor the Rig under the Letter of Offer, the Claimants had suffered losses and damages in the sum of RM13,682,059.93 as at 4 August 2017 as follows:- Rectification works to the East Wharf in the sum of RM4,588,937.36; Fees payable for the police report, weather report and meteorology data in the sum of RM822.00; Fees payable to the consultants in the sum of RM445,031.20; and Loss of revenue due to the Claimants inability to use Berth 6 and 7 at the East Wharf   in  the sum of RM8,647,269.37 (this loss is continuing and the Claimants reserve their rights to claim for loss of revenue suffered after 4 August 2017). By the Notice, PDSB has within 7 days from 22 August 2017 to pay RM13,682,059.93, failing which the Claimants would commence legal proceeding against PDSB without further notice, in which event PDSB may be additionally liable for further interest and costs (including but not limited to legal costs on a solicitor and client basis). PDSB is exposed to the above claims and interest as stated above. The Notice will not have any financial or operational impact on the Group and the Company will seek legal advice on the above matter. 减值拨备拖累‧贝利赛3个月亏2亿

（吉隆坡1日讯）贝利赛（PERISAI,0047,主板贸服组）受厂房设备、应收账和预付款等减值拨备拖累，截至2017年6月30日止3个月净亏2亿零535万4000令吉，累积18个月净亏为5亿6043万1000令吉。

贝利赛3个月营业额4430万7000令吉，累积18个月为2亿7558万7000令吉。

基于贝利赛更换财政年结算日至6月30日，因此没有前期数据可比较。

贝利赛透过文告指出，油气领域中短期前景依然面对挑战，该公司将谨慎看待资本和成本管理，以便能够维持营运效率。

贝利赛指出，目前尚在制定正规化计划，以便在今年10月中前提呈予交易所。

该公司也已向企业债务重组委员会（CDRC）提呈债务重组计划，预计最终结果将在今年第四季出炉。

柏力赛无法交船　遭PPL终止合约

（吉隆坡5日讯）柏力赛石油（PERISAI，0047，主板贸服股）上週五（1日）宣佈，由于无法准时交付2艘油船予PPL船厂有限公司（PPL），因此接获PPL公司终止上述2项造船合约的通知。

文告指，PPL公司是在2013年颁发2艘自升式钻机建造合约予柏力赛石油旗下的柏力赛太平洋公司（PerisaiPacific102（L）Inc.），以建造PerisaiPacific102及103型號的自动式钻机，原本预定在2016年3月份和7月份交付，但隨后延长至今年8月31日。

下半年更艰鉅

PerisaiPacific102及103型號自动式钻机的合约价值分別为2亿零800万美元（约8亿9000万令吉）和2亿1150万令吉（9亿零522万令吉），柏力赛太平洋公司也已收取了20%的首期定金。

柏力赛石油表示，上述终止合约对该公司的资產负债表不会有重大的影响，因为截至6月30日止的业绩已完全將该合约的延期成本和所得款项进行减值拨备。

柏力赛石油上周公布的上半年业绩蒙受5亿6043万令吉的净亏损，营业额则为2亿7559万令吉。由于该公司更换结账日期，因此无从做比较。

联昌国际投行认为，柏力赛石油持续交出令人失望的业绩，上半年的核心亏损为9100万令吉，佔其全年亏损预测的64%。分析员预测，该公司的下半年展望將更加艰鉅。

分析员指，柏力赛石油在2017財政年次季对岸外支援船（OSV）的应收账款进行1亿零800万令吉的减值拨备，和1亿2800万令吉的资產减记。

除了柏力赛石油旗下的PP101型號鉆机获得国家石油公司合约至2019年2月，其余的8艘OSV合约皆已经在今年8月份到期。

鉴于全球OSV的平均使用率只有40%，因此该8艘OSV短期內贏取合约的机率渺茫。

另外，该公司的Kamelia、MOPURubicone及Enterprise3浮动生產储卸油轮（FPSO）皆处于閒置状態，因此未来能否再获合约令人担忧，2019財政年的亏损或將进一步恶化。

该公司的债务重组委员会（CDRC）料在今年末季提呈最终重组计划，目前高庭已约束了柏力赛石油所有债权人的法律诉讼至2018年5月。

该公司的所有债务重组方案將决定该公司是否能够继续生存。

另外，由于该公司未来现金流吃紧和资不抵债，因此该投行设定目標价，并维持「减持」投资评级。【东方网财经】

EOL：贝利赛应以1美元．售SJR海事51%

（吉隆坡27日讯）贝利赛（PERISAI,0047,主板贸服组）与新加坡Emas岸外公司（EOL）再为SJR海事51%股权脱售计划起风波。

该公司发文告表示，EOL今日来函称基于和解协议已经失效，因此贝利赛需履行2013年12月26日签署的股东协议（后遭EOL在2016年12月8日终止），即以1美元价格脱售SJR海事的51%股权，并已向贝利赛进行支付，现等候其传交完成文件。

但贝利赛认为，EOL在2016年12月8日终止卖出售股权信函是无效的，因此将在事态出现新发展时作出必要宣布。

贝利赛是在2013年脱售SRJ海事的49%予EOL。当时双方签下的买卖协议中，EOL拥有购买剩余51%股权的认股权，但到期后，EOL并没有行使购股权，更在2016年12月8日出函通知贝利赛终止卖出售股权通知。

不过，两造在2016年12月中达成和解，EOL将履行以4303万1407美元购买SRJ海事剩余51%股权认股权承诺。

The Company had already disputed the Termination Notice by its letter to EOL dated 8 December 2016 and maintains that the alleged termination is invalid and ineffective.  The Company will make such further announcement on the development on the above matter as and when necessary. The Board of Directors of PERISAI wishes to announce that Alpha Perisai Sdn Bhd (“APSB”), a wholly-owned subsidiary of the Company had on 21 November 2017 been served with a Letter of Demand dated 20 November 2017 from Shaikh David & Co., acting on behalf of Teknik Janakuasa Sdn Bhd (“the Landlord”) demanded for the rental arrears and rental for unexpired term amounting to RM2,754,753.84 due and owing to the Landlord pursuant to the tenancy agreement dated 27 May 2013 (“Tenancy Agreement”) entered into between APSB and the Landlord in respect of the premises known as Level 13A, Block 3B, Plaza Sentral, Jalan Stesen Sentral 5, 50470 Kuala Lumpur (“Demised Premises”). APSB is required to pay the total sum of RM2,754,753.84 together wih interest within 7 days from the date of the Letter of Demand. Details of the rental arrears and rental for unexpired term are as follows:- Rental arrears from June 2016 to June 2017 at RM76,520.94 per month RM994,772.22 Rental for unexpired term from July 2017 to May 2019 (expiry of tenancy term) at RM76,520.94 per month RM1,759,981.62 Total RM2,754,753.84 The rental arrears related to a tenancy of the Demised Premises for a period of 3 years commencing 15 April 2013. The tenancy was further renewed pursuant to a renewal letter dated 19 February 2016 (“Renewal”). The Renewal commenced on 16 April 2016 and will expire on 15 May 2019. The rental rate and parking fees per month is RM76,520.94 pursuant to the Tenancy Agreement. Prior to the expiry of the Tenancy Agreement, APSB had unilaterally vacated the Demised Premises and the Demised Premises was purportedly surrendered to the Landlord after a joint inspection on 6 July 2017. As at June 2017, 13 months of rental was outstanding excluding interest prescribed under the Tenancy Agreement. The said Letter of Demand alleges that APSB’s failure to pay the rental arrears and purported termination of the tenancy period under the Tenancy Agreement amounts to a breach of the Tenancy Agreement. In addition to the rental arrears prior to vacant possession of the Demised Premises, APSB remains liable for the unexpired terms for the Demised Premises as well as the reinstatement cost for the Demised Premises. The security deposit paid under the terms of the Tenancy Agreement will be set-off and utilised for costs incurred to reinstate the Demised Premises as required under the terms of the Tenancy Agreement. APSB is exposed to the above rental arrears and reinstatement cost as stated above.
