馬化國際 3200萬脫售AF投資股權

(吉隆坡19日訊)馬化國際(MULPHA,3905,主要板貿易)建議以1000萬美元(約3200萬令吉),脫售AF投資有限公司全數股權。

該公司向馬證交所報備,与Lemongrass Master Fund I 簽署股權收購協議,將AF投資售予后者。

馬化國際通過AF投資,間接持有Indochine Park Tower 聯營公司。后者為越南房產業者,經營服務式公寓,AF投資則是一家投資公司。在完成脫售活動后,這兩家公司不再是馬化國際子公司。【中国报财经】

We wish to announce that MIB had on 16 May 2014, entered into a Share Purchase Agreement with Lemongrass Master Fund I (“Purchaser”) and AF Investments Limited (“AFIL”) for the proposed disposal by MIB, of its entire 100% equity interest in AFIL to the Purchaser for a total consideration of USD10 million (equivalent to approximately RM32 million) [hereinafter referred to as the “Proposed Disposal”].  AFILholds 70% equity interest in Indochine Park Tower Joint Venture Company (“IPT”).  As a result of the Proposed Disposal, AFIL and IPT will cease to be subsidiaries of MIB.

AFIL, a wholly-owned subsidiary of MIB, is a company incorporated in Hong Kong with an authorised and paid-up share capital of HKD10,000 and HKD2 respectively. The principal activity of AFIL is investment holding.  

IPT, which is 70% owned by AFIL, is a company incorporated in Vietnam.  IPT is the owner and operator of Indochine Park Tower, an 18-storey serviced residences building located at Ho Chi Minh City, Vietnam, which comprises 55 fully serviced 3-bedroom apartments and penthouses ranging from 128 to 249 square metres each.

The Proposed Disposal is expected to contribute positively to the earnings per share and net assets per share of MIB Group, and it has no effect on the share capital and substantial shareholders’ shareholdings of MIB.

The Proposed Disposal does not require approval from the shareholders of MIB.

None of the directors or substantial shareholders of MIB or persons connected with them has any interest, whether direct or indirect in the Proposed Disposal.

再售澳洲地段 马化国际进账1.61亿

(吉隆坡21日讯)马化国际(MULPHA,3905,主板贸服股)以5360万澳元(1亿6100万令吉),脱售澳洲3块土地予联号公司、澳洲知名养老服务机构Aveo集团。

根据文告,其中两块地位于悉尼西部,另一块地则在昆士兰黄金海岸,总面积达14.4公顷。

马化国际是通过马化Norwest和马化Sancturay Cove,将上述地段卖给Aveo Southern Gateway与Aveo Sanctuary Cove。

该公司是在1998年以110万澳元(330万)购入悉尼西部地段,黄金海岸地段则在2002年购入,当时出价60万3151令吉(181万1262令吉)。

Aveo上市于澳洲股票交易所,是马化国际的26.22%联号公司。【南洋网财经】

澳業務走出谷底‧馬化國際長攻退休產業

許久不曾曝光於本地媒體的馬化國際執行主席兼大股東李成煌,較早前返馬時特別安排了一場媒體見面會,除了分享馬化國際這些年來的業務進展,介紹新管理團隊,亦透露有關Aveo集團的近況和展望。

Aveo成拖累業績元兇

Aveo集團(前稱FKP產業)過去幾年來因惡劣市場環境和土地合理價減值,而成為拖累馬化國際業績的元兇;然而,李成煌預告,有關業務已經走出谷底,相信未來幾年內將開始替集團作出正面貢獻。

李成煌追憶說,自數年前決定守住在Aveo集團的投資後,集團其實面對不小壓力,這些年也一直致力於內部整頓,希望協助Aveo集團“撥亂反正”,成為替集團做出正面貢獻的資產。

“澳洲退休產業臂膀當年表現黯淡,令公司管理層面對很大壓力,有股東建議直接脫售Aveo股權,以改善集團業績,惟在衡量利弊後,公司最終仍選擇保留退休產業業務,並展開系列內部整頓工作。”

Aveo集團是澳洲最大退休產業發展和經營商,目前在澳洲上市,馬化國際持有Aveo集團26.22%股權。

他表示,歷經這些年重組後,Aveo集團的營運成本已經比之前降低許多,加上營運環境回暖,集團如今正放眼興建更多退休房產,以強化長期產業組合,同時釋放這些年的投資價值。

“澳洲退休產業是個`很不一樣’的市場,發展商除了發展和銷售產業外,也負責管理整個產業項目,而且,產業擁有權仍歸發展商所有,當住戶決定不再繼續居住後,發展商將代轉售權益,同時從中收取30%傭金,這種營運模式將產生經常性收入,讓公司長期受惠。”

探索投資中國退休產業

不過,當詢及會否將這項業務複製至本地市場時,李成煌直言大馬和澳洲市場之間存在明顯差異,而且規模相對較小,反而認為退休產業在中國擁有發展機會,目前正在當地探索潛在投資的可能性。

產業計劃重質不重量

雖然當今產業發展商往往都是“趁勢出擊”,會選擇在市道向好時盡可能推介新產業計劃,可李成煌強調,集團向來堅持“重質不重量”原則,未來會繼續以打造產業價值為優先考量,確保旗下產業符合國際標準。

“我們是有耐心的投資者,擁有堅定穩固的經營方針,願意用更長時間來發展價值,所以,儘管我們旗下仍有不少地庫,卻不急於發展,這是我們與一般大眾市場發展商的不同之處。”

對現有債務水平舒適

另外,馬化國際背負16億令吉債務,一直是投資者對股票保持謹慎態度的原因之一,惟當記者徵求對高債務的看法時,李成煌回應說集團對現有債務水平感到舒適,主要因利率仍保持在低水平。

“集團過去正是因採取過於保守的營運方針,而導致股本回酬偏低,而且別忘了,集團還持有約6億現金在手,現有負債並不會構成太大壓力。”

無論如何,當問到未來是否會繼續舉債擴充業務時,李成煌表示一切視投資性質而定,若是收購可營造穩定收入的資產,則可能考慮繼續舉債。

除分享業務資訊外,李成煌也不忘趁機向媒體介紹剛加盟不久的的新管理團隊成員,表示這支新領導團隊的成員,來自銀行、產業和酒店經營領域,擁有豐富經驗,相信能強化集團價值。

馬化國際的新成員,包括有安聯銀行前首席財務員李永良,前大城市行銷與銷售總經理黃永光,以及在全球酒店業經驗豐富,曾參與發展和設立3家新酒店(包括新德里香格里拉,吉隆坡Traders酒店等)的羅伯特馬列。

休閒農莊潛在發展值50億

國內發展方面,李成煌特別提及集團位於柔佛的旗艦發展項目——休閒農莊(leisurefarm),直言這是項足以讓公司自豪的發展項目,剩餘地庫的潛在價值預計至少達50億令吉,相信未來數年將繼續是集團焦點所在。

休閒農莊是項佔地1765英畝的永久地段高級發展項目,且早在1991年啟動,至今仍剩約600英畝地庫;李成煌解釋,休閒農莊是項截然不同的發展項目,公司每年將挑選出10至15塊地皮供人競購,每地皮規模界於半英畝至1英畝間,售價介於800萬至1千200萬之間。

他表示,公司今年計劃在休閒農莊推介總發展值約5億令吉的項目。

他認為,柔佛州政府幾年前推出的依斯干達發展策略,成功推動柔佛經濟和產業市場發展,讓休閒農莊同步受惠;正因如此,該產業計劃的每方呎售價,如今已從當年的6至7令吉,上漲至今日的200令吉。

“柔佛州開始朝對的方向前進,這是公司等待許久的催化劑,所以決定加快發展休閒農莊的速度,包括提昇各種設施,早前與UEM陽光(UEMS,5148,主板產業組)聯營發展道路,正是公司為休閒農莊增值的策略之一,我們的地庫成本便宜,讓公司可投資更多於發展週邊設施,強化產業價值。”

他解釋,休閒農莊目前離新加坡樟宜機場約40分鐘車程,離新馬第二通道則約15分鐘,預計在完成建設新通道後,與樟宜機場的距離將在未來降低至30分鐘車程,為住戶提供更多便利。(星洲日報/投資致富‧企業故事‧文:李三宇)

7.  a)  A valuation has been carried out on the larger development land parcel (which includes the Gateway Land) by CBRE Valuations Pty Limited, an independent registered valuer on 28 April 2014 based on direct comparison and residual methods. The valuation report may be inspected at the registered office of MIB at PH2, Menara Mudajaya, No. 12A, Jalan PJU 7/3, Mutiara Damansara, 47810 Petaling Jaya, Selangor Darul Ehsan during normal business hours from Mondays to Fridays (except public holidays) for a period of 3 months from the date of the announcement on 21 May 2014.

    b) No valuation was carried out on the SC Land.

8.  The total sale proceeds of the Gateway Land and SC Land were advanced to Mulpha Investments Pty Limited (“MIPL”) to settle the amount owing by MIPL to Aveo Group Limited (“Aveo”) for the acquisition of shares in Norwest by  MIPL from Aveo.

9.  a)  The Gateway Land currently forms part of the security for a bank facility granted by  Westpac Bank and approval has been obtained from the said Bank for the discharge on or before the completion date.  

     b) The SC Land is unencumbered.

10. The breakdown for the total of 740 future potential development units are set out below and is subject to approval of the relevant authorities:-
      a) 580 units for the Gateway Land; and
      b) 160 units for the SC Land.

      Details of the proposed development, including the name of the project, are not available at this juncture as it is still in the planning stage.
11. Aveo Southern Gateway Trust and Aveo Sanctuary Cove Trust are trusts which are set up in Australia. The trustee of Aveo Southern Gateway Trust is Aveo Southern Gateway Pty Limited.  The trustee of Aveo Sanctuary Cove Trust is Aveo Sanctuary Cove Pty Limited. The units in each of Aveo Southern Gateway Trust and Aveo Sanctuary Cove Trust are owned by Aveo Funds Management Limited as the trustee for Aveo Group Trust.  The units in Aveo Group Trust are stapled to the shares in Aveo Group Limited and are listed on the Australian Securities Exchange.

发展项目影响悉尼酒店景观 马化国际起诉史丹福置地

(墨尔本26日讯)澳洲媒体报道,马化国际(MULPHA,3905,主板贸服股)将就悉尼斯坦福圆码头酒店的重新发展计划,明日在悉尼法庭,起诉新加坡史丹福置地(Stamford Land)。

报道指出,该计划是将酒店改造成4亿澳元(约12亿令吉)的公寓大楼,但规划管制和文物局如何处理该项目形成交锋。

以李成煌为首的马化国际,起诉新加坡大亨欧石吉掌控的史丹福置地,因把斯坦福圆码头酒店改建成高度翻倍的建筑物。

马化国际拥有的悉尼洲际酒店,毗邻运输大楼,坐落于斯坦福圆码头酒店后方。

未获议会批准

斯坦福圆码头酒店拆除后,取而代之的19层大楼将影响洲际酒店的景观,包括歌剧院。

马化国际指出,不只新威尔士州文物局曲解大部分的地方规划管制,悉尼市也没有将该建议的负面公众意见交给文物局。

根据报道,规划管制要求35至45米的建筑,可俯瞰植物园,并将建筑物界线后移10米。

城市规划机构的报告则指出,史丹福置地要将建筑物沿街线,升高22.5米,并缩小后移范围,即6.2米。

根据传票,这项目尚未得到议会的批准,但悉尼市认为后移范围属恰当,并将建议提呈给文物局,后者正准备发出批准。【南洋网财经】
