券商:長期前景亮眼 短期利好催升i公司股價

(吉隆坡14日訊)i公司(IBHD,4251,主要板房產)首半年業績符預期,券商看好全年可達6090萬令吉的淨利預測,加上估計4億令吉的未進賬銷量,長期前景亮眼。

房地產銷量和休閒業務收入更高,i公司次季淨利按年大漲2.2倍至1940萬令吉,首半年淨利激增1.2倍至2550萬令吉,營運賺幅亦上升8%至29.5%。

肯納格證券研究在分析報告指出,儘管次季沒有建議派息,但該公司已定下30%派息率,經調整拆股、附加股和紅股后,相等于2.6仙股息或2.6%淨回酬率。

建議現價位套利

“i公司放眼房產發展業務每年可帶來穩定的5億令吉營業額,在發展總值約90億令吉的城中城和i城項目帶動下,我們相信可達到此目標。”

該行預期,i公司下半年將推出發展總值約16億令吉的兩項新項目,包括Grand i-Residence與i-Suite第2階段發展項目。

但由于短期利好已反映在股價上,建議投資者可先趁高套利。

肯納格證券研究指出,自6月建議短線買入以來,i公司股價從當時1.66令吉(調整拆股后)揚升了31%,股價表現超越同期的富馬小型股指數(起9.46%)和富馬隆綜指(跌0.99%)。

基于短期催化劑已反映在股價上,加上2015年財政預算案的不確定性,該行建議投資者在目前價位套利。

“儘管如此,我們仍相信i公司長期前景依然佳,未來若出現新的催化劑或股價盤整后,我們可能再檢討投資建議。”

i公司今早起2仙,以2.16令吉迎市后穩步走高,一度漲10仙至2.24令吉;閉市時,該股報2.18令吉,起4仙,成交量105萬8900股。【中国报财经】

Unless stated otherwise, definitions used in this announcement shall carry the same meanings as defined in the Announcements.

On behalf of the Board, CIMB wishes to announce that the following documents have been duly executed on 18 August 2014:   

(i)             the Deed Poll constituting the terms and conditions of the 264,000,000 five (5)-year 3% to 5% redeemable convertible unsecured loan stocks of RM132,000,000 at 100% of its nominal value of RM0.50 each to be issued by I-Berhad as settlement of the Kia Peng Land Acquisition (“RCULS-A”); and              
               
(ii)            the Deed Poll constituting the terms and conditions of the 138,000,000 five (5)-year 3% to 5% redeemable convertible unsecured loan stocks of RM69,000,000 at 100% of its nominal value of RM0.50 each to be issued by I-Berhad as partial settlement of the SOHO Land Acquisition and the Tower Land Acquisition (“RCULS-B”).

The issuance of the RCULS-A and the RCULS-B is subject to the fulfillment of all the conditions precedent in relation to the transaction documents of RCULS-A and RCULS-B as well as the unconditionality of Kia Peng Land SPA, SOHO Land SPA and Tower Land SPA.

A copy of the RCULS-A Deed Poll and the RCULS-B Deed Poll will be made available for inspection at the registered office of I-Berhad at D-1-4, Jalan Multimedia 7/AJ, CityPark, i-City, 40000 Shah Alam, Selangor Darul Ehsan during normal business hours on Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this announcement.

I公司发股债筹7亿 4配5附加股送1凭单

(莎阿南27日讯)I公司(IBHD,4251,主板产业股)公布系列企业活动的详情,计划从中筹资6亿9980万令吉。

根据文告,该公司将通过发行附加股筹1亿9750万令吉,以及通过发行可赎回可转换无担保债券(RCULS)和不可赎回可转换无担保债券(ICULS),筹5亿230万令吉。

折价47%

附加股每股发售价为69仙,每持有4股现有股的股东,可认购5附加股,每认购5股附加股,可获1免费凭单。

每股69仙的发售价相当于I公司1.30令吉股价,折价47%。

此外,该公司的不可赎回可转换无担保债券将以50仙献售,持有者可在5年内以68仙价格行使相关债券,或以136张债券转换100股公司股权。

I公司副主席拿督尤芳洲表示,系列企业活动旨在加强股东价值,并且以诱人价格奖励小股东,让他们有机会提高于公司的参与率。

他说,在企业活动完成后,每持有5股普通股的股东,可获1红股。

在所有活动完成后,I公司股票数额将从2亿2900万股,或1亿1450万令吉,增至6亿1820万股,或3亿910万令吉或。

未来当所有债券与凭单获行使后,该公司股本可进一步增加7亿6610万股。

他说,公司也完成I城与吉隆坡,共3块土地的购地合约,预计这些土地未来的发展总值可达36亿令吉。【南洋网财经】

II. RENOUNCEABLE RESTRICTED OFFER FOR SALE OF UP TO 289,132,870 ICULS BY SUMURWANG SDN BHD("OFS")
We refer to the Company’s announcements dated 20 December 2013, 12 May 2014, 16 May 2014, 27 June 2014 and 22 July 2014 (“Announcements”) which set out amongst others, the Rights Issue with Warrants. Unless otherwise defined herein, definitions used in this announcement shall carry the same meanings as defined in the Announcements.

On behalf of the Board, CIMB wishes to announce that with respect to the Rights Issue with Warrants, the Board has today determined that:

(i)             the entitlement basis for the rights issue of ordinary shares has been fixed at five (5) Rights Shares for every four (4) existing ordinary shares held (“Rights Entitlement Basis”) based on an entitlement date to be determined and announced later (“Rights Entitled Shareholders”), at an issue price of RM0.69 each Rights Share (“Rights Issue Price”);

(ii)            The entitlement basis for the free detachable warrants had been fixed at one (1) Warrant for every five (5) Rights Shares subscribed for by our Rights Entitled Shareholders; and

(iii)           The exercise price for each Warrant has been fixed at RM1.69 (“Warrant Exercise Price”).

The Rights Issue Price represents:

(i)             a discount of 66.5% from the 5-Market Day volume weighted average market price of I-Berhad shares up to and including 26 August 2014 of RM2.06 (“5-MD VWAMP”);

(ii)            a discount of 46.9% from the theoretical ex-rights price of I-Berhad shares of RM1.30 based on the 5-MD VWAMP (“TERP”); and

(iii)           a discount of 36.1% from the theoretical ex-bonus price of I-Berhad shares of RM1.08 based on the 5-MD VWAMP (“TEAP”).

The Warrant Exercise Price was determined based on a premium of 30% to the TERP. Taking into account the Bonus Issue, this premium is expected to remain unchanged to the TERP after taking into account the adjustments set out in the Warrants Deed Poll.

Based on the issued and paid-up share capital of I-Berhad as at 26 August 2014 of 228,972,712, the Rights Issue with Warrants will involve the issuance of up to 286,215,890 Rights Shares to raise gross proceeds of RM197,488,964 based on the Rights Issue Price and the issuance of up to 57,243,178 Warrants. Assuming the full exercise of the Warrants, the potential total gross proceeds raised shall be up to RM96,740,971.

In respect of the OFS, up to 289,132,870 5-year 2% to 3% irredeemable convertible unsecured loan stocks of up to RM144,566,435 at 100% of its nominal value of RM0.50 each will be offerred by Sumurwang to I-Berhad's minority shareholders on the basis of five (5) ICULS for every one (1) share based on an entitlement date to be determined and announced later.

SJ證券指出,I公司目前未入賬銷售共4億令吉,將支撐未來盈利,從2015財政年起帶來強勁盈利成長,同時Grand i-Residence項目也提供獲利動力。

該行給予“買進”評級,合理價為4令吉40仙。(星洲日報/財經)

該公司以4配5的比例發售附加股,及配送1憑單今日除權。

JF APEX證券研究在近期的報告中指出,投資者看漲該股的價值,所以將熱切參與不可贖回可轉換無擔保債券(ICULS)和紅股。

考量到附加股和ICULS的發售折價,JF APEX證券研究相信,小股東可透過認購附加股和ICULS中受惠。

該公司早前宣布,每持有1現有股可認購5單位ICULS,以及每股5股送1股的比例,發送紅股。

根據附加股除權后的價格,以及ICULS的發售價所作出的計算,JF APEX證券研究說,上述企業活動將回饋股東39%未實現投資回酬(unrealised ROI)。【中国报财经】

就是认购附加股&loan stock的“白表格”/权益。。就是如你在EX-date 10/09/2014前特有就会分配到,想认购就待17号后收到表格就付款认购,不想就把那些-or/-lr在市场卖出去。。如对申请手续有困惑,可咨询你的经纪.   发表于 15-9-2014 02:36 PM

比如说,我有225 ibhd-OR ,然后再在市场买 100unit ibhd-OR,会有什么变化吗?

你那么做的话,你除了得付上附加股认购价,也得付依市场价购买的-or。。你可做的就是做出excess application 多申请(但最后获得多少,就依最终的认购率)。。这些当你收到表格即可明了。。  发表于 15-9-2014 03:37 PM

excess application就是多付申请额外一些(但因得看最终认购率+抽签分配,所以不晓得会额外获得多少)。。这些待你收到表格文件即可明了,里边有清楚说明。。  发表于 15-9-2014 04:38 PM
