(吉隆坡21日訊)永旺(AEON,6599,主要板貿易)今年將撥出7億令吉作為資本開銷,並計劃開設3間分店及2間MaxValu超級市場。

永旺執行董事裴榮裕說,上述3間分店有其中兩間分位于檳城大山腳及霹靂太平,由永旺經營;同時,永旺也將成為即將開張的吉隆坡Quill城商場主要的租戶。

“目前公司在大馬經營27間商店,和4間MaxValu超級市場,未來五年,我們希望能將業務發展到吉打,吉蘭丹、登嘉樓、沙巴和砂拉越五大州。”

他今日受邀出席該集團30週年慶典后,在記者會上,如是指出。

永旺也將在今年與日本一些食品公司商討合作,並推薦大馬市場給他們。

另外,永旺董事經理周瑪莉說,有鑑于生活成本增加,為了持續吸引消費者,該公司將會不間斷調整產品價格,提供優惠予消費者。

此外,該公司也正籌備及商討即將于2015年落實的消費稅。【中国报财经】

永旺全年賺2.3億‧1送1紅股

(吉隆坡27日訊)受營運成本走高影響,永旺(AEON,6599,主板貿服組)截至2013年12月31日止第四季淨利按年下滑11.84%至7千544萬2千令吉,惟全年淨利依然成長8.52%至2億3千零96萬2千令吉。

不過,在新分店貢獻和促銷日增加帶動下,末季營業額按年成長約6.9%至9億3千263萬9千令吉,全年營業額報35億1千441萬8千令吉,亦比前期成長7.9%。

派息22仙

該公司也宣佈派發每股22仙終期股息。

該公司董事部透過文告說,大馬整體經濟料保持穩定,惟消費情緒預計因政府合理化津貼政策和生活成本上揚而保持謹慎,無論如何,憑著公司的市場位置、國際品牌聲譽和競爭力,董事部有信心旗下零售和產業管理服務業務將在2014年保持強穩。

紅股後再拆細1變2

另一方面,永旺也宣佈以1送1比例派送紅股,之後再以1變2比例進行股票拆細計劃,藉此獎勵股東及促進股票流通量。

該公司發文告說,紅股計劃將從公司保留盈利戶口中融資,完成上述兩項計劃後,該公司股本將從目前3億5千100萬股面值1令吉股票,擴大至14億零400萬股面值50仙股票。( 星洲日報/財經)

BHD.” (“Agreement”), the Board of Directors of AEON CO. is pleased to announce that the joint venture company namely, AEON INDEX LIVING SDN BHD (“AEON INDEX”) has been incorporated on 28 February 2014 under the Companies Act, 1965.

As of to-date, AEON INDEX has an authorised share capital of RM50,000,000 comprising 50,000,000 ordinary shares of RM1.00 each and an initial issued and paid-up share capital of RM4,500,000 comprising 4,500,000 ordinary shares of RM1.00 each of which such paid-up capital will be paid by AEON CO. and Index Living Mall Company Limited within one (1) month from the date of incorporation of the AEON INDEX pursuant to the Agreement.

營運成本高‧永旺財測下修

(吉隆坡28日訊)永旺(AEON,6599,主板貿服組)2013財政年業績符合預期,且順帶替投資者捎來紅股和股票拆細驚喜,惟分析員對營運成本高漲有所顧慮,普遍調降該公司財測,下調幅度介於1.9%至12%之間。

紅股催化
股價一度漲9.79%

儘管盈利展望保守,可是在紅股和股票拆細利好帶動之下,永旺股價週五氣勢如虹,一度暴漲1令吉32仙或9.79%至14令吉80仙,終場收市報14令吉44仙,漲96仙,為全場最大漲幅股,成交量77萬零100股。

達證券研究表示,永旺2013年淨利按年成長8.5%至2億3千100萬令吉,佔全年財測約91%,淨利保持漲勢主要因強勁銷售增長、新分店開始貢獻以及租金收入上揚。

“考量營運成本在去年末季開始走高,我們決定稍微調低未來3年營運賺幅預估,同時分別調低未來3年財測2.9%、1.9%和1.7%。”

肯納格研究則說,永旺整體基本面保持穩固,惟為反映營業額成長率轉向保守,以及成本漲勢,決定將2014財政年財測調低6.3%。

“同時,我們對該公司建議派送紅股和進行股票拆細感到樂觀,因能讓更多人參與投資該公司股票,促進流票流通率。”

馬銀行研究則下砍2014和2015年財測8%和12%,認為永旺成長動力低於區域同儕,所以將目標本益比設在2014財政年的19倍,可是補充不能忽視該公司擁有的抗跌業務性質、良好過往紀錄和強勁資產負債表。

興業研究對永旺的展望最樂觀,認為永旺股價過去半年來回跌15%,目前以18.5倍預期本益交易,落後長期平均23倍本益比,且相信投資情緒將因紅股和股票分拆計劃而改善,所以決定上調永旺股票評級。(星洲日報/財經)

積極擴張雖正面‧永旺估值偏高

(吉隆坡16日訊)永旺(AEON,6599,主板貿服組)今年將歡慶30週年,分析員持續鍾愛集團有價值的品牌、正面基本面和未來2年積極擴張計劃,但礙於股價現已近歷史高位進行交易,估值相對於昂貴。

興業研究表示,永旺將在今年慶祝30週年,將進行主題為“與您新的開始”(The New Beginning With You)的慶祝活動來回饋客戶的忠誠,同時集團位於檳城大山腳和太平的兩家新購物中心將在2014財政年開始營運,將釋出約104萬平方呎淨租賃空間。

“永旺位於北賴的購物中心將關閉,並轉移至大山腳新購物廣場,同時集團將在今年於吉隆坡新設桂嘉購物商場(Quill City Malls)新店舖,以及沙亞南Gamuda Walk開設和Max Value超級市場。”

在2015財政年,永旺也計劃在吉里望(Klebang)和沙亞南開設兩家新購物中心,淨租賃空間將超過110萬平方呎。

因此,在反映永旺新增購物中心、舊店關閉和高營運資本後,興業研究下調其2014至2015財政年盈利目標1%至3%,雖然永旺穩定表現和積極擴張策略備受讚賞,估值也相對合理,但該股自2月杪以來已走揚16%,現以歷史高位的23倍本益比進行交易,下調評級至“中和”,目標價也下修至15令吉60仙。(星洲日報/財經‧報道:洪建文)

无畏双重衝击 永旺营业额料胜去年

(吉隆坡15日讯)面对消费情绪疲软,及消费税即將上路的双重衝击下,永旺集团(AEON,6599,主板贸服股)仍有信心其2014財政年可取得比去年更高的营业额增长。       

该公司2013財政年营业额按年上升7.9%,至35亿1441万令吉。永旺集团独立非执行主席拿督阿都拉向《东方財经》披露,「公司在2014財政年將进一步改善收入,因此,相信可取得比去年更高的成长。」

阿都拉也指出,永旺集团今年首季在面对市场情绪不稳定情况下,仍维持增长,同时,该公司也计划在今年继续扩充,並进入东马零售市场。

「我们今年將拨出9995万令吉作为零售业务的资本开销(Capex),这將用作未来2年的扩展计划、翻新工程等费用。」

阿都拉及永旺集团董事经理周玛莉及执行董事裴荣裕,在出席今日的股东大会后会见记者。

根据年报,该公司2013財政年总资本开销为5亿2552万3000令吉。其中零售业务和物业管理服务,分別佔9995万令吉和4亿2552万3000令吉。

周玛莉指出,9995万令吉资本开销不只是用于今年的扩展计划,而是包括未来两年,永旺集团在2014年將开设另外3家分行,分別位於檳城大山脚(BukitMertajam)、怡保佳邦(Klebang)和太平地区,以及2家旗下连锁超市--MaxValu。另外,永旺集团也在古晋和亚庇购买地库,作为未来扩展用途。

周玛莉指出,永旺集团將继续进行翻新工程,以提升现有门店和购物中心,同时可以保持零售市场的竞爭力,並继续为顾客提供优质的享受。

她指出,大马零售市场目前倾向多元化,包括逛街、休閒、娱乐等集一身,因此永旺集团计划把电影院带入翻新计划中,这样可以提升商场形象,也能带来更完善的娱乐设施。

大马消费者目前开始面对高通货膨胀环境,打击消费情绪。儘管如此,阿都拉认为,在稳定收入增长和健康就业市场状况扶持下,大马2014年消费者信心和支出料可维持正面谨慎。

阿都拉认为,受到2014年初佳节消费的扶持,抵消了消费情绪低迷的衝击,因此,该集团2014財政年首季表现將持稳。

对於2015年4月份消费税开始实施,阿都拉表示,这对零售领域肯定会有影响,但相信销售在2014上半年微降后,6月的开斋节需求將可带来扶持。

永旺集团早前建议以1送1比例派送3亿5100万股红股,然后再进行1变2股票拆细活动,这两项议案在今日股东大会上获得批准。

在完成红股计划后,该集团將每股面值1令吉股票,分拆成2股面值为50仙的股票,配合以上分拆活动,该公司將修改公司章程。

首季净利跌8.3%

營運成本高‧永旺兩年財測下砍

(吉隆坡16日訊)受到高營運成本因素的壓迫,永旺(AEON,6599,主板貿服組)2014財政年首季淨利意外萎縮,致使分析員普遍下砍該股未來兩年的財測。

分析員認為,就短期而言,永旺的盈利能力或許會繼續受到高營運成本的影響。

有鑑於此,肯納格研究分別將該公司2014與2015財政年的核心淨利預測下調4.7%及5.4%至2億4千340萬令吉和2億5千450萬令吉。

MIDF研究亦在考量到首季的低迷表現,而分別調低2014和2015財政年的每股盈利預測達8%以及2%。

興業研究則認為首季表現在預期中,未就永旺的高營運成本而作出任何財測調整,但仍提醒投資者需留意消費情緒降低和新競爭對手的崛起等風險。

永旺截至3月31日止首季淨利按年下挫8.29%至4千688萬令吉,僅分別佔據肯納格和MIDF全年預測的18%以及18.6%;但營業額成長8.7%。

對於營業額方面的穩健成長,MIDF將此歸功於零售業務和產業管理業務更高的收入貢獻。其中零售業務受到原有店面更出色的表現及新店面的貢獻扶持,寫下8.9%的營業額按年成長;產業管理業務營業額則按年走高8.1%,有賴於該公司去年11月新開的商場、更高的租金以及旗下部份商場租戶重整帶來的收益。

儘管首季營業額穩健成長,營運盈利與淨利卻因為整體盈利賺幅下滑而走跌。

MIDF指出,永旺的零售業務有礙於更高的營運成本,包括新增店面所涉及的初始投資成本,而導致營運盈利下挫18.8%;產業管理業務則在水電開支推高營運成本的情況下,營運盈利微漲1.6%。

肯納格認為,長期而言,永旺前景正面,該公司積極擴展新店面,包括在大山腳、太平、吉里望等地區增設3家永旺超級市場及兩家MaxValu超級市場,同時也有意將業務範圍擴充至東馬一帶。

The Bonus Issue will be implemented concurrently with the share split involving the subdivision of one (1) AEON Share held on the Entitlement Date after the Bonus Issue into two (2) ordinary shares of RM0.50 each in AEON (“Subdivided Shares”).

The Share Split will be implemented immediately upon the completion of Bonus Issue.

The date of listing of and quotation for the Subdivided Shares on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) shall be 2 June 2014, being the next market day immediately after the Entitlement Date.

On 15 May 2014, the shareholders of AEON have approved a payment of 22 sen per AEON Share as the first and final single tier dividend in respect of the financial year ended 31 December 2013 at its 29th Annual General Meeting (“Dividend”). The Dividend will be paid on 11 June 2014 to the shareholders of AEON whose names appear in the record of depositors of AEON as at 5.00 p.m. on 22 May 2014.

As the entitlement date of the Dividend will be prior to the date of allotment of the Subdivided Shares, the Subdivided Shares shall not be entitled to the Dividend.

The share registrar of AEON will issue and despatch the notices of allotment of the Subdivided Shares to the entitled shareholders of AEON within four (4) market days after the date of listing of and quotation for the Subdivided Shares on the Main Market of Bursa Securities.

永旺修订地皮买卖协议

(吉隆坡24日讯)永旺集团(AEON,6599,主板贸服股)週五宣布,与DNP置地私人有限公司签署附加协议,修订买卖协议的两块土地规模,从原本的78万5087平方尺,缩小5万零349平方尺,至73万4738平方尺。       

隨著购买的土地规模缩减,该2幅土地的交易价格也隨之调整,根据每平方尺60令吉的售价,从先前的5012万6234令吉,减至4710万5239令吉。

- Acquisition of Land
1. INTRODUCTION
Reference is made to the Company’s announcement on 5 August 2011 in relation to the Sale and Purchase Agreement dated 5 August 2011 (“Sale and Purchase Agreement”) for the acquisition of two (2) pieces of freehold land under GRN 83570, Lot No. 1379, Mukim 15, Daerah Seberang Perai Tengah measuring approximately 7.2989 hectares and GM 3282, Lot No. 14344, Mukim 15, Daerah Seberang Perai Tengah, Negari Pulau Penang measuring approximately 4,625 square metres (hereinafter referred to as “the Land”). The Board of Directors of AEON wishes to announce that the Company and DNP Land Sdn. Bhd. (hereinafter referred as “Vendor”) has on 23 May 2014 entered into a Supplemental Agreement (“Supplemental Agreement”) to vary, amend, modify or alter certain provisions, terms, and conditions of the Sale and Purchase Agreement following the amalgamation of the Land.

A separate document of title of the Land has been issued and is held under No. H.S.(D) 59864 No. PT Lot 30908, Mukim 15, Daerah Seberang Perai Tengah, Negeri Pulau Pinang measuring approximately of 72,937.00 square metres or 785,087.33 square feet (hereinafter referred to as “Sale Property”).

Following the amalgamation of the Land, the size of the Sale Property has been reduced by 50,349.91 square feet and the purchase price is therefore adjusted accordingly at the rate of RM60.00  per square feet and reduced from Ringgit Malaysia Fifty Million One Hundred Twenty Six Thousand Two Hundred Thirty Four and Sen Forty (RM50,126,234.40) to Ringgit Malaysia Forty Seven Million One Hundred Five Thousand Two Hundred Thirty Nine and Sen Eighty (RM47,105,239.80) (“Revised Purchase Price”).

2.  SALIENT TERMS AND CONDITIONS OF SUPPLEMENTAL AGREEMENT

The salient terms and conditions of the Supplemental Agreement include, among others, the following:-

2.1 Prior to the execution of the Supplemental Agreement, the Company has paid the RM7,004,252.28 (hereinafter referred as “Reduced Third Payment”) to the Vendor’s solicitors as a stakeholder.

2.2      The Transfer Documents have been delivered to the Company prior to the execution of the Supplemental Agreement.

2.3      Upon execution of the Supplemental Agreement, the parties shall proceed to complete the transfer of Sale Property whereupon:-
2.3.1 the Company shall present the Memorandum of Transfer  based on the Revised Purchase Price for stamp duty adjudication and upon the receipt of the assessment of the stamp duty payable, stamp and proceed to register the Memorandum of Transfer with the relevant land office/registry;

2.3.2 the Vendor shall execute and deliver to the Company a Corporate Guarantee in the form and substance of the Corporate Guarantee as a guarantee to complete the Vendor’s obligation pursuant to the Supplemental Agreement; and

2.3.3 the Vendor’s solicitors are directed to release to the Vendor the Reduced Third Payment, the Fourth Payment and the Final Payment together with the accrued interest thereon to the Vendor upon the completion date in the Sale and Purchase Agreement.

2.4 The Vendor shall, at its own costs and expenses, apply for and on behalf of the Company for the issuance of a new title to the Sale Property in order to reflect the actual boundary and the size of area of the Sale Property.

2.5 The Company undertakes to execute all such documents and do all such acts and deeds as may be necessary to enable the Vendor to apply for and obtain the issuance of the new title, at the cost and expense of the Vendor.  

2.6 The Vendor shall pay such fee prescribed under the National Land Code or such other fees required by the relevant authorities and submit a plan showing the details of the new size of area of the Sale Property to the relevant authorities for the issuance of a new document of title.

2.7 The Vendor shall indemnify the Company against all losses, claims, damages and costs suffered by the Company resulting from the breach of warranties, covenants or non-performance of the Vendor under the Supplemental Agreement.

2.8 The Vendor shall return to the Company any amount of the New Revised Purchase Price paid in excess by the Company based on the Final Purchase Price upon issuance of the new title.

2.9 The Vendor shall pay to the Company the difference between the stamp duty paid based on the Revised Purchase Price and the stamp duty calculated based on the Final Purchase Price and the difference between the registration fee for the presentation of the Transfer of the Revised Purchase Price and the Final Purchase Price upon issuance of the new title.

2.10 The Vendor shall ensure the proprietorship and the interest of the Company on the Sale Property to remain intact upon the issuance of the new title.

3. DOCUMENTS AVAILABLE FOR INSPECTION

A copy of the Supplemental Agreement is available for inspection at the registered office of AEON at 3rd Floor, AEON Taman Maluri Shopping Centre, Jalan Jejaka, Taman Maluri, Cheras, 55100 Kuala Lumpur during normal office hours from Monday to Friday (except public holidays) for a period of three (3) months from the date of this announcement.

这股已派红股+拆股+股价相对的已做出大调整,,,至于现时的3++要回去调整之前的14+。。接下来就看公司后续发展+市场表现。。短时间不会。。n年后就不定,没人会晓得。。  发表于 2-6-2014 05:20 PM

应对竞爭 永旺进军家具电器

(吉隆坡24日讯)由于面对来自新购物中心激烈的竞爭,导致在马股掛牌的日本最大零售商--永旺集团(AEON,6599,主板贸服股)將业务多元化至家具和电器商场。同时,该集团表示,暂无扩展至国外的计划,並將会专注其在大马的营运。       

永旺集团执行董事裴荣裕在接受《彭博社》专访时表示,竞爭以及消费模式的变化促使他们必须做出改变。

「国內零售业务的竞爭其实非常激烈。在过去一年,零售面积显著增加,而且预计在未来两至三年內会进一步增加。」

永旺集团目前在国內营运霸级市场、百货商场以及药剂行。其最大的竞爭对手之一是来自英国的特易购(TESCO)。

东南亚的零售业者正在努力寻找吸引消费者的新方式,因为面临高通货膨胀和私人消费增长放缓。根据国家银行的数据显示,今年首季的私人消费按年成长7.1%,低于去年末季的7.4%。

裴荣裕指出,「霸级市场的价格战非常激烈,但他们依然保持著自己的市佔率,这並不是一件容易的事。」

为消费税做好准备

他称,该集团今年將用14亿令吉的资本开销开设新商场和翻新旧商场,並已经为明年4月的消费税(GST)做好准备。消费税在明年4月实施后,预料集团首3个月的销售將受到影响。

永旺集团在去年9月与泰国家具商Index Living Mall进行联营协议,以便在大马设立家具商场。

永旺集团早盘交易触及4.33令吉一年新高水平,起19仙或4.59%;不过,该股午盘交易回吐部份涨幅,以4.21令吉掛收,全天起7仙或1.69%,成交量为231万2600股。

然而,根据《彭博社》追踪的8名分析员,其中5名分析员却给予该股「卖出」投资评级、2名分析员建议「守住」,只有1名分析员给予「买入」投资评级。

裴荣裕认为,只有当公司获得授权扩展业务至国外,相信才会为市场带来惊喜。【东方网财经】
