（吉隆坡14日讯）昱昇科技（WINTONI，0141，创业板）公布，建议通过发出附加股及脱售两家子公司集资，並以2484万令吉收购一家移动增值服务（MVAS）公司-Ozura Firstlogix私人有限公司（OFSB）。        

该公司建议，与Ozura Interactive私人有限公司达成买卖协议（SPA），以2484万令吉收购在OFSB的50.15%股权。

另外，该公司指出，此项收购活动符合其多元化营业额及收入来源计划，该公司也看好移动增值服务前景，料將对其未来盈利带来正面贡献。

配合以上企业活动，与Primose Ventures有限公司达成拥有权转让协议（OTA），以1450万令吉脱售在上海WinCo Electrical有限公司(WinCo)与上海Winner Electrical有限公司（Winner）的所有股权。

此外，该公司表示，在审议和审查此两家公司的过去財务表现后，该公司决定脱售两家表现不佳公司。

另外，该公司也建议以1配1附加股，及2附加股2配1凭单方式，发出7亿2900万股附加股及及3亿6450万张凭单。

根据文告指出，此项附加股活动，最多可筹集约5832万令吉；最少则筹集2052万令吉。

除此之外，该公司宣布將配售最多2187万令吉面值的5年期不可赎回可转换无担保债券（ICULS），即每1股获得配售面值共3仙债券。

On behalf of the Board of Directors of Wintoni, KAF Investment Bank Berhad wishes to announce that the Company is proposing to undertake the following proposals:- (i) proposed disposal by Wintoni of its entire equity interests in Shanghai Winner Electrical Co, Ltd and Shanghai WinCo Electrical Co, Ltd to Primose Ventures Limited for an aggregate cash consideration of RM14,500,000; (ii) proposed acquisition by Wintoni of 25,050,000 ordinary shares of RM0.01 each in Ozura Firstlogix Sdn Bhd (“OFSB”), representing 50.1% of the issued and paid-up share capital of OFSB, from Ozura Interactive Sdn Bhd for a cash consideration of RM24,849,600;    (iii) proposed renounceable rights issue of up to 729,000,000 new ordinary shares of RM0.05 each in Wintoni (“Rights Shares”) at an issue price of RM0.05 per Rights Share on the basis of one (1) Rights Share for every one (1) ordinary share of RM0.05 each in Wintoni (“Wintoni Share”) held by the entitled shareholders of the Company after the Proposed Par Value Reduction (as defined in the attached announcement), on an entitlement date to be determined later (“Entitlement Date”) together with up to 364,500,000 free detachable warrants (“Warrants”) on the basis of one (1) Warrant for every two (2) Rights Shares subscribed for (“Proposed Rights Issue of Shares with Warrants”); and    (iv) proposed renounceable rights issue of up to 729,000,000 or RM21,870,000 nominal value of five (5)-year, 1%, irredeemable convertible unsecured loan stocks (“ICULS”) at 100% of the nominal value of RM0.03 each (“Rights ICULS”) on the basis of one (1) RM0.03 nominal value of Rights ICULS for every one (1) Wintoni Share held by the entitled shareholders of the Company after the Proposed Par Value Reduction, on the same Entitlement Date as the Proposed Rights Issue of Shares with Warrants.    Kindly refer to the attached document for the complete announcement.    This announcement is dated 14 July 2014. http://www.bursamalaysia.com/market/listed-companies/company-announcements/1684929

In accordance with Rule 9.32(a) of the Listing Requirements, Wintoni must issue the circular in relation to the Proposals (“Circular”) as soon as possible and in any event not later than two (2) months from 14 July 2014, being the date of the First Announcement. 昱登尼取消購OzuraFirstlogix

（吉隆坡4日訊）由於無法如期達成先決條件，昱登尼（WINTONI,0141,創業板科技組）宣佈取消以2千484萬9千600令吉收購OzuraFirstlogix私人有限公司50.1%股權計劃。

該公司發文告宣佈，賣方是在今日以交易無法在限期內完成為由，書面要求公司終止上述交易，董事部在考量上述要求和不太令人滿意的精密審核結果後，決定同意賣方要求，終止買賣協議。

附加股計劃有變動

另外，配合交易被取消，同期建議的附加股計劃亦將作出相應的調整，尤其是發股比例和集資用途，詳情將適時對外公佈。

昱登尼是在今年7月建議展開上述收購計劃，以進軍流動增值服務（MVAS）市場，同時建議以1配1送1比例發售附加股和憑單，及以1配1比例發售債券股，以籌措最多5千832萬令吉資金。（星洲日報／財經）

On behalf of the Board, KAF Investment Bank Berhad wishes to announce that Wintoni had on 4 November 2014 received a letter from OISB requesting for the termination of the Acquisition SPA on the ground that there is a potential delay in fulfilling all the conditions precedent to the Acquisition SPA within the Conditional Period and therefore, the Proposed Acquisition may not be completed on a timely manner to meet the funding requirement of OFSB. The Board, having considered the request from OISB as well as the unsatisfactory outcome of the financial due diligence review on OFSB, agreed to accede to OISB’s request to terminate the Acquisition SPA (“Termination”). Following the Termination,:- (a) OISB shall within 7 days of demand from Wintoni forthwith refund or cause to be refunded to Wintoni the Deposit of RM2,484,960, failing which interest on such sum calculated at the rate of 8% per annum for the period commencing from the date of such demand to the date of actual payment shall be payable by OISB to Wintoni; and (b) the Proposals shall be revised accordingly, particularly on the basis and quantum of the Proposed Rights Issues as well as the utilisation of the proceeds to be raised therefrom, the details of which shall be determined and announced in due course. The Termination is not expected to have any material impact on the consolidated EPS and NA per share of Wintoni for the FYE 31 December 2014. This announcement is dated 4 November 2014.

（吉隆坡27日訊）儘管WINTONI集團（WINTONI，0141，創業板科技股）針對馬證交所發出“異常交易活動”（UMA）質詢，表示對股價及交投量異常波動毫不知情，但股價仍連日大熱走高。

該股先跌后起，以19仙開盤，先下滑0.5仙，大部分時間在19仙至19.5仙之間窄幅波動，但在10點53分回揚，不久便攀升1.5仙或7.7%至21仙，休市暫掛20.5仙，增1仙；半日成交量7065萬9100股，為十大熱門股。

該股午盤繼續呈升勢，截至4點半報20.5仙，起1仙，成交量8621萬2100股。

該股週四（26日）因交投熾熱，更一度漲2仙至20.5仙歷史新高價位，而遭馬證交所發出“異常交易活動”質詢。

該公司晚間向馬證交所報備，對股價走勢原因表示不知情。
