NON RELATED PARTY TRANSACTIONS | Description | ACQUISITION OF A SUBSIDIARY | The Board of Directors of Lion Diversified Holdings Berhad (the “Company”) wishes to announce that Ara Seri Bangun Sdn Bhd, a wholly-owned subsidiary of the Company, had on 30 July 2015 acquired the entire issued and paid-up capital of Alpha Strategies Sdn Bhd (“Alpha Strategies”) for a cash consideration of RM2.00.
Consequent thereupon, Alpha Strategies became a wholly-owned subsidiary of the Company.
Alpha Strategies is a company incorporated under the Companies Act, 1965 on 27 July 2015 with an authorised share capital of RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each of which two ordinary shares have been issued and fully paid-up. Alpha Strategies has not commenced operations.
The acquisition of Alpha Strategies does not have a material impact on the earnings of the Group for the financial year ending 30 June 2016 and the net assets of the Group based on the audited consolidated statement of financial position as at 30 June 2014.
None of the Directors and major shareholders of the Company and/or persons connected with them has any interest, direct or indirect, in the acquisition of Alpha Strategies.

金獅旗下美佳違約

（吉隆坡23日訊）金獅機構（LIONCOR，3581，主板工業產品組）和金獅多元控股（LIONDIV，2887，主板工業產品組）分別持股78.89%和21.11%股權的美佳鋼鐵（Megasteel）私人有限公司，因無法如期在週三償還銀行承兌匯票（BA）而正式宣佈違約。
金獅機構透過文告說，由於美佳鋼鐵是旗下主要子公司，違約將同時導致金獅機構出現交叉違約，債權人有權立即終止相關貸款，要求金獅機構馬上還清所有欠款。
無論如何，已在2013年10月淪為PN17公司的金獅機構，投過文告坦言在考慮現況後，公司無法向交易所作出有償還能力的聲明。
截至週三，金獅機構所背負的總債務，包括債券、債券股和銀行貸款等，合計高達30億2千萬令吉。
無論如何，金獅機構強調會繼續營運，並且會與債權人及供應商接洽，尋求他們繼續給予支持。
金獅機構也是金獅多元控股的聯號公司，後者持有前者的34.01%股權。（星洲日報／財經）

Megasteel has been operating under difficult environment due to the rampant importation of steel products into the country at dumping prices. As a consequence, Megasteel has been suffering losses for several years resulting the BA Default.
Megasteel is presently held by LDHB and Lion Corporation Berhad ("LCB") in the equity ratio of 21.11:78.89 whilst LCB is a 34.01%-owned associated company of LDHB. Both Megasteel and LCB are not major associated companies of LDHB.
Pursuant to Paragraph 9.19A of the Bursa Malaysia Securities Berhad ("Bursa Securities") Main Market Listing Requirements, the Company is obliged to announce the BA Default to Bursa Securities as both Megasteel and LCB are associated companies of LDHB. In this regard, we attach herewith the announcement made by LCB on 23 September 2015 in respect of the BA Default.
The Board wishes to reiterate that this default is by its associated company and not by LDHB or any of its subsidiaries. |

金狮多元售地赚1980万

（吉隆坡2日讯）金狮多元控股（LIONDIV，2887，主板消费产品股）子公司LDH贸易有限公司，脱售总面积63.4顷的种植土地，总值3650万令吉。
该公司脱售土地给KLC Agro有限公司，是一家经营农业相关产品的贸易公司。
文告中指出，金狮多元料通过这项脱售能为2016财年获得1980万令吉的收益；而净资产将增1980万令吉，对负债率则没影响。

旗下美佳钢铁拖欠3575万 金狮多元致力重组债务

（吉隆坡20日讯）金狮多元控股有限公司（LIONDIV，2887，消费产品组）持股21％的联营公司美佳钢铁私人有限公司宣布，在9月份旗下3家全资子公司合共拖欠3575万令吉的贷款便利。
金狮多元控股致函大马交易所说，上述被指违约的3家子公司，分别是Excel Step投资有限公司未能赎回所发行的债券、Graimpi私人有限公司未能偿付信用状便利，以及金狮DRI私人有限公司未能偿还营运资本的便利。由于钢铁经营环境仍具挑战性，加上进口钢铁产品以倾销价格进入国内后，导致美佳钢铁的营运一直不好。
它称，我们已在过去数年遭受严重的亏损，导致无法全数赎回债券和偿还贷款便利。
该集团补充：“令吉汇价疲弱也导致未能赎回部分以美元计价的债券。”
投资控股公司Excel Step投资没有能力赎回尚欠的3968万美元（1亿7170万令吉）中的400万美元（1720万令吉）的票面价值6％可转换债券。
与此同时，钢材贸易商Graimpi于上周已收到付款通知书，要求偿还在一项伊斯兰信用状便利下的865万4000令吉贷款，以及将在11月20日到期的另一笔260万令吉贷款。
至于，直接还原钢铁产品制造商金狮DRI，在10月31日拖欠支付730万令吉的营运资本便利。
金狮多元控股指出，上述违约也将会令到集团未能偿还营运资金便利协议的1亿904万令吉总限额，以及定期贷款融资协议与本金金额1460万令吉。
截至11月18日止，上述未偿还的便利总额达到1亿1690万令吉。
在解决违约债务而采取的措施中，它表示，Excel Step和它的财务顾问一直与债券持有人商讨重组债券，一旦与债券持有人达成了重组协议的条款后就作出适当的宣布。
而Graimpi和金狮DRI，它们经已分别向各自的银行提出重组它们的伊斯兰信用状便利和营运资金便利。
金狮多元控股透露：“Excel Step、Graimpi及金狮DRI不是我们的主要附属公司。”
根据金狮多元控股的2015年报显示，在截至2015年6月30日止的借贷总额达4亿7032万令吉，而手上的现金及银行结余仅3亿1160万令吉。【光华日报财经】

重组债务延长偿还期 金狮多元新债养旧债

（吉隆坡16日讯）还债无力的金狮多元控股（LIONDIV，2887，主板工业股）再次重组债券，今天建议以新债养旧债来延长偿还期。
丹斯里钟廷森控制的金狮多元控股今天发佈文告表示，其子公司ExcelStep投资有限公司与其財务顾问，正考虑重组一批于2007年11月16日发出的可转换债券。这一批总值1亿3211万美元债券，將在2017年到期，目前仍有3968万美元未被转换。
持有这批债券的投资者，可在债券到期前，把手上债券转换成百盛控股的股票。百盛控股是钟廷森控制的另一家上市公司。
该公司是建议发出50万美元现金，及2批总值3918万美元的债券，来偿还还未被转换的3968万美元债券。
金狮多元控股指出，第一批是零利率有担保抵押可转换债券，总值1218万美元，届满日期是2020年；第二批是8%年利的有担保无抵押债券，总值2700万美元，届满日期是2019年。换句话说，该公司是把原有债券的届满期延后2至3年。
该公司进一步指出，第一批债券可以转换成约5023万股百盛控股；至于第二批债券则无抵押品，利息將分成8期来支付，其中7期总值300万美元的利息將每半年支付一次，最后一期的600万美元將在2019年11月16日支付，每年利息8%。
待持有人批准
金狮多元控股解释，重组债券的目的，是为了延长债券的有效期，让百盛控股股价可以更多的时间反弹。
这项重组尚待债券持有人在2016年1月31日的批准，若能过关的话料可在明年首季完成。
金狮多元控股之所以建议重组债券，皆因当Excel Step于2007年11月发出一批可转换成百盛控股的债券时，转换价是每股11.04令吉。8年多后的今天，百盛控股的股价已经跌低至99仙左右，和转换价相差91%！债券持有人自然不会愿意换股。【东方网财经】

金狮多元获准 重组Excel Step债务

（吉隆坡21日讯）金狮多元控股（LIONDIV，2887，主板消费产品股）宣布，该公司旗下Excel Step投资的债券债务重组计划已获批准。
该公司向马交所报备，已债券持有人签署相关合约。
因此，该公司指出，Excel Step投资债券并没有违约。
金狮多元控股早前宣布，正考虑为ExcelStep投资后年到期，总值达1亿3211万美元（约5.72亿令吉），属于6%的可转换债券进行重组。
根据该公司的建议，Excel Step投资的债券投资者，除了手上所持有的现金抵押（cash collateral），会偿还总值3968万美元（约1.7亿令吉）母金中的50万美元（约216万令吉）给债券投资者。
其余的欠款，则将以两批债券替代，一是发行总值1218万美元（约5273.94万令吉）的零息担保抵押可转换债券，二是总值2700万美元（约1.16亿令吉），8%的担保无抵押债券，2019年到期。
可转换债券将于2020年11月16日届满，由百盛控股（PARKSON，5657，主板贸服股）股票担保，且可转换成该公司股票。
另一个分期偿还无抵押债券，则将有进度的赎回，以降低利息开销。【南洋网财经】

金狮多元子公司1687万债券违约

（吉隆坡3日讯）金狮多元控股（LIONDIV，2887，主板消费产品股）独资子公司ExcelStep投资因无法在1月31日赎回400万美元（约1687万令吉）的债券，而接获债券托管人的违约通知。
根据早前的文告，公司有意在1月31日前进行债券进一步重组计划。
公司表示，由于无法如期敲定进一步重组的程序，以及发行协议备忘录给债券持有人，征求修改有关重组事项的意愿，而面对违约。
Excel Step投资已在过去数个月和债券持有人洽谈，预计在短期内发出协议备忘录，向他们征求有关进一步重组计划的意愿。
假设获得他们的批准，重组计划将很快完成。
此外，公司表示，如果无法进行重组计划，也会面对其他的贷款违约。
这包括总值近1亿940万令吉的营运资本便利，以及1460万令吉的定期贷款。【南洋网财经】

金獅多元控股（LIONDIV，2887，主板工業產品組）截至2016年3月31日止第三季虧損收窄至3千310萬5千令吉，去年同期為虧損7千195萬1千令吉。
首3季虧損減至8千312萬4千令吉，去年同期共虧2億4千572萬5千令吉。
第三季營業額減少68.09%至1億1千807萬令吉，以及首3季營業額下挫46.50%至5億2千327萬6千令吉。
金獅多元控股在文告中表示，業績不佳主要由於旗下直接還原鐵（DRI）業務的銷售降低，合同製造部門（CMS）因本地和國外業務改善而表現良好，產業部門錄得較高營收，但賺幅降低令盈利下滑。（星洲日報／財經）

金狮多元和子公司遭索赔8000万

（吉隆坡9日讯）金狮多元控股（LIONDIV，2887，主板消费产品股）和独资子公司Limbungan Makmur私人有限公司，遭摩纳哥公司Classic Maritime索赔超过2000万美元（约8000万令吉）。
金狮多元控股昨日向马交所报备，Classic Maritime是针对一项租船契约的违约索赔。
根据文告，金狮多元控股的律师，于7月6日接获从伦敦高庭发出的索赔信。
Classic Maritime索赔数额，包括2050万美元（约8205万令吉）、142万美元（约568万令吉），和Limbungan Makmur所拖欠的余额，及所拖欠的利息。
不过，金狮多元控股和Limbungan Makmur都相信，他们有很好的抗辩理由，将采取行动应对。【e南洋】

（吉隆坡24日訊）金獅多元控股（LIONDIV，2887，主要板消費）截至6月底2016財年末季蒙虧7億3769萬令吉，同時審計師表示對公司未來持續經營的能力感擔憂，陷入PN17行列，
金獅多元控股向馬證交所報備，截至6月底2016財年末季由盈轉虧7億3769萬令吉；營業額跌39%至1億4050萬令吉。
該公司全年虧損大幅擴大3.5倍至8億2082萬令吉；營業額降低45%至6億6378萬令吉。
同時，該公司宣布，因截至6月底2016年末季的未經審計中期財報的股東基金少于繳足資本的50%，引發審計師對公司未來持續經營的能力感擔憂，而抵觸馬證交所主要板上市第8.04條例，及馬證交所PN17行列2.1（a）和2.1（e）條文，而列入PN17行列。
根據報備文件，蒙受虧損主要因為進口鋼鐵產品傾銷，拉低直接還原鐵（DRI）需求與銷售，故在今年2月份關閉直接還原鐵廠房。
房地產業務而言，因盈利賺幅下滑拉低盈利表現。
