已經有兩項公司憑單美德集團-WA（MEDAINC-WA）和美德集團-WB（MEDAINC-WB）在交易的美德集團（MEDAINC，5040，主要板房產），最近再建議發出新憑單美德集團-WC（MEDAINC-WC）。

根據該公司在今年3月5日文告，美德集團將根據每10股派送1單位憑單比例，免費送出高達6409萬單位新憑單給公司股東。和之前的兩項憑單一樣，美德集團-WC期限也是10年，行使價已被定在80仙。

美德集團的大股東在3月也拋售手中持有的美德集團-WA。

根據大馬交易所資料，該公司大股東張氏兄弟，在3月總共賣出約2000萬單位美德集團-WB。除了迎接新憑單來臨外，美德集團-WB本身也因為行使價被調高而失去一些吸引力。

行使價原本為60仙的美德集團-WB，行使價在今年4月23日憑單發行2周年后，被上調至70仙。美德集團-WB是在2012年4月發出。該憑單有一項特別條例是行使價會每2年上調10仙。

這意味美德集團-WB行使價，根據每2年上升10仙的情況下，在屆滿之前將會上升到1令吉。

母股價錢疲弱

美德集團主要業務是房地產開發，主要發展項目是在賽城和新山。美德集團也經營酒店和進行房產投資。截至2013年12月底財年，美德集團營業額增長6%，但淨利卻下跌28%至2023萬令吉，因為該公司在2012財年有特別項目增加盈利。

雖然美德集團最近不斷回購股票，母股價錢卻非常疲弱。該公司母股價已經從3月初83.5仙的高峰，回調至上周五閉市時的73.5仙。

這或許和許多持有美德集團-WB的股友，在4月行使價未被調高前行使原本處于折價交易的憑單有關。目前還在交易的美德集團-WB，只剩9646萬單位，比起2年前發行時的1億1402萬單位，已少了接近2000萬單位。

公司使用免費憑單獎勵股東是一種相當好的企業策略。不過大股東在市場廉價拋售憑單，卻是給予投資者一種負面的印像。
