美德1029万售子公司

(吉隆坡24日讯)美德集团(MEDAINC,5040,主板產业股)宣布与Casa Andaman私人有限公司签署股权买卖协议(SSA),以1029万4871令吉的售价,脱售独资子公司--ZKP发展私人有限公司的100%股权予后者。

ZKP发展是檳城大山脚The Summit Bukit Mertajam商业综合发展项目的受益人。

这项目包含5层楼,325个单位的零售广场、9层高的办公单位,以及一间10层高,168间客房的3星酒店,和两层地底泊车空间,共664个泊车位。

该公司发表文告指出,出售所得,加上截至2014年12月31日止的-ZKP发展私人有限公司净欠款额(Net Amount Owing),预计所得款项为7787万令吉。

上述款项將在1年內,用来支付收购BCM控股私人有限公司的建议,以及未来投资或產业发展的营运资本。

美德1500万售霹雳租赁地

(吉隆坡11日讯)美德集团(MEDAINC,5040,主板產业股)宣佈,其子公司Nandex Land私人有限公司,与一马房屋计划公司(PR1MA)和Aturan Prisma私人有限公司,达成整片脱售协议,脱售位於霹雳江沙的一块租赁地,佔地约85.98英亩,土地总成本约为1500万3956令吉。

该公司发表文告指出,上述土地租赁期至2110年9月26日,账面价值(截至2014年12月31日止)为961万8418令吉。

如无意外,上述协议预计在今年12月10日完成。

上述协议旨在释放其土地价值,和实现资本增值,以及融资作为公司营运和未来扩张计划的资金。

文告也假设,上述脱售计划將取得约440万令吉的收益(在扣除25%的所得税后)。【东方网财经】

美德集團料引入主要股東 本週特大議決1.8億收購案

(吉隆坡29日訊)美德集團(MEDAINC,5040,主要板房產)將在週四(12月3日)召開特別股東大會,尋求股東通過發新股和現金,以總值1億8000萬令吉全面收購BCM控股私人有限公司(簡稱BCM),以進行發展總值約8億8191萬令吉的綜合發展計劃。

據了解,一旦收購建議獲通過,該公司或將環球集團(TSTORE,5711,主要板貿服)前執行董事陳宥中(譯音)引進董事局。

美德集團將在週四早上10時30分,于Summit梳邦再也USJ酒店舉行股東特大,尋求股東通過2項議案。

首項議案是建議通過發新股和現金的方式(即6700萬新股和1億3980萬令吉現金),以總值1億8000萬令吉收購BCM全數股權,包括200萬股普通股,以及400萬可贖回可轉換優先股(簡稱RCPS)。

陳宥中和楊淑珠(人名皆譯音),分別持有BCM的80%和20%股權。

在上述股權收購下,美德集團將分別為陳宥中和楊淑珠發行美德集團各5360萬和1340萬新股,每股發售價60仙。換句話說,這批新股總值4020萬令吉。

市場因而相信,陳宥中將崛起成為美德集團的主要股東,或成為董事局成員之一。

根據報備文件,BCM持有2塊位于吉隆坡的土地,佔地面積共4.18英畝。

美德集團計劃在上述土地進行發展總值約8億8191萬令吉的綜合發展計劃,涵蓋服務式公寓和商業房地產。

至于股東特大的第2項議案,美德集團建議以1029萬令吉,脫售ZKP發展私人有限公司的全數股權。

第3季由盈轉虧
擬擴展房產業增賺幅

受投資物業減值、重估虧損等因素影響,美德集團截至9月底第3季由盈轉虧,單季淨虧2032萬5000令吉,比較上財年同期淨賺37萬5000令吉。

不過,第3季營業額按年增長27%至3309萬令吉,銷售成本1306萬令吉增至1999萬令吉。這主要因 Scott Tower項目接近完成。

美德集團上週五(27日)向馬證交所報備,本財年首9個月營業額按年增13%至1億321萬令吉,但稅前虧損2615萬令吉,淨虧2844萬令吉。

該公司指出,投資物業減值總額達1836萬令吉,房地產、廠房和器材重估虧損約70萬令吉,以及庫存可兌現淨值僅61萬令吉,是導致首9個月稅前虧損2615萬令吉的主因。

儘管國內房產市場今年內仍具挑戰,但美德集團除了現有發展計劃,也將發掘更多擴展房產發展業務的機會,並積極在巴生谷物色潛在地庫以取得更高賺幅。

該公司也預期,收購BCM的計劃可明顯幫助改善公司業績。【中国报财经】

美德推8.95億產業‧料4年獲利1.79億

(吉隆坡3日訊)美德集團(MEDAINC,5040,主板產業組)明年首季將推出吉隆坡新街場的高端綜合產業項目,發展總值約8億9千500萬令吉,預計未來4年可獲利1億7千900萬令吉。

此外,該公司也參與一個馬來西亞房屋計劃(PR1MA)項目,將在明年開始推出。

今日股東特大結束後,美德集團執行董事兼首席營運員洪秀聰對《星洲財經》表示,在收購擁有新街場約4.8英畝地庫的BCM公司後,該公司明年首季將會發展高端綜合房產發展項目。

他補充,過去幾年房市大熱,一些產業估值過高,仍沒有澆熄人們對房子的需求,儘管目前的大環境不佳,但是只要推出合理價格產品,產業仍大有可為。

根據該公司的文告,新街場的地段將發展3棟服務式公寓,共有1千零87個居住單位以及13間店鋪。

特大通過購BCM售ZKP

股東今天通過該公司以1億8千萬令吉收購BCM公司,以及以1千零29萬令吉脫售ZKP發展公司的議程。

詢及明年會有好幾項工程項目進行,公司現金流會不會緊張,他表示,由於收購BCM公司一部份是以公司股權支付,該公司目前只付給對方260萬令吉的定金,在額外借貸5千萬令吉和脫售ZKP的資金後,剩餘的8千餘萬令吉的款項將在兩年內還清,這不會使公司的現金流量緊張。

該公司2016財政年首9個月蒙受虧損,詢及年內能否轉虧為盈,他坦言,現財政年已經快結束了,不太可能轉虧為盈,不過,相信該公司業務明年會大幅成長。

截至2015年9月30日止首9個月,該公司營業額雖按年上漲12.92%至1億零321萬1千令吉,卻由盈轉虧,淨虧達2千844萬3千令吉。(星洲日報/財經‧報道:傅文耀)

1.0       The Board of Directors of Meda Inc Berhad (“the Company or Meda”) (“Board”) wishes to announce that MIB Construction Sdn. Bhd. (“MIB”), a 100% owned subsidiary of Meda had on 25 May 2016 entered into a Sale of Shares Agreement (“Agreement”) with Mr. Lo Chong Yip and Mdm. Sing Soo Weng for the disposal of MIB’s 100% shareholding in Temasek Merdu Sdn. Bhd. (Formerly known as Meda ZCH Joint Venture Sdn. Bhd.) (“TMSB”) for a cash consideration of RM100.00 (Ringgit Malaysia : One Hundred Only) (“the Proposed Disposal”). Hence TMSB shall cease to be a subsidiary of Meda upon disposal.  

2.0       TMSB was incorporated in Malaysia under the Companies Act, 1965 on 21 April 2014 as a private limited company. TMSB is currently dormant. The present authorized share capital of TMSB is RM400,000 comprising 400,000 ordinary shares of RM1.00 each. The issued and paid up share capital of TMSB as at 25 May 2016 is RM100.00. TMSB does not have any subsidiary or associated company.

3.0       The disposal consideration of RM100.00 is in cash and was arrived based on RM1.00 per share.

4.0       The disposal is not expected to result any net gain on disposal.

5.0       The disposal shall not have any material effect on the net assets, earnings and the gearings of Meda’s  group.

6.0       None of the Directors and/or major shareholders of Meda and/or persons connected or associated with any of them have any interests, direct or indirect in the Proposed Disposal.

美德集团700万售Xperential Dynamics全数股权

(吉隆坡5日讯)美德集团(Meda Inc Bhd)将以700万令吉,脱售Xperential Dynamics私人有限公司(XD)的悉数股权予Aturan Prisma私人有限公司(AP)。

美德集团今日向大马交易所报备,已于2016年12月30日签署有条件售股协议。

该集团将悉数脱售持有Xperential Dynamics的4500股,并指收益将部分用于抵销美德集团对AP的债务。

(“XD”) for a consideration of RM7,000,000.00 (Ringgit Malaysia: Seven Million Only) (“Disposal Consideration”).

We refer to our announcement dated 5 January2017 in relation to the Sale of Shares Agreement (“SSA) between Meda Inc Bhd (“Meda”) and Aturan Prisma Sdn. Bhd. for the disposal of 4,500 ordinary shares of RM1.00 representing 100% equity interest in Xperential Dynamics Sdn. Bhd. for a total consideration of RM7,000,000 (“Proposed Disposal”).

The Board of Directors of Meda is pleased to announce that the Proposed Disposal was completed on 6 January 2017 in accordance with the terms and conditions of the SSA.

美德弃购BCM

(吉隆坡24日讯)美德集团(MEDAINC,5040,主板产业组)和在考量当前产业领域状况后,与BCM控股私人有限公司达成共识,将取消收购后者所有股权的计划。

该公司发文告表示,相关收购计划取消不会对其盈利、负债比和净资产值等带来任何影响。

美德集团是在2015年6月25日宣布,以1亿8000万令吉收购BCM控股100%股权。

MEDA INC BERHAD (MEDA OR THE COMPANY)PROPOSED ACQUISITION OF 100% EQUITY INTEREST IN BCM HOLDINGS SDN BHD (BCM), COMPRISING 2,000,000 ORDINARY SHARES OF RM1.00 EACH AND 4,000,000 REDEEMABLE CONVERTIBLE PREFERENCE SHARES OF RM1.00 EACH IN BCM FOR AN AGGREGATE PURCHASE CONSIDERATION OF RM180 MILLION (PROPOSED ACQUISITION)
Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the announcement dated 25 June 2015.

1.       INTRODUCTION
We refer to the announcements dated 25 June 2015, 9 October 2015, 23 October 2015, 12 November 2015, 3 December 2015, 21 December 2015, 24 February 2016, 22 April 2016, 24 June 2016, 27 July 2016, 29 August 2016, 13 September 2016, 23 September 2016, 29 November 2016, 8 December 2016 and 22 December 2016 as well as the Circular to Shareholders of Meda dated 17 November 2015 in relation to the Proposed Acquisition.
On behalf of the Board, HLIB wishes to update that, after due consideration and taking into account the current outlook of the property industry, the Company and the Vendors have reached the consensus for mutual termination of the Proposed Acquisition (“Mutual Termination”).
The Company and the Vendors had, on 24 February 2017, mutually agreed to terminate the SSA dated 25 June 2015.

2.       EFFECTS OF THE MUTUAL TERMINATION
The mutual termination of the Proposed Acquisition will not have:
(i)  any effect on the issued and paid-up share capital as well as the substantial shareholders’ shareholdings of Meda;
(ii)  any material effect on the earnings and earnings per share of Meda for the financial year ending 31 December 2017;
(iii)  any material effect the net assets of Meda for the financial year ending 31 December 2017; and
(iv)  any effect the gearing level of Meda.

3.       APPROVALS REQUIRED
No approval is required from the shareholders or the authorities for the mutual termination of the Proposed Acquisition. The mutual termination of the Proposed Acquisition will not have any impact on any other corporate exercise to be undertaken by the Company.

4.       INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED
None of the Directors and/or major shareholders of Meda and/or persons connected to them, as defined in the Listing Requirements, have any interest, direct or indirect, in the Proposed Acquisition.

5.       DIRECTORS’ STATEMENT
The Board, after due consideration, are of the opinion that the mutual termination of the Proposed Acquisition will allow the Company to focus on identifying other opportunities to acquire land banks/development projects or secure joint venture arrangements which are feasible and will benefit the Group as a whole in increasing its revenue and profitability.

Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the announcement dated 24 July 2015 in relation to the Proposed Disposal.
1.       INTRODUCTION
We refer to the announcements dated 24 July 2015, 9 October 2015, 12 November 2015, and 10 January 2017, as well as the Circular to Shareholders of Meda dated 17 November 2015 in relation to the Proposed Disposal.
On behalf of the Board, HLIB wishes to announce that the Company and the purchaser of ZKP, Casa Andaman Sdn Bhd (“CASB”) had on 6 March 2017 have mutually agreed to terminate the SSA dated 24 July 2015 in relation to the Proposed Disposal (“ZKP SSA Termination”).
Both the Company and CASB had also agreed that the ZKP SSA Termination will result in the absolute forfeiture of the Deposit amounting to approximately RM2.06 million by CASB in favour of Meda and the payment by CASB to Meda of the late payment interest amounting to approximately RM0.20 million (calculated based on the rate of 10% per annum on the amount of Balance Payment commencing from 7 December 2016 until the date of the ZKP SSA Termination of 6 March 2017).
As such, the SSA shall be of no further effect and neither party shall have any claim whatsoever against the other in connection (directly or indirectly) with the SSA and the matters contemplated in the SSA.
In light of the ZKP SSA Termination, the Proposed Disposal is accordingly aborted.

2.       EFFECTS OF THE ZKP SSA TERMINATION
The ZKP SSA Termination will not have:
(i)       any effect on the issued and paid-up share capital as well as the substantial shareholders’ shareholdings of Meda;
(ii)      any material effect on the earnings and earnings per share of Meda for the financial year ending 31 December 2017;
(iii)     any material effect the net assets of Meda for the financial year ending 31 December 2017; and
(iv)     any effect the gearing level of Meda.

3.       APPROVALS REQUIRED
No approval is required from the shareholders or the authorities for the ZKP SSA Termination. The ZKP SSA Termination will not have any impact on any other corporate exercise to be undertaken by the Company.

4.       INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED
Save as disclosed below, none of the Directors and/or major shareholders of Meda and/or any persons connected to them have any interests, whether direct or indirect, in the Proposed Disposal.
Dato’ Teoh Seng Kian (“DTSK”), a Director and major shareholder of Meda and a Director of ZKP, is a Director and substantial shareholder of CASB.
Teoh Seng Aun (“TSA”), a major shareholder of Meda, is a Director and substantial shareholder of CASB.
Dato’ (Dr.) Teoh Seng Foo (“DTSF”), a Director and substantial shareholder of Meda and a Director of ZKP, is the brother of DTSK and TSA. Cheam Shaw Fin (“CSF”), the spouse of DTSF, is a substantial shareholder of Meda by virtue of her direct interest and indirect interest held through DTSF.
Accordingly, DTSF, DTSK, TSA and CSF are deemed interested in the Proposed Disposal.
The interested Directors of the Company, namely DTSF and DTSK (“Interested Directors”), have abstained from deliberating and voting at the relevant Board meetings in relation to the Proposed Disposal.

5.       DIRECTORS’ AND AUDIT COMMITTEE’S STATEMENT
The Board and the Audit Committee are of the opinion that the ZKP SSA Termination is in the best interest of Meda. The Board will explore opportunities with other interested parties for the disposal of ZKP and will make the necessary announcements in due course.

美德集团2000万售大山脚The Summit酒店

(吉隆坡20日讯)美德集团(Meda Inc Bhd)以2000万令吉,脱售槟城大山脚的The Summit酒店(The Summit Hotel Bukit Mertajam),以筹措部分营运资本。

根据美德集团披露买方的这笔收购价,比LaurelCap私人有限公司在2016年12月30日为上述产业评估的1300万令吉市值,溢价45.14%。

美德集团补充道,此脱售计划将令集团实现605万令吉的收益。

根据美德集团通过大马交易所发布的一则文告,独资子公司ZKP Development私人有限公司已和Teraju Menang私人有限公司签署一项有条件买卖协议。

Teraju Menang是Aturan Prisma私人有限公司的独资子公司,其中70%股权由Datuk Abdul Rahman Harun持有,Mazlan Md Zain则持有其余的30%股权。

该集团计划将脱售所得的净收益(预计为1827万令吉)充作营运资本,包括支付予债权人的款项、行政费用,以及其他营运支出,像是广告与促销活动。

“目前,脱售所得的实际使用比率仍未确定,在使用时也可能会有所不同。”

美德集团表示,此举旨在脱售低收入资产,并套现ZKP的投资,再将资金重新投资予集团的核心业务活动,即产业发展。

“这家酒店的物业年龄近15年,以其目前的实际条件来看,需要进行翻新工程,以确保该产业仍保持竞争力。”

“这样的资产增值计划(AEI)需要大量的财政资源,加上该产业未来的增长空间有限,或未能带来合理的回酬。”

美德集团预计,此脱售计划将在今年第三季初期完成。
