Description	MERIDIAN BERHAD ("MERIDIAN" OR "THE COMPANY") - SETTLEMENT AGREEMENT BETWEEN PERBADANAN PR1MA MALAYSIA AND MAJU PUNCAKBUMI SDN. BHD., THE SUB-SUBSIDIARY OF MERIDIAN
Further to the Company’s announcement dated 16 May 2018, the Board of Directors of MERIDIAN wishes to announce that an out-of-court settlement has been agreed between Perbadanan PR1MA Malaysia (“PR1MA”) and Maju Puncakbumi Sdn. Bhd. [Registration No. 200901000868 (843792-P)] (“MPSB”), the sub-subsidiary of MERIDIAN (collectively be referred to as the “Parties”) to fully and finally settle the suit filed by MPSB against PR1MA vide Shah Alam High Court Civil Suit No: BA-22NCvC-204-04/2018 (“Suit No. 204”) as well as two other connected proceedings commenced between the Parties, as follows:- Shah Alam High Court Originating Summons No: BA-24C-88-08/2019 (“OS No. 88”); and Shah Alam High Court Originating Summons No: BA-24C-91-09/2019 (“OS No. 91”). The Suit No. 204, OS No. 88 and OS No. 91 shall hereinafter collectively be referred to as “the Disputes”. On 21 May 2020, a Head of Terms containing the terms of the settlement was signed between the Parties subject to PR1MA obtaining the requisite approval pursuant to Section 47 of the Perumahan Rakyat 1Malaysia Act 2012, which has been granted on 11 August 2020. On 21 August 2020, the Parties executed a Settlement Agreement formalise the settlement. The details of the announcement is attached herewith. This announcement is dated 21 August 2020.
