Eden Inc. Berhad ("Eden") - Clarification in respect of the article entitled 'Eden eyes property development, leisure business' published on 16 December 2013 in The Edge Malaysia ("the Article")
Eden wishes to clarify the following statements that had appeared in the Article, as follows:-
1. "However, The Edge understands that Eden is working out a deal with Dewan Bandaraya Kuala Lumpur to develop a land parcel in Jinjang, Kuala Lumpur."

Eden wishes to clarify that it is not the entity involved in working out the deal with Dewan Bandaraya Kuala Lumpur in respect of the development of a parcel of land in Jinjang, Kuala Lumpur.

2. "According to sources, Eden is planning a 200-room hotel in Pantai Cenang, which is likely to be a three or four-star accommodation."
"Apart from the hotel, sources say Eden has plans to develop 25 luxury private bungalows in Langkawi to be built at an estimated total cost of RM30 million."

"A tree-house restaurant is expected to be a feature of this project. Given that the bungalows are private units, it is likely that the strategy could be a sale-and-leaseback plan."        

Eden wishes to clarify that the proposed development in Pantai Cenang is still at its preliminary planning stage and to-date, no arrangement had been reached nor had any agreement been executed between the stakeholders in relation to the development.

Eden wishes to further clarify that it had not, to the best of its knowledge, provided any information to The Edge Malaysia in respect of the Article.

The Board of Directors of Eden is pleased to inform that the Company had on 13 November 2014 incorporated a new wholly-owned subsidiary under the name of Underwater World Labuan Ltd (Company No.: LL11427) ("UWLL") under the Labuan Companies Act 1990.

UWLL has an authorised capital of USD31,000 comprising 31,000 ordinary shares of USD1.00 each, all of which have been issued and fully paid up.

Tha intended principal activity of UWLL is development, installation, operation, maintenance and management of aquariums.

The incorporation does not have any material effect on the share capital, earnings and net assets of the Company.

None of the Directors, Major Shareholders and/or persons connected to them has any interest, direct or indirect, in the incorporation.

Dato' Ghazali Bin Mat Ariff  is a member of the Honourable Society of Lincolns Inn. He attended the Council of Legal Education (London) and qualified as Barrister-At-Law and was called to the English Bar on 21 November 1978. He then left for London to read law in 1974, after which he joined Messrs Nik Hussain Ibrahim & Abdullah as a Legal Assistant and in 1980, he left the firm to set up his own practice under the name and style of Messrs Ghazali Ariff & Partners of which he is the Senior Partner of the firm.

(吉隆坡26日讯)伊甸机构(EDEN,7471,主板贸服股)与GIP发展私人有限公司签署买卖协议(SPA),建议脱售位於彭亨关丹双溪加廊(Sungai Karang)的一片工业土地,总值2270万9243令吉。

该公司发文告指出,上述工业地是该公司在2003年11月向Zil Enterprise私人有限公司收购,佔地80.205英亩,成本为1180万令吉。截至去年12月31日,经估值后市值2270万9243令吉。

文告也说,脱售所得款项,將加强公司的现金流(净现金流预计为1570万令吉)。上述款项將用作营运资本和降低贷款。【东方网财经】

The Board of Directors of Eden wishes to announce that the Company has on 25 June 2015 entered into a Sale and Purchase Agreement ("SPA") with GIP Development Sdn. Bhd. (Company No. 1107009-M) for the disposal of a piece of vacant industrial land held under Pajakan Negeri No. 21371, Lot 8910 (formerly known as H.S.(D) 16512, No. PT 6437) located at the Gebeng Industrial Estate, Mukim Sungai Karang, Daerah Kuantan, Pahang measuring approximately 80.205 acres for a total consideration of RM22,709,243.70 (Ringgit Malaysia: Twenty Two Million Seven Hundred Nine Thousand Two Hundred Forty Three and Sen Seventy) only, to be paid in the manner as stated in the SPA and subject to all other terms and conditions as stipulated in the SPA and/or such terms and conditions as shall be mutually agreed upon (“Proposed Disposal”).

伊甸机构亏45万卖地

(吉隆坡2日讯)伊甸机构(EDEN,7471,主板贸服股)脱售位于关丹的80.2英亩空地,因需要承担附带费用,所以将带来45万4000令吉的净亏损。

脱售空地后,将会把公司的每股亏损从2.84仙,提高至2.98仙。

早前,伊甸机构宣布,与GIP发展私人有限公司签署买卖协议,以总值2270万9243令吉脱售该空地。

文告指出,脱售活所得将会在未来12个月内,用作营运资本和减少债务。

营运资本主要是用于能源、饮食和旅游业的营运和业务扩展计划。【南洋网财经】

  • The Purchaser shall immediately or not later than fourteen (14) days from the execution of the SPA submit its application to the Economic Planning Unit for approval on acquisition of the Property.
