迈德资源澄清未获合约 柬国赌场酒店还在洽谈

（吉隆坡13日讯）迈德资源（MINETEC，7219，主板工业产品股）澄清，柬埔寨赌场与酒店项目的洽谈仍在初步阶段。

早前有报道指，随着公司获颁柬埔寨赌场建筑工程大型合约，迈德资源手中项目可能大大上涨，公司也可能与中国赌场业者合作并成为项目承包商。

迈德资源董事局向马交所报备，该公司与有关单位针对柬埔寨赌场与酒店项目的洽谈，仍属探讨阶段，未获颁任何合约。[南洋网财经]

交投狂飆受質詢‧邁德：礦場洽商晉尾聲

（吉隆坡7日訊）近期股票成交量狂飆引來大馬股票交易所質詢的邁德資源（MINETEC，7219，主板貿服組）表示，正洽商柬埔寨工程、半島南部礦場所執照等事宜。

洽柬工程

邁德資源是因近期股票成交量大增，導致交易所在週四提出公開質詢，而公司今日發文告回應質詢稱，董事部在與董事和股東進行諮詢後，發現股票成交量大起可能與下列事項有關，即：
1.公司近期宣佈特定大股東股權變動和董事離職；
2.公司近期回應交易所對潛在柬埔寨工程質詢文告，以及
3.公司現與大馬南部州屬即將完成礦場特許經營權洽商工作，並將繼續為礦場、預混合料（Premix）和建築等核心業務探討更多與外資合作機會，同時計劃為瀝青（Bituminous）業務購置船艦，以將相關產品運輸至海外市場，但現仍未鑑定任何潛在目標。

邁德資源說，相關企業發展與公司業務和事務有關，但第二和第三事項現仍未有確鑿結果，將適時作出相關公佈。

The Board of Directors of Minetech wishes to inform that to the best of their knowledge and after making due enquiry with the directors and major shareholders, seeking the cause of the sharp rise in the Company's securities recently:- 1) The Company had recently made certain announcements on changes in substantial shareholders' shareholding and resignation of Directors; 2) The Company had recently responded to another Bursa query on a potential project in Cambodia which is in the midst of discussions; 3) Save for the above, the Company is also in the midst of finalising negotiation for a quarry concession in a southern state of Malaysia. The Company is continuously exploring more potential collaborations with foreign parties in relation to our core quarry, premix and construction businesses as well as bituminous related products and services. For its bituminous business, the Group is considering the procurement of a vessel, which is for the purpose of transporting bituminous products to overseas market. We have not identified the vendor of vessel as at to date. 联手中国三一集团 传迈德涉柬赌场工程

（吉隆坡8日讯）消息透露，迈德资源（MINETEC，7219，主板工业产品股）与中国最大工程机械制造商———三一集团（Sany Group）联手，涉及项目或是柬埔寨赌场与酒店建筑工程的大型合约。

“两者之间的合作，或是围绕在柬埔寨赌场与酒店的建筑工程，甚至可能进一步发展成三一集团决定认购迈德资源的大量股权。”

《星报》引述消息来源时，如是表示。

“无论如何，两者的高层还在洽谈阶段，任何事项都尚未被敲定，情况仍然充满变数。”

报道也指，迈德资源执行董事陈良才（译音），拒绝对上述消息发表意见，仅透露他近日会到中国洽谈“商机”。

日前因股价飙升，回应马交所“不寻常市场交易”（UMA）质询时，迈德资源也重申，有关柬埔寨赌场与酒店的潜在计划，仍在洽谈阶段。

谈及父亲兼迈德资源创办人陈劲升，近日取代原任执行主席拿督三苏丁一事，陈良才指，这可能有助于提升投资者的信心，因为创办人目前也担任公司掌托人。【南洋网财经】

迈德 三一　联手竞標工程

（吉隆坡14日讯）迈德资源（MINETEC，7219，主板工业股）今天宣佈与中国三一集团（Sany）及Top-Mech公司签下一纸谅解备忘录，以建立互惠互利的合作关係及寻找商机，包括日后联手竞標採矿工程。        

作为国內石矿领域最大公司之一迈德资源，今天与三一集团旗下的三一国际发展（大马）私人有限公司签署一项策略性合作协议。

三一集团是全球中型机械领域里规模最大公司之一，市值超过600亿令吉。至于Top-Mech私人有限公司大股东则是大马华商拿督戴良业。

上述谅解备忘录是由迈德资源执行董事陈樑財、Sanyto大马公司首席代表马金良，以及Top-Mech公司首席执行员戴良麟所签署。根据备忘录，三一集团將会先了解迈德资源后，才决定如何进一步和对方合作及探討交叉投资可能性。因此，马金良已经受委为迈德资源董事，以了解迈德资源的运作，同时也商討如何落实手头上发展项目，以及寻找如何让各方参与相关项目的方案。

1.        INTRODUCTION The Board of Directors of MRB wishes to announce that MRB had on 14 February 2014 entered into a Memorandum of Understanding for Partnership (“MOU”) with Sany International Developing (M) Sdn Bhd (“SANY”) and Top-Mech Provincial Sdn Bhd (“TOPMECH”) to explore opportunities available to form a win-win partnership including to pursue projects jointly. 2.        DETAILS OF THE MOU 2.1        Background on SANY SANY (Company No. 1059635-V) is a company incorporated under the laws of Malaysia and having its business address at 33, UOA Building, Jalan Pinang, 50450 Kuala Lumpur, Wilayah Persekutuan SANY is part of the Sany Group of China with a diverse global business presence but is principally involved in the manufacturing of heavy equipment and machinery. 2.2        Background on TOPMECH TOPMECH (Company No. 448880-V) is a company incorporated under the laws of Malaysia and having its registered office at No. 13, Jalan Wawasan 3/KU 7, Sungai Kapar Indah, 42209 Klang, Selangor Darul Ehsan. TOPMECH is involved in the crane business and is a dealer for certain SANY products. 2.3        Objective of the MOU The objectives of the MOU entered between the parties are, inter alia, for the following purposes:- a.        MRB wishes to grow and expand its business with a view to forming strategic partnerships with partners in complementary business fields. b.        SANY wishes to grow its business presence and branding in Malaysia as well as the region while helping its network of dealers including TOPMECH. 2.4        Salient Terms of the MOU 2.4.1        Duration The MOU shall remain in force for six (6) months or at the date of the signing of any definitive agreement whichsoever is earlier (hereinafter referred to as “the Exclusivity Period”). At the end of the Exclusivity Period or upon the signing of any definitive agreement between the parties, this Memorandum shall ipso facto cease and lapse and be of no further force or effect and the Parties shall have no further claims against each other save for antecedent breach. 2.4.2        Exclusion of other Parties MRB shall co-operate exclusively SANY throughout the Exclusivity Period as set out in the MOU with regards to any party in the field of heavy machinery manufacturing and shall not enter into any transaction with any of SANY’s direct competitors. SANY and TOPMECH shall not compete with MRB in respect of projects that MRB discloses to either of them or use any confidential information relating to project papers discussed by MRB to the detriment of MRB. 3.        FINANCIAL EFFECTS The MOU is not expected to have any material effect on the earnings, net assets and gearing of MRB for the financial year ending 31 December 2014. 4.        DIRECTORS’ AND/OR SUBSTANTIAL SHAREHOLDERS’ INTEREST Save as disclosed below, none of the Directors and/or substantial shareholders or any person connected to the Directors and/or substantial shareholders of MRB has any interest, either direct or indirect in the execution of the MOU:- a.        Mr Ma JinLiang is a Director of MRB and Chief Representative of Sany International Developing (M) Sdn. （吉隆坡15日讯）近期迈德资源有限公司（MINETEC，7219，工业产品组）的股价一直在低价股中独占鳌头，主要是市场预测它可能会与从事重型机械制造业务的中国三一重工集团结盟。

据消息来源说，上述合作可能涉及在柬埔寨兴建酒店及赌场，甚至会出现进一步的行动是三一重工集团可能会收购迈德资源的实质性股权，后者的主要业务是经营石矿场。

然而，知情人士指出，该两家公司的高层正在讨论此事，目前没有达成任何协议。

该消息来源称：“现时的情况是未稳定的，任何事情都有可能发生。”

在与迈德资源执行董事陈良才接触时，他以工作繁忙关系未能透露更多详情。

“该集团还在洽商收购南马一个石矿场当中，以及持续寻求与多家外国财团就我们的核心业务例如石矿场、预混合料和工程业务以及沥青相关产品和服务进行多项潜在合作。”

陈氏透露，他察觉到，市场对迈德资源的兴趣已“回来”，但他补充，所有这些营运计划都是在探索和初步阶段。

尽管如此，他希望，如果这些计划能够实现，它们将会帮助集团改变命运。集团自2005年于大马交易所第2交易板上市以来，一直受到成本上涨拖累，导致陷入财务困境。

他平淡地说：“如果你问我？答案是‘是的’,兴趣真的回来了,也许因为最近集团的股权结构出现变化。”

迈德资源的创办人陈劲升，也是陈良才的父亲，最近从副主席职位被调任至执行主席。

该集团的前主席是拿督三苏汀莫哈末杜比。

邁德資源消息頻頻 陳文龍持股變動引關注

（吉隆坡16日訊）邁德資源（MINETEC，7219，主要板）股價過去一個月大漲75%，大股東陳文龍近期持股權變動引發市場關注。

他曾在2012年拒絕靈通綜合（INGENCO，0034，創業板科技股）收購獻意，並在1月初通過公開市場購入邁德資源2298萬股或6.91%股權，成為公司主要股東。

雖然他在1月間一度將持股率提升至11.83%或3933萬股股票，可又在2月初減至6.67%或2219萬股。

邁德資源在週五（14日）宣布，與Sany國際發展（大馬）私人有限公司和Top-Mech Provincial私人有限公司簽署合作諒解備忘錄，以尋求聯營投資的雙贏合作關係。

這合組夥伴關係有助三方共享經驗、專才和網絡，加強競標工程競爭力。

邁德資源向馬證交所報備，上述合作有助加強公司資源和優勢，豐富商業機會。因此邁德資源希望在Sany國際發展和Top-Mech Provincial扶持下，可在國內外獲取更多工程。

邁德資源獲1300萬合約

（吉隆坡20日訊）邁德資源（MINETEC，7219，主板貿服組）獲I公司（IBHD，4251，主板產業組）頒發總值1千300萬令吉的合約。

該公司發文告表示，獲得I公司旗下的i-City產業私人有限公司頒發這項合約，主要是提供位於莎阿南建築工程主要基建工作。

主要基建工作包括執行和完成墜道工程、排水、地下和地面工程，包括重修現有道路等。

工程從今年2月24日動工，估計在明年2月23日完工，並預料為公司帶來正面的貢獻。（星洲日報／財經）

邁德資源 進軍重工業機械市場

（吉隆坡5日訊）邁德資源（MINETEC，7219，主要板工業）宣布，計劃進軍重工業機械市場，從而提高利潤。

根據該公司發表文告說，配合這項計劃，該公司將會成立一家聯營公司邁德資源重工業機械有限公司，負責處理重型機械業務發展。

文告透露，該公司表明有信心在與聯營夥伴合作下，有望獲得良好成績；此外，該公司也預計2015年，建築器材市場規模將達14億6000萬令吉。

邁德資源總執行長陳良財（譯音）說，建築行業獲得政府熱烈支持，就像政府早前落實的第3工業大藍圖（IMP3）策略一樣。

“這策略主要是推廣大馬機械與裝備區域的生產、貿易及分銷中心，發展高科技機械與零件，加強工程技術支援及加強工業發展制度上的支持等。”

他補充，有了這發展前景良好的市場，有助加強公司資源和優勢，並且可從國內外獲取更多工程。【中国报财经】
