(吉隆坡27日訊)透過重組計劃,和合建築(HOHUP,5169,主板建筑組)放眼於今年9月能脫離PN17行列,並相信位於武吉加里爾的60畝發展計劃可續帶動公司獲利。

該公司執行董事黃吉良在股東大會後披露,該公司的重組計劃已接近完成,該公司將在今年8月中與債權人及股東們召開會議以請求批准償還計劃。

“我們預料債權人會同意該建議,因這是一項很好的計劃,他們不必承受任何損失並可獲現金與武吉加里爾發展(Bukit J a l i lDevelopment)公司的股權作償還。”

此外他續稱,該公司已連續3季獲利,並期望接下來的季度也會持續有盈利。

“待該公司成功完成重組並能夠交出連續2季獲利的成績單後,即會向大馬股票交易所申請脫離PN17公司行列,預料在9月或10月可告一段落。”

與馬頓聯營合約提供穩定收益

他指出,並不預見任何原因讓該公司無法脫離PN17行列,因位於武吉加里爾的首10畝發展計劃獲良好回應,加上與馬頓(MALTON,6181,主板產業組)的聯營合約提供了穩定收益,使該公司可持續獲利。

“位於吉加里爾的綜合產業發展計劃,總面積達60畝,其中10畝由和合建築獨立發展,目前已經推出成3、4及5層樓商舖兼辦公室並已售出近90%單位,而下個月將續預先推出另一項辦公樓計劃。”

此外他也披露,另50畝土地則由馬頓與和合建築聯營發展,合作為期10年。

至於該公司入稟吉隆坡高庭要求與馬頓旗下的PIONEER HAVEN公司達成雙方同時終止買賣股權合約一事,他表示仍在法庭程序中,但已接近尾聲。

建築業務方面,該公司已在國內外參與數項工程競標,合約總值達30億令吉,工作內容主要為基礎建設工程包括興建污水處理廠。

於此同時,他說混凝土業務也轉虧為盈,寫下連續6月盈利紀錄,同時該公司也將設4新廠以迎合政府在巴生河流域一帶的基建及產業發展計劃所帶動的需求。(星洲日報/財經)

售上海联号公司45% 和合建筑进账905万

(吉隆坡3日讯)和合建筑(HoHup,5169,主板建筑股)脱售上海联号公司的45%股权,进账1764万人民币(约905万令吉)。

和合建筑日前向马交所报备,联号公司Shanghai San Ho HupPile公司的100%股权,是以3920万人民币(约2012万令吉),脱售予上海东苑投资管理公司。

和合建筑透过上海交易所脱售股权,预期上海市商务委员会和相关单位批准后,才可接获上海交易所支付1764万人民币,或905万令吉。

不过,支付相关费用后,公司净收入为860万令吉。

公司表示,配合重组、减持亏损联号公司和整理资产负债表,公司决定脱售上海联号公司股权。[南洋网财经]

The Board of Directors of Ho Hup wishes to announce that the Company entered into a Sale and Purchase Agreement ("SPA") with Shanghai Dongyuan Investment Management Co., Ltd. ("Shanghai Dongyuan") on 30 May 2013 to dispose of the shares held in Shanghai San Ho Hup Pile Co. Ltd. ("SSHH"), the associated company of Ho Hup, at a total cash consideration of RMB39.2 million (approximately RM20.12 million) (100% equity) ("the Disposal"). The Company's share of proceeds for its 45% shareholding in SSHH amounted to RMB17.64 million (approximately RM9.05 million):-

The Disposal was made via open market in the Shanghai United Assets and Equity Exchange (an “Over The Counter Exchange” in Shanghai) (“SUAEE”) of which the transaction certificate was issued by SUAEE on 21 June 2013 and a scan copy of the signed and stamped agreement was received by Ho Hup on 27 June 2013.

Pursuant to the agreement, the acquirer Shanghai Dongyuan has paid an earnest deposit of RMB8 million to the SUAEE and on 1 July 2013, the remaining purchase price of RMB31.2 million was confirmed received by the SUAEE. The Company’s share of proceeds of 45% (approximately RMB 17.64 million) will be paid by the SUAEE after approval of the transaction is obtained from the Shanghai Municipal Commission of Commerce and receipt of tax clearance certificate from the local tax authority.

Following the Disposal, SSHH shall cease to be an associated company of Ho Hup.

The Disposal is part of an application made by Ho Hup to regularise its Group structure and to dispose its loss making and dormant associates and clean up its balance sheet. The cost of investment in the associated company has been fully provided for in the books in previous years. The financial impact on the Disposal of the 45% equity stake will be an extraordinary gain of approximately RM8.6 million after setting off relevant exchange fees, handling fee and other fees. The Disposal will not have any effect on the share capital and substantial shareholdings of Ho Hup. As the Disposal is in RMB, the Company is subject to foreign exchange risk.

None of the Directors and/or major shareholders of the Company or persons connected to them have any interest, direct or indirect in the above Disposal.

The Board of Directors of the Company, having taken into consideration all aspects of the Disposal, is of the opinion that the Disposal is in the best interest of Ho Hup Group.

(吉隆坡18日讯)和合建筑(HOHUP,5169,主板建筑股)接获吉隆坡高庭颁发多项指令和准令,包括以3597万令吉,收购Zen Courts私人有限公司手中的30%武吉加里尔发展私人有限公司(BJD)股权。

和合建筑向马交所报备,高庭宣布相关收购条例的指令,要求和合建筑以每股7.99令吉,收购BJD的30%股权。

根据庭令,收购行动必须庭令下达后的4个月内完成;和合建筑需从7月18日开始支付5%利息,直至完成收购;以及Zen Courts需要确保杨景达(译音)在完成收购或此前,辞去BJD董事职。

- PETITION BY ZEN COURTS SDN BHD IN RELATION TO ITS 30% SHAREHOLDING IN BUKIT JALIL DEVELOPMENT SDN BHD
Reference is made to the announcements dated 25 May 2011, 8 August 2011, 28 September 2011, 12 October 2011, 28 March 2012 and 24 May 2012.

Ho Hup was served on 23 May 2011 with an unsealed Petition by Zen Courts Sdn. Bhd. ("Zen Courts", as Petitioner) where the Respondents are (1) Bukit Jalil Development Sdn. Bhd. ("BJD", as the 1st Respondent), (2) Ho Hup, as the 2nd Respondent, and (3) Ho Hup Equipment Rental Sdn. Bhd. ("HHER", as the 3rd Respondent). Ho Hup holds almost 70% of the shares in BJD, whilst Zen Courts holds 4,500,000 shares in BJD (comprising 30% of the shares capital of BJD). Ho Hup holds the entire share capital of HHER (which in turn holds 10 shares in BJD).

On 27 March 2012, the Court after hearing the Petition, ordered a buy-out of Zen Courts’ 30% equity interest in BJD by Ho Hup (“Buy-Out Order”). The Court further ordered that a valuation be made on a net tangible asset basis as at the date of the Judgment (27 March 2012), valued by an independent valuer to be mutually agreed between all parties. Pursuant to the said Buy-Out Order, an independent valuer was appointed on 19 June 2012 and the valuation report was issued by the independent valuer on 31 December 2012.

On 18 July 2013, the High Court has ordered the buy-out on the following terms:
1.        That the 2nd Respondent shall buy the 4,500,000 shares in the 1st Respondent (the “30% Shares”), held by the Petitioner at the price of RM7.99 per share and the aggregate purchase price for the 30% Shares shall be fixed at RM 35,970,000.00 (the “Purchase Price”).

2.        That the buy-out of the 30% Shares shall be completed no later than four (4) months after the date of this Order, on a business day and at an office address in Kuala Lumpur as notified, with at least seven (7) days’ prior notice in writing by the 2nd Respondent (or its solicitors) to the Petitioner (or its solicitors).

3.        That the buy-out of the 30% Shares shall be completed as follows:


    (1)        the 2nd Respondent shall pay the Purchase Price to the Petitioner by way of bankers draft made payable to Messrs Chellam Wong (solicitors of the 1st Respondent); and

    (2)        the Petitioner shall deliver to the 2nd Respondent a duly executed, valid and proper instrument of transfer for the 30% Shares together with the corresponding share certificates for the 30% Shares as well as such other executed documents as may be necessary for revenue and stamp duty purposes.


4.        That the 2nd Respondent pay to the Petitioner interest of 5% on the Purchase Price calculated from 18 July 2013 until full payment of the Purchase Price.

5.        That the Petitioner procures that Mr. Yeoh Keng Tat resigns as a Director of the 1st Respondent, such resignation to be effective on or before the date of completion of the purchase of the 30% Shares.

和合建筑准购BJD 30% Zen Courts不满裁决将上诉

(吉隆坡25日讯)Zen Courts私人有限公司指出,高庭允许和合建筑(HOHUP,5169,主板建筑股)购入武吉加里尔发展私人有限公司(BJD)30%股权一案,公司将提出上诉。

Zen Courts私人有限公司认为,有关裁决已低估该公司所持有的部分土地,该公司也准备以高于法庭的估值,以溢价向和合建筑购回相关股权。

根据《星报》报导指出,Zen Courts私人有限公司认为,以最近交易以及在该片土地发展的潜在总发展价值来看,这片土地的价格应值更高价钱。

该公司发言人表示,Zen Courts私人有限公司将使用一切法律途径,就有关裁决进行上诉。

无论如何,和合建筑拒绝作出回应。

和合建筑在上周于马交所作出宣布,以3597万令吉向ZenCourts私人有限公司购入武吉加里尔发展私人有限公司30%股权。

有关献购将为ZenCourts私人有限公司提供离场机会,也让和合建筑完全掌控武吉加里尔发展私人有限公司。

(吉隆坡10日讯)和合建筑(HOHUP,5169,主板建筑股)重组计划获股东和债权人的批准,预计將在11月杪完成,朝脱离PN17的目標更进一步。

和合建筑执行董事黄吉良表示,在接下来的几个月將著重在完成重组计划,以进一步增强资產负债表。

「和合建筑已连续5个季度取得盈利,在完成重组计划后,我们將向大马交易所申请提早脱离PN17。」

该公司周四召开股东特別大会徵求股东的同意,以便可进行重组计划。其中包括,发行1亿3663万4138可赎回可转换优先股(RCPS)以偿还Bukit Jalil Development私人有限公司的无抵押债权人,並將分作4个季度分期偿还。

同时,该公司的面值將从1令吉削减至50仙,获得的5100万令吉將用来减少截止2012年12月31日的1亿5870万令吉累积亏损。

著重產业发展

黄吉良透露,该公司的核心业务仍是產业发展,並有信心和合建筑可达到1亿4000万令吉盈利的目標。

他指出,不久前在武吉加里尔推出的SOVO项目亦获的不俗的表现,认购率超过60%。另外,与马顿(MALTON,6181,主板產业股)联营位於武吉加里尔剩余的50公顷土地,也可加强和合建筑未来3年的盈利可见度。

至於购买土地方面,他表示该公司在巴生谷和柔佛地区物色合適的土地,因为相信该地区的產业需求將保持强劲。

除此之外,该公司对本地的土建工程,如兴建桥梁、道路和铁路等工程感兴趣。同时,在伊拉克的道路工程和污水处理厂已分別完成50%和20%。

和合建築股東 傳增持並全面獻購

(吉隆坡11日訊)消息來源披露,拿督童國策(譯音)或增持和合建築(HOHUP,5169,主要板建築)股權,至觸及強制性全面獻購水平。

和合建築以1.80令吉開市,便逐步盤高,觸及1.93令吉。隨后,和合建築稍微收窄漲幅,休市報1.90令吉,起12仙。

閉市時,和合建築報1.79令吉,起1仙。

消息來源透露:“童國策與數家單位,計劃將和合建築股權增持到至少33%,觸及強制全面獻購水平。”

據了解,童氏是和合建築的大股東。他在週四獲得債權人支持,進行重組計劃,協助和合建築脫離PN17行列。

“和合建築已連續4個季度獲利,要求脫離PN17行列。目前,和合建築只是需要在3週內,尋求股東通過重組計劃。”

消息來源說,和合建築早前與馬頓(MALTON,6181,主要板產業)執行主席拿督林曉春簽署協議,以60英畝土地解決債務。是項協議將讓和合建築從中獲得約9億令吉。

據了解,英沙(INSAS,3379,主要板金融)的大股東,即vInsas Plaza私人有限公司持有和合建築5.48%股權。童氏因持有英沙,間接持有和合建築股權。

此外,童氏所掌控的另一家上市公司富美資源(FRB,9008,主要板科技),則持有和合建築22.66%股權。

(吉隆坡14日訊)英沙(INSAS,3379,主要板金融)執行副主席兼總執行長拿督湯國基,將和合建築(HOHUP,5169,主要板建築)的間接持股率,增持至7.82%。

和合建築(HOHUP,5169,主要板建築)向馬證交所報備,大股東英沙執行副主席兼總執行長拿督湯國基,通過英沙在10月9日至10月11日期間,共收購和合建築的238萬股。

因此,這將湯國基的和合建築間接持股率,提高至7.82%。

和合建築(HOHUP,5169,主板建筑組)陷困多年後,最近終有眉目,然而,在有望提前脫困時,大股東富美資源(FRB,9008,主板科技組)卻也先下手為強,部署了全購計劃,相信很快就會觸及全面獻購的門檻。

和合預計能在11月杪至12月中旬完成重組計劃,並提前脫離PN17行列,隨後大股東全購消息不絕於耳,最近更傳出拿督湯國基自8月中晉升為和合的大股東後,有意夥同其他人士增持和合股權至33%,以併吞和合。

根據大股東股權變動資料,湯國基連日內買入和合的238萬股股票,間接持有7.82%股權,若包括他通過富美資源手持和合的22.66%股權,湯國基已穩持和合30.48%股權,距離強制全購的門檻很近。

其實,這全購計劃早有部署,湯國基早在和合宣佈脫困前,6至8月期間頻頻累積和合,8月中通過英沙士(INSAS,3379,主板金融組)大股東Insas Plaza,購入和合5.22%股權,9月時更積極增持股權至5.48%。

連續3季轉虧為盈的和合才剛宣佈儘早脫困,馬上引來大股東“垂涎”,關鍵顯然是和合早前與馬頓(MALTON,6181,主板產業組)達成的一項綜合發展計劃協議。據說,這面積60英畝的武吉加里爾地段,發展總值至少2億2千萬令吉,有望讓和合進賬高達約9億令吉。

事實上,早在富美資源2011年收購和合20.59%股權時,就一直覬覦和合,因和合在武吉加里爾擁有顯著地皮,隨著武吉加里爾近期產業價格水漲船高,和合又撥開迷茫的前景,此刻無疑是大股東出手的最佳時機。

然而,“有難同當,有福未必同享”,一直是許多上市公司,大股東和小股東間糾纏不清的關係,惟換個角度言,若大股東出價合理,和合小股東在大股東提出全購時趁機套利,也未嘗不是好事。

只是,以富美資源之前用每股60仙(較當時合理價折價高達33%)全購微想科技(MICROLN,0126,創業板科技組)來看,和合的小股東恐難抱太大希望。

當然,若大股東出手太低,小股東也有權力say no,就像大馬富豪丹斯里郭令燦之前的私有化大計,就因太“吝嗇”而碰壁,從大馬的豐隆資本(HLCAP,5274,主板金融組)到香港的國浩集團,私有化的算盤皆無疾而終。

不過,馬股“大石砸死蟹”的例子也不少,就像富美資源全購微想科技,即使“不公平也不合理”而屢遭展延,但最終還是順利過關,小股東也只能大嘆無奈。(星洲日報/投資致富‧投資茶室:陳曉雯)

请问right issue是怎么计算? 比如我昨天买了 5 lots, 今天没有收到的???

这时你得做决定是否要认购每股0.50,不想认购就在那时候把OR出售给别人。。想,待收到邮寄来的表格,17/12之前填妥+购买汇票+贴上印花税邮票后,就寄出去。。就这样。。  发表于 28-11-2013 06:12 PM
没那么快的,你买了hohup,3/12的时候你才会察觉到户口里分配到hohup-OR--这称为附加股权益。。这权益在市场上交易的期限是3/12-9/12.。。  发表于 28-11-2013 06:08 PM

刚已告知,在3/12你将分配到购买该优先股的权益(俗称白表格)。。如之后你不去理会/也没呈上表格+付款,那获得的权益就成了废纸。。如购买你除了可获得该优先股,你也可再分配到免费凭单。。  发表于 28-11-2013 08:27 PM

其实我不是很清楚,如果我不要认购,3•12•13 我的acc就会有hohup-or?

在3•12•2013-9•12•2013 卖掉就拿回我的钱吗?

無論你有沒有申請。。 那個OR都會有在你的戶口。。 到截止了就會扣除的。。。
