(吉隆坡8日訊)金詩投資(GOLDIS,5606,主板消費品組)建議以10送1比例派發旗下子公司Steady Paramount私人有限公司(簡稱SP)股權給公司股東,拒絕領股的股東也可選擇收取每母股1令吉72仙現金回退作為代替。

S P私人有限公司持有怡保花園(IGB,1597,主板產業組)的4億2千967萬4千196股股票,相等於30.59%股權,這意味獲派SP股票的股東將間接持有怡保花園股權。

金詩投資發文告說,公司股東將以10送1比例獲派SP股票,惟若股東不想接受SP股票,則可選擇以每股1令吉72仙現金作為代替,股東將從兩項選項中獲得同等價值,即1令吉72仙。

為輔助上述建議,金詩投資也建議展開削資和紅股計劃,先將每股1令吉股票面值削減剩20仙,預計獲得4億8千839萬令吉現金,後把所得資金將用於支付派股和現金回退計劃。

過後,金詩投資將展開另一項每5股發23紅股計劃,惟此項計劃純粹為協助公司完成派股計劃,相關紅股將在完成送股計劃後立即取消,不會納入中央存票戶口(CDS)。

該公司說:“上述建議志在讓投資者兌現公司間接持有的怡保花園股權價值,完成送股計劃後,怡保花園將不再是金詩投資旗下聯號公司,不會再做出盈利貢獻,惟公司將繼續持有其他投資產業和股票,且會繼續找尋新投資機會。"(星洲日報/財經)

金诗投资注入私人公司 怡保花园大股东变相增持?

(吉隆坡11日讯)金诗投资(Goldis,5606,主板消费产品股)冀将怡保花园(IGB,1597,主板产业股)持股权注入Steady Paramount有限公司的活动,已引起市场关注。

据财经周刊《The Edge》报道,上述活动引起市场对陈氏家族可能变相加强怡保花园控制的疑虑。

小股东权益监管机构(MSWG)表示,尽管未接到投诉,会继续关注事件发展。

陈氏家族持股不变报道指出,尽管金诗投资献意以每股1.72令吉的价格收购小股东持有的股权、或以10股换1股的方式转持Steady Paramount有限公司股份,但Steady Paramount未上市、对投资者缺乏吸引力,因此等于变相鼓励小股东出售手上的股权。

尽管小股东能以脱售股权所获资金直接投资怡保花园,但该股流动性低,估计每股价格高于2.344令吉。

另一方面,金诗投资总投资长黄科林(译音)指出,陈氏家族持股权在完成有关的活动后将维持原状。

在华获颁23年特许权 金诗经营污水处理厂

二零一三年五月十七日 晚上七时四分
(吉隆坡17日讯)金诗投资有限公司(GOLDIS,5606,消费产品组)已签署一份23年特许权协议,以提升、扩充和经营中国山东省一间污水处理厂。

在致给大马交易所的一项声明中,该公司说,其独资子公司Crest Spring私人有限公司,已经与烟台经济与科技发展区城市管理与环保局签署一份建造、经营与转移特许权协议。

上述协议将看到Crest Spring成立一家计划公司,以着手位于山东烟台经济发展区的污水处理厂的提升和扩充工程。

Crest Spring将注入500万美元(1500万令吉),作为该计划公司的注册资本。它将透过内部基金和银行借贷融资在这家计划公司的建议中投资。

金诗投资另一家子公司烟台新城污水处理公司,则将成为该处理厂的经营商。

“除非出现任何不能预知之情况外,建议中投资预料将在获得中国所有有关政府监管当局批准后的9个月内完成。”

该公司说,上述计划将进一步加强和加宽其于中国污水处理业务的参与,因该国迅速城市化和提高的环保意识,将带来成长潜质和丰厚收益。

金詩中國設污水處理廠

(吉隆坡23日訊)緊隨金詩投資(GOLDIS,5606,主板消費品組)在中國山東煙台的污水處理廠特許經營權,今日已成立新生水公司(New Water Co.Ltd),以負責開發與建築污水處理廠。

文告說,新生水公司以500萬美元(或1千521萬5千令吉)註冊。

金詩投資早前與煙台經濟與技術開發區城管與環保局,簽署興建、營運、轉移(BOT)協議,將設立新公司,負責目前由旗下公司經營的污水處理站升級與擴建工程。(星洲網)

Pursuant to the BOT Concession Agreement, a project company will be set-up to undertake the upgrading and expansion of the existing Sewage Treatment Plant in Yantai Economic Development Zone, Shandong Province in China operated by Yantai Xin Cheng Wastewater Treatment Co. Ltd (“YXCWT”), another subsidiary of Goldis.

The Board of Directors of Goldis wishes to announce that the Project Company by the name of New Water Co. Ltd (“New Water”) has been incorporated on 22 May 2013 in China. The Certificate of Incorporation of New Water was received on 22 May 2013.

The proposed registered capital of New Water is USD5 million (equivalent to RM15,215,000 at an exchange rate of USD1 equals to RM3.043) to be taken up by CSPL.

New Water will principally be involved in the development and construction of sewage water treatment plant.

The incorporation does not have any effect on the issued and paid up capital of Goldis and substantial shareholders’ shareholdings. lt also does not have any material effect on the net assets, earnings and gearing of Goldis for the financial year ending 31 January 2014.

None of the Directors, major shareholders of Goldis and/or persons connected to them, have any interest, direct or indirect in the incorporation.

不派怡保花園間接持股 金詩100股派3庫存股

 (吉隆坡3日訊)金詩(GOLDIS,5606,主要板消費)宣佈,每持有100股的股東,將獲派發3股庫存股;但將中止早前建議,不分派怡保花園(IGB,1597,主要板房產)的間接持股。

金詩向馬證交所報備,上述3股庫存股的股票股息將在本月16日除權,並在18日過戶給股東。

金詩透過STEADY PARAMOUNT私人有限公司(簡稱SP公司),持有怡保花園30.59%股權(截至4月30日),或4億2967萬4196股。

該公司原在今年5月建議,每持有金詩10股普通股的股東,將獲分派SP公司1股普通股;不願獲得股票的股東,每持1股金詩可獲1.72令吉的現金。

拟100送3库存股 金诗投资撤转移怡保花园

(吉隆坡4日讯)金诗投资有限公司(GOLDIS,5606,消费产品组)建议派送库存股,不过它也撤消分配怡保花园机构有限公司(IGB,1597,产业组)股权予股东们的计划。

金诗投资是建议每持100现有股票的股东,将可获送3库存股。

在致给大马交易所的文件中,它表示,上述库存股形式的股息,将于7月16日除权,并在2013年7月18日注册。

另一方面,金诗投资董事部也决定,不再提呈具争议性计划,以股票或现金方式,转移在怡保花园机构的30.95%股份予一家无上市公司。

在它在声明中称,由于接获股东们的负面回应,董事部已经撤消这项于5月提出的建议。

宣布中并没有指明反对这项交易的股东名称。

但基于陈氏家族在金诗投资的控制权,最新发展属于预料之外,因这项计划被视为对公司主要股东绝对有利。在计划下,金诗投资建议把在怡保花园机构的30.95%股权,转移予无上市个体Steady Paramount私人有限公司。从中,金诗投资股东们将可选择获得Steady Paramount股票或每股1.72令吉的现金。

为确保这项计划的可行性,金诗投资在5月建议,它将确保着手挑选股东以选择股票。

分析师和投资者普遍分歧。他们部分认为这项建议合理,因它容许股东们以高于市价套现。

但反对派则指这项计划迫使小股东接受现金选项,因他们大部分都不愿持有无上市公司股票。=这项计划将是一项轻易达标的交易,因它只须简单多数股东的通过。

金诗投资董事部提出这项建议的原因可理解,因该公司股价远低于每股2.31令吉的净资产值。

金诗投资旗下拥有数项资产,除了控制谷中城广场的怡保花园机构30.95%股份外,也包括位于吉隆坡中环的G-Tower。

基于最新持股文件,国民投资有限公司(PNB)已不再是金诗投资的大股东,从4月20目的持12.88%,降低到5%以下。

翻开金诗(5606)的股东名册,除了陈振南家族之外,便没有其他大股东;董事局里更是由陈氏家族成员牢控。
既然如此,金诗在5月8日建议把持有的30.59%怡保花园(1597)股权,回退给金诗股东的计划,为何却在周三(7月3日)突然喊停?
金诗给的理由是有股东反对;但这建议尚未交由股东在特大议决,会是那些股东反对?
是陈氏家族成员内哄?看似不像,因陈氏家族成员在股权与职位安排向来相安无事。
看来大股东还有良心啊。

(吉隆坡8日讯)金诗投资(Goldis,5606,主板消费产品股)以总值2240万令吉,脱售Macro Kiosk公司的350万股或70%股权给公司管理层。

金诗投资向大马交易所报备,收购股权的管理层,分别是Macro Kiosk公司的总执行长吴志健、总营运长吴志兴,以及总企业长吴志胜(名字介译音)。同时,他们也是Macro Kiosk公司的董事兼股东。

Macro Kiosk公司的主要业务,是移动通信科技供应商。

在脱售股权之后,金诗投资预计可取得约1700万令吉的收益,这将反映在公司2014财年业绩上。

金诗投资表示,目前在考虑取得现金后的使用方式,如投资在营运不同领域的私人公司股权,如教育、农业、房产等。[南洋网财经]

玉楼金阙:诗一般的意境●陈金阙

我始终想不到,步入中年以后,我会以写硬绷绷的财经评论为主。

很多人大概想不到,中学时期的我,是以写散文和诗,抒情为主,我的诗歌,还曾得过奖呢!当时写时的青少年,莫不给人一种风花雪月,但我其貌不扬,风流不起来,又家境贫穷,中学之后就攻读数理,和春花秋月渐行渐远。但写过诗的人,对诗的意境有一定认识。

严格来说,诗呢,就是不能把话说得太白,要让读者有想象的空间。

马股市里,有一家公司,和我的名字有点渊源,也和诗有点关系。这间公司,就叫金诗投资(GOLDIS)。它在2013年的年报特别有闲情逸趣,为股东送来了一首诗,且将这首“春日”和读者分享:

胜日寻芳泗水滨,
无边光景一时新。
等闲识得东风面,
万紫千红总是春。

日理万机的投资者,可能随便扫一眼就算了,不晓得金诗投资葫芦里卖甚么药。偏偏我这半个闲人,看下看下,心想这位尊贵的主席总裁为甚么有心情舞文弄字?赏析之前,不得不提提此诗的出处。

股东们春天来了

诗歌作者是南宋名人朱熹,这首诗作可能识之者不多,但说到作者的另一项成就,必让许多人点头称赞。他是当时最出名的理学家,人尊称朱子;就是他,编辑《大学》、《中庸》、《论语》、《孟子》为四书作为哲理的教本。

采用这位哲理大师的诗作,告诉股东们春天来了,风光明媚,春风满面,万紫千红,主席的深意呼之欲出(我脸皮厚厚,也自许为半个诗人)。

至于此诗的深一层意境,涉及诗人向孔门求道;万紫千红,即比喻儒学的多姿多采,因讨论篇幅过长,这里就不细述了。

话虽如此,金诗投资今年首个重头戏,却宣告急转弯,无疾而终,倒让满心欢喜前来寻幽探胜的股东淋了一头冷雨,不知所以然。

公司在5月建议把旗下怡保花园(IGB)股权派给股东,每股可派出约1.72令吉的股票或现金,目的是把公司价值释放出来。不到两个月,公司在7月再发文告,以股东反对为理由,搁置这项建议,让原本欣喜的股东大失所望。

大凡公司是不会随便建议释放价值的计划,一旦建议,应当有把握成功得到各相关单位的同意,让它通行。

金诗应从善如流

建议进行过程中,必有股东同意或反对,不过,很少公司在未把该计划呈现在股东特大前,就宣布接受股东的意见回馈。如果这叫做从善如流,那么,收到的意见是支持的为大多数时,是否也可以宣布接受,而毋需在特大表决?答案当然是不可以。

因此,我猜测那股反对的声音应该是很大,大到公司被迫要放弃进行,不用浪费时间来开特大。

但是,问题又来了,金诗投资的大股东持有56%,在这项计划里可以投票,有谁比他们还大,大到要他们放弃?除非是大股东里闹意见分歧吧。

无论如何,金诗投资一则短短的文告,就把这建议挂上句号,留下小股东满腹疑窦不顾,在企业责任上很说不过去。

一些见猎心喜的小股东,在建议出炉后买入金诗投资,如今亏损了约10%,心烦气躁,更不要讲甚么诗歌的意境了。[南洋网财经]

上周抛了一点书包,来不及叙述金诗投资(GOLDIS)的最新发展。且说金诗投资放弃了派发怡保花园(IGB)股票,让投资者大出意料之外。

这不象诗歌的隽永,却象戏剧高潮迭起的情节。戏剧呢,是说故事,故事必有起承转接,金诗投资起了一个因,却在两个月后将剧情急转而下,深深的刺痛了买票进场者的心。

原来,要参与者痛入心扉,入戏七分,比诗歌带你游花园,走马看花的印象深刻得多,才叫成功。

买票者既已进场,不让观众半途离场必须花些心思;只见金诗投资剧情一转,祭出了“柳暗花明又一村”的故事,挽回不少票房。

金诗投资稳住股价

金诗投资于放弃了派发怡保花园(IGB)股票的同一日,宣布以20配3派发库存股,总算稳住股价。

以目前股价2令吉,派发的股息约等于6仙,虽然和派发怡保花园股票建议中每一股金诗投资可获1.72令吉(现金或股票)的数额相去甚远,但在两星期内迅速除权,总算留住一些投资者。

反正不拿白不拿,投资者大多数等除权后再另作打算。

随即公司剧情再一转,于7月8日宣布把70%子公司MACRO KIOSK以2240万令吉卖出,获利1700万,似乎要告诉小股东,今年的重头戏虽然告吹,丰富情节陆续有来。

说到这个MACRO KIOSK的投资,公司透露,这项投资始于2002年,投资成本只有10万5000令吉,十年后的今天可以2240万令吉卖出,公司经营生意的本事令人咋舌!

戏剧性的是,由于金诗投资股本不小(约6亿令吉),这么高的利润,除起来也不过每股赚了3仙左右。

不过,金诗投资在年报中有言及,公司在过去10年取得茁壮成长,从MACRO KIOSK的投资来看,的确是如此。再看公司的背景,也果然没错。

11年前(2002年1月)它由TAN&TAN更名为金诗投资(GOLDIS),股东基金约为7亿令吉,股额为3.2亿(每股1令吉);到2013年1月股东基金已有14亿令吉,股额为6.1亿(每股1令吉),成长了一倍,这还没算每年派出的股息。

如果说10年做一短暂的小结束,金诗投资的这位主席打算在迈入下一个10年周期,带领股东登上另一个高峰,并不过份。

这么说来,原来我们金诗投资这部戏在今年公映的是续集。首集一演就演了10年,票房如何,有目共睹。

这第二集,公司同样编排了10年的剧情,取景涉及大马和中国,决不欺场,务必重演首部曲的票房。

只是如今公司规模日渐庞大,枝叶更加繁茂,第一代的胼手胝足,和谐相处,会随着第二代的利益冲突而荡然无存吗?

是平铺直叙的剧情,还是波涛诡涌的更能赢得票房?

我不是编剧,也不是导演,更不晓得有没有耐心看一出十年的戏剧。

不过,我还是对十年演一场好戏的公司感到敬佩;更对那些一买票就入场看十年的观众十分佩服。没有两者的互相扶持,这出戏要成功如演出谈何容易呀?[南洋网财经]

This Announcement is dated 19 July 2013.

Reference is made to the Company’s announcements dated 8 July 2013 and 9 July 2013 in relation to the disposal of 3,500,000 ordinary shares in Macro Kiosk Berhad (“MKB”) by Goldis Berhad (“Goldis”) to Mr Goh Chee Ken, Mr Goh Chee Heng and Mr Goh Chee Seng (“the Purchasers”) for a total consideration of RM22.4 million, being the consideration for the sale shares (“Sale Consideration”) (“Proposed Disposal”).

The Board of Directors of Goldis Berhad wishes to announce that on 19 July 2013, the Company received a cash consideration of RM22.4 million from the Purchasers and a sum of RM8 million towards the full settlement of the Inter-Co Loan.

Consequent thereupon, Proposed Disposal had been completed today and MKB ceased to be a subsidiary of Goldis.

金诗投资末季业绩 审计净利差异13%

(吉隆坡20日讯)金诗投资(Goldis,5606,主板消费产品股)指出,截至1月31日的第四季净利在审计前后,出现1101万令吉或13%的差异。

根据文告,当季未审计净利为8193万7000令吉,但经审计后,净利为9294万8000令吉。

金诗投资表示,这是因为子公司GTower采取FRS140会计准则,在产业投资类别的递延税项和成本模式方面有所更改。

此外,未审计账目超额计算实际开支价值,加上降低库存账面价值、较低的摊销费用、应收账项的减值,以及子公司MacroKiosk的递延税项调整,均为导致业绩审计前后出现差异的原因。[南洋网财经]
