A total of 17,440,547 treasury shares have been distributed to the entitled shareholders in relation to the distribution of treasury shares.

金诗投资设新公司

(吉隆坡5日讯)金诗投资(Goldis,5606,主板消费产品股)今日宣布,成立新公司New Water有限公司,负责在中国山东省取得的污水处理特许经营权合约。

根据该公司文告,他们原于今年5月,通过Crest Spring有限公司,在中国山东省取得的特许经营权合约;此外,也已与烟台市经济及技术发展区城市管理及环境保护局,签署长达23年,建造、经营及转移特许经营权协议。

New Water有限公司已重新签署该项合约,将取代早前CrestSpring有限公司所签署的所有合约,不过,新合约条件内容相同。

Crest Spring有限公司也是金诗投资的独资子公司。于今年5月宣布获得上述合约,并且协议设立一家工程公司,负责进行污水处理厂的提升及扩展工作。[南洋网财经]

金诗投资净利翻倍

(吉隆坡30日讯)产业发展、投资项目及污水处理业务较好表现激励,金诗投资(Goldis,5606,主板消费产品股)截至7月杪次季,净利报4709万7000令吉,暴涨1.1倍。

营业额上扬24.36%至2743万2000令吉。

在首半年,其净利达7964万5000令吉,较上财年4320万7000令吉,按年涨84.3%;营业额则扬23.7%至5453万令吉,上财年为4406万8000令吉。

该公司指出,吉隆坡办公室市场租金和出租率保持不变,旗下GTower办公室在提升了通讯与资讯工艺(ICT)、餐饮区等基本设备后,料可维持高出租率。[南洋网财经]

金诗投资Q3 净利增75%

(吉隆坡10日讯)金诗投资(GOLDIS,5606,主板消费产品股)产业投资与发展业务表现强劲,推高截至10月31日现财年第三季净利,从去年的1839万5000令吉,暴增74.71%至3213万8000令吉。

金诗投资2013年第三季营业额报3288万6000令吉,高于去年同期的2311万9000令吉,涨幅高达42.25%。

公司表示,租金上扬、赚幅增加和联号公司表现改善,带动公司营业额与盈利走高。

相比于上财年同期的6160万2000令吉,金诗投资首9个月净利涨升81.46%,录得1亿1178万3000令吉。

公司首9个月营业额,从上财年同期6718万7000令吉,上扬30.11%,至8741万6000令吉。

金诗投资认为,吉隆坡办公楼市场持稳,平均租金和出租率波动不大,且需求稳定。因此,产业投资与发展业务将继续成为公司的主要动力。[南洋网财经]

金诗更改财年截止日

(吉隆坡28日讯)金诗投资(GOLDIS,5606,主板消费产品股)宣布,将财政年截止日期,从1月31日,更改至12月31日。

CONSOLIDATION OF IGB CORPORATION BERHAD FOLLOWING GOLDIS BERHAD’S ADOPTION OF FINANCIAL REPORTING STANDARD 10 “CONSOLIDATED FINANCIAL STATEMENTS”
Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Goldis Berhad ("Goldis") wishes to announce that on adoption of FRS 10 "Consolidated Financial Statements", Goldis will be consolidating IGB Corporation Berhad (“IGB”) for the first time with effect from the financial period ended 31 December 2013.


FRS 10 introduces a new single control model to determine which investees should be consolidated.


The term “control” has been redefined and the presumption that control exists when the parent owns directly or indirectly, more than half of the voting power of an entity has been removed. FRS 10 also includes specific guidance on de-facto control and situations where an investor might control an investee.


Under the new Standard, Goldis is now deemed to have de-facto control over IGB and as required by FRS 10, Goldis will be consolidating IGB for the period ended 31 December 2013 and the effects of the adoption of FRS10 will be applied retrospectively.

增持股权至15.85% 陈文成晋金诗第三大股东

(吉隆坡5日讯)丹斯里陈文成再通过公开市场购入金诗投资(GOLDIS,5606,主板消费产品股)23万5500股后,在该公司持股权增至9348万1504股或15.85%。

金诗投资今日向马交所报备,陈文成是于上月26日、27日、28日、本月3日和4日,通过公开市场购入上述股权。

根据文告,截至目前,陈文成以个人名义,直接持有金诗投资0.23%或136万0024股。

同时,他再通过2家香港公司———宏达(Wang Tak)和利兴发展(Lee Hing Development),买入金诗投资15.62%股权或9212万1480股,进而成为金诗投资第三大股东。

雇员公积金局(EPF)独资子公司———Kwasa置地私人有限公司,周一(3月3日)公布了双溪毛糯城镇中心发展项目首次征求建议书(简称RFP)的预审名单,金诗投资是20名入围的第一级发展商之一。

傳陳氏家族每股RM3收購 金詩:沒接獲獻議

(吉隆坡29日訊)消息說,金詩(GOLDIS,5606,主要板消費)大股東陳氏家族欲以每股至少3令吉獻購未持有的股權,帶動股價衝上新高;但金詩回應馬證交所質詢說,公司對任何潛在收購不知情,也沒有接獲任何收購獻議。

估值達18.2億

《Focus Malaysia》財經週刊引述消息報導,怡保花園(IGB,1597,主要板房產)聯合創辦人拿督陳振南與已故拿督陳錦耀旗下家族成員,目前料累計持有金詩約30.6%股權,

陳氏家族現有兩派人馬,一是陳振南與3位孩子,另一方是陳錦耀的3位孩子,陳錦耀兒子拿督斯里陳俊明也是怡保花園集團董事經理。

據報導,以每股3令吉獻購價估算,金詩估值將達18.2億令吉。知情者透露,假設獻購獲所有股東接受,獻購方將得拿出超過10億令吉。

但一名了解最新發展的消息人士透露,陳氏家族有意維持金詩的上市地位,一旦備妥完整文件后將很快宣佈這項獻購。

儘管如此,金詩在上週五(27日)晚間就有關報導回應馬證交所質詢說, 對任何潛在收購不知情,公司也沒有接獲任何收購獻議。

但受獻購消息激勵,金詩股價上週五盤中衝上2.42令吉的新高,閉市漲20仙,收在2.41令吉,成交量185萬4300股。【中国报财经】

否認陳氏家族全面獻購 券商:金詩醞釀私有化

(吉隆坡30日訊)金詩(GOLDIS,5606,主要板消費)否認接獲大股東家族全面獻購建議,不過分析師指出,大股東或有意透過接手金詩以間接持有怡保花園(IGB,1597,主要板房產)更多股權,私有化計劃醞釀中,金詩一度淪十大下跌股之一。

日前報導指出,上述2家公司共同大股東陳氏家族有意以每股3令吉或18億令吉獻購金詩,該公司旗下資產包括32%怡保花園股權、敦拉薩路G Tower面積800方尺辦公室等,若與史上最高2.41令吉相比,報導的獻購價溢價24%;不過金詩否認該報導。

今早開市時,金詩跌6仙至2.35令吉,跌幅一度擴大至13仙,掛2.28令吉,休市時跌10仙至2.31令吉,為十大下跌股之一;午盤該股走勢稍好轉,不過仍下滑,閉市時跌8仙至2.33令吉,成交量54萬4500股。

大眾投資研究分析師在報告中指出,怡保花園股項蘊藏價值或達每股5.50令吉,單單股權即值11億令吉,加上辦公室約1億1800萬令吉,金詩價值肯定超過18億令吉獻購價,達到超過20億令吉水平。

另外,怡保花園回購股票的腳步亦見放緩趨勢,分析師相信大股東已盤算以另一種型式展開收購計劃,對怡保花園具素質的獲利、潛在派息及回購股票計劃深具信心。【中国报财经】

重大宣布 金诗 怡保花园暂停

(吉隆坡17日讯)陈振南家族持有的金诗投资(Goldis,5606,主板消费股)及怡保花园(IGB,1597,主板產业股),今日双双宣布18日(週五)暂停交易。

陈振南家族持有金诗投资43%的股权;並通过金诗投资持有怡保花园32.19%的股权。

另外,怡保花园也持有怡保花园房產信託(IGBREIT,5227,主板房產信託)51%股权。

根据两家公司的文告,金诗投资將作出一项企业建议,並將导致其本身及怡保花园作出非常重大的宣布。

因此,两家公司要求暂停股票交易,直到有关建议的详情出炉为止。

早在去年5月8日,金诗投资曾经提出建议,以资本回退方式將怡保花园股份回退股东,並將配合这项活动进行削资和红股等连串企业活动。

金诗投资是以现金或配股方式进行回退活动,让股东二选一,那就是金诗投资將在资本回退前,把它所持有的怡保花园30.59%股权或4亿2967万4196股股票,转让给旗下的Steady Paramount有限公司。

然后,金诗投资將以10送1比例,派送Steady Paramount公司股票予股东;若股东不想接受Steady Paramount公司的股票,则可选择每股1.72令吉现金作为代替。

此外,该公司配合资本回退活动展开削资和红股计划,先將每股1令吉股票面值削减剩20仙,预计获得4亿8839万令吉现金,后把所得资金用於支付派股和现金回退计划。

股价近期走高

之后,该公司將展开另一项每5股发23红股计划,此项计划纯粹是协助公司完成派股计划,相关红股將在完成送股计划后立即取消,不会纳入中央存票户口。

当时,金诗投资表示,有关建议是为了让投资者兑现公司间接持有的怡保花园股权的价值,完成送股计划后,怡保花园將不再是金诗投资旗下联號公司,不会再做出盈利贡献。

然而,这项计划在2个月之后宣布告吹,公司给予的原因是股东反对,不过,这项建议当时其实尚未被带上股东特大寻求表决。

而早前,市场传出,陈氏家族將私有化金诗投资的消息,该公司曾经针对这项传言发文告表示,並未接获任何献议。

金诗投资股价近期已经在传言中走高,6月27日一度达到2.41令吉。

SUSPENSION OF TRADING
Goldis wishes to announce that it will be proposing a corporate exercise which would result in Goldis making a Very Material Announcement, as defined under the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Listing Requirements”). Therefore, the Company has requested for the suspension of the trading of Goldis’ shares (“Suspension”) until the full details of the proposal are available.   

Bursa Malaysia Securities Berhad has allowed the Suspension from 9.00 a.m. until 5.00 p.m. on 18 July 2014. The request for suspension is made under Paragraph 3.1(b) of Practice Note 2 on Requests for Suspension of the Listing Requirements.

每股RM2.88保留上市地位 金诗投资献购怡保花园

(吉隆坡18日讯)金诗投资(GOLDIS,5606,主板消费产品股)开价每股2.88令吉,献购未持有的怡保花园(IGB,1597,主板产业股)股票,并有意维持后者上市地位。

根据文告,金诗投资今日发出全面献购通知给怡保花园。

该公司目前直接持有怡保花园的30.66%股权,亦通过子公司Multistock持有的1.53%股权,意味共直接持有32.19%股权。

与金诗投资相关的单位则握有怡保花园18.96%股权,这包括拿督陈振南为首的陈氏家族成员、华商贸易私人公司、陈振南私人公司、宏达公司等32个单位。

维持上市

根据文告,献购方有意维持怡保花园的上市地位。

金诗投资将通过大约5900万令吉的内部资金,以及贷款融资献购计划。不过,公司不排除完成献购后,推行其他融资活动。

通过献购,将能以合理价格增持怡保花园股票,因献购价高于目前的股价。

怡保花园2011至2013财年期间,录得2.757亿至4.046亿令吉税前盈利,相等于年均复增6.4%。

怡保花园也稳定派发股息,金诗投资每年平均获得2350万令吉股息进账。

金诗投资相信,完成献购后,可持有怡保花园超过50%股权,并有望增盈利贡献和股息收入。

出价比资产低11%

周五暂停交易的怡保花园和金诗投资,皆会在周一早上9时恢复交易。

献购价仅比怡保花园周四闭市价2.84令吉,高4仙或1.4%。

相比怡保花园的5日交易量加权均价(VWAP)2.82令吉,献购价高2.1%。

不过,献购价较该公司截至2013年杪的已审计净资产低11.4%。

市场此前传言,陈氏家族有意每股开价至少3令吉,私有化金诗投资。

分析员: 献购价不合理 金诗低估怡保花园

(吉隆坡21日讯)金诗投资(GOLDIS,5606,主板消费产品股)向怡保花园(IGB,1597,主板产业股)提出的全面献购价格低于资产值,分析员直指缺乏吸引力,属不合理兼不公平。

金诗投资上周五开价每股2.88令吉,献购未持有的怡保花园股票,并有意维持后者上市地位。

大众投行研究分析员指出,市场原揣测金诗投资脱售手上的30.66%股权,结果是全购怡保花园其余股权,是令人惊讶的消息。

他点出,献购价每股2.88令吉,意味怡保花园的股票价值为38.4亿令吉,仅占80亿令吉实际净资产价值(RNAV)测的48%。

分析员表示,以账面值44.2亿令吉推算出的献购价,是不合理兼不公平。

产托值22亿

其中,怡保花园所持有的怡保花园产托(IGBREIT,5227,主板产业信托股)51.4%股权,价值高达22亿令吉,同时拥有7亿令吉净现金。

他还点出,献购价较怡保花园1年交易量加权均价(VWAP)低10%,明显失去吸引力。

他认为,大股东对怡保花园的全购,低估公司资产。

怡保花园上涨空间受限

怡保花园受到全购消息带动,周一微升4仙或1.41%,闭市报2.88令吉,成交量达到1503万4700股。

怡保花园的近期股价表现的确失色,就算怡保花园产托挂牌后,仍无法释放价值,甚至进一步推高股价。

怡保花园产托2012年4月宣布上市时,怡保花园股价为2.83令吉。

上周四暂停交易前,怡保花园以2.84令吉挂收。

分析员强调,怡保花园的潜在价值不容忽视,特别是当谷中城South Key竣工,主要源自租凭的公司盈利,将在未来3至5年翻倍。

基于全购活动,分析员相信怡保花园的股价上升空间将受限,所以从“超越大市”下调至“中和”评级。

同时,他把该公司目标价从4.10令吉,调降至目前献购价2.88令吉。

金诗需筹资20亿

金诗投资全购怡保花园,将需要支付26.7亿令吉。

分析员点出,金诗投资需要实际支付大约20亿令吉。

他提到,金诗投资目前只有1亿令吉现金,需要筹资高达20亿令吉。

对金诗投资而言,他认为这是很好的活动。

怡保花园所持怡保花园产托51.4%股权,价值高达22亿令吉。

金诗投资如今只需以20亿令吉,就可以收购怡保花园其余股权。

这意味,金诗投资以折价买下持有产托的怡保花园,还能免费获得旗下资产。

提出全购的金诗投资,周一下滑9仙或3.77%,闭市报2.30令吉,成交量达到54万8900股。

丰隆投行任独立顾问

另一方面,怡保花园向马交所报备,公司今天针对全购召开特别董事会议,决定不会寻求其他献议。

同时,董事部也决定委任丰隆投行研究,为全购的独立顾问。

(吉隆坡30日訊)金詩(GOLDIS,5606,主要板消費)以每股2.88令吉獻購怡保花園(IGB,1597,主要板房產)未持有股權,但觀察人士認為,這只是雙方共同股東陳氏家族為私有化金詩所做的鋪陳。

英文財經週刊《The Edge》引述觀察人士報導,若金詩成功收購怡保花園,握有后者15.3%持股的陳氏家族,即可獲得5億8605萬令吉,這筆資金已足以讓陳氏家族收購其在金詩未持有的39%股權。

金詩上週五(18日)宣布以每股2.88令吉,收購怡保花園未持有的69.34%股權,並將保留后者上市地位。

上述出價引起市場非議,稱有關出價低估后者資產價值,畢竟怡保花園透過持股51.4%的怡保花園產托(IGBREIT,5227,主要板產托),持有知名谷中城購物廣場與The Gardens購物廣場等資產。

本地一名銀行家透露,陳氏家族欲更進一步掌控怡保花園早已是公開的秘密,不過若直接私有化怡保花園對他們而言太昂貴,相反私有化金詩則更稱心如意。

報導說,這也是金詩為何做出這項難以令小股東接受獻議出價的理由,大股東陳氏家族則除外。【中国报财经】

金詩投資全購怡保花園失敗

(吉隆坡20日訊)金詩投資(GOLDIS,5606,主板消費品組)因無法達成50%接受率的門檻,對怡保花園(IGB,1597,主板產業組)作出的全面獻購行動宣告失敗。

無法掌握50%

金詩投資發佈文告指出,在截至週一(18日)為止已掌握大約48.29%的怡保花園股權,無法達成所要求的50%。

金詩投資在上個月曾表示,該公司持有怡保花園31.11%的股權,加上一致行動人(PAC)所持有的20.49%,可掌握共51.15%的股權。儘管如此,該公司如今只獲得一致行動人的17.18%接受率,而未能超越至少50%的門檻。

該公司早前通過文告聲稱,上述全面獻購旨在以合理的價格提高該公司在怡保花園的直接持股率。

消息傳出後,金詩投資今日股價下跌1仙,掛2令吉40仙;怡保花園也下跌1仙,掛2令吉87仙。

金詩投資的全面獻購價為2令吉88仙,只比怡保花園停牌前價格2令吉84仙溢價4仙,分析員視為出價太低,缺乏吸引力,不公平兼不合理,一早認為難贏得小股東的接受。(星洲日報/財經)

We refer to the announcement dated 18 July 2014 in relation to the Proposed Offer (“Announcement”). Unless otherwise defined herein, all defined terms shall have the same meanings as set out in the Announcement.

On behalf of Goldis, CIMB Investment Bank Berhad wishes to announce that Goldis has today received an irrevocable undertaking from Multistock Sdn Bhd, a wholly-owned subsidiary of Goldis and a PAC with Goldis in relation to the Proposed Offer, to accept the Proposed Offer in respect of all its direct shareholdings in IGB Corp.

Pursuant to the Code, a voluntary offer is subject to the offeror having received acceptances which would result in the offeror holding in aggregate more than 50% of the shares of the offeree.

As at 18 August 2014, being the last market day before this announcement, the aggregate shareholding of the PACs who have given their irrevocable undertakings to accept the Proposed Offer in respect of all their respective direct shareholdings in IGB Corp is approximately 229.31 million IGB Corp Shares, representing approximately 17.18% of the issued and paid-up share capital of IGB Corp (excluding treasury shares).                       
                          
Taking into account the direct shareholdings of Goldis of approximately 31.11% as at 18 August 2014 and the undertakings of the PACs to accept the Proposed Offer in respect of all their respective direct shareholdings in IGB Corp as mentioned above, the collective shareholdings of Goldis and the PACs who have provided the aforementioned undertakings are approximately 48.29%.

建议书未送到股东手上 金诗献购怡保花园未失败

(吉隆坡20日讯)金诗投资(GOLDIS,5606,主板消费产品股)强调,献购怡保花园(IGB,1597,主板产业股)建议书还没有送到股东手上,所以全面献购计划未失败。

该公司今日澄清,已向证券监督委员会申请,延长向股东发出建议书期限,预计最迟于10月8日寄出,所以8月18日并不是股东接受议案的截止日期。
金诗投资是针对《星报》报道作出澄清。

该公司指出,该报道错将18日当做截止日期,指全购计划中,金诗投资仅取得仅获怡保花园48.29%股权,未达50%的无条件献购水平,所以全购案不成功。

该公司昨日发表文告,指联合献购人与相关人士(PAC)已获得2亿2931万股,或相当于17.18%股权,加上该公司已持有怡保花园31.11%股权,累计持股达48.29%。

早前公司曾指出,联合献购人与相关人士已获得20.49%股权,金诗投资料可取得51.15%股权,但这个数目与昨日公布的数据稍有落差,以致错误报道。

金诗投资于7月间,开价每股2.88令吉,献购怡保花园未持有的股权,但条件是必须先取得至少50%的售股同意。

金诗投资今天股价趋跌,闭市时报2.40令吉,跌1仙或0.42%,成交量有29万2700股。

至于怡保花园则是以2.87令吉挂收,跌1仙或0.35%,成交量有11万9800股。【南洋网财经】

ARTICLES ENTITLED: “GOLDIS FAILS TO GET IGB” AND “GOLDIS SECURES 48.29% ACCEPTANCES FOR IGB”
Reference is made to the article entitled “Goldis fails to get IGB” appearing in The Star today, on page 3 of the StarBiz news section and the article entitled “Goldis secures 48.29% acceptances for IGB” appearing in The Star’s website at http://www.thestar.com.my (the “Articles”).

Unless otherwise defined herein, all defined terms shall have the same meanings as set out in the announcement dated 18 July 2014 in respect of the proposed conditional take-over offer by Goldis Berhad (“Goldis” or “the Company”) to acquire the entire equity interest in IGB Corporation Berhad not already owned by Goldis (“Proposed Offer”).

On behalf of Goldis, we, CIMB Investment Bank Berhad wish to clarify the following errors as appeared in the Articles:
-     “Takeover offer didn’t materialise as undertakings fall below 50% mark”; and
-     “However, as at Aug 18, which was the last market day for acceptances of the proposed offer, the aggregate shareholding of the PACs was about 229.31 million IGB shares, or 17.18% of the company.”

As stated in the announcement dated 18 July 2014, an application was submitted on 17 July 2014 for an extension of time to submit the Offer Document to the Securities Commission Malaysia (“SC”) and the despatch of the Offer Document (“EOT Application”), so as to allow sufficient time to undertake a valuation exercise on all material real estates of IGB Corp pursuant to paragraph 10.04 of the Main Market Listing Requirements of Bursa Securities. On this basis, the submission of the Offer Document is expected to be made within approximately 1.5 months from 18 July 2014, subject to SC's approval of the EOT Application.

Subsequently, as stated in the announcement dated 22 July 2014, the SC had vide its letter dated 22 July 2014 granted an approval for the following:
(i)         the draft Offer Document to be submitted to the SC for its consent concurrently upon the submission of the valuation reports to be included in the circular to shareholders of Goldis in respect of the Proposed Offer (“Circular”) to Bursa Securities; and

(ii)         the Offer Document to be despatched within two (2) market days from Bursa Securities’ clearance of Goldis' circular to shareholders in respect of the Proposed Offer, or after the Offer Document is consented to by the SC, whichever is later, and in any event no later than 82 days from the date of the Notice, being 8 October 2014.

As such, as the Offer Document has yet to be issued, it is incorrect to state that the takeover offer did not materialise, and 18 August 2014 being the last market day for acceptance of the Proposed Offer.
Further, as at 18 August 2014, the shareholding of the PACs who have given their irrevocable undertaking to accept the Proposed Offer in respect of all their respective direct shareholdings in IGB Corp is approximately 229.31 million IGB Corp Shares, or 17.18% of the issued and paid-up share capital of IGB Corp (excluding treasury shares), as stated in the announcement dated 19 August 2014.

Taking into account the direct shareholdings of Goldis of approximately 31.11% as at 18 August 2014 and the undertakings of the PACs to accept the Proposed Offer in respect of all their respective direct shareholdings in IGB Corp as mentioned above, the collective shareholdings of Goldis and the PACs who have provided the aforementioned undertakings are approximately 48.29%.

We will make the relevant announcement upon the submission of the Offer Document to the SC in due course.

The Board of Directors of Goldis Berhad ("Goldis") wishes to announce that Goldis has on 19 September 2014 subscribed for 8 ordinary shares of RM1.00 each representing 80% equity interest in the capital of AFMS Solutions Sdn Bhd (formerly as Clear Equation Sdn Bhd)("AFMS Solutions") for a cash consideration of RM8.00, resulting in AFMS Solutions becoming a subsidiary of Goldis.

The acquisition does not have any effect on the issued and paid up capital of Goldis and substantial shareholders’ shareholdings. lt also does not have any material effect on the net assets, earnings and gearing of Goldis for the financial year ending 31 December 2014.

None of the Directors, major shareholders of Goldis and/or persons connected to them, have any interest, direct or indirect, in the above acquisition.

The Board is of the opinion that the acquisition is made in the best interests of the Goldis Group.
