（吉隆坡18日讯）不久前进军油气领域的大众控股（PDZ，6254，主板贸服股），委任熟悉管理投资和资金的阿莫纳占为董事经理，同时也招来具备油气和船运领域经验的哈菲兹为总营运长。

根据文告，现年39岁的阿莫纳占，曾在Pelaburan Mara公司担任总执行长，监督直接投资、资金管理和金融服务活动，并参与区域多项企业投资和筹资活动。

拥有法律和企业金融背景的他，目前也是阿布扎比国民银行、城市发展控股公司（UDA）、PMB投资等企业的董事。

哈菲兹则曾任Topside Marine董事经理，并曾就职于中国深圳招商局重工公司。

这两项人事皆在今日生效。

（吉隆坡30日讯）消息称，继Pelaburan Mara公司晋升为大众控股（PDZ，6254，主板贸服股）的大股东后，另外有买家有意买入公司显著股份。

知情人士告诉《星报》，好几家公司已与大众控股商谈，收购后者显著股权。

“这些公司有意让大众控股成为旗下油气业务臂膀。由于目的一样，Pelaburan Mara和这些公司，或许最终会一起掌控大众控股。”

消息指出，一旦增加新主要大股东，管理层将物色收购柔佛油气资产，壮大业务规模。

虽然，大众控股因进军油气领域而引起够兴，但知情人士指，油气领域投资计划或出现阻碍。

今年5月，大众控股以1800万令吉现金，收购Efogen私人有限公司20%股权，借此增加油气岸外支援服务船只供应服务，进一步扩展海运和管理业务。

Efogen的核心业务是提供油气岸外支援服务船只、油气勘探服务、资讯科技软件和硬件贸易，以及油田相关维修和质询服务。

认购Efogen有阻碍

知情人士说：“Efogen的企业价值（EV）达不到大众控股的标准，后者或因此取消收购。不过，目前商谈还在进行。”

他解释，Efogen有意提高收购价，但大众控股却无意配合，所有收购案或告吹。

今年4月，丹斯里陈华春掌控以4100万令吉，脱售大众控股27%股权给PelaburanMara，前者因而入账3000万令吉。

（吉隆坡11日訊）大眾控股（PDZ，6254，主要板貿服）有信心截至明年6月底的財年內可轉虧為盈，股項大熱中再寫新高，為馬股三大熱門股之一，無視馬證交所上週發出的異常交易活動質詢。

大眾控股開市起0.5仙，以22.5仙迎市，在積極買盤扶持下，該股一度揚2仙至24仙，再寫52週新高；休市時，該股揚1.5仙至23.5仙，成交量高達2億506萬5800股。

午盤間，該股交投持續熱絡，閉市收在23仙，起1仙，成交量2億4908萬1400股，股價更寫下近7年的閉市新高。

大眾控股上週連續多日交投熾熱，上週四（7日）遭馬證交所發出“異常交易活動”質詢（UMA）。該公司今日稍晚終回應質詢說，在諮詢董事局、主要股東和其他相關人士后，皆對可能構成股價波動的原因不知情。

該公司也澄清兩家媒體稱有新股東加入的報導，稱目前沒有與任何一方展開任何洽談。

大眾控股剛上任的董事經理納茲因拉曼指出，公司在減少營運支出之際，將專注探討新商機，注入新資產改善獲利能力。

《商業時報》報導，納茲因上週出席一項開齋節開放門戶活動時透露，公司將專注物流和油氣服務業方面新資產，同時推動海運服務業務。

他指出，受惠于更低營運支出，公司截至6月底財年的淨利將大幅提高，並有信心2015財年將轉虧為盈；該公司將在本月底公佈全年業績。

大眾控股澄清　未洽谈收购资產

（吉隆坡14日讯）经过5个交易日交投大热后，大眾控股（PDZ，6254，主板贸服股）今日通过文告澄清，该控股目前並没有和任何本地或印尼公司针对资產收购活动，展开任何洽谈，撇清市场连日疑云。

针对《Malaysia Reserve》本月13日报导的「大眾控股印尼资產收购正等待精准密核」一文，大眾控股主要管理层和大股东再次声明，文中提到的潜在资產只是业务制定计划的一般用词。该计划可能是集资活动，包括配售附加股。

「任何潜力资產的精密审核活动只是公司正常的流程，同时也是公司所採纳的监管程序。」

管理层在文告中表示，在精密审核完成之前，將不会展开任何的洽谈。

「因此，我们要重申，大眾控股目前並没有和任何一方针对任何资產收购，或企业活动展开洽谈，不管是在大马或印尼。」

消息来源指出，这名最有可能是哈林沙厄旗下Kenmakmur控股私人有限公司执行董事陈占士（译音）的伙伴，将向玛拉投资有限公司购入大众控股的10%以上股权。

消息称，这项交易涉及新团体和玛拉投资的交易，预料将在短期内出炉。

“新股东预料将注入上游生产资产于大众控股。”

它补充，这将不会是一项马来西亚的资产。

另一名大股东的崛起，将看到玛拉投资联手新加入团体，把大众控股打造为一个石油与天然气工具。玛拉投资预料将继续保留为最大股东。

刚于3个月前以4100万令吉代价向商人丹斯里陈华春买下大众控股26.83%股份的玛拉投资，至8月14日止已经提高其控制权至29.54%。它现出售近半持有股份。

以29.5仙价格计，玛拉投资坐拥达2960万令吉的盈利，因其大部分股权是以每股18仙购入。

上述价格也显示着脱售约10%股份予新团体，将为玛拉投资带来760万令吉或以上的赚益。

玛拉投资已经逐步降低在大众控股持股。在8月11日，它在一项场外交易中，以每股22.5仙卖出500万股票。

大众控股证实 数买家洽购股权

（吉隆坡22日讯）大众控股（PDZ，6254，主板贸服股）在马交所文告证实，共有数名有意人士向大股东接洽，以收购后者股权。

大众控股是针对有关《The Edge》财经日报的报道，而作出以上披露。

文告指出，该公司已咨询大股东，而后者已也确认，的确有数个有兴趣人士向他提出收购股权的意图。

不过，大股东澄清，与这些买家的售股洽谈仍在进行中，一旦有任何协议达成，将会做出立即公布。

在作出回应后，大众控股全日下跌1仙或2.78%，以35仙结束交易，成交量为18788万2800股，为全场第3大热门股。

传哈林沙艾入股

根据媒体引述消息人士报道指出，玲珑（Renong）前执行主席丹斯里哈林沙艾将通过联号公司，向玛拉机构收购大众控股超过10%股权。

消息还说，该项交易最快将在一两天内进行，新股东计划将上游生产资产注入大众控股内，且该资产非大马资产。

加强营收策略奏效 大众控股料末季转盈

（吉隆坡1日讯）近期在市场相当活跃的大众控股（PDZ，6254，主板贸服股）表示，由于加强营收策略奏效，截至6月30日末季业绩成功转亏为盈，交出190万令吉盈利表现。

大众控股新任董事经理纳欣拉曼，亦是玛拉机构（Pelaburan Mara berhad，MARA）总执行长。

根据《星报》报道，他表示，透过船只部署，将它们转至具获利能力的方向，加上积极的行销活动，公司获利能力因而获得提振。

“我们致力将公司转亏为盈。”

不过，该公司全年业绩仍陷入49万3000令吉亏损，但出现按年收窄现象，去年亏损为1382万9000令吉。

此外，营运盈利则为247万令吉，上财年同期为109万令吉亏损。

大众控股为集装箱托运公司，MARA在4月份入股，共买入28%股权，以将该公司打造成油气公司。

检讨成本结构

早前有消息指，玲珑（Renong）前执行主席丹斯里哈林沙艾，将通过联号公司收购大众控股股权，以企稳在油气领域的地位。

对此，纳欣拉曼拒绝回应，但表示，该公司如早前向马交所宣布一样，正在完成交易，并且在协议达成后，做出宣布。

该公司在8月21日透过马交所文告证实，共有数名有意人士向大股东接洽，以收购股权。

他也重申，该公司也采取其他措施以提振获利，另一个即将采取的策略，则包括将资产优化，并重新检讨成本结构。

“目前，我们正进行技术和财务审计，作为未来决策的考量基础。”

（吉隆坡31日訊）據悉丹斯里哈林沙厄將在年底入股大眾控股（PDZ，6254，主要板貿服）成為新晉主要股東，並將公司轉型成油氣業者。

根據財經週刊《Focus Malaysia》引述消息報導，哈林沙厄和瑪拉投資有限公司（Pelaburan Mara Bhd）已簽署協議，但后者持有大眾控股30%股權會在3個內轉手。

另一消息指，哈林沙厄會注資數項油氣業務予大眾控股，以進一步轉型為油氣業者，首項資產料是具盈利表現的離岸服務公司。

公開市場累積股票

大眾控股在8月交投熾熱，並在19日達到每股37.5仙的5年新高水平，股票經紀推算哈林沙厄已開始在公開市場累積股票。該公司在8月7日接獲馬證交所發出“異常交易活動”（UMA）質詢，當時回應指對特別發展不知情。

可是大眾控股繼21日回應媒體報導稱，主要股東接獲數個單位表示有意收購公司股權，並与相關人士接洽。

至于瑪拉投資在4月間入股公司時，亦指會協助公司轉虧為盈，並已在大馬和印尼覓得數家油氣公司，可注入大眾控股。

大众控股人事变动 国油气体前主席任董事

（吉隆坡5日讯）早前因股价大涨而引起市场注意的大众控股（PDZ，6254，主板贸服股）今日宣布重组董事局，包括委任国油气体（PETGAS，6033，主板工业产品股）前主席拿督安努瓦阿末为独立兼非执行董事。

该公司向马交所报备，执行董事林建虎（译音）辞职，即日生效。

同时，亦委任安努瓦阿末和安努瓦依斯迈为独立兼非执行董事，皆在油气领域拥有丰富经验。

安努瓦阿末在2010年至今年5月15日，曾担任国油气体主席，在这之前则曾在不同时期分别担任国油贸易（PETDAG，5681，主板贸服股）主席，以及董事经理兼总执行长。

14.73%股权易手　大眾控股新大股东引揣测

（吉隆坡8日讯） 近期大股东变动频频的大眾控股（PDZ，6254，主板贸服股）在今天宣布，其大股东玛拉投资公司（PELABURAN MARA）与Megallink工业私人有限公司签署股权买卖协议，前者將出售大眾控股的1亿2802万股票，或相等14.73%股权予后者。

大眾控股原本的大股东是华商丹斯里陈华春，他在4月24日通过场外交易出售了他所持有的大眾控股股票，即1亿6633万零170股或相等于19.13%股权。

玛拉投资公司则在4月25日向大马交易所呈报，通过场外交易与公开市场，买进了大眾控股的2亿3325万股股票，佔大眾控股已发出股本的26.83%，崛起为该公司的大股东。

Bhd (Company No. 109643-H) (Megalink) for the sale of 128,024,335 ordinary shares of the Company currently held by the Major Shareholder (the “Agreement”) representing approximately 14.73% of the Company’s issued and paid-up capital, subject to the terms and conditions that have been agreed upon between both parties. Post-completion of the Agreement, the Major Shareholder’s stake in the Company will be reduced to 128,024,335 ordinary shares representing approximately 14.73% and the Company will see the emergence of Megalink as a substantial shareholder of the Company with a 14.73% stake.

（吉隆坡18日讯）大众控股（PDZ，6254，主板贸服股）再延长收购Efogen私人有限公司20%股权的交易期限10天，至9月24日。

该公司向马交所报备，这是该项交易第三次展延，买卖双方都同意。

大众控股5月宣布向Efogen创办人兼董事经理佐哈尼贾法，收购20%股权。

佐哈尼原本持有Efogen的40%股权。

该公司冀望通过入股Efogen，可凭着提供油气岸外支援服务船只，进一步扩展海运和管理业务。

Efogen成立于2002年，核心业务为提供油气岸外支援服务船只、油气勘探服务、资讯科技软件和硬件贸易，以及油田相关维修和质询服务。【南洋网财经】

PDZ had on 14 May 2014, entered into a conditional share acquisition agreement (“SAA”) with Johany bin Jaafar for the proposed acquisition of 20% equity interest in Efogen Sdn Bhd(“ESB”) comprising 4,000,000 ordinary shares of RM1.00 each (“Sale Shares”), for a cash consideration of RM18,000,000 (“Purchase Consideration”). By way of a letter extension executed on 14 July 2014 (“First Letter of Extension”), the parties to the SAA had mutually agreed to extend the time for satisfaction of the conditions for an additional one (1) month, which had expired on 13 August 2014. On 13 August 2014, a second extension letter was executed (“Second Letter of Extension”) where both parties had mutually agreed to extend the time for satisfaction of the conditions for an additional one (1) month, which had expired on 12 September 2014. Extension of days for satisfaction of condition precedent With reference to the SAA in respect of the above matter, the Board of Directors of PDZ wishes to inform that the parties to the SAA had, vide a third letter of extension dated 15 September 2014 (“Third Letter of Extension”), mutually agreed to extend the days for satisfaction of the conditions precedent for an additional ten (10) days from the date of the Second Letter of Extension, expiring on 24 September 2014.

经过3度展延履行合约，大众控股今天宣布与卖方达成共识，终止买卖合约，但未解释原由。
