2008年，对前风（Success，7207，主板工业产品股）来说，是很好的一年，我们会继续增长与扩充营业额与净利。

财务焦点
在过去数年来，集团取得了持续增长，并且在今年取得稳定的增长。

今年的营业额劲扬26.6％至1亿8500万令吉，去年为1亿4600万令吉。本集团可贡献给股东的盈利则稳健上涨31.6％至2360万令吉，去年为1800万令吉。

本集团的营业额与盈利取得增长，主要是集团内的所有业务，特别是海外市场业务的表现更为卓越所推动。此外，本集团新成立的子公司NSZ，也开始为本集团带来正面贡献。

在截至2008年12月31日财年内，每股盈利为19.71仙，较去年的15.09仙上扬了31％。

目前的股东基金以及总资产分别为1亿1100万令吉以及1亿8700万令吉。相应地，本集团的每股净资产从0.76令吉，稳健上扬至0.92令吉。

股息
本集团在2008年7月10日，派发了6％免税中期股息或每股3.0仙的股息。

业务发展

本集团在2008年实现了几个主要的里程碑：
●在2008年4月份，前风完成收购了在芙蓉工程私人有限公司（SESB）尚未持有的40％股权，后者是一家从事制造和建造加工设备，如非受火压力船、贮藏槽、筒仓和换热器的公司。

目前芙蓉工程私人有限公司已经成为了前风的独资子公司，所以该公司的所有收益将有助于改善前风的整体收益。

●在2008年9月份，芙蓉工程私人有限公司通过认购SEPEN工程私人有限公司的60％股权，来进一步扩充其投资版图。

SEPEN工程私人有限公司是一间从事制造与建造加工设备以及其他工程工作的公司，主攻食品领域。

SEPEN工程私人有限公司可为芙蓉工程私人有限公司提供额外的产能与人力资源，以协助后者满足客户的需求。

●在2008年7月份，前风与中国一家内地公司，在宁海成立了一家联营公司，前风在该联营公司持有60％股权。

该联营计划为前风提供了一个整合业务运作的机会，同时还可为整体解决方案，如设计、制造以及制订工业照明设备带来增值效应，以达致客户的需求。

此外，这也使前风在工业照明设备业务方面，拥有更好的质量控制、成本核算和交货。这将有助于把前风集团安置在一个强势的地位，以从竞争对手中作出区别。

业务前景与展望

尽管全球与国内经济欠稳，本集团期望变压器、工业照明设备以及加工设备的制造前景可以保持乐观，董事局希望2009年的表现可获得改善。

提供管理及资金支援 前风否认沽清芙蓉机械工程

（吉隆坡28日讯）消息指出，前风（SUCCESS，7207，主板工业产品股）将沽清芙蓉机械工程（SEB，5163，主板工业产品股）的65%股权。

财经日报《The Edge》引述消息报道，创办芙蓉机械工程的王氏家族自今年7月以来，就开始售出前风股权；王氏家族更在本月16日，进一步脱售了前风的4.4%股权，失却大股东地位。

王氏家族减持前风

“随着王氏家族退出前风，相信前风如今有意售出本身在芙蓉机械工程的股权，也是相当合理的。”

虽然购入65%芙蓉机械工程股权的买家还未出现，但是这宗股权交易很可能会触及33%的强制全面收购门槛。

不过，前风今日否认了这个传言，芙蓉机械工程也通过文告表示，并未发现前风即将脱售本身股权。

前风在文告中指出，公司无意脱售芙蓉机械工程股权，而且，公司实际上还提供了管理支援和资金等额外资源给后者。

同时，前风也已经采取相关措施与策略，来帮助芙蓉机械工程改善财政状况，所以，任何有关公司将脱售后者股权的消息，都只是市场的臆测。

截至去年杪，芙蓉机械工程净亏575万令吉，逊于去年同期的净赚627万令吉，归咎于沙巴尿素氨气厂房（SAMUR）工程的成本超支。

芙蓉机械工程向来为前风带来20%至30%的净利贡献，但如今已受到SAMUR工程影响。【南洋网财经】

With reference to the article by THE EDGE FINANCIAL DAILY on 28 October 2015 The Board of Directors of STC denied that there is any intention of the Company to dispose of its stake in Seremban Engineering Berhad (“SEB”). In fact, the Company had injected additional resources including financial and management support to SEB despite the losses recorded in financial year ended 31 December 2014 and first half of year 2015 due to the cost overrun suffered in the project of Sabah Ammonia and Urea Plant  (“SAMUR”) undertaken in Sipitang Sabah, which has completed in April 2015. The Management has taken various steps and strategies to stabilise and revamp SEB’s financial position, while focusing back on its core business which is in the fabrication of process equipment especially in palm oil refinery, food, chemical, and waste treatment industries. Therefore, any rumours stated in the article appeared in the media are purely speculative in nature and both of the Board of STC and SEB are not aware of such corporate development in relation to the disposal of STC’s stake in SEB. 前風變壓器與芙蓉工程‧2個家族的故事

（吉隆坡31日訊）前風變壓器（SUCCESS,7207,主板工業產品組）與芙蓉工程（SEB,5163,主板工業產品組），最近股價雙雙暴漲，令股東大展歡顏。

前風變壓器為國內其中最大的低伏特變壓器及工業照亮器製造商，持有芙蓉工程的65%股權，後者仍蒙受虧損，為森美蘭州為基地的加工器材製造商。

前風變壓器為檳城陳氏家族控制的公司，而芙蓉工程為創辦人――芙蓉的黃氏家族所管理。



上週二，芙蓉工程的股價高唱漲停板，大漲65.2%至76仙的52週新高，引來大馬股票交易所發出不尋常交易活動的質問。在短短的一天內，該公司市值從3千660萬令吉，暴漲至6千零60萬令吉。

前風變壓器的股價也在揚升趨勢，在少過3週內漲升逾60%。上週三，該公司股價一度創下2令吉17仙的歷來新高水平，較後在週四以2令吉9仙掛收，市值達到2億4千零90萬令吉。

市場觀察家指出，自今年7月以來，前風變壓器的股票面對賣壓，主要是黃氏家族脫售股權。隨著黃氏家族脫售後，前風變壓器才恢復揚升動力。

陳氏家族通過私人公司-O m e g aA t t r a c t i o n有限公司持有前風變壓器的42.39%股權，成為最大單一股東。

略為回顧，前風變壓器於2007年進軍加工器材製造業領域，向黃氏家族收購芙蓉工程的股權，前風變壓器前後付給賣方3千641萬令吉的現金。

前風變壓器董事經理陳亞平、其夫人潘金芬、及女兒陳松玲等，被列為該公司的大股東。

具強勁基本面‧前風盈利明年加快成長

（吉隆坡3日訊）前風變壓器（SUCCESS，7207，主板工業產品組）近期因謠傳有意脫售芙蓉工程（SEB，5163，主板工業產品組）而備受關注，雖然該公司已否認謠言，肯納格研究仍認為其強勁基本面值得被稍加關注，估計盈利將從2016年起加速成長。

肯納格在報告中指出，前風變壓器營業額過去3年都取得成長，平均成長率為13.4%，可能歸功於變壓器和燈光產品需求增加的緣故，惟淨利表現漂浮。

不過，截至今年上半年，前風變壓器營業額僅取得3%增長，主要是加工設備銷售下滑的緣故。

“加工設備成長率放緩，可能是受到沙巴工程的拖累，這已反映在芙蓉工程業績上，2014年淨利因有關工程延誤超支而按年下滑了14.9%，並使用前風變壓器淨利賺幅降低至6.6%，落後過去3年的9%至9.6%。”

然而，芙蓉工程認為這趨勢將在未來1至2個季度內改變，因沙巴工程的超支開銷主要已反映在業績上，所以相信淨利賺幅將逐漸復甦。

芙蓉工程降負債比

另一方面，芙蓉工程目前也正脫售其在Selekta Spektra公司的40%股權，售價為1千萬令吉，這將使芙蓉工程負債比從1.2倍降低至1倍，節省利息開銷。

整體而言，肯納格看好前風變壓器盈利在2015年後復甦，估計2016和2017年營業額取得介於9.5%至10.5%的成長，加上芙蓉工程業績好轉，淨賺幅可望復甦至8至9%水平。

因此，肯納格估計前風變壓器2016和2017年的淨利分別是3千190萬令吉和3千970萬令吉，2015年預估淨利則為2千650萬令吉。

未來幾年每股股息料為4仙

股息方面，肯納格則預計未來幾年每股股息為4仙，相當於1.9%週息率。

肯納格補充，前風變壓器目前僅以2016年預估盈利的7.7倍本益比交易；若該公司業績出現越來越明確的好轉跡象，估值可能有重估潛力，因此決定把該公司目標估值設在10.5倍本益比水平，相當於2令吉80仙，給予“短線買進”評級。（星洲日報／財經‧報導：李三宇）

The Board of Directors of STC wishes to announce that as at 2 December 2015, its 60% -owned subsidiary, namely Ningbo Success Zhenye Luminaire Limited Liabilities Company (“NSZ”) has disposed of 100,000 ordinary shares of RMB 1.00 each in its 60%-owned subsidiary, Shenyang Success Zhenye Luminaire Limited Liabilities Company (“SSZ”), representing an equity interest of 20% in the issued and paid up capital of SSZ (“Dilution of Equity Investment”) to the existing shareholder of SSZ, Mr. Zeng Fanzhi (“the Purchaser”) for a cash consideration of RMB 100,000.00 (equivalent to RM 66,500.00). Following the Dilution of Equity Investment, SSZ shall cease to be a subsidiary of NSZ and an indirect subsidiary of the Company on 2 December 2015. （吉隆坡22日讯）基于现任主席詹道明（译音）辞职，前风（SUCCESS，7207，主板工业产品股）委任拿督蔡兆源为独立非执行主席，即日起生效。

根据文告，现年48岁的蔡兆源是首相署利商特工队（PEMUDAH ）专案小组的创办成员，自2007年开始授权改善大马的经商环境，及提升国家竞争力。

此外，他也是PEMUDAH的经商环境关键小组（Focus Group）联合主席，关注缴税事项，也是大马财政部的消费税监管工作委员会的成员之一。

蔡兆源毕业于马来亚大学，并获得会计学士学位，目前在宏愿理财机构（Great Vision）担任税务与财务规划总监，同时，也是大马和新加坡汉堡王（Burger King）的执行主席。
