Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of TRIVE wishes to announce that the Company had incorporated a new wholly-owned subsidiary known as Trive Property Energy Technology Holdings Limited (“TPET”) (Company No. 2563180) on 03 August 2017. The certificate of incorporation was received by the Company on 18 August 2017.

TPET was incorporated in Hong Kong Special Administrative Region with a paid-up capital of HK$10,000.00. TPET will be principally involved in investment holding. The directors are Kua Khai Shyuan and Zhu Guohe.

The incorporation is not expected to have any material effect on the Group’s earnings per share, net assets per share, gearings, share capital and substantial shareholdings structure for the financial year ending 31 January 2018.

None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, either direct or indirect in the said incorporation.

TRIVE产业6送1红股

(吉隆坡29日讯)TRIVE产业(TRIVE,0118,主板科技组)建议推行“6送1”红股计划。

该公司在文告中说,将透过股票溢价户头融资,配送最多4亿3262万9350股红股。

计划完成后,该公司股本最多将提高到30亿2840万5453股,目前是13亿3659万1580股。

Bhd. (“Daima Fujing”) for a total cash consideration of RM10.00 only. Following this transaction, Daima Fujing became a wholly-owned subsidiary of TRIVE.

Daima Fujing is currently dormant and will be principally involved in research and development, assembly, production, distribute and marketing of photovoltaic products such as solar cells, solar panels or solar modules including solar systems in design and storage of solar power.

与TMSB洽SPNB合约
TRIVE拟承包可负担屋


2017年10月21日
(吉隆坡21日讯)TRIVE产业(TRIVE,0118,主板科技股)独资子公司TRIVE产业私人有限公司(TPSB),与Tenaga Meriah 私人有限公司(TMSB)签署了解备忘录,探讨让TPSB成为国家房屋公司(SPNB)在吉隆坡兴建可负担房屋项目的统筹承包商。

TRIVE产业向交易所报备,若TPSB获委任为上述项目的统筹承包商,预计工程将会在9个月内动工,并在60个月内完成。

早前,TMSB已获得SPNB Aspirasi私人有限公司(简称SASB)颁发的意向书,成立一家联营公司。TMSB是联营公司的大股东。

至于SASB则是国家房屋公司(SPNB)的独资子公司。

发展总值11亿

这项发展总值11亿令吉的可负担房屋发展项目,将会有住宅公寓、零售与商业裙楼、停车场、儿童游乐场以及游泳池等。

坐落在吉隆坡的策略位置,该发展项目附近的高端成熟社区,包括了帝沙花园城(Desa Park City)、白沙罗绿野山庄(Country Heights Damansara)、满家乐(Mont Kiara)以及敦依斯迈花园(TTDI)。

TRIVE产业执行董事柯凯旋表示:“SPNB可负担房屋的综合发展项目,对大众来说是个好消息,尤其是我国的房价自2012年起,已大幅攀升,影响许多买家。”

The Board of Directors of TRIVE (“Board”) is pleased to announce that Trive Property Sdn Bhd (“TPSB”), a wholly owned subsidiary of the Company had on 19 October 2017 entered into a Memorandum of Understanding (“MOU”) with Tenaga Meriah Sdn Bhd (“TMSB”), a company incorporated in Malaysia and having its registered office at Level 33A Menara 1MK, Kompleks 1 Mont Kiara, No. 1 Jalan Kiara, Mont Kiara, 50480 Kuala Lumpur for purpose of the appointment of TPSB as a turnkey contractor for the proposed design, construction and completion of a proposed affordable housing development project for Syarikat Perumahan Negara Berhad (SPNB) in Kuala Lumpur.

TPSB and TMSB are hereinafter collectively referred to as the “Parties”.

The Parties have agreed to promptly negotiate exclusively in good faith the detailed terms and conditions of the proposed appointment of TPSB as a turnkey contractor with the intention to finalize and enter into a definitive agreement for the award.

The salient terms of the MOU are as follows:-
1. The proposed affordable housing development project is expected to commence within 9 months (“Commencement Date”)  in the event of TPSB is successfully being appointed as the turnkey contractor and to be completed within 60 months from Commencement Date.

2. The proposed affordable housing development project shall include the design, construction and completion of the following structures and facilities, to be constructed on a land area measuring approximately 8.9 acres:-
  • Residential tower buildings
  • Retail & commercial podium
  • Central parking podium
  • Car Parks
  • Road Works
  • Sewerage reticulation works
  • Surface water drainage
  • Water reticulation
  • Fencing and gate
  • Children playground
  • Landscaping
  • Street lighting and cabling
  • External telephone and manholes
  • Rubbish Collection Centre
  • TNB Substation
  • Sewerage Treatment Plant
  • Swimming Pool

3. There are no liabilities, contingent liabilities or guarantees to be assumed by all Parties arising from the alliance.

4. This MOU is non-binding until the Parties execute a definitive agreement.

The MOU allows the Parties to set out the understanding and intention in respect of the proposed appointment of TPSB as a turnkey contractor for purposes to expand and strengthen the Group’s existing business activities in construction and property development.

The MOU does not have any effect on the share capital, substantial shareholder’s shareholdings, net assets, earnings and gearings of the Group for the financial year ending 31 January 2018.

None of the Directors and major shareholder(s) of TRIVE or any persons connected to them have any interest, direct and indirect in the MOU.
The Board is of the opinion that the MOU is in the best interest of the Company.

The MOU is available for inspection by shareholders of TRIVE at the registered office situated at 51-21-A, Menara BHL Bank, Jalan Sultan Ahmad Shah, 10050 Penang during office hours from Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.

在开始之前,很多人会奇怪Trive-WB在10月20日的折价不是34%吗?怎么变成53%了?请耐心阅读下面的计算方式就能明白了。

所谓天下没有白吃的午餐,但我们在股市里还是常常看到免费的午餐在我们眼前晃来晃去,这些午餐看似好吃,但又担心自己被下毒了。

这期借着近期火红的Trive来作为例子,因为看到很多股民开始谈论起这份“免费霸王餐”,也有位读者来询问怎么看凭单的折价和溢价,所以我们来分享一些关于凭单(孩子)的转换详情来回答那些需要这方面资讯的人,但没有任何买卖建议,重点要分享的是凭单转换详情。

首先我们来了解怎么计算凭单的折价或溢价:

在这科技发达的时代,我们身为高端的散户,已经不需要去记得那些复杂的Formula,一机在手,四通八达,关于凭单的所有资料都可以在KLSE SCREENER找得到。

Trive-WB



母股(妈妈)价:RM0.245 (2017年10月20日闭市价)
转换价:RM0.10
转换比率:1换1

所以如果要将凭单转换成母股,首先你需要有凭单(RM0.06),然后再附上RM0.10的转换价,也就是总共需要付出0.16的成本来换取1个母股。

上图的讲解1 – Premium的算法是:凭单转换总价值减母股价格,这里的情况是RM0.16-RM0.245 = -RM0.085,意思就是孩子还便宜过妈妈RM0.085,负数就是孩子比妈妈便宜,正数就是孩子比妈妈贵。

上图的讲解2 – Premium % 就是将Premium除以母股价格,-RM0.085/RM0.245 = -34.69%,意思就是孩子目前比妈妈还要便宜34.69%。Premium的计算方法是除以妈妈,但如果你要计算自己的回酬要除以孩子的成本价才对。

上图的讲解3 – Gearing 是杠杆比率,是由母股股价除以孩子的股价,RM0.245/RM0.06 = 4.08。杠杆4倍的意思就是母股的股价每涨10%,照理来说孩子的股价就要涨40%,母股涨20%,孩子的股价就要涨80%。反过来如果母股跌10%,孩子就会跌40%。但这只是“理论上”。

免费霸王餐?既然孩子目前的价值才0.16,那我现在买入然后马上转换成妈妈不就白白赚了53%吗??
假设我买入孩子RM0.06 的100,000units,成本RM6,000。

转换价 RM0.10,另加成本RM10,000,这笔交易我总成本是RM16,000

转换后,我有100,000units的母股,在RM0.245卖出,那么我拿回RM24,500,扣除成本RM16,000,我一下子白白赚了RM8,500,RM8,500除以本钱RM16,000的回酬是53%。

“理论上”来说,是的没错,但这只是”理论上”,你要吃这个免费午餐也是需要承担一些风险的,而这主要的风险就是时间和母股的股价变动。


风险:整个凭单转换母股的过程需要10天左右的交易日,其中包括了你买票拿票,购买bank draft,邮寄,Registrar 处理手续等等,经过向Registrar查询后,当他们收到你的表格需要8天交易日来完成转换手续。
所以整个计划的关键是:母股股价在这段时间内不能有大幅度下滑才能锁定你的盈利。如果你在获得母股之前,母股的价格跌破你的成本价,那你就开始亏损,反过来如果母股没跌破你的成本价,你就有利可图。我们直接来看下面的实际假设。

实际假设:这里我举其中四个可能发生的情况,假设买入100,000units凭单在RM0.06,成本RM16,000:

1)Trive母股10天后继续上涨至RM0.335,成本RM0.16,10天后得到母股后卖出免费获得回酬109%,扣除本钱后净赚RM17,500

2)Trive母股10天后保持不变在RM0.245,成本RM0.16,10天后得到母股后卖出免费获得回酬53%,扣除本钱后净赚RM8,500

3)Trive母股10天后下跌至RM0.16,成本RM0.16,10天后得到母股后卖出免费获得回酬0%,扣除本钱后净赚RM0

4)Trive母股10天后下跌至RM0.14,成本RM0.16,10天后得到母股后卖出亏损13%,扣除本钱后净亏损RM2000

总结来说,以上面的例子假设成本价是RM0.16,只要母股价钱不跌破RM0.16的话你就有利可图,但如果母股价钱跌破0.16后就是亏损了,至于亏多少就看在多少价钱卖出母股。

凭单转换手续:如果决定了要将凭单转换成为母股,那么就要了解整个转换手续,才不会给自己惹麻烦,我本身在不久前认购XX附加股时就做错了一些步骤,结果Registrar的职员直接打来骂我T.T 。当然好心的remisier是可以帮你处理这些工作的,如果是margin/nominee户口就只需要付钱给银行去处理罢了。

1) 首先,你需要致电或电邮给公司委托的Registrar索取凭单转换表格,他们就会电邮给你。你需要填妥表格里的所有资料,确保所有填妥的资料是正确的,否则又要拖延转换手续的时间。这里我继续用Trive的表格作为例子:







2) 得到表格填妥资料后,就准备钱到银行购买Bank draft,Bank draft的数额就是转换价乘以转换股票数量,以及务必再三检查Bank Draft上面的名称和金额一定要正确。



3) 在寄出之前,可以选择使用现金或者支票来支付手续费给Registrar,现金或支票可以连同所有相关文件一起放进信封邮寄出去。





有人问起Trive的走势,所以也附上一些Trive的技术图做参考(只供参考):



近10年的周线图,股价突破近6年新高的阻力RM0.215之后,企图上冲下一个阻力也就是2010年的最高点RM0.335。
已经突破了的RM0.205~0.215已经成为短期内的支撑,股价需要守着这个区域才能有继续上冲的动能。整个图形就有如inverted head and shoulders的底部反转形态,只不过这个head横摆太久,有点太过平了。



短期日线图来看,股价上冲后可能需要回调一阵子至0.205-0.215,如上面所说,要延续上冲的动能需要守着这个区域,下一个面对的阻力就是上面所说的近6年的高点RM0.335。

近期的Corporate Exercise:如果10月27号的股东特别大会通过红股方案的话,估计公司会在11月中公布除权日期,到时公司也会送出母股和凭单给持有者,比例是每6股送1股。当然拿到了免费红股后,凭单的转换将调整为RM0.09。这是额外的资讯提醒那些持有凭单的人。



也附上一些还处在负数negative premium的公司凭单供参考:

但请记得,有一部分公司的孩子比妈妈便宜可能是因为妈妈有什么不利的消息造成,例如业绩大跌、拿不到合约、解约、官司等等。所以大家不看好妈妈的前景,孩子自然也没人要买。

The Company would like to inform that the contract awarded to the Company’s wholly-owned subsidiaries namely ETI Tech (M) Sdn Bhd and/or Proper Methods Sdn Bhd from Tulangis Maju Sdn Bhd to carry out the Project Management Works in relation to the design, construction and completion of 500 units of apartments in Kampung Kilat, Alor Setar, Kedah Darul Aman under the People’s Housing Programme (Program Perumahan Rakyat) has been mutually terminated by the parties with effect from 10 November 2017.

Both parties agreed that each party shall not make any claim against the other party due to the termination of the above contract.

(吉隆坡13日讯)Trive Property Group Bhd与Jiangxi Fujing New Energy Technology有限公司签署一项联营协议,计划在太阳能产品制造和销售方面进行合作。

Trive今日向大马交易所报备,产品将包括太阳能电池和面板。

该公司表示,已于上周五(10日)与Jiangxi Fujing签署联营协议。

“这为公司提供机会发展太阳能业务,预计将带来额外收入来源,并改善财务表现。”

根据Trive,该公司与Jiangxi Fujing将成立一家联营公司Daima Fujing New Energy Technology私人有限公司。

Further to the Announcement, the Board of Directors (“Board”) of Trive would like to inform that the reason for termination of contract was due to Tulangis had requested Trive to temporarily stop the work since April 2016 with no specific date for resuming work and without any reason thereof. Hence, Trive decided to terminate the contract with Tulangis to best deploying the Company’s resources.

TRIVE被谴责5董事罚255万

(吉隆坡5日讯)蓄意提供虚假或误导资料,证券监督委员会公开谴责TRIVE产业(TRIVE,0118,主板科技股),并罚款5名董事共255万令吉。

证监会昨天发布文告,TRIVE产业未能根据会计准则,为截至2014年7月31日的2110万令吉发展开销作出减值评估,该公司与5名董事触犯证券领域(遵守会计准则)条例第4(1)条例和2007年资本市场与服务法令(CMSA)第369(b)(B)条文。

由于董事们未能履行责任,确保提呈给监管单位的财报真实和公允,事态严重,证监会一共罚款255万令吉。

其中,时任审计委员会成员的3名董事——王国成、涂顺贤和拿督莫哈末阿敏,各罚53万9000令吉。

拿督斯里彭洲发(人名皆译音)与扎鲁则各罚46万5500令吉。

另外,证监会指示TRIVE产业处理财务报告程序,包括委任外部审计师评估财务报告程序是否充足。【e南洋】

The Company wishes to inform that the Securities Commission Malaysia (“SC”) had vide their letter dated 30 November 2017 reprimanded Trive for breach of Section 354(1)(a) of the CMSA read together with Regulation 4(1) of the Securities Industry (Compliance with Approved Accounting Standards) Regulations 1999 and Section 369(b)(B) of the CMSA and directed Trive to address its financial reporting function as follows:

(i)      Trive is to appoint an external auditor (“EA”) (who is registered with the Audit Oversight Board) to evaluate the adequacy of the scope, function, competency and resources of Trive’s financial reporting function and make the appropriate recommendation to improve Trive’s Financial Reporting Function (“Assessment of Financial Reporting Function”);

(ii)     Trive’s Audit Committee (“AC”) is to assess the EA’s findings on the  Assessment of Financial Reporting Function and make the appropriate recommendations to the Board to improve its Financial Reporting Function; and

(iii)    Trive is to highlight in its next audited financial statements and announce to Bursa the appropriate action Trive has taken, given the CMSA breaches highlighted above; and the actions that the AC has taken in addressing the SC’s directive in relation to the CMSA breaches highlighted above.

Separately, two existing directors of Trive had notified the Company that SC had reprimanded and fined them for breach of Section 354(1)(a) of the CMSA read together with Regulation 4(1) of the Securities Industry (Compliance with Approved Accounting Standards) Regulations 1999 and Section 369(b)(B) of the CMSA.

(Unless otherwise stated, all abbreviations used herein shall have the same meaning as those mentioned in the announcement dated 05 December 2017 in relation to the imposition of sanctions for breach of Section 354(1)(a) of the Capital Markets And Services Act 2007 (“Announcement”))

Further to the Announcement, the Company wishes to inform that the SC’s sanctions arose as a result of its findings that Trive had failed to perform an impairment assessment on its development expenditure amounting to RM21.1 million as at 31 July 2014 (“DE”) in the preparation of its audited financial statements for the financial period ended 31 July 2014 (“AFS 2014”), in accordance with the approved accounting standards, namely, the Malaysian Financial Reporting Standards (MFRS) 136: Impairment of Assets. This resulted in Trive and its five directors breaching Regulation 4(1) of the Securities Industry (Compliance with Approved Accounting Standards) Regulations 1999 and Section 369(b)(B) of the CMSA. In addition, Trive’s breach of Section 369(b)(B) of the CMSA was for knowingly authorizing the furnishing of the AFS 2014 that is false or misleading to the SC and Bursa Malaysia Securities Bhd in relation to the non-impairment of the DE.


Given the severity of the directors’ failure to discharge their duties in ensuring that financial statements submitted to the regulators are true and fair, SC imposed a total fine of RM2.55 million on the directors.

Two existing directors of Trive who are also AC members, Wong Kok Seong and Thu Soon Shien, and one ex-director Dato’ Mohamad Amin Mohamad Salleh, who at the relevant time was a member of the AC, were fined RM539,000 each. Two other ex-directors, Dato’ Sri Dr. Pang Chow Huat and Zarul Ikhwan Zarul Ahmad were fined RM465,500 each.

土地减值营运成本‧TRIVE第三季亏损恶化

(吉隆坡28日讯)受土地减值和营运成本升高影响,TRIVE产业(TRIVE,0118,主板科技组)截至2017年10月31日止第三季净亏损扩大至279万5000令吉,前期净亏损为30万4000令吉。

首3季亏损也增至249万1000令吉,前期为亏损114万2000令吉。

该公司第三季营业额急挫80.94%至5万7000令吉,去年同期为29万9000令吉,而首3季营业额则增加42.17%至269万7000令吉,前期共189万7000令吉。

TRIVE产业在文告中表示,第三季营收下滑,因太阳能业务的贡献大减,至于第三季蒙受亏损,主要由于土地和建筑物的减值亏损,以及营运蒙亏。

展望未来,该公司表示,在完成债务重组和发新股解决银行借贷后,财务已显著改善。随着多元化至建筑和产业发展行业,有信心取得更佳表现。
