(“TRCA” or “the Vendor”), had on 26 October 2020 entered into a Sale and Purchase of Shares Agreement (“the Agreement”) with K.H.Leong Nominees Pty. Ltd. (“KHLN” or “the Purchaser”) for disposal by TRCA of the 100% equity interest held in Pretty Sally Holdings Pty. Ltd. (“PSH”) comprising two (2) ordinary shares in PSH for a cash consideration of Australian Dollar Eight Hundred and Eighty Thousand Dollar Only (AUD880,000)(RM2,584,560). Description	Disposal of Shares in a Subsidiary Company
Pursuant to Para 9.19 (24) and 10.05(2) of the Main Market Listing Requirements, the Board of Directors of TRC Synergy Berhad (“the Company”) wishes to inform the Bursa Malaysia Securities Berhad that its wholly-owned subsidiary, Trans Resources Corporation Sdn Bhd (“TRC”) had on 01 December 2020 disposed seven (7) ordinary shares in the capital of Liputan Sutera Sdn Bhd “LSSB”) representing 70% of TRC’s interest in the capital of LSSB (“the Disposal”) to unrelated parties at a consideration of Ringgit Malaysia Seven (RM7.00) only (“the Shares Consideration”). LSSB is a dormant company since inception. Upon completion of the Disposal, LSSB shall cease to be as subsidiary of TRC. The Disposal will have no material effect on the net assets per share, earning per share, gearing, share capital and substantial shareholders' shareholding of the Company. None of the directors, major shareholders and/or persons connected with them has any interest, direct or indirect, in the Disposal. Having considered all aspects of the Disposal, the Board of Directors is of the opinion that the Disposal is in the best interest of the Company. The Disposal is not subject to the approval of the shareholders of the Company. This announcement is dated 01 December 2020.

Description	Valuation of Non-Current Assets
1. INTRODUCTION Pursuant to Paragraph 9.19 (46) and Part H of Appendix 9A of the Main Market Listing Requirements, the Board of Directors of TRC Synergy Berhad (‘TRCS’ or ‘the Company’) wishes to announce that the Company has carried out a revaluation exercise on the Group’s property, plant & equipment, right-of-use assets and investment properties which consists of freehold land, freehold buildings, leasehold land and leasehold building situated in Malaysia and Australia. 2.  PURPOSE OF REVALUATION The purpose of the valuation is to reflect the fair value of the properties in compliance with Malaysian Financial Reporting Standard (‘MFRS’) 116: Property, Plant & Equipment and MFRS 140: Investment Property. 3. REVALUATION SURPLUS, NAME OF VALUER, DATE OF VALUATION AND VALUATION ON PROPERTIES BY VALUER The valuation of the properties situated in Malaysia was conducted by Hartamas Valuation & Consultancy Sdn Bhd whilst the valuation of property situated in Australia was conducted by CBRE Valuations Pty Limited. Please refer to Appendix A for the details. 4. EFFECT OF THE REVALUATION SURPLUS ON NET ASSETS PER SHARE The recognition of the revaluation surplus and fair value gain on investment property, net of deferred tax, of RM27.45 million and RM2.37 million respectively, resulted in an increase in net assets per share as at 31 December 2023 by RM0.06. 5. DOCUMENTS FOR INSPECTION The valuation reports on the Properties are available for inspection at the Registered Office of TRCS at TRC Business Centre, Jalan Andaman Utama, 68000 Ampang, Selangor, during normal business hours for a period of three (3) months from the date of this announcement. The announcement is dated 05th March 2024.
