The Board of Directors of ASB (“Board”) wishes to announce that its indirect 65%-owned subsidiary, Posthotel Arosa AG (“Arosa”)(“Seller”), had on 9 July 2020 entered into a purchase right agreement (hereinafter referred to as “Agreement”) with Postresidenz am See AG (“Purchaser”) for the proposed disposal of all that piece of freehold land located at Oberseepromenade, Postfach 289, CH 7050 Arosa, Switzerland (the “Land”) on “as is where is” basis for a cash consideration of CHF5.95 million (equivalent to RM26.768 million) only (“Purchase Price”), subject to the terms and conditions as stipulated in the Agreement (“Proposed Disposal”).

Further details of the Proposed Disposal are set out in the attachment.

ADVANCE SYNERGY BERHAD ("ASB" OR "THE COMPANY") Proposed disposal of all that piece of freehold land located at Oberseepromenade, CH 7050 Arosa, Switzerland ("Proposed Disposal")
Further to the Company’s announcement on 9 July 2020 regarding the Proposed Disposal by its indirect 65%-owned subsidiary, Posthotel Arosa AG (“Seller”), for a cash consideration of Five Million Nine Hundred and Fifty Thousand Swiss Francs (CHF5.95 million)(equivalent to RM26.768 million), the Board of Directors of ASB wishes to set out below further details on the proposed utilisation of proceeds from the Proposed Disposal.

The proceeds from the Proposed Disposal are intended to be utilised to finance the working capital of ASB and its subsidiaries (collectively, “Group”) and expenses in relation to the Proposed Disposal as set out below:-

Notes:-

(1)        The proceeds shall be utilised for amongst others, the working capital of the Seller and its subsidiary, 57-59 Philbeach Gardens Limited, which owns a hotel property in London (“Hotel”). The Hotel is currently under renovation and is scheduled for opening in the second half of 2021. The Proposed Disposal proceeds of approximately CHF4.80 million will be utilised for the renovation of the Hotel, professional fees relating to the renovation, furnishing and fit-outs, pre-operating expenses and working capital to fund the daily operations of the Hotel and approximately CHF0.50 million will be utilised by the Seller for its operating expenses which include professional fees, tax and administration cost.

(2)        Estimated expenses mainly comprise tax, legal fees and other related expenses. Any shortfall or excess in the funds allocated for estimated expenses will be funded from or used for working capital of the Group.

In the event that the Proposed Disposal could not be completed, our Group would utilise its internally generated resources and/or alternative method of funding to implement any of the proposed activities as stated above.

The actual utilisation has not been determined at this juncture and may differ at the time of utilisation. The expected timeframe for utilisation of proceeds is within 24 months from the completion of the Proposed Disposal.

Ltd., (OOPA) against Mr Bui Sy Phong (Mr Bui)
We refer to our announcements on 6 September 2019, 17 June 2021 and 18 June 2021 pertaining to the announcements made by Captii, our subsidiary, to the SGX in relation to the suit HC/S 885/2019 in the High Court of the Republic of Singapore (“Suit”) filed by OOPA against Mr Bui.

ADVANCE SYNERGY BERHAD ("ASB" or the "Company")TERMINATION OF HOTEL MANAGEMENT AGREEMENT DATED 1 JANUARY 2017 ("HOTEL MANAGEMENT AGREEMENT") AND THE LETTER OF VARIATION DATED 7 MAY 2021 TO THE HOTEL MANAGEMENT AGREEMENT BETWEEN LANGKAWI HOLIDAY VILLA SDN BHD, AN INDIRECT WHOLLY-OWNED SUBSIDIARY OF ASB, AND HOLIDAY VILLA HOTELS & RESORTS SDN BHD (HEREINAFTER REFERRED TO AS "TERMINATION")
The Board of Directors of ASB (“Board”) wishes to announce that upon the completion of the termination of Renewal Lease Agreement between Langkawi Holiday Villa Sdn Bhd (“LHV”) and Pacific Trustees Berhad (acting as trustee for AmanahRaya Real Estate Investment Trust) for the lease of the Hotel (as defined in section 2 below) as announced by the Company on 2 January 2024, LHV ceased its business and operations at the Hotel after 31 December 2023 onwards and consequently, a notice of termination dated 31 December 2023 (“Notice of Termination”) was served to Holiday Villa Hotels & Resorts Sdn Bhd (“HVHR” or “Management Company”) for the Termination. Pursuant to the Termination, by the letter dated 14 March 2024, LHV and HVHR have mutually agreed that liquidated damages of RM4,283,653 (“Liquidated Damages”) shall be paid in cash by LHV to the Management Company.
