先進策略間接子公司 獲聯昌3000萬貸款

(吉隆坡2日訊)先進策略(ASB,1481,主要板貿服)宣布,旗下間接子公司AESBI電力系統私人有限公司,收到聯昌銀行發放的3000萬令吉貸款,這筆貸款將做為營運資本或策略投資。

先進策略今日向馬證交所報備,先進策略資本私人有限公司的子公司AESBI電力系統公司今日收到一筆3000萬令吉貸款;先進策略資本公司為先進策略旗下子公司。

根據報備文件指出,這筆貸款將以AESBI電力系統公司持有的房產做抵押,先進策略擔保。

先進策略指出,公司董事或主要股東並沒有從中取得任何直接或間接個人利益。

該股今日股價下滑,跌0.5仙至14仙,成交量達12萬股。【中国报财经】

Pursuant to Paragraph 9.03 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of ASB wishes to announce that AESBI Power Systems Sdn Bhd ("AESBI"), a wholly-owned subsidiary of Advance Synergy Capital Sdn Bhd which in turn is a wholly-owned subsidiary of ASB, had on 2 July 2015 accepted a Term Loan of RM30 million (“Facility”) from CIMB Bank Berhad (“CIMB Bank”) to be utilised for the Group’s working capital and/or strategic investment.

The Facility will be secured by inter alia the property owned by AESBI and a corporate guarantee from ASB.

印尼公司争酒店管理权 先进协作被索偿3585万

(吉隆坡31日讯)先进协作(ASB,1481,主板贸服股)子公司,遭印尼PT Diwangkara Jaya Makmur(简称PDJM)起诉,要求归还一间酒店的管理权,并赔偿至少3585万2980令吉。

根据日前的文告,子公司PT Diwangkara Holiday Villa Bali(简称PDHVB)在2003年,与CV Telabah Nasional贸易公司(简称CTNT)达成为期22年的租赁协议。

在协议中,PDHVB负责管理印尼Diwangkara Holiday Villa Beach Resort & Spa Bali(简称Diwangkara)酒店。

而PDJM日前向印尼Denpasar地方法院,起诉双方之间的租赁协议是无效的。

PDJM声明本身拥有Diwangkara酒店的管理权,因此,命令PDHVB归还该酒店。

PDJM也要求地方法院,查封一块面积为5050平方米的Denpasar地皮,这块地皮的拥有者为已故的艾达阿裕苏迪迪维拉蒂。

同时,PDJM向PDHVB索偿1046亿印尼盾(约3117万令吉)的实际损失、100亿印尼盾(约298万令吉)的一般损失、每日1000万印尼盾(约2980令吉)的违约金,以及相关堂费与开销。

先进协作指出,假设PDJM胜诉,除了赔偿对方上述损失,还必须赔偿价值170万令吉的资产。

但公司预计,终止Diwangkara酒店租赁协议,不会对营运造成严重打击。【南洋网财经】

ADVANCE SYNERGY BERHAD ("ASB")Legal proceeding involving PT. Diwangkara Holiday Villa Bali, an indirect subsidiary of ASB
The Board of Directors of ASB wishes to announce that a legal proceeding was instituted against PT. Diwangkara Holiday Villa Bali, an indirect subsidiary of ASB, arising from a claim dated 14 April 2015 made by PT. Diwangkara Jaya Makmur (“Plaintiff”) against PT. Diwangkara Holiday Villa Bali (“Defendant I”) and CV. Telabah Nasional Traiding Company (“Defendant II”) which was read on 28 July 2015 at the Denpasar District Court and fixed for mediation proceedings commencing on 29 July 2015. Defendant I has a lease agreement to operate and manage Diwangkara Holiday Villa Beach Resort & Spa Bali (“Diwangkara Hotel”) as mentioned in item 2 below.

The Plaintiff’s claims principally include the following:-
1.     seizure (Conservatoir Beslag) of the land held under Title No. 419/Sanur Kaja situated at Bali Province, Denpasar City, Sub-District of South Denpasar, Sanur Kaja Village with           an area of 5,050 metres square, registered in the name of the deceased Ida Ayu Sutiti Wirati alias Ida Penanda;
2.     invalidate the lease agreement (Deed No. 39) dated 31 July 2003 between Defendant I and Defendant II for Defendant I to operate and manage Diwangkara Hotel erected on the           aforesaid land for a period of 22 years;
3.     declaration that the Plaintiff reserves the right to perform management of Diwangkara Hotel owned by the Plaintiff erected on the aforesaid land;
4.     order for Defendant I to hand over Diwangkara Hotel to the Plaintiff in good condition;
5.     order for Defendant I to pay actual losses that have been suffered by the Plaintiff amounting to Rp104,600,000,000 (equivalent to approximately RM31.17 million), general losses         which have been suffered by the Plaintiff amounting to Rp10,000,000,000 (equivalent to approximately RM2.98 million) and default penalty of Rp10,000,000 (equivalent to                   approximately RM2,980) for each day commencing from the pronounce of the judgement;
6.     court fees; and
7.     implementation of the judgement on the claims despite any efforts of protest or appeal.

If the claim is successful, the expected losses are the amount claimed, legal costs and assets to be written off amounting to about RM1.7 million as at 31 December 2014.
However, the Group is not expected to suffer a material adverse operational impact following the purported termination of the aforesaid lease.

Further announcement(s) to Bursa Malaysia Securities Berhad on any material development on the above will be made in due course.

酒店项目迟迟未批 先进协作终止金边租地

(吉隆坡22日讯)先进协作(ASB,1481,主板贸服股)终止与柬埔寨金边市签署的租赁合约。

根据文告,子公司Asbina酒店与房产(简称AHP)是在今天与Monoratanak建筑和Canadia银行,签署终止协议。

1996年时,AHP与金边市签署租赁协议,后者将把Preah Monivong Boulevard与Sangkat Monorom之间的一片地皮,租赁给AHP。

当中还包括Monorom酒店及邻近地皮,总值125万美元(约540万令吉)。

根据租赁协议,AHP有权利营运酒店长达70年的时间,直至2066年1月31日,每年租金为6万美元(约25.8万令吉)至19万2000美元(约82.6万令吉)。

同时,还会在酒店后方兴建一家新酒店。

不过,自2008年呈上计划书后,新酒店项目就一直未得到批准。

加上金边的酒店市场疲软,及3星级酒店兴起,均影响了酒店市场的房租,因此,AHP决定退出金边市场。

文告指出,AHP接获金边市经济和金融部的信函通知,金边市已将地皮脱售给Monoratanak建筑。

而AHP已接获25万美元(107.5万令吉)的保证金,其余的100万美元(约430.2万令吉)则将由Canadia银行支付给AHP。【南洋网财经】

The Board of Directors of ASB wishes to announce that Asbina Hotel & Property Sdn Bhd (“AHP”) has on 22 September 2015 entered into a Termination of Lease Agreement with Monoratanak Construction Co., Ltd (“Monoratanak”) and Canadia Bank PLC to terminate the Lease Agreement dated 31 January 1996 (“Lease Agreement”) entered into between AHP and the Municipality of Phnom Penh, the Kingdom of Cambodia (“MPP”) where MPP leased to AHP a piece of land located on the corner of Preah Monivong Boulevard and Street No. 118, Sangkat Monorom, Khan 7 Makara, Phnom Penh, consisting of an existing building known as Hotel Monorom (now known as Holiday Villa City Centre Phnom Penh) (“Hotel”) together with the land adjacent to the rear (hereinafter the existing building and the adjacent land shall together be referred to as “the Land”) for a cash consideration of USD1,250,000 (equivalent to approximately RM5.4 million) (“Consideration”) (“Proposal”).

AHP has been informed via a letter from the Director of Phnom Penh Municipality Department of Economy and Finance that MPP has sold the Land to Monoratanak subject to the Lease Agreement.

Under the Lease Agreement, AHP has right to operate the Hotel for a period of 70 years up to 31 January 2066 for a lease rental of USD60,000 to USD192,000 per annum and will construct a new hotel on the vacant land located behind the Hotel (“New Hotel Construction”). The New Hotel Construction plan has not been given approval since the submission of the plan to MPP in 2008. The hotel market condition in Phnom Penh remains soft and the mushrooming of 3-star hotels along Monivong Boulevard impacts the room rate of the hotel market.

In view of the above, AHP intends to exit the Phnom Penh market and the Proposal provides for an early termination of the lease with the new owner, Monoratanak.

The Consideration was derived at after taking into consideration amongst others the remaining annual lease rental payable by AHP and the operating results of the Hotel. AHP has received a sum of USD250,000 as earnest money and the remaining balance of USD1,000,000 shall be paid to AHP by Canadia Bank PLC.

With the Proposal, there will be a one-off provision for the writing off of the net book value of the assets of the Hotel amounting to approximately RM15.1 million as at 31 December 2014.
However, the operations of the Hotel Group is not expected to be materially and adversely affected by the Proposal.

None of the directors, major shareholders and/or persons connected with the directors and major shareholders of ASB has any interest, direct or indirect, in the Proposal.

Description
Advance Synergy Berhad ("ASB" or "the Company")- Reply to query from Bursa Malaysia Berhad on 23 September 2015 regarding the Termination


We refer to the query letter from Bursa Malaysia Berhad dated 23 September 2015 and append below the additional information on the Termination announced on 22 September 2015:-

1.       Further clarification on the basis of arriving at the consideration of USD1.25 million, i.e. details of the remaining lease rental payable and the operating results of Holiday Villa City Centre Phnom Penh ("Hotel").
The remaining lease rental payable from 1 September 2015 to 31 January 2066 is approximately USD8.5 million.
The operating loss of the Hotel is approximately RM841,000 for the financial year ended 31 December 2014.

2.       Justifications for the consideration of USD1.25 million.
In view of the soft hotel market condition in Phnom Penh, remaining lease rental payable, poor operating results and additional cost (to be determined in due course) to construct a new hotel on the vacant land located behind the Hotel, the early termination of the lease for a consideration of USD1.25 million is the best option to exit the Phnom Penh market.

3.       Terms of payment of the remaining USD1 million.
Canadia Bank PLC has issued a Bank Guarantee for the sum of USD1million upon signing the agreement for the Termination which is valid for 60 days.
Upon completion of the winding up of the business and delivery of vacant possession of the Hotel to Monoratanak Construction Co., Ltd (“Monoratanak”) and Canadia Bank PLC, the balance sum of USD1 million shall be paid by Canadia Bank PLC.

4.       Details on the intended utilisation of proceeds of USD1.25 million.
          For working capital purposes.

5.       Treatment of the existing Hotel or building erected on the Land as a result of the Termination.
The existing Hotel or building erected on the Land was leased by AHP from the Municipality of Phnom Penh, the Kingdom of Cambodia under the Lease Agreement dated 31 January 1996 and is not our hotel property asset. Upon completion of the winding up of the business, AHP will deliver vacant possession of the Hotel to Monoratanak and Canadia Bank PLC.

6.       Further clarification on the one-off provision for the writing off of the net book value of the assets of the Hotel amounting to approximately RM15.1 million.
The net book value of the assets of the Hotel to be written off include the renovation cost of approximately RM14.8 million and plant & machinery, furniture & fittings and other assets totalling about RM0.3 million.

7.       Effects on the earnings per share, net assets per share and gearing.
The earnings per share and net assets per share of ASB Group for the financial year ending 31 December 2015 are both expected to reduce by approximately 1.8 sen arising from the Termination. There is no material impact on gearing.

ASB上海租大楼发展酒店

(吉隆坡11日讯)先进联营(ASB,1481,主板贸服股)旗下持股95%的常熟假日別墅酒店管理有限公司(简称常熟假日公司)宣布,將租用位于上海嘉定的B栋誉泰商业大楼作为酒店业务之用,总值8256万令吉,为期16年。

据文告,在不包括水电、电讯及煤气等之下,先进联营每年须支付350万至740万人民幣(239万至506万令吉)租金,並承诺在租约施行后的第3年起,將支付税后净利的5%予上海誉泰实业有限公司。

此外,该公司需在签署租赁合约的7天间缴付177万人民幣,相等于6个月的订金予出租者。

管理层表示,这项决定將有助加强公司于中国的立足点,同时將大马品牌扩展至中国市场,將为盈利带来正面贡献。

该栋酒店称之为誉泰商业大楼,涵盖两栋约佔地4万2341平方尺的大楼,並已于今年第3季竣工,惟仍需时至少12个月,装修及翻新成酒店。

该酒店將拥有143间套房、地下室(酒店办公楼、设备和前厅)和1楼的餐厅,佔地1万1417平方尺,估计在2017年1月全面运作。【东方网财经】

(吉隆坡11日讯)先进协作(ASB,1481,主板贸服股)以230万澳元(约700万令吉),沽清ADVANSA私人有限公司的所有权,逐步脱售非核心业务。

根据文告,ADVANSA是先进协作通过CALM FOR DINCORPORATED所持有的间接子公司。

亏100万

ADVANSA是一家澳洲公司,主要业务是制造和营销绞车、五金和紧固件产品。

上述脱售预计首季完成,且不会显著影响2016财年的负债和净资产;不过,则会面对约100万令吉的亏损。【南洋网财经】

Pursuant to Paragraph 9.19(24) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of ASB wishes to announce that Pacific Prime Ventures Pty Ltd (ACN 602 421 821) as trustee for the E Naidu Trust of 319 Glynburn Road, Kensington Park, South Australia, 5068, Australia (“Purchaser”) has on 5 February 2016 signed the Share Sale Agreement (“SSA”) to acquire from Calmford its 100% shareholding in Advansa for a cash consideration of AUD2,300,000 only (equivalent to approximately RM7.0 million) (“Proposed Disposal”). The Proposed Disposal is part of the Group’s plan to divest non-core businesses.

Advansa is a private limited company incorporated in Australia on 13 February 1996 with an authorised share capital of AUD10,000,000 and paid-up share capital of AUD4,700,002. The principal activities of Advansa are manufacturing and marketing of winches, and builder hardware and fastener products.

The cash consideration of AUD2,300,000 for the Proposed Disposal was arrived at on a “willing buyer willing seller” basis after taking into consideration among others the net capital deficiency of Advansa of AUD846,232 based on its unaudited management accounts for the financial period ended 30 September 2015 and the unaudited proforma net tangible assets as at 30 September 2015 after the proposed settlement of all inter-company loans and advances to and from Advansa of AUD2,524,967.  

The Proposed Disposal is expected to be completed by the first quarter of 2016 and it is not expected to have any material effect on the gearing and net assets of ASB Group for the financial year ending 31 December 2016. However, there is an expected loss of approximately RM1.0 million arising from the Proposed Disposal.

Following the completion of the Proposed Disposal, Advansa will cease to be a subsidiary of Calmford and ASB.

Mr PA Eiswaran Naidu Athinaidu is the Executive Director of Advansa and together with his spouse, are the beneficiaries of the E Naidu Trust. They do not hold any directorship or shares in ASB and Calmford.

None of the directors, major shareholders and/or persons connected with the directors and major shareholders of ASB has any interest, direct or indirect, in the Proposed Disposal.

資產強健‧業績欠穩‧先進聯營重整待翻身

衡量一家公司時,每股淨資產值(NAV)固然是許多投資者喜愛的指標之一,但我們不能完全以此判斷一家公司是否被低估,頂多只能視作參考。

不過,若是一家資產值夠強、業績有機會好轉、股價也看似觸底的公司,或許就值得細細評估一番了。

本期《股海勞月》,想與大家討論的即是一家NAV比股價高出452%、但業績欠穩的公司——先進聯營(ASB,1481,主板工業產品組),看看這家近幾年忙於重整業務和資產的多元業務公司,能否如願翻盤。

先進聯營的歷史非常悠久,可追溯到1920年,前身是Batu Lintang橡膠公司,成立初主要涉足農業,如橡膠和棕油;後來,大馬股票交易所在1960年成立後,Batu Lintang隨即在1961年上市,也因此成為馬股資歷最深的上市公司之一。

後來,配合90年代初的重大內部改革,Batu Lintang才易名為先進聯營,由種植公司轉變成投資控股公司,開始多元化旗下業務。

經多年經營,先進聯營涉獵的業務變得非常廣泛,涵蓋酒店、旅遊、資訊科技、產業發展、金融、教育、製造、中醫等,但卻也正因涉獵太廣,最終分身乏術,多項投資失敗收場,拖垮集團業績。

過去15年虧多賺少

過去15年,先進聯營業績非常波動,且虧多賺少,主要是一些投資失敗收場,被迫承擔數筆巨大撥備損失,但渡過2000年中期的高撥備週期和2009年次貸風暴後,先進聯營管理層吸取教訓,開始調整資產組合,脫售部份資產,強化資產負債表,加上主要業務持穩,終於阻止財務進一步惡化。

從大方向看,該公司目前最舉足輕重的業務有4種,分別是酒店、旅遊、資訊科技和產業發展,其他業務整體未成氣候,所以被統一歸類作“其他業務”,且整體仍在虧損中。

先進聯營旗下酒店業務的招牌是Holiday V i l l a酒店,旅遊業務的主力則是兩家旅遊代理公司Orient Escape Travel和Synergy Tours,資訊科技業務則是透過持股58.3%的新加坡上市公司Captii有限公司進行,也是該公司目前最賺錢的生意,產業發展則以小規模方式進行,收入不穩定,卻持續有利可圖。

新領導上陣
業務合理化

為重整內部策略,先進聯營在2012年委任當時的首席執行員李淑妮(譯音)出任董事經理;觀察先進聯營在李淑妮上任後的種種企業活動,《股海撈月》發現該公司有合理化業務的跡象。

李淑妮上任後,先進聯營就停止4大業務以外的非核心投資,還調整資產組合,把一些表現欠佳的海外資產或投資套現,儘管這些套現活動大都伴隨一些虧損,也拖累了近年業績,卻對長期業績和財務有正面影響。

在合理化資產組合之際,先進聯營還在同期進行了一些投資,惟投資方向不再散亂,而是集中火力在酒店和旅遊業務上。暫時看來,這是很好的轉變。

主要業務賺錢

“其他業務”拖垮業績

據《股海撈月》觀察,先進聯營旗下幾個主要業務,包括酒店、旅遊、資訊科技和產業,其實都在賺錢,造成業績仍無法擺脫虧損的主要原因,是綜合多種零碎生意的“其他業務”持續虧損,如何挽救相關業務是先進聯營業績能否如願翻身的關鍵。

在2015年,“其他業務”合計為先進聯營帶來3千156萬4千令吉營業額,但蒙受973萬1千令吉稅前虧損;對比下,2014年營業額為3千299萬1千令吉,稅前虧損1千160萬6千令吉。

考慮到先進聯營2015年的全年稅前虧損只有46萬6千令吉,“其他業務”儼然是拖垮集團業績的主因。

不管怎樣,先進聯營在今年2月時宣佈脫售的澳洲ADVANSA公司,其實就是“其他業務”中表現最糟的製造業務,顯示管理已在積極整頓。

在上週剛公佈的2015年年報中,管理層預見“其他業務”表現將會在今年改善,原因是拖垮整體表現的製造業務已被脫售,其餘業務營業額則料取得更佳成長表現。

今年業績有望改善

整體而言,先進聯營在李淑妮帶領下暫停投資新業務,把焦點放在合理化現有業務和資產組合是正面發展,雖然目前還不曉得改革戰果何時才能顯現,但相信只要沒再出現新非營運虧損,該公司今年業績有望按年改善。

在2015財政年,先進聯營因在第四季認列撤出柬埔寨酒店投資的1千170萬令吉一次性資產註銷虧損,而淨虧1千121萬2千令吉。

持8千萬現金支撐派息

透過內部整頓,先進聯營的財務狀況漸漸改善,手握大量現金,這允許該公司能在整體業績未明顯改善的情況下,於2011年開始派息,過去5年派息額介於0.25仙至0.5仙。

截至去年12月31日,先進聯營共掌握約1億6千萬令吉現金,扣除8千萬令吉貸款,淨現金仍高達8千萬令吉,相當於每股12.04仙,單是現金就稍高於股價,如此財務狀況,相信足以支持該公司繼續派息。



每股資產值奇高

另外,先進聯營的一大特點是每股資產值奇高;截至去年杪,先進聯營每股資產(NAV)高達66.3仙,意味股價目前以NAV的81.9%折價交易。

先進聯營股價大幅低於資產值,最大原因相信是業績欠穩,再者則是NAV在過去5年持續下滑,從2011年的每股91.6仙,減至去年的66.3仙,使投資者擔心NAV可能繼續滑落。

然而,NAV過去幾年明顯下跌,主要不是資產縮水,而是因先進聯營最大股東拿督阿末瑟比在2014年將其持有的可轉換債券股LA全數轉換成普通股,造成NAV被稀釋。
股價有觸底跡象

據觀察,先進聯營仍在努力穩定業績中,股價也處低迷,雖有強大NAV和繼續派息等兩大支柱,股價卻有觸底跡象。

過去1年間,馬股最糟的時刻當屬去年8月,馬股當時因馬幣暴跌而慘遭驚慌拋售,綜指一度跌近1500點;不過,先進聯營當時最低也只跌觸10.5仙即反彈。

此外今年2月時,先進聯營公佈的第四季業績因取消柬埔寨酒店投資所作賬面減記而慘虧1千零40萬令吉,股價卻不為所動,繼續鞏固在介於11至12仙之間。

由此可見,除非該公司傳出重大利空,又或宏觀危機再現,否則先進聯營現有股價相信已見底,短期下行風險相對低;然而,欲達成可持續的反彈,相信還得先在業績和派息方面有進一步突破。(星洲日報/投資致富‧股海撈月‧文:李三宇)
