长期的投资者,算到来还没赚到什么....
就这样被私有化...
大股东比较占优势....
趁现在业绩一直出现亏损,
来一招私有化,
表面上,0.90是合理,
但长期算来,小股东还是吃亏的。

每股资本回退90仙 毅成机构或私有化

(吉隆坡17日讯)毅成机构有限公司(IREKA,8834,建筑组)控制股东兼创办人赖昭华,有意透过特定资本回退每股90仙予小股东们,以把该公司私有化。

不过,分析师说,这项比最后交易价68仙稍高出3分之1的私有化献议,可能不会纳入其于越南私人保健经营投资的潜质。

代表上述控制股东的Olymvest私人有限公司在致给公司董事部的函件中表示,着手这项私有化的原因,是毅成机构的低迷股价表现。它以低于1令吉面值的水平交易,使它面对筹资本的困难。

Olymvest指出,该建筑与产业发展公司继续面对建筑材料成本增加,以及建筑领域熟练技工短缺的挑战。

它也透露,毅成机构也继续面对其投资Aseana产业有限公司的亏损影响。“因此,未来支付予毅成机构股东们的股息也可能受到冲击,未来可能侵蚀该股的市价。”

赖昭华的投资工具Ideal置地控股私人有限公司,是毅成机构的单一最大股东,持有43.02%。其次是Magnipact资源私人有限公司的13.52%。赖昭华与相关团体合共控制该公司的64.7%。

上述90仙的献议价远高于毅成机构过去1年介于62仙至74仙的股。不过,却是其截至3月杪每股1.60令吉未审核统一净资产值的43.75%巨额折价。

Olymvest表示,上述未审核净资产值包括了毅成机构23.07%伦敦上市Aseana产业的1亿4917万令吉价值,而这个数字则远高于该公司本身的6310万令吉现有市价。

经过Aseana产业价值的调整,该公司的未审核净资产值将企于9540万令吉,或每股84仙。基于调整后每股净资产值,上述献议相等6仙或7%的溢价。

毅成机构于截至2013年3月杪财政年蒙受了3560万令吉税前亏损,比较2012财政年获得1530万令吉税前盈利。其收益则从之前4亿3120万令吉萎缩到3亿3180万令吉。上述差劲业绩是因为来自Aseana产业的1907万令吉亏损,加上坏账注销所导致。

分析师表示,近期内并没有新鲜催化剂刺激收益成长。不过,该公司拥有一些黄金资产,并可从越南的保健业务和一些进行中产业计划获利。

毅成机构拥有订单约8亿5000万令吉,包括6亿4000万令吉现有工程。在4月,执行董事赖文翰告诉记者,毅成机构已投标总值12亿令吉的计划。他预料今年将落实一项设计与兴建商业建筑的具规模交易。

现有建筑订单包括柔佛努沙再也的Imperia公主港、以及捷运V7配套(建造与完成敦胡先翁镇至百苑园高架桥导轨和其他附属工程)。

分析师指出,毅成机构的下一个主要催化剂将来自已于3月初推介的共管公寓与酒店住宅计划,即位于吉隆坡中环区嘉炳路的RuMa。“在2016年中旬完成时,这项计划将抬高毅成机构和Aseana产业的收益。”

该计划总发展值达6亿5000万令吉,是Aseana产业(70%)和毅成机构(30%)之间的联营。

在越南,该公司涉及占地37.5公顷保健主题发展,潜在发展值达7亿7000万美元(24亿令吉)的胡志明市国际高科技保健园。它已完成在该市建筑城市国际医院。这间医院是上述保健园的一部分,整项计划包括一间私人医院、综合商业与住宅单位。

赖氏家族私有化献议 毅成特大寻股东通过

(吉隆坡28日讯)毅成(IREKA,8834,主板建筑股)董事部决议,将大股东赖氏家族提出的私有化献议,带上股东特别大会寻求批准。

毅成董事部发布文告指,在经过审议和听取独立顾问的意见后,决定将大股东赖昭华家族提出的削资与资本回退每股90仙予股东的私有化献议,交由股东在特大上决议。

该公司已委任兴业投资银行为主要顾问,而艾芬投资银行则为独立顾问,将针对上述私有化献议,为股东提供合理与公平的独立评估。

同时,董事部也预计,这项献议将在今年杪完成。

赖氏家族共持有毅成的64.7%股权,日前提出削资和资本回退的私有化献议,理由是公司过去3年交投淡静、无法通过公开市场筹资,还有未来派息与收益能力或受影响。[南洋网财经]

毅成建築獲3億合約

(吉隆坡30日訊)毅成建築(IREKA,8834,主要板建築)獲吉隆坡生態城私人有限公司(KL EcoCity)頒發總值2億9824萬令吉建造合約,為期38個月。

該公司向馬證交所報備,將在合約下,在政府租借土地建造2棟分別樓高48層及56層的公寓,其中包括7層樓泊車場及1層底層泊車場。

文告指出,該項由吉隆坡生態城頒發的工程位于孟沙路,並且需在未來38個月內完成,預計合約將直接貢獻至公司截至2014年3月底財年。[中国报财经]

毅成获2.5亿合约

(吉隆坡26日讯)毅成(IREKA,8834,主板建筑股)宣布获得Urban DNA私人有限公司颁发工程意向书,进行住宅产业和酒店建筑工程,总值2亿4950万令吉。

该公司今日向马交所报备,它是通过旗下独资子公司毅成工程与建筑私人有限公司获得上述合约,将于10月1日动工,料于2016年12月31日完工,总耗时39个月。

Urban DNA私人有限公司是毅成和Aseana产业有限公司的联营公司,毅成持有该公司30%股权。

The Board of Ireka Corporation Berhad (“ICB”) is pleased to announce that its wholly-owned subsidiary company, Ireka Engineering & Construction Sdn Bhd, has accepted a Letter of Award from Urban DNA Sdn Bhd for the construction and completion of the superstructure works for one block of serviced residences (200 units) and hotel (253 rooms) of 40-storey comprising 6-storey podium and 3-storey basement car-parks on Lot 201, Seksyen 63, Jalan Kia Peng, Kuala Lumpur (“the Contract”).

The award for the Contract amounts to a total value of RM249,500,000.00. The contract period shall be thirty nine (39) months, commencing on 1 October 2013 with completion date on 31 December 2016.

The award of the above Contract is regarded as a recurrent related party transaction. The shareholders of ICB had given a general mandate to ICB Group to enter into recurrent related party transactions of a revenue or trading nature at the Extraordinary General Meeting of ICB held on 26 September 2012. Urban DNA Sdn Bhd is a joint venture between Aseana Properties Limited (70%) and ICB (30%). Details of the interests of the related parties are disclosed in the Circular to Shareholders dated 3 September 2012.

The above Contract is expected to contribute positively to the earnings of ICB Group for the financial years ending 31 March 2014 onwards.

The Company does not foresee any exceptional risk other than normal operational risk associated with the Contract.

手握11億建築工程‧毅成放眼轉虧為盈

(吉隆坡30日訊)手握11億令吉建築工程的毅成建築(IREKA,8834,主板建筑組),將於未來一兩年推展22億令吉產業發展計劃,會竭盡所能在這個財政年轉虧為盈,預料2015財政年起業績會更好。

該集團目前擁有65英畝地庫,放眼在這幾年內發展6至8項總發展值達22億令吉之產業計劃。

該公司執行董事賴玟妃說,單單在近月內就獲頒發約5億9千萬令吉建築合約,預料這些建築合約從下個財政年起作出卓越貢獻,有關合約為期2年至2半年之間。

較早在大會致詞,集團董事經理賴昭華說,獲得上述建築工程將讓公司忙碌幾年,集團也打算擴展產業發展。

最近攫獲的大合約包括吉隆坡生態城私人有限公司(KL Eco City)頒發總值2億9千824萬令吉建造合約,以在為期38個月內建造2棟分別樓高48層及56層的公寓,其中包括7層樓泊車場及1層底層泊車場。另一項合約是獲聯營公司Urban DNA頒給總值2億4千950萬令吉合約,在吉隆坡市中心建造一棟服務型公寓及一棟40層樓酒店。

她也解釋首季業績失利原因,截至2013年6月30日首季,公司由盈轉虧768萬4千令吉,相比前期淨利114萬3千令吉,主要虧損顯現在23.07%聯號公司Aseana產業公司(Aseana),其虧損按年由約322萬擴大至424萬令吉。此外,首季中Aseana也在山打根酒店與商場營運,和Aloft Kulala Lumpur Sentral酒店營運蒙虧約582萬美元(約1千920萬令吉)。

“上季在建築業務方面,基於營運額下跌60%,也蒙虧約400萬令吉。”

她說,倘若建築工程一直陸續有新工程,將使2014年3月截止財政年業績有很大躍進。

詢及這個財政年是否可轉虧為盈,她表示這不好說,不過公司將竭盡所能。

“基於很多大型建築計劃於2015財政年作全面貢獻,預料2015財政年業績會更好。”

建築業已更趨勢競爭,相異於以往的約15%,目前獲10%已屬不錯。

產業方面,該公司已推展的兩項計劃包括和英國創業板上市公司Aseana產業聯營的吉隆坡嘉炳路的服務型酒店,森州汝來Kasia Greens新城鎮計劃。(星洲日報)

好。。。又來另一家公司。。有EGM。。。 也是要私有化。。這次的是。。 SELECTIVE CAPITAL RETURN。。。 選擇性資本回退計劃。。。

誰誰有這家公司的股票的。。。 快快出來。。。。

這家公司價值是 1.20-1.50左右。。。。 大股東使用0.90 拿回。。。還有現在市價都差不多1.00左右。。。

毅成建築私有化 73%小股東反對

(吉隆坡19日訊)毅成建築(IREKA,8834,主要板建築)雖虧損連連,但仍獲小股東看好前景,因此今日特別股東大會上,高達73%小股東反對公司私有化。

毅成建築今日召開特別股東大會,原有意透過特定資本削減(SCR)及回退方式,展開私有化向符合資格股東回退每股90仙。

然而經過歷時兩個小時投票后,無法獲得一半以上股東認同通過是項獻議。

毅成建築執行董事賴文翰說,“過去3年,該股股價皆低于面值且交投欠缺,公司亦沒有透過資金市場籌資,沒有繼續上市的理由,故大股東希望公司下市。”

他今日出席特大后的記者會上,如是指出;列席者包括執行董事賴玟妃。

該公司主席阿都拉尤索夫透過文告說:“公司主要股東向來都相信公司長期業者前景;如今特大的結果亦證明小股東對公司有同樣的信心,我們會持續努力帶領公司轉虧為盈。”

該公司去年6月13日收市價為68仙,上述獻議早在8個月前已籌備當中,原由數名股東聯合設立特別用途工具公司Olymvest,已籌集資本回退所需資金。

早前,代表小股東的獨立顧問艾芬投資銀行認為,該特定資本削減及回退方式是有欠公平,但數因素導致股價無法攀升,建議每股1.20令吉才屬合理。

配合這項宣布,毅成建築在截至今日早盤時,最后報價為87.5仙。

冀兩年內轉虧為盈

賴玟妃說,毅成建築將從今年開始持續通過競標合約方式,提高整體收入,希望在這兩年內將收入轉虧為盈。

她透露,由于子公司持續面對經商環境不穩定因素如建材成本高漲、熟練工人短缺等挑戰,加上聯號公司Aseana虧損連連,使公司截至目前虧損了約1100萬令吉。

“公司業務未來將面對更多挑戰,但並沒計劃透過資金市場集資,相信未來股息派發也會受影響,因此大股東建議展開私有化計劃,希望公司下市。”

她解釋,目前該公司收入90%來自于建築業務發展貢獻,10%則來自房產發展貢獻,希望2015年開始,能取得一個平衡點,即50%收入來自建築業務,50%來自房產發展。

另外,她指出,今年毅成建築將會有3個房產發展計劃,地點位于加影及汝來,發展總值約3億至5億令吉。【中国报财经】

毅成建築2配1附加股送1憑單

(吉隆坡27日訊)上週三(19日)私有化觸礁的毅成建築(IREKA,8834,主板建筑組),建議以2配1送1憑單比例配售二梯次附加股,以集資3千702萬2千278令吉,主要充作營運資本。

籌資3702萬

附加股售價初步訂為每股1令吉,認購的股東將承擔當中的65仙,其餘35仙則通過公司股票溢價戶頭融資。

竞標10亿订单 毅成盼提升合约至20亿

(吉隆坡16日讯)毅成工程(IREKA,8834,主板建筑股)表示,该公司正在竞標总值10亿令吉的合约订单,並放眼將其建筑合约订单提升至20亿令吉。       

毅成工程执行董事赖文翰表示,该公司目前正积极竞投建筑合约,总价值为10亿令吉。他们的目標是將建筑合约订单总值增至20亿令吉。

赖文翰在今天出席该公司的股东特別大会后,向媒体如此表示。

爭取高赚幅合约

他补充说,该公司希望爭取更多高档的建筑工程,以及赚幅更好的合约。

他称,若是將合约订单价值增至15亿到16亿令吉,將是理想的水平。

他指出,毅成工程手中合约订单大部份来自私人领域,不过,该公司正在竞標的合约来自公共及私人领域。

目前,该公司手握的建筑合约订单为11亿令吉,在2014財政年末季(截至今年3月31日止)分別取得两项合约,总价值约8亿5514万令吉。

展望公共建筑领域,他说,虽然建筑活动在早前放缓,但相信会逐渐加快,该公司將从中受益。

另一方面,针对產业业务的发展,毅成工程执行董事赖玟妃表示,目前该公司共有65英亩的地皮,计划在未来6年发展,总发展价值为22亿令吉。

將推4亿新盘

与此同时,该公司计划在2015財政年(3月31日结帐)推出总值4亿7000万令吉的新盘,包括位於汝来(Nilai)的dwi@rimbun Kasia產业项目及加影的Asta Enterprise园发展项目。赖玟妃透露,鉴於在2014財政年合约订单大幅度下跌,导致毅成工程2014財政年全年业绩预计仍將陷亏损,但该公司在2015財政年会尽力朝转亏为盈的方向前进。

赖玟妃披露,毅成工程持有23%股权的Aseana產业有限公司,在去年完成了一些產业项目的建设。Aseana產业有限公司会提升这些產业资產的营运,在这些资產的营运稳定后,进行脱售。

有鑑於此,毅成工程相信在脱售Aseana相关资產后,该公司將从中受惠。

此外,针对近日越南排华的风波,赖文翰指出,该公司在越南的业务没有受到影响,並且越南政府也承诺会保护海外投资者。

该公司之前提出以2配1比例,发2阶梯附加股,每认购1附加股將获送1凭单的建议,在今天召开的股东特大中获得股东批准。而附加股所筹集的3700万令吉资金,將作为公司的营运资本。

今天闭市时,毅成工程报0.87令吉,全天起3.5仙或4.19%,成交量为1万7900股。【东方网财经】

(ii)  a First Call price incorporating a 17.72% discount to the TERP of Ireka Shares of RM0.79 based on the five (5)-day VWAP of Ireka Shares immediately preceding the price-fixing date of RM0.86;
(iii)  the historical volatility and share price movement of Ireka Shares; and
(iv)  the level of funds that Ireka wishes to raise from the Rights Issue with Warrants for working capital.

The exercise price of the Warrants of RM1.00, which represents a premium of approximately RM0.21 or 26.58% over the TERP of Ireka Shares of RM0.79 based on the five (5)-day VWAP of Ireka Shares immediately preceding the price-fixing date of RM0.86, was determined after taking into consideration:
(i)  the par value of Ireka Shares of RM1.00 each;
(ii)  the tenure of the Warrants which has been fixed at five (5) years from the date of issuance; and
(iii)  the future prospects of the Ireka Group.

毅成末季亏损收窄

(吉隆坡29日讯)毅成(IREKA,8834,主板建筑股)截至3月31日末季亏损收窄,报1412万6000令吉,上财年同期为净亏3333万4000令吉。

毅成表示,除了注销呆债外,旗下联号公司和建筑业务表现不佳,也是拖累公司陷入亏损原因。

末季营业额仍从去年同期的5562万5000令吉,上扬69.66%,报9437万7000令吉,主要由产业发展和建筑业务贡献。

“由于主要合约完成,建筑业务营收贡献在本季走低。”

此外,毅成全年亏损也收窄至2835万1000令吉,上财年为3742万2000令吉。

营业额则从3亿3179万6000令吉,下滑12.8%,报2亿8923万2000令吉。

毅成表示,建筑业务在过12个月已竞标20亿令吉合约,而截至3月31日订单为13亿令吉,当中有9亿1200万令吉未入账。【南洋网财经】
