双威1.3亿售酒店大厦予SUNREIT

(吉隆坡8日讯) 双威(SUNWAY,5211,主板產业股)今日宣布,旗下2家子公司与双威房地產投资信托(SUNREIT,5176,主板房產信托股)达成买卖协议,前者將以总值1亿3400万令吉分別出售檳城双威酒店(Sunway Hotel Georgetown)和双威大厦(Wisma Sunway)予后者。

文告指出,双威通过旗下子公司--双威商务酒店与双威房地產投资信托达成买卖协议,前者將出售2幅位于乔治市的永久业权土地,连同一座16楼高(包括250间房)的檳城双威酒店。

隨上述买卖协议,双威商务酒店也和双威房地產投资信托进一步签署特许协议(MLA),后者將回租檳城双威酒店,为期10年,並附加选择性续租额外10年。

双威旗下另外2家子公司--双威马斯(Sunway Mas)私人有限公司和Daksina Harta私人有限公司与双威房地產投资信托达成买卖协议,出售位于莎阿南的双威大厦予后者。

在完成上述出售活动后,所得款项中,4500万令吉用作偿还银行贷款,另外,8900万令吉则作为营运资金。

管理层表示,该出售活动將可以让集团的负债率从截至2013年12月31日的0.25倍,减至0.23倍。【东方网财经】

The Board of Directors of Sunway wishes to announce that the following subsidiaries of Sunway, has on 8 December 2014 entered into the following agreements (“SPA”) with RHB Trustees Berhad (“Trustee”), as Trustee for Sunway Real Estate Investment Trust (“Sunway REIT”):-

In addition, SBH had simultaneously with the 1st SPA, entered into a master lease agreement (“MLA”) on 8 December 2014 with the Trustee and Sunway REIT Management Sdn Bhd, as the Manager of Sunway REIT (“Manager”) for the leaseback of Sunway Hotel Georgetown Property from the Trustee for a period of 10 years commencing from the Commencement Date (as defined below) with an option to renew for a further term of 10 years.

注入資產展望正面‧雙威和雙威產託財測暫不變

(吉隆坡11日訊)雙威(SUNWAY,5211,主板產業組)注入2項資產至雙威產業信托(SUNREIT,5176,主板產業投資信托組),分析員普遍認為,這項交易對兩家公司稍為正面,惟對盈利影響不會顯著,從而暫時維持財測不變。

分析員認為,雙威將在2015年首半年將旗下建築臂膀自行上市,將是該公司的下個催化因素。

肯納格研究對雙威注入資產給雙威產業信托沒有感到太大意外,因雙威向來的商業模式為脫售旗下投資產業進入雙威產業信托,以進一步釋放價值及重新循環至新投資。

雙威昨日宣佈將旗下的檳城喬治市雙威酒店和雙威大廈,注入到雙威產業信托。

肯納格對交易持中和至正面評級,因沒有對盈利帶來太大影響,每股僅微增2仙。

達證券認為這項釋放資產價值及現金流的交易正面,可以融資建築新的投資產業,包括雙威金字塔第三階段、雙威大馬新學術建築、及雙威永樂城購物中心等,將2015/2016年核心淨利預測,下調0.3%至0.9%。

丰隆研究認為,雙威脫售資產給雙威產業信托是符合邏輯之舉,以釋放雙方的投資價值。這將使雙威的淨負債從0.31倍減少至0.29倍。

丰隆雙威財測保持不變,預測該公司2014年淨利為5億2千300萬令吉、2015年則為5億3千600萬令吉。

或注入更多資產至產託

丰隆不排除雙威日後向雙威產業信托注入更多資產,特別是該公司為雙威產業信托的主要贊助公司。目前雙威尚持有多項產業資產,如莫納斯大學、雙威大學、雙威基莎、雙威水上樂園,以及打捫迷失樂園等。

達證券指出,若以按年計,雙威產業信托收購資產每年租金回酬率為6.3%,收購成本合理,比該公司2014年整體資產回酬率5.81%高。假設該公司負債比為50%,預料該公司仍有約9億令吉的借貸空間,以收購其他新資產。

雙威產業信托收購雙威的兩項資產,肯納格將2015年及2016年核心淨利微增0.2%至0.8%,分別至2億4千700萬令吉、及2億8千200萬令吉;預料該公司2015/2016年的每股股息,也將增加0.2%至0.8%,至8.9仙及10.2仙,或是周息率為5.9%及6.8%。

丰隆對收購資產計劃持中和至略正面評級,主要是檳城喬治市雙威酒店截至2014年9月杪財政年的營運盈利為330萬令吉、及雙威大廈則為300萬令吉,佔2016年財政年全年淨產業收入預測的1.0%及0.8%。

聯昌研究正面看待有關資產收購計劃,因將推動雙威產業信托的收入,惟影響卻不會顯著,收購行動也符合該公司每年收購1資產的計劃。

安聯星展研究估計,收購對2016年及2017年淨利及每單位股息僅微增1%,維持財測不變。

搶下工程仍遠遜預期‧雙威財測微降

(吉隆坡30日訊)雙威(SUNWAY,5211,主板產業組)搶下今年第一宗外部建築工程,總值雖達1億6千990萬令吉,訂單累積至10億5千100萬令吉,但仍遠遜分析員預期,促使他們微下調財測。

達證券表示,假設稅前淨利的賺幅為5%,濱海大道南環線工程預計可在2015及2016財政年分別貢獻320萬令吉的淨利。

達證券補充,該大道工程將有助於提昇雙威依斯干達城鎮發展計劃,該城鎮發展計劃發展總值(GDV)為300億令吉。

達證券補充,目前雙威手握5項工程,分別是永樂城(Velocity)2、依斯干達共管公寓、雙威醫療中心第三期工程、雙威GEO綜合產業計劃及CHSL大道工程,總值為10億零510萬令吉,低於預期的25億令吉,預計在2016年未執行合約可累積至35億令吉,其中24億令吉為外部合約。

“總結來說,基於建築訂單減少,我們將該公司2014至2016財政年的淨利預測下修1至5%左右。”

不過,達證券維持雙威的“買進”評級。

豐隆研究指出,截至今年12月29日,雙威未執行建築合約總累積值為33億令吉,比2013財政年建築營收高出了2.26倍。

豐隆表示,上述大道將銜接雙威及國庫控股的城鎮發展計劃,此外多家產業公司也進駐當地。這條大道也可縮短時間通往銜接新加坡第二通道,料馬化國際(MULPHA,3905,主板貿服組)及UEM陽光(UEMS,5148,主板產業組)的產業項目也可從中受惠。

豐隆指出,該公司除了面對原材料漲價風險以外,也會面臨產業與建築週期性的問題,海內外政治變動因素也必須注意。

豐隆認為,若該公司成功將將雙威建築分拆上市成功,將有助於釋放內在價值,因此依舊看好雙威前景,維持原有“買進”評級不變。

今日收市,雙威平盤掛收,報3令吉30仙,成交量193萬7千800股。

双威建筑呈草拟招股书 传售股规模7亿年中挂牌

(吉隆坡6日讯)双威(SUNWAY,5211,主板产业股)旗下双威建筑集团(Sunway Construction Group)今日呈交草拟招股书,另消息指该集团将于今年中完成首次公开募股(IPO),预计售股规模达2亿美元(约7.11亿令吉)。

该公司呈交给大马证券监督委员会的草拟招股书,并没透露时间和筹资目标,但路透社引述来自银行业者消息,售股规模料达约7亿令吉,放眼于年中完成上市活动。

没发新股

双威建筑的上市活动是配合母公司双威的业务分拆,释放建筑业务价值,并将部分盈利派发给股东。

根据草拟招股书,双威建筑上市没有发新股,因此上市所得资金都将入账母公司双威。

双威将献售双威建筑股票,共7110万9500股,供散户、合格董事、职员及双威旗下子公司合格董事和职员认购。

双威也将以股代息,股东每持有10股双威股票,将可获得1股双威建筑集团股票。

双威建筑也将献售股票给指定投资者,包括由贸工部核准的土著投资者。

根据招股书,截至2014年8月31日,双威建筑共取得11亿6688万8000万令吉营业额,净利6071万3000令吉。

草拟招股书也指出,兴业投资银行是双威建筑上市活动总顾问。同时,与马银行投资银行一同担任联合全球协调、联合包销商及联合保荐人。

另外,汇丰银行和渣打银行也是联合包销商。【南洋网财经】

雙威醫療中心 斥1200萬採用新系統

(吉隆坡13日訊)雙威醫療中心特選日立雙威資訊系統私人有限公司,採用新一代醫院資訊系統,啟動5年數碼轉型計劃,項目總值1200萬令吉。

雙威醫療中心董事經理劉明龍指出,採用新系統主要實現醫院全面數碼化和集中化行政和數據。

這個項目料將需時長達18個月,分為2個階段落實,料明年第3季完成。

“這個系統能取代傳統紙張書寫病歷,我們現在可以通過電子病歷(Electronic Medical Records),無限記錄。最重要是我們希望能通過這個新系統,支撐現有和未來營運,因為在2017年前,床位將增加到600張。”

“我們將第一次讓醫生、藥劑師和護士利用平板電腦,以提高醫療病人的效率和流動性。”

日立雙威資訊系統總執行長兼董事謝國雄指出,這個新項目是個顯著的里程碑,這次合作也顯示日立雙唯正進軍刺激的醫療領域。

獅城產業減值虧損‧雙威末季淨利跌72%

(吉隆坡25日訊)受獅城產業發展減值虧損所累,雙威(SUNWAY,5211,主板產業組)截至2014年12月31日第四季淨利由11億2千864萬8千跌72.3%至3億1千303萬令吉,累及全年淨利由14億9千零37萬1千挫50.1%至7億4千324萬9千令吉。

派息6仙

儘管如此,公司建議每股派息6仙。

雙威發文告說,第四季營業額增長11%至14億7千752萬令吉,建築、產業投資與炸石場業務皆增長;儘管國內產業發展獲利高,惟新加坡產業卻因更低市價而蒙2千220萬令吉減值虧損。

“產業發展之稅前盈利跌約10%至1億1千830萬令吉,產業投資揚20%至5千100萬令吉,建築業務則揚213.8%至6千120萬令吉,貿易與製造業務挫13.7%至820萬令吉,炸石業務揚250%至1千680萬令吉,其他業務稅前盈利也揚28.5%至2千570萬令吉。”

全年業績方面,產業發展稅前盈利揚3.5%至3億6千210萬,其中以建築增長75.8%至1億4千300萬,炸石業務揚72.9%至3千780萬,其他業務稅盈揚逾倍至8千480萬令吉。

展望未來,今年主基建撥款未減,建築業仍可發力,雙威將改善協作提高競爭力,謹慎樂觀交出滿意業績。(星洲日報/財經)

業績超預期‧雙威有望派特別息

(吉隆坡27日訊)雙威(SUNWAY,5211,主板產業組)最新業績超越市場預期,分析員認為建築業務上市將是中期催化劑,期待獲特別派息驚喜。

雙威截至去年第四季核心淨利按年揚30%至2億零60萬令吉,全年核心淨利按年升22%至5億9千200萬令吉,聯昌研究說,建築業務料年中上市,可期待獲派20仙至30仙股息,不包括平常派息,可獲潛在6%至9%回酬。2014財政年全年派息11仙,也超越10仙的預期。

MIDF研究說,雙威將以10配1免費配雙威建築1億7千240萬股予股東,其餘4億多股則供出售;儘管上市價仍未確定,料可讓市值達15億4千萬至16億5千萬令吉,假設其2015財政年淨利為1億1千萬令吉,14倍至15倍本益比是大資本建築公司的低位。

聯昌說,建築業去年有30億令吉未完成訂單,獲標11億令吉工程,預期今明兩年可獲15億至20億令吉訂單,主要是第二捷運與國內建築計劃的。該集團以往獲第一捷運的高架工程。

大馬研究說,雙威今年計劃推展20億令吉產業計劃,銷售料達17億令吉;預期接近年中的上市計劃時,可推動雙威股價走高。

肯納格研究與馬銀行研究調高其今明兩年財測,肯納格調高今年財測11%,馬銀行上修6.3%與10.7%。

雙威投資逾百萬‧推5年科技轉型

(吉隆坡5日訊)雙威(SUNWAY,5211,主板產業組)投資過百萬令吉推動5年科技轉型計劃,料有助於節省運作開銷及提昇集團12個業務部門效率。

這是雙威繼與日資企業日立(Hitachi)合作後,另一項資訊科技策略合作案,對象為美國資訊科技巨頭IBM,採納IBM雲端連結科技,為資訊科技及業務設施進行轉型計劃。

雙威集團總裁拿督周志堅在宣佈合作新聞發佈會上表示,如今員工及顧客傾向於利用移動設備溝通,資訊科技顯著提昇將確保雙威與全球科技同步增長,支撐迅速成長的業務,推動公司轉型至數碼化企業。

“利用雲端科技推動科技轉型,整合集團所有訊息流通將有助於改善集團競爭力,節省運作成本及提昇運作效率,讓我們得以提供更迅速及準確的客戶服務。”

雙威集團房產發展部 擢升謝燕蒂為董事經理

(吉隆坡11日訊)雙威集團(SUNWAY,5211,主要板房產)房產發展部聯合董事經理王邦彥將于5月1日辭去現有一職,並加入雙威教育集團私人有限公司;另個現有聯合董事經理謝燕蒂,則獲委任為房產發展董事經理。

雙威集團向馬證交所報備,謝燕蒂是雙威集團創辦人丹斯里謝富年千金,是于1995年加入雙威,之后就曾在多個部門任職,她是于2010年11月18日獲委任為雙威集團執行董事,並于2013年5月獲委為房產大馬與新加坡聯合董事經理。

至于現齡52歲的王邦彥已加入集團22年,曾擔任多個主要職位,並在2013年5月獲委任為房產大馬與新加坡聯合董事經理。

他在建築和房產領域有超過30年工作經驗,如今考慮要加入教育領域領取新體驗,希望能為教育業出一份力。【中国报财经】

We wish to announce that Mr Ong Pang Yen, Malaysian, aged 52, will be resigning as Joint Managing Director (“JMD”) of Property Development Division (“PDD”) of the Company with effect from 1 May 2015 as he will be joining Sunway Education Group Sdn Bhd (“SEG”) on even date. Upon his resignation, Ms Sarena Cheah Yean Tih, the existing JMD will be appointed as the Managing Director of PDD of Sunway.

Mr. Ong holds a Bachelor of Engineering (Honours) in Civil Engineering from University Malaya and LLB (Honours) from University of London. He has been with the Sunway Group for 22 years and has assumed a number of key roles including Chief Operating Officer for Property Development China and Managing Director for PDD - International. In May 2013, he was appointed as the Joint Managing Director of PDD, Malaysia/Singapore to assist in strengthening the property development team and was instrumental in the implementation and execution of several major initiatives. Sunway was adjudged the No 1 Property Developer in Malaysia last year by the Edge.

After having been in the construction and property industry for more than 30 years (8 years in Public Works Department and 22 years in Sunway), Mr. Ong had considered pursuing a whole new experience in the education industry and a window of opportunity within SEG came through. Mr Ong has always held the Jeffrey Cheah Foundation and SEG in high regards and is inspired to contribute towards its noble aims and aspirations.

Mr Ong’s directorship in public company is Malaysia South South Corporation Berhad. He has no family relationship with any director of Sunway and/or major shareholder of Sunway and no conlict of interest with Sunway Group.

Mr Ong currently holds 106,533 ordinary shares of RM1/- each in Sunway. Presently, his total balance options granted and vested to him under the Sunway’s Employees Share Option Scheme 2013/2019 (“ESOS”) are 1,200,000 options and 320,000 options respectively.

Ms Sarena Cheah, aged 40, graduated from University of Western Australia with a Bachelor of Commerce (Accounting and Finance) Degree in 1994. She also obtained a Master Degree in Business Administration from Melbourne Business School in 2001.

Ms Sarena Cheah has been with Sunway Group since 1995, starting her career in the Corporate Finance and Group Internal Audit divisions. In 2000, she left to pursue her Master Degree in Business Administration at Melbourne Business School. Upon her return, she joined the Education and Healthcare divisions as Business Development Manager. In 2003, she rejoined the Corporate Finance division to lead the asset-backed securitisation exercise for Sunway City Berhad. In 2006, she became the Sales & Marketing General Manager in the Property Development division before holding the position as the Director of Strategy & Corporate Development in 2009. Thereafter, she assumed the position as the Executive Director of Strategy & Corporate Development in August 2011. Effective 1 May 2013, she was appointed as Managing Director of Strategy & Corporate Development as well as Joint Managing Director of Property Development Division, Malaysia/Singapore.
Ms Sarena Cheah was appointed as an Executive Director in Sunway on 18 November 2010.

Her directorships in other public companies are SunREIT Capital Berhad, SunREIT Unrated Bond Berhad and Sunway Lagoon Club Berhad.

Ms Sarena Cheah is the daughter of Tan Sri Dato’ Seri Dr Jeffrey Cheah Fook Ling who is the Executive Chairman and major shareholder of Sunway. She does not have any conflict of interest with Sunway Group.

She holds 577,274 ordinary shares of RM1/- each and 97,058 warrants in Sunway Berhad. Currently, she has 1,600,000 options under the Sunway Berhad’s ESOS out of which 800,000 options have been vested to her. She is also deemed interested in 972,368,099 ordinary shares of RM1/- each and 157,185,376 warrants in Sunway by virtue of Section 6A of the Companies Act, 1965 held through Active Equity Sdn Bhd, Sungei Way Corporation Sdn Bhd, spouse and parents.

(吉隆坡18日讯)前国家银行副总裁林西彦受委为双威(SUNWAY,5211,主板产业股)独立和非执行董事。

林西彦毕业于新加坡马来亚大学,并持有哈佛大学经济博士学位。

林西彦曾在国家银行服务长达34年,服务期间曾担任副总裁。

雙威建築如期上市 雙威集團或派每股28仙

(吉隆坡19日訊)雙威建築將如期在7月上市,預計上市所得資金將提供28仙股息或8%收益,加上資本增值和3%股息收益,雙威集團(SUNWAY,5211,主要板房產)提供23%總回酬。

艾芬黃氏資本研究指雙威建築上市建議如期進行,料在今年7月完成。雙威集團在去年的建築業務核心淨利達1億1470萬令吉,由30億令吉訂單提振,估計2015財年建築業務可交出1億令吉淨利。

報告預計雙威建築或價值14億令吉,而雙威集團會將80%到90%籌得資金派發出去,雙威集團股東或可獲得0.1股雙威建築股票,以及每股高達28仙股息,相等于8%收益。對此,雙威集團或向機構和零售投資者發售36%股權。

另外,該行看好雙威集團積極態度,並給予3.90令吉合理價以及“買進”評級。

儘管消費稅實施后,房產市場料走軟,但券商仍看好雙威集團,因該公司開拓建築領域市場,甚至從房產投資累積持續性收入,以及雙威建築上市將進一步釋放公司價值。

10送1雙威建築新股‧雙威料派25仙特別息

(吉隆坡6日訊)雙威(SUNWAY,5211,主板產業組)旗下雙威建築(Sunway Construction)上市在望,分析員對此企業活動持正面看法,估計雙威以10送1上市新股,同時股東將獲22.0仙至25.0仙之特別股息。

MIDF研究認為,雙威派發特別股息,和雙威建築上市價看來具吸引力,預計未來3個月將引起投資者的興趣。

雙威已針對雙威建築上市發出召開特大的股東通知書,注明雙威建築每股參考獻議發售價為1令吉10仙,最終上市價稍後決定。特大日期為4月20日。

MIDF研究表示,上述上市活動後,雙威在雙威建築的持股將減至51%,而雙威股東也將獲22.0仙至25.0仙之特別股息,不僅體現建築臂膀的價值,也繼續從建築業強勁盈利中受惠。

“以最低情況來說,雙威將以10送1方式,分配5億7千120萬股,而其中最少1億5千600萬股免費派發雙威股東,其餘4億1千530萬令吉配售。最高情況則總發售5億7千790萬股,2億零730萬股免費派發,3億7千零60萬股配售。”

雙威建築上市後股本共12億9千300萬股,假若每股上市價1令吉10仙,其市值將達14億2千萬令吉。

上市價為歷史本益比的12.4倍,接近中資本股的12.9倍,亦稍高於雙威目前的12.0倍。

基於雙威股東可享最低派息22仙,加上每股獲11仙價值(10送1股),MIDF由“買進”調整為“短線買進”評級,目標價由3令吉72仙調升至3令吉97仙。這也把雙威控股減持雙威建築股權至51%考量在內。(星洲日報/財經‧報道:張啟華)

(吉隆坡6日訊)雙威集團(SUNWAY,5211,主要板房產)旗下子公司雙威建築上市馬股申請獲馬證交所允許,發行完成后繳足股本高達12.9億股。

該公司今日向馬證交所報備上述事項,預計首發股可籌資約2億美元(約7億1232萬令吉),並放眼今年7月中上市馬股。

雙威建築建議首發股價格為1.10令吉,預計上市后市值達14億2000萬令吉,雙威集團股東或有望獲22仙至25仙特別現金派息。

儘管有特別派息消息推動,雙威集團股價仍不支,以3.80令吉開市后下滑,休市報3.74令吉,跌4仙,閉市跌4仙至3.74令吉,成交量87萬4800股。

該公司日前公布,雙威建築首發股每股定價1.10令吉,但最終價格有待商確,董事局亦建議計劃完成后,派發每股22仙至25仙特別股息。【中国报财经】
