结余和来往账一致 恒宝环球账目疑云厘清

（吉隆坡21日讯）恒宝环球（HBGLOB，5187，主板消费产品股）特别审计报告出炉，证明公司结余和来往账款均一致，借此反驳前审计师提出账目疑云。

恒宝环球在文告中指出，特别审计师BDO Advisory最终报告显示，后者能计算出公司的现金结余、现金结余、交易和应收账项。

前外部审计师PaulWan&Co早前表示，无法依据计算方式证明公司银行结存和来往账款项目，因此提出免责声明，也在市场上掀起一股龙筹股疑账风波。

对此，恒宝环球表示将寻求法律咨询，以对前审计师采取适当的法律举措。

另一方面，BDO在调查公司成本与营收部分时，针对产业、工厂和设备固定资产提出6760万人民币（3516万8800令吉）的减损拨备金，主要是市值和账面价值差异所致。

在调整相关拨备金等细项后，该公司显示蒙受3007万5000人民币（1564万7700令吉）的亏损，公司不会在2012财年已审计财报上进行调整，而是会反映在截至今年杪财报的往年调整项目中。[南洋网财经]

Reference is made to the various Company announcements pertaining to the special investigation to be carried out by BDO. This investigation was carried out at the instruction of Bursa after the Company’s previous auditors namely Paul Wan & Co issued a disclaimer of opinion on its financial year ended 31 December 2012 (“FYE2012”). The Board of Directors has now received the final report from BDO and wish to append below inter alia the significant findings highlighted by the auditors as follows: 1)   The auditor was able to reconcile the cash balance, trade receivables and trade payables contrary to Paul Wan &Co disclaimer of opinion. 2)   Besides the above items under investigation, BDO had also investigated the cost and revenue recognition, paying particular attention to the fixed assets ie property, plant and equipment (“PPE”). In this section, BDO proposed a total impairment of RMB 67.6 million. 3)   Consequently, the Company showed a loss of RMB30.075 million which the details of adjustment were as follows: RMB000 Profit after tax as per audited financial statements by PW 28,936 Provision for impairment of PPE (67,622) Over provision for amortisation of land use rights 3,761 Adjustment for fair value of biological assets 197 Under provision of general and administrative expenses (971) Over provision of income tax 5,624 Loss after tax for the year after the adjustments (30,075) The provision for impairment of PPE was a result of differences in the market value and the book value recorded in our books for our property, plant and equipment. The adjustments will not be adjusted in the audited financial statement for FYE2012. This will be reflected as prior year adjustment in the financial statement for financial year ending 31 December 2013. 4)   BDO also highlighted that they were unable to carry out the stock count for inventory balance as at 30 June 2013. The carrying amounts of the frozen food items at the old warehouse were approximately RMB 81 million representing 79% of the total inventories as at 30 June 2013. This was because the frozen food items were not properly arranged as well as the entrance to the old warehouse were not easily accessible; alternatively, BDO had checked the goods stock in notes, suppliers invoices, finished goods received notes, monthly production reports, goods stock out notes and sales invoices to determine reasonableness of inventories balance as at 31 December 2012 with no exception noted. In view of the findings by BDO, the management is seeking legal advice with the legal counsel on appropriate action to be taken against the previous auditor. HB環球庫存掌控欠佳

（吉隆坡24日訊）HB環球（HBGLOB，5187，主要板消費）宣佈完成截至去年11月底庫存余額特別審計，發現內部對庫存余額控制相當不足，該公司建議加強改善。

HB環球今日向馬證交所報備，公司已完成庫存余額特別審計，截至去年11月底，公司庫存余額達1631.9萬令吉。

根據該報備文件指出，在經過變現淨值等測試后，並沒有需要減少庫存的必要。

在這項特別審計報告中發現，庫存余額的內部控制系統存在著許多弱點，因此公司已提出了加強改進的建議。【中国报财经】

Upon performing net realizable value test and verification of costing method on finished goods inventory, no provision of impairment is required. 4. Based on the finding, Special Auditor reported that there are weaknesses in internal control system on documentations of inventory record and also proposed recommendation for improvement. Based on the findings of the special audit, the Board of Directors and the management will ensure a tighter internal control system on its operating environment and an internal audit will be conducted on its internal control system upon implementation. The Board of Directors of HB wishes to announce that the issuance of Q4 Results will be delayed mainly caused by shortage of accounting staff to prepare and finalise the information required for the Q4 Results. The Company expects to submit its Q4 Results on or before 7 March 2014. HB环球获准延长5天 向马交所提呈财务报告

（吉隆坡4日讯）中国公司HB环球有限公司（HBGLOB，5187，消费产品组）由昨日起获得延长5个交易日至星期五为止，以便向大马证券交易所提呈第4季度业绩财务报告，否则将面临停牌。

在主要交易板上市的HB环球，未能在所规定的期限---即于2月28日提呈截至2013年12月31日止财政年度业绩报告。

为即食食品生产者的HB环球，在3月7日之前如果无法提交第4季度的业绩财报，由3月10日起其股票将会遭到暂停交易。此外，如果该公司在当局所规定的6个月期限内未能呈报财务报表，当局将会引用除牌程序对付该公司。

去年5月，大马证券交易所谕令HB环球委任一名特别审计师，调查该公司的事务，尤其是其财务，以鉴定任何潜在的违规行为。

该公司向大马交易所公布，在4月底提交经审计的财务报表出现困难，因此有可能会延迟提交。由于财务问题，HB环球已被大马交易所归类为PN17公司。

它昨天表示，目前正在制定一个业务正常化计划，以解决其PN17地位的问题。

The above Company has failed to submit its 4th quarterly results for the financial period ended 31 December 2013 ("4th QR 2013") to Bursa Malaysia Securities Berhad ("Bursa Securities") for public release within the stipulated timeframe i.e. 28 February 2014 pursuant to Paragraph 9.22(2) of Bursa Securities' Main Market Listing Requirements ("LR").

Pursuant to Paragraph 9.28(5) of the LR, if a listed issuer fails to issue the outstanding financial statements within 5 market days after the expiry of the relevant timeframes stated in Paragraph 9.22 and 9.23 of the LR ("Relevant Timeframes") (the last day of the 5 market days is referred to as "Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend the trading in the securities of such listed issuer. 交不出财报恐停牌 恒宝股价创新低

（吉隆坡4日讯）受暂停交易风险影响，引起投资者惊慌，恒宝环球（HBGLOB，5187，主板消费产品股）今日股价遭受严重卖压，一度下跌至9仙的历史最低价位。

恒宝环球周二早盘开市后就遭受沉重压力，一路走低，闭市时挂10.5仙，全日下跌3仙，或22%，成交量更高达713万3400股。

恒宝环球是在周一发表文告称，无法如期在2月28日的限期内呈交2013年末季财报，并面对暂停交易的风险。

依据主板上市条例第9.28（5）条文，上市公司无法在截止日期后的5个交易日内，呈交有关财报，马交所将把公司股票暂停交易。

因此，恒宝环球若无法在3月7日或之前，呈交2013年末季财报，公司股票将从3月10日（周一）开始暂停交易。

（吉隆坡6日讯）恒宝环球（HBGLOB，5187，主板消费产品股）呈交了2013财年末季业绩，因此，股票不会在3月10日暂停交易。

恒宝环球今日宣布，2013财年末季净亏730万8000令吉，2012财年同期则净赚626万5000令吉；营业额则从7456万9000令吉，按年减少24.96%，至5595万6000令吉。

至于全年业绩，公司也由盈转亏，从2012财年1428万9000令吉净利，转为2013财年的2477万令吉净亏损。

同时，营业额也从2亿9422万7000令吉，按年跌30.25%，至2亿523万6000令吉。【南洋网财经】

恆寶全球2董事辭職

（吉隆坡4日訊）中國食品製造商－－恆寶全球（HBGLOB,5187,主板消費品組）兩名獨立非執行董事宣佈辭職，從即日起生效。

該兩名董事分別為博昇協以及程淩添（皆譯音），都屬於公司審核委員會的成員，其中博昇協更是擔任委員會主席一職。

另外，恆寶全球的審核師－－Paul Wan & Co會計樓亦已向該公司呈辭，將在該公司成功委任新審核師後正式生效。

值得注意的是，Paul Wan & Co會計樓於去年曾提出免責聲明，表示無法獲得確認恆寶全球的銀行結存以及大筆的貿易應收賬款。

（吉隆坡29日訊）遭列入PN17行列的HB環球（HBGLOB，5187，主要板消費）宣布，將延遲提交截至2013財年12月底的財報。

HB環球今日向馬證交所報備，于4月21日（上週一）新委任的外部審計師還在審核該公司財務。

“因此我們無法在截止日期（即30日）提交公司截至2013財年12月底財報。”

HB環球指出，公司希望能提供更長的時間讓外部審計師進行審計，同時將與他們密切合作，以能經快完成審計。

Description	HB GLOBAL LIMITED (“HB” or “the Company”) - Delay in Submission of the Audited Financial Statements for the Financial Year Ended 31 December 2013
Pursuant to Paragraph 9.23(2) of the Listing Requirements of Bursa Malaysia Securities Berhad (“LR”), HB Global Limited (“HB” or “the Company”) is required to furnish its annual audited financial statements for the financial year ended 31 December 2013 together with the auditors’ and directors’ reports (“AFS 2013”) to Bursa Malaysia Securities Berhad (“Bursa Securities”) for public release within a period not exceeding four (4) months from the close of the financial year (“Relevant Timeframe”) which falls on 30 April 2014. The Board of Directors of HB wishes to announce that the issuance of AFS 2013 will be delayed as Messrs. UHY Lee Seng Chan & Co., the new external auditors of the Company was just appointed on 21 April 2014 and the audit is currently still in progress. The Company wishes to provide more time for the external auditors to complete the AFS 2013 and is working closely with the external auditors to finalise the audit expeditiously. The Company expects to submit its AFS 2013 on or before 30 June 2014. Pursuant to Paragraph 9.28(5) of the LR, if the Company fails to issue the outstanding AFS 2013 within five (5) market days after the expiry of the Relevant Timeframes (the last day of this five (5) market day period is referred to as “Suspension Deadline”) i.e. on 8 May 2014, in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of the Company. The suspension shall be effected on the next market day after the Suspension Deadline i.e on 9 May 2014 and will be lifted on the market day following the issuance of the outstanding AFS 2013 unless otherwise determined by Bursa Securities. Pursuant to Paragraph 9.28(6) of the LR, if the Company fails to issue the outstanding AFS 2013 within six (6) months from the expiry of the Relevant Timeframes, in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall commence de-listing procedures against the Company. 交不出财报 恒宝环球暂停交易

（吉隆坡2日讯）恒宝环球（HBGLOB，5187，主板消费产品股）若无法如期呈交2013年审计财报，将在下周五（9日）起暂停交易，直至另行通知。

大马交易所文告指出，恒宝环球无法在4月30日前提交截至2013年12月31日止的财报。

依据主板上市条例第9.28（5）条文，上市公司无法在截止日期后的5个交易日内，呈交有关财报，马交所将把公司股票暂停交易。

因此，如果恒宝环球未能在5月8日或之前，呈交2013年财报，该股将从9日起暂停交易。【南洋网财经】

LISTING'S CIRCULAR NO. L/Q : 70440 OF 2014

The above Company has failed to submit its annual audited accounts for the financial year ended 31 December 2013 ("AAA 2013") to Bursa Malaysia Securities Berhad ("Bursa Securities") for public release within the stipulated timeframe i.e. 30 April 2013 pursuant to Paragraph 9.23(2) of Bursa Securities' Main Market Listing Requirements ("LR").

Pursuant to Paragraph 9.28(5) of the LR, if a listed issuer fails to issue the outstanding financial statements within 5 market days after the expiry of the relevant timeframes stated in Paragraph 9.22 and 9.23 of the LR ("Relevant Timeframes") (the last day of the 5 market days is referred to as "Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend the trading in the securities of such listed issuer. The suspension shall be effected on the next market day after the Suspension Deadline.

In view of the above and in the event that HBGLOB is unable to submit the AAA 2013 on or before 8 May 2014, the trading of HBGLOB's shares will be suspended with effect from 9.00 a.m., Friday, 9 May 2014 until further notice.

Pursuant to Paragraph 9.28(6) of the LR, if a listed issuer fails to issue the outstanding financial statements within 6 months from the expiry of the relevant timeframes, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against such listed issuer.

Reference is made to the Company’s announcements dated 29 April 2014 and 30 May 2014. The Board of Directors of HB Global Limited (“HB” or “the Company”) wishes to announce that the Company requires an additional time of approximately two to three weeks to finalise its Audited Financial Statements for the financial year ended 31 December 2013 (“AFS 2013”) and the Company is expecting the said AFS 2013 will be completed on or before 21 July 2014. （吉隆坡22日訊）恆寶全球（HBGLOB,5187,主板消費品組）提呈財報後，將於週三（23日）恢復交易。

該公司發表文告說，週二已呈交截至2013年12月31日止財政年稽查財務報告。

恆寶全球最後報價為9仙。

恆寶全球的獨立稽查師指出，該公司的2013年財報符合國際財報標準，真實和公允反映了公司的狀況。

至於2012財政年的財報則由另一位獨立稽查師Paul Wan&Co.所負責，已在去年5月7日公佈和提作保留意見。

根據恆寶全球在文告中提供的進一步詳情，Paul Wan&Co.指出，該集團截至2012年杪的2億4千963萬人民幣銀行結存無法確認。同時56%的應收賬款和48%應付賬款也無法確認。

在大馬交易所建議下，恆寶全球委任BDO展開兩輪的特別稽查，分別針對綜合財報和庫存，此特別稽查已告結束，該顧問公司已取得銀行確認截至2012年杪的所有銀行結存，同時也確認85%的應收賬款和93%應付賬款。

管理層因此在2012年財報中納入5千980萬人民幣的減值虧損，該年原本為取得5千704萬人民幣稅前盈利，調整為虧損373萬人民幣。

由於特別稽查的正面結果和管理層作出相應的調整，2012年的保留意見和2013年財報不再相關。

恆寶全球在去年5月7日被列入PN17公司，因前任稽查師對賬目持保留意見，惟特別稽查師BDO過后證明該保留意見的基礎不成立，管理層相信目前的業務仍然可行。今年5月6日，該公司委任SJ證券行為主要顧問以提呈財務正常化計劃。SJ證券已向交易所申請延長從5月7日起的4個月后提呈重組計劃。（星洲日報／財經）

恒宝环球次季亏损收窄

（吉隆坡2日讯）营运成本减少，恒宝环球（HBGLOB，5187，主板消费产品股）截至6月杪次季净亏随之收窄至814万5000令吉，或每股亏损0.02仙。
文告显示，上财年同期净亏1236万令吉，或每股亏损0.03仙。

同期营业额增加44.3%，写4362万8000令吉，上财年同期是3023万4000令吉。

然而，合计半年，恒宝环球净亏损扩大至952万4000令吉，或每股亏损0.02仙，上财年同期亏损30万8000令吉，受累于养鸭场仍未走出禽流感的阴影，以及即食产品需求下滑。

营业额也因而下滑31.26%，即从上财年同期的1亿1238万4000令吉，跌至7725万2000令吉。

早前，恒宝环球因无法在4月杪前提交截至2013年杪财报，并在5月2日遭马交所勒令停牌。

但该公司在7月22日呈交已审计财报，隔日即恢复交易。【南洋网财经】
