BACKGROUND INFORMATION ON OPL
OPL was incorporated in Labuan on 26 November 2014 under the Labuan Companies Act, 1990 as a company limited by shares. As at to-date, the issued and paid-up share capital of OPL is USD100 divided into 100 ordinary shares. The principal activity of OPL is to conduct leasing activities, subject to the approval under the Labuan Financial Services and Securities Act 2010.

RATIONALE
The Incorporation will contribute to Benalec's Group long term revenue as it will provide a stable income stream derived from its vessel chartering and leasing activities.

FINANCIAL EFFECTS
The Incorporation is not expected to have any material effect on the earnings or net assets of the Benalec Group for the financial year ending 30 June 2015.

APPROVALS REQUIRED
The Incorporation is not subject to the approval of the shareholders of Benalec or any other relevant authorities in Malaysia except for the approval of the relevant authorities under the Labuan Financial Services Authority.

DIRECTORS AND SUBSTANTIAL SHAREHOLDERS' INTERESTS
Save for Dato' Leaw Seng Hai, the Group Managing Director of Benalec who has been nominated by Benalec to act as Director of OPL, none of the Directors of and/or major shareholders of Benalec or persons connected to them, have any interest, direct or indirect in the Incorporation.

(吉隆坡2日讯)宏洋控股(BENALEC,5190,主板建筑股)与2家公司达成土地买卖协议,以总值1亿零726万4757令吉出售位于马六甲吉里望镇(Pekan Klebang)10幅土地,总面积58.63英亩。

根据文告指出,宏洋控股全资子公司-Sentosa Cove发展私人有限公司与Jadex置地私人有限公司签署土地买卖协议,前者將出售3幅土地予后者,共佔地19.36英亩,总值3541万9507令吉。

该控股另一家独资子公司--Strategic Cove私人有限公司与Quality Paradise私人有限公司签土地买卖协议,前者將出售6幅佔地共39.27英亩总值7184万5250令吉的填海租赁土地予后者。

管理层表示,该填海工程和土地所有权將以现金支付。

管理层表示,通过出售未开垦的土地,所获得款项將用作偿还债务、为未来的填海工程融资,以及作为营运资金。同时,它也提供宏洋控股机会,释放该地库价值和提高公司未来经营现金流。

如无意外,该土地出售活动將在2015年末季完成。

宏洋控股今日股价全天上扬2.5仙或3.76%,掛0.690令吉,成交量为221万5300股。

售地可獲利2810萬‧宏洋財測不變

(吉隆坡3日訊)宏洋控股(BENALEC,5190,主板建筑組)與Jadex置地有限公司(JLSB)等簽署買賣合約,以脫售馬六甲吉里望的9塊共58.63英畝地皮,售價為1億零730萬令吉(或每方英尺42令吉)。預測整個脫售行動於明年第四季完成。

分析
肯納格研究正面看待這項行動,這使未來兩年盈利前景更為明朗,約可從中獲淨利2千810萬令吉,淨賺達26%,維持財測不變。

“每方英尺售價42令吉,約高於本行40令吉之預測;填土成本約每方英尺27.3令吉,約高於25令吉填土成本的預測;這筆款項預測於2015至2016財政年進賬。”

緊隨這項脫售土地行動與進賬,預測負債比由0.38倍減至0.36倍。

“迄今,宏洋售賣73.6英畝甲州土地,約佔2015財政年150英畝的一半,包括這塊地皮總共累積3億9千800萬令吉總值之地皮交易(上財政年止則為2億9千100萬令吉),預測2015至2016年有淨收益達7千800萬令吉。”

宏洋總共仍有341英畝土地,其中281英畝位於馬六甲,另60英畝坐落英達島,待價而估;以每方尺40令吉計,上述土地可值約5億9千500萬令吉。

宏洋主要重估催化劑是柔佛丹絨比艾興建一個大馬策略石油終站,而短期催化劑是甲州與英達島的售地。

宏洋推迟丹绒比艾填海工程至明年中旬

(吉隆坡13日讯)针对丹绒比艾(Tanjung Piai)填海工程合约,宏洋控股(BENALEC,5190,主板建筑股)今日宣布,將第3度把条款书有效期限延长6个月,从12月11日至2015年6月11日。

根据文告指出,宏洋控股旗下子公司--Spektrum Kukuh私人有限公司在1年前与柔佛政府和一马战略石油终站私人有限公司(1MY Strategic Oil Terminal)签署条款书,然而,却迟迟未能敲定最终约束力条款,所以各方同意將条款书有效期限延长6个月。

1.                Introduction
Spektrum Kukuh Sdn. Bhd. (“SKSB”), a 70% owned-subsidiary of Tanjung Piai Maritime Industries Sdn. Bhd., which in turn is a wholly-owned subsidiary of Benalec Sdn. 2.         Status
Further to the announcements made on 12 March 2013, 12 June 2013, 17 June 2013, 11 September 2013, 12 December 2013, 19 March 2014, 12 June 2014 and 11 September 2014 with regards to  the Term Sheet, the Parties have mutually agreed to extend the period of validity of the Term Sheet for an additional duration of six (6) months from the expiry date to finalise the terms and conditions of the Sale and Purchase Agreement.
The extended duration shall come into effect from 12 December 2014 until 11 June 2015 or such other date as the Parties may agree in writing.

宏洋未来盈利功臣 柔填海工程首季启动

(吉隆坡22日讯)宏洋控股(BENALEC,5190,主板建筑股)预计丹绒比艾(TanjungPiai)填海工程,將在明年首季取得环境评估报告(EIA)的调查结果,而这项大型的工程一旦启动后,將成为公司未来盈利的重要贡献来源。

宏洋控股首席营运员梅荣安在股东大会后向媒体表示,一旦位於柔佛(丹绒比艾及边佳兰)的填海工程正式动工,將在未来15年为公司带来持续的盈利贡献,主要是因为这项工程的规模大於该公司以往的填海工程。

目前,这项工程仍在等待环境评估报告,宏洋控股预测,有关的环境评估报告调查结果將在明年首季出炉,如无意外,丹绒比艾工程將在2016財政年带来盈利贡献。

宏洋控股在12月16日发文告宣布,第3度把丹绒比艾填海工程条款书有效期限延长6个月,从12月11日至2015年6月11日。

对此,梅荣安指出,丹绒比艾填海工程共负责3485英亩的填海面积,而展延的部份,只是与一马战略石油终站私人有限公司(1MY Strategic Oil Terminal)之间协议的1000英亩,主要是对方要求延迟,以进一步洽商相关的条款。

他透露,整个柔佛填海工程项目,共涉及5260英亩的填海面积,其中丹绒比艾占3485英亩,剩余则是在边佳兰。一马战略石油终站的填海工程,则是丹绒比艾3485英亩填海工程的一部份。

董事薪酬 股东不满

对於公司的前景,梅荣安正面看待,他指出,宏洋控股近期签署了买卖协议(SPA),以3亿6000万令吉脱售196.07英亩的地皮;同时,也贏得负责马六甲的415英亩的填海工程,总值2亿零390万令吉,料將可在2015至2017財政年期间作出盈利贡献。

至於该公司的租船业务,梅荣安透露,该公司共有89艘船只,但主要供內部用途,但不排除,若有閒置的船只,也会以出租的方式获取收入。

另外,一名出席今日股东大会的小股东向《东方財经》表示,今日的股东大会耗时相当长,主要是因为股东关注董事薪金问题。近来,该公司业绩表现呈滑落走势,然而,董事薪酬则有增无减,因此,股东针对这个课题,向董事局提出他们的意见。【东方网财经】

丹絨比艾長期看俏‧宏洋目標價上調

(吉隆坡31日訊)宏洋控股(BENALEC,5190,主板建筑組)柔佛丹絨比艾項目獲看好可長期顯著提振盈利及估值,分析員調高目標價。

該公司首席營運員稱,3千485英畝的丹絨比艾綜合石油中心及海洋工業區計劃環境評估報告,料在2015年第一季獲批。

目前該計劃的填土工程及1千英畝土地脫售的綑綁投資條件書已第四度展延,至2015年6月11日;填土工程只可以在取得批准後展開,而1千760英畝的邊佳蘭填土經營權還在進行環境評估研究。

艾芬黃氏認為此消息正面,根據初期1千英畝的每平方呎50令吉售價及目前其餘2千485英畝每平方呎走高至75令吉的售價,保守估計淨賺幅為10%,丹絨比艾經營權料可在10至15年內,帶來近100億令吉的盈收及10億令吉淨利。

“淨賺幅可能超過10%,因在2009至2013財政年,該集團淨賺幅為14至53.3%,不過因工程進賬減少、土地廢置、減值虧損及土地脫售收益僅在2015財政年進賬,於2014財政年下滑至3.4%,2015財政年第一季則恢復至25.1%。”

根據每平方呎50令吉售價及10%淨賺幅,該行預測,邊佳蘭經營權的總營業額及淨利為38億及3億8千300萬令吉。

納入更高貶值及股本,艾芬黃氏微調2015至2017財政年財測0.5至4.6%,維持“買進”評及不變,目標價則從68仙調高至74仙。(星洲日報/財經)

宏洋丹绒比艾项目 环境评估报告待批

(吉隆坡6日讯)宏洋控股(BENALEC,5190,主板建筑股)今日发文告表示,丹绒比艾(Tanjung Piai)项目的详细环境影响评估报告(DEIA)仍有待环境局批准。

该公司是针对马新社报道,宏洋控股近日股价走高的原因是丹绒比艾填土项目已获批,作出上述回应。

管理层否认这项报道,并表示早前已透露会将详细环境影响评估报告呈交给环境局。

若获批,该公司将随即发布。

此外,宏洋控股为总值2亿令吉的债券,转换价定在70.5仙。

“森林城市” 获准 宏洋丹绒比艾项目料报喜

(吉隆坡19日讯)随着大马环境局在上周三批准“森林城市”计划后,宏洋控股(BENALEC,5190,主板建筑股)丹绒比艾(Tanjung Piai)项目的详细环境影响评估报告(DEIA),也有望获得当局放行。

碧桂园集团(Country Garden Holdings)的“森林城市”计划,比宏洋控股早两周提呈评估报告,预料丹绒比艾项目的审核结果也将在近期出炉。

宏洋控股总营运长梅荣安表示,公司仍在等待有关当局的回应,相信会在今年首季之前有结果。

环境局批准“森林城市”计划的消息,也连带激励公司股价走高,上周四一度涨6.25%,最终以66.5仙挂收,起2.5仙。

股价终极催化剂

肯纳格投行分析员指出,详细环境影响评估报告的批准,和脱售土地予1MYStrategic Oil Terminal(1MY Strategic)的计划,将成为公司股价的“终极催化剂”。

如果以每平方尺60令吉的出售价计算,公司脱售1000英亩的土地,将袋入20亿令吉的盈利。

宏洋柔州石油石化樞紐填土獲批

(吉隆坡27日訊)宏洋控股(BENALEC,5190,主要板建築)位于柔州丹絨比艾(Tanjung Piai)綜合石油石化樞紐工程,獲得環境局(DOE)批准進行填土工程。

該公司向馬證交所報備,環境局已批准由持有70%股權子公司Spektrum Kukuh私人有限公司和柔佛國務秘書呈交的研究報告。

“環境影響評估報告(DEIA)是關于公司丹絨比艾綜合石油石化樞紐和海事工業園工程填土項目,距離柔佛西南海岸將有一座人工島。”

宏洋控股指上述工程首階段發展料在今年2月動工,具有刺激公司成長和投資機會效益,並可帶來持續性收入來源。

該公司稱環境影響評估報告具附帶條件,如首階段填土工程涵蓋建築石油終站、碼頭、銜接陸地橋梁和采撈。至于所獲得批准期限為期2年。

The Benalec Group of Companies is pleased to announce that the Detailed Environment Impact Assessment Study (“DEIA”) submitted jointly by Spektrum Kukuh Sdn Bhd (a company in which Benalec Holdings Bhd has a 70% equity interest held through its wholly-owned subsidiary Benalec Sdn Bhd) and Perbadanan Setiausaha Kerajaan Johor, has been officially approved by the Department of Environment (“DOE”) on 23rd January 2015.

丹绒比艾售地若落实 宏洋5年营收上看22亿

(吉隆坡29日讯)分析员指出,若宏洋控股(BENALEC,5190,主板建筑股)能够与1MY策略石油终站,落实在丹绒比艾(Tanjung Piai)的售地案,即可在未来4至5年获得22亿令吉的营收。

宏洋控股周二宣布,丹绒比艾填土工程的详细环境影响评估报告,已获大马环境局批准。

这项工程关乎该公司的综合石油石化枢纽和海事工业园项目,包括在柔佛西南海岸建造一座人造岛。

随着环境评估报告出炉,分析员普遍认为,可消除市场对于这项工程的执行疑虑,也会将目光放在何时能落实更多的售地活动。

长期盈利增长动力\

其中,最备受关注的是与1MY策略石油终站的协商,将1000英亩的土地脱售予后者,双方早前已将捆绑合约延长多6个月,直到6月11日。

肯纳格投行研究指出,一旦这项售地活动落实,将成为宏洋控股的“终极催化剂”,根据每平方尺50令吉的价格计算,未来4至5年可迎来22亿令吉的总营收。

“不过,这属于长期盈利增长动力,短期催化剂则为马六甲和英达岛的售地活动,仍有341英亩的土地待销售。”

下月扩大填土范围

若宏洋控股能够售出更多丹绒比艾的土地,将会带来更大惊喜。

丹绒比艾的填土范围从原本的3485英亩,扩大至4000英亩,料在下月展开首期工程,包括兴建油库、码头、连接陆地与岛的桥梁和挖泥工程。

由于丹绒比艾毗邻裕廊岛(Jurong Island),因此占有地理优势,可从目前于新加坡营运的各种跨国企业中,抓住石油储存的溢出需求。

宏洋末季净利挫86%

(吉隆坡11日讯)宏洋控股(BENALEC,5190,主板建筑股)营运收入降低和开销增加,造成次季净利按年暴跌86.35%。

公司2015财年次季净利为346万令吉,逊于上财年同期的2534万令吉。

相比上财年的9506万令吉,公司次季营业额按年滑落36.64%,报6023万令吉。

宏洋控股首6个月净利,按年滑落25.14%,至1549万令吉。上财年同期首6个月净利为2069万令吉。

公司首6个月营业额,从上财年的1亿946万令吉,微跌1.2%,报1亿816万令吉。

公司近期宣布脱售的土地,共占地216.69英亩,有望带来高达3亿9400万令吉营业额。

早前公司亦脱售马六甲的填海土地,将持续带动公司未来数个财年盈利。【南洋网财经】
