怡克偉士和馬資源獲“生命之河”工程

(吉隆坡6日訊)怡克偉士(EKOVEST,8877,主板建筑組)和馬資源(MRCB,1651,主板建筑組)聯營公司獲得政府委任為“生命之河”計劃的“工程交付伙伴”(Project Delivery Partner)。

怡克偉士發文告指出,“生命之河”計劃為期3年,工程總值高達22億令吉,主要是治理巴生河與鵝嘜河,以及進行10.7公里的河流廊道美化工作,預計身為工程交付伙伴將可從中取得1%或2千200萬令吉的最高費用。

怡克偉士認為,工程雖不會對截至2012年6月30日止財政年每股盈利和淨資產帶來立即影響,但料對未來盈利作出正面貢獻。(星洲日報/財經)

發股收購DUKE大道‧怡克偉士加強穩定營收

(吉隆坡31日訊)持有大使路―淡江大道(DUKE)特許經營權的WIRA KRISTAL私人有限公司,有意把100%股權轉移至怡克偉士(EKOVEST,8877,主板建筑組),以交換怡克偉士每股面值1令吉的新股共1億2千672萬3千735股,每股發售價為2令吉57仙。

怡克偉士是與WIRA KRISTAL股東拿督林綱河(持40%股權)及拿督哈里斯翁(持60%股權)簽署股票交換協議。

該公司發文告表示,上述協議的購價是以正常關係達成,當中包括考量DUKE大道特許權擁有人KESTURI(也是WIRA KRISTAL旗下公司)的現金流創造能力、未來潛在盈利及DUKE大道的特質、風險與前景。

怡克偉士根據股票交換協議不需承擔任何負債,WIRA KRISTAL集團正常業務則除外。公司也不需承擔額外的財務承諾,以注入WIRA KRISTAL集團現有營運業務內。

每股發售價2.57令吉
上述股票交換的成交股票每股發售價為2令吉57仙,這是根據該公司過去5天平均成交量計算。

倘若WIRA KRISTAL集團至2011年12月31日的實質總凈資產低過WIRA KRISTAL集團的1億8千602萬3千608令吉目標總凈資產,怡克偉士有資格調低成交的股票數目。

該公司表示,此項股票交換協議將增強該集團的營收狀況,可通過DUKE大道的營運獲得額外穩定的營收來源。

公司放眼DUKE大道的交通流通量在特許權期間將改善,進而為集團未來數年提供額外的經常盈利。

DUKE大道長達18公里,在2009年4月全年營運,其特許權為34年,至2039年8月。KESTURI至2010年12月31日的收費大道營收達6千280萬令吉,至2011年12月杪的未審核營收為7千330萬令吉。

冀营业额 净利双位数增长 怡克伟士推70亿发展计划

(吉隆坡7日讯)怡克伟士(Ekovest,8877, 主板建筑股)计划年内杪推出发展总值约70亿令吉的综合产业发展项目,并冀望截至2013年6月30止财年营业额与净利取得双位数增长。

怡克伟士董事经理林景清告诉《南洋商报》,公司将于9月份推出“Eco Business Park”综合产业发展项目,发展总值20亿令吉、占地11.5英亩。

现财年表现更好
“位于吉隆坡蕉赖的这项综合产业发展项目涵盖办公室、零售店及高级公寓,发展期预计5年。”

他说,多年前以3000万令吉购入上述地皮,捷运计划(MRT)宣布后地价水涨船高,目前市值1亿7500万令吉。

除了蕉赖,怡克伟士也拥有文良港3块地,总面积30英亩。

林景清表示,有意把上述3块地发展为综合产业,发展总值预计50亿令吉。[Nanyang]

怡克伟士获2.5亿工程

(吉隆坡23日讯)怡克伟士(Ekovest,8877, 主板建筑股)独资子公司,接受两项总值2亿5331万令吉的建筑合约工程。

怡克伟士向大马交易所报备,独资子公司怡克伟士建筑私人有限公司7月6日接受由UEMB-MRCB联营私人有限公司释出的两项道路拓宽工程。

上述两项合约包括价值1亿3781万令吉的B配套工程(在武吉兰樟22公里路段和大使路收费站29公里路段拓宽4条车道),以及价值1亿1550万令吉的D配套工程(在汝来北部交接处285.6公里路段和汝来280.4公里路段拓宽4条车道)。

报备文件显示,上述工程内容包括拆卸与清除、拓宽现有地段土木工程、挡土墙、地面改善工程、延长排水暗渠、打造新表面水渠、拓宽桥梁、延长车辆的箱形暗渠、重新安置现有公用设施、路面和内部建设、现有的路面建设、护栏和围栏、交通标志和道路标记以及施工期间的交通管理工作。

上述两项工程工程期24个月,预计将为怡克伟士截至2013至2014财年的盈利和净资产作出贡献。[Nanyang]

获8050 万辅助金 怡克伟士首季净利增29%

(吉隆坡29日讯)怡克伟士(Ekovest,8877,主板建筑股)截至首季净收837万3000令吉,比上财年首季的651万令吉增加28.6%。

改善交通系统
首季营业额则下跌31.5%至2182万令吉,上财年同期为3185万7000令吉;首季每股盈利达4.68仙,上财年为3.64仙。

另外,该公司向马交所报备,政府颁发8050万辅助金给该公司,改善位于吉隆坡蕉赖一项综合发展计划周遭交通系统;这笔辅助金相等于实际建筑成本的10%,视何者为低。

为此,怡克伟士独资子公司Prompt资本私人有限公司、今日正式与代表政府的首相署旗下公共与私人领域合作单位和大马发展银行(BPMB)签署一项辅助资金协议。

此项发展计划总发展成本料达13亿2000万令吉,BPMB主要负责监管和发放有关辅助金给Prompt资本。[Nanyang]

依斯干达浮城控股 料明年初马股上市

(吉隆坡3日讯))由怡克伟士(Ekovest,8877,建筑组)执行主席丹斯里林江河持大部分股权的依斯干达浮城控股(Iskandar Waterfront Holdings)私人有限公司,相信正拟定一项上市计划,以便可最早在明年初上市大马股票交易所。

林江河及行动一致人士通过Credence Resources私人有限公司掌控依斯干达浮城控股的60%股权,剩余的则由柔佛州政府所控制的柔佛人民基建集团(Kumpulan Prasarana Rakyat Johor,KPRJ)所拥有。

在马股成功吸引海外公司前来上市的庞大意愿之际,依斯干达浮城控股的首次公开售股(IPO)计划可谓来的正是时候。

根据汤森路透社投资银行记分卡(Thomson Reuters Investment Banking Scorecard)的资料显示,以上市筹资的金额规模计算,吉隆坡股票交易所是续纳斯达克,纽约证券交易所和东京证交所一部之后,在全球排行榜中排行第四。

今年的上市活动筹资金额达75亿美元(230亿令吉),为马股历来的最高纪录,而这趋势料可随丹斯里赛莫达旗下能源资产和西港控股(Westport Holdings)的大型上市活动而获得延续。
《商业时报》知悉,依斯干达浮城控股的上市计划目前依然处于初步阶段,因前提是该公司必须先完成其重组活动。

依斯干达浮城控股是持有柔佛州产业领域之中5大业者的控股公司。这5大业者包括金沙湾(Danga Bay)私人有限公司(持股100%),依斯干达海岸(Iskandar Coast)私人有限公司(持股20%),依斯干达浮城(Iskandar Waterfront)私人有限公司(持股72%),CBDD私人有限公司(持有60%)以及地不老稳固(Tebrau,1589,产业组)(持股47%)。

(吉隆坡7日讯)即将纳入怡克伟士(Ekovest,8877,主板建筑股)旗下的Wira Kristal私人有限公司,与政府签署附加特许经营合约,取得白沙罗淡江大道(DUKE)第二阶段计划的经营权。

怡克伟士今年初宣布,通过发售1亿2672万新股,换取Wira Kristal的100%股权。后者持有白沙罗淡江大道的特许经营权。

怡克伟士今天发文告表示,第二阶段的白沙罗淡江大道,是添加两条高架大道,分别是斯里白沙罗环路和敦拉萨环路。

附加特许经营合约提到,第二阶段大道的特许经营期,从2004年8月12日的首份大道经营权协议开始计算,历时54年,并可延长额外10年。

截至目前,第二阶段大道计划的融资部分还未出炉。

(I)        PROPOSED TRANSFER OF 100% OF THE ORDINARY SHARES OF RM1.00 EACH IN WIRA KRISTAL SDN BHD (“WIRA KRISTAL”) IN EXCHANGE FOR NEW ORDINARY SHARES OF RM1.00 EACH IN EKOVEST (“PROPOSED SHARE EXCHANGE”); AND

(II)        PROPOSED INCREASE IN AUTHORISED SHARE CAPITAL (“PROPOSED IASC”) OF THE COMPANY

(COLLECTIVELY REFERRED TO AS “PROPOSALS”)
(Unless otherwise stated, all abbreviations used herein shall have the same meanings as those mentioned in the announcement dated 30 January 2012 in relation to the Proposals.)

We refer to the announcements dated 30 January 2012, 18 July 2012 and 6 November 2012 in relation to the Proposals.

On behalf of the Company, CIMB Investment Bank Berhad (“CIMB”) wishes to announce that the shareholders of Wira Kristal had, vide its letter dated 7 December 2012, informed the Company that Kesturi, the concession holder to the DUKE, had on, 3 December 2012, entered into a supplemental concession agreement (“Supplemental Concession Agreement”) with the Government for the proposed extension of the DUKE (“DUKE Phase-2”).

The DUKE Phase-2 will be an elevated highway that complements the existing DUKE which will comprise of two (2) additional links, namely the Sri Damansara Link and the Tun Razak Link.

The Sri Damansara Link commences at the Menjalara Interchange at Bandar Menjalara on the west, traversing eastward to the Segambut Interchange at Jalan Segambut.

The Tun Razak Link commences at Jalan Tun Razak near Institut Jantung Negara and traverses northwards along Jalan Pahang and Jalan 9/48A to connect to the existing Jalan Gombak.

The relevant principal salient terms of the Supplemental Concession Agreement include:
(i)             the concession period shall be for a period of fifty four (54) years commencing from the effective date of the expressway under the concession agreement dated 12 August 2004 (“Principal Concession Agreement”) (i.e. 11 August 2005) (“Effective Date”) and ending on the fifty fourth (54th) anniversary of the Effective Date (“Concession Period”);
(ii)            the Concession Period shall, subject to the terms and conditions of the Supplemental Concession Agreement, be extended for a further period of ten (10) years;
(iii)           Kesturi shall fulfil the conditions precedent as stipulated in the Supplemental Concession Agreement within twelve (12) months from the date of execution of the Supplemental Concession Agreement (“CP Period”) subject to any extension which shall not exceed three (3) months after the expiry of the CP Period; and
(iv)          The Supplemental Concession Agreement shall be null and void and neither parties shall have any claim against the other in the event the conditions precedent as stipulated in the Supplemental Concession Agreement are not fulfilled or waived within the CP Period or any extended period.

The financing terms for the proposed DUKE Phase-2, which forms part of the conditions precedents under the Supplemental Concession Agreement, has not been finalised at this juncture.

Accordingly, the Company will undertake further financial, legal and business due diligence on the Wira Kristal Group pursuant to the Share Exchange Agreement to assess the impact of the DUKE Phase-2 on the Proposed Share Exchange. Further details will be announced once the Company has determined the implications of the proposed DUKE Phase-2 on the Proposed Share Exchange, where necessary.

(吉隆坡21日讯)怡克伟士(Ekovest,8877,主板建筑股)预期2013年在巴生河流域,推介3个主要房地产发展项目。

这些计划也将使该集团房地产发展业务,持续忙碌至明年。

怡克伟士董事经理林景清在今日股东常年大会后向媒体透露,这3个发展项目,分别是位于蕉赖的Eco Business Park、文良港的The Gateway@kl Bund,以及吉隆坡的Menara Titiwangsa,发展总值共达48亿令吉。

“我们目前先专注在蕉赖的Eco BusinessPark,预期在明年推介。”

他表示,鉴于巴生河流域房地产市场现时的荣景,房地产发展活动预期可为集团带来贡献。

“房地产发展业务刚设立不久,由于我们公司财年截至2012年6月30日,所以预期该业务会在2014财年才开始贡献营业额。”

依区工程现财年完工
至于核心的建筑业务,林景清表示,在依斯干达特区进行中的建筑工程,预期可在现财年底完工。

“对于集团在依斯干达特区的长期发展,我们抱持谨慎乐观态度。该地区在经济转型执行方案(ETP)底下的各种大型发展计划,集团或将可攫取来自私人和政府的建筑工程。”[Nanyang]

(II)        PROPOSED EXEMPTION SOUGHT BY TAN SRI LIM KANG HOO (“TAN SRI LIM”) AND THE PERSONS ACTING IN CONCERT (“PAC”) WITH TAN SRI LIM UNDER PARAGRAPH 16.1 OF PRACTICE NOTE 9 OF THE MALAYSIAN CODE ON TAKE-OVERS AND MERGERS, 2010 FROM THE OBLIGATION TO EXTEND A TAKE-OVER OFFER FOR ALL THE REMAINING ORDINARY SHARES OF RM1.00 EACH IN EKOVEST NOT ALREADY OWNED BY TAN SRI LIM AND THE PAC WITH TAN SRI LIM UPON COMPLETION OF THE PROPOSED SHARE EXCHANGE (“PROPOSED EXEMPTION”)

(COLLECTIVELY REFERRED TO AS THE “PROPOSALS”)
(Unless otherwise stated, all abbreviations used herein shall have the same meanings as those mentioned in the announcement dated 30 January 2012 in relation to the Proposed Share Exchange and Proposed IASC.)

We refer to the announcements dated 30 January 2012, 18 July 2012, 6 November 2012 and 7 December 2012 in relation to the Proposed Share Exchange and Proposed IASC.

On behalf of the Board of Ekovest, CIMB wishes to announce that Ekovest had on 25 January 2013 entered into a restated share exchange agreement with the WK Shareholders to restate the terms of the Share Exchange Agreement dated 30 January 2012.

In addition, CIMB wishes to announce that the Company was notified on even date by Tan Sri Lim and his PAC, namely Dato’ Haris, Ekovest Holdings Sdn Bhd, Lim Hoe, Lee Hun Kheng, Lim Seong Hai Holdings Sdn Bhd, Fablelite Sdn Bhd and Khoo Nang Seng @ Khoo Nam Seng on their intention to seek the Proposed Exemption.

The Board of Directors of Ekovest wishes to announce that the Company had on 29 January 2013 acquired and subscribed for 60,000 ordinary shares of RM1.00 each at par value and 3,240,000 redeemable preference shares (“RPS”) of RM0.01 each at an issue price of RM1.00 per RPS representing 60% of the issued and paid-up share capital of Ekovest – MRCB JV Sdn Bhd with the remaining 40,000 ordinary shares and 2,160,000 RPS acquired and subscribed by MRCB.
