(Unless otherwise stated, definitions used in this announcement shall carry the same meanings as defined in the announcements dated 16 July 2012, 17 July 2012, 3 May 2013 and 3 October 2013. On behalf of the Board, TA Securities wishes to announce that 1 Utopia has, on 18 October 2013, entered into the following agreements: (i)                 a Deed of Rescission to rescind and revoke the Fosa SSA (as amended and varied by a letter dated 3 May 2013) in relation to the Proposed Acquisition of 100% Equity Interest of Fosa with the Fosa Vendors with effect on the same date; and (ii)               in conjunction with (i) above, a Deed of Rescission to rescind and revoke the Fosa PGA in relation to the Proposed Acquisition of 100% Equity Interest of Fosa with the parties to the Fosa PGA with effect on the same date. The rationale for the rescission of Fosa SSA and Fosa PGA is due to the change in Fosa Vendors’ future plans for Fosa. This announcement is dated 18 October 2013.
