阿末查基資源 獲6.7億合約

(吉隆坡3日訊)阿末查基資源(AZRB,7078,主要板建築)獲國民投資機構(PNB)頒予總值逾6.7億令吉合約,提升國投現有建築並建造一座新酒店。

阿末查基資源向馬證交所報備,子公司接獲國投總值6億7300萬令吉合約,為國投拆除位于蘇丹依斯邁路的裙樓(bangunan podium),並建造50層樓高、附帶6層地下泊車場的酒店,以及一座附設停車場的5層建築。

根據合約,該公司必須在新酒店和國投現有辦公樓之間建造通道,同時提升國投現有35層樓的辦公建築。

阿末查基資源指出,料在今年10月28日完成首階段工程,所有工程預計可在2017年10月28日竣工。

該公司指出,上述合約料貢獻公司2012至2017財年的獲利和淨資產值。[ChinaPress]

(吉隆坡4日訊)阿末查基資源(AZRB,7078,主板建筑組)接獲國民投資(PNB)頒發總值6億7千300萬令吉合約,負責粉刷位於吉隆坡市中心的前馬航(MAS,3786,主板貿服組)總部,且將在毗鄰興建一座樓高50層的酒店。

分析
僑豐研究指出,接獲上述合約後,阿末查基資源從年初至今共攫取了14億4千萬令吉合約,超越預估中的10億令吉。

“我們也估計目前該公司的訂單企於21億7千萬令吉,以每季2億5千萬至3億令吉消耗率計,相信可忙碌至2014年。"

僑豐引述消息人士指該公司積極尋求競標更多合約,2013及2014財政年各5億令吉訂單替補額預測不變。
該行維持阿末查基資源“短線買進"評級,合理價93仙。

非建筑业务抗跌性强 阿末查基目标价上修56%

(吉隆坡7日讯)阿末查基(AZRB,7078,主板建筑股)旗下抗跌性强的非建筑业务倍受分析员看好,但预期即将来临的全国大选或影响所有建筑股走跌。

兴业研究分析员点出,阿末查基旗下的非建筑业务开始带来成果,包括甘马挽供应基地的燃料业务、加里曼丹西部的原棕油种植,以及关丹大马国际回教大学(IIUM)教学医院工程特许管理权。

他指出,上述业务具抵抗性,并能提供重复性与受周期影响较低的收入,估计可推动阿末查基未来盈利与稳定性。

不过,他预期建筑将在2013年初趋低,主要是全国大选越来越靠近,但相信在尘埃落定后投资者将重新聚焦建筑股基本面,况且遇上上升周期(upcycle),建筑股将更具吸引力。

经调整后,他上修阿末查基目标价56%,从93仙至1.45令吉;他维持“买进”投资评级。

高建筑前景亮丽

阿末查基放眼2013财年新订单介于5亿至6亿令吉,其中大部分来自大学和学院建筑工程,以及东海岸经济特区的基建工程,特别是道路建设。

目前,未完成建筑订单额达23亿令吉。

分析员表示,虽然2013财年目标稍微低于2012财年的14亿4000万令吉,但大部分建筑公司都在2012财年网罗不少工程,所以不足为奇。

另一方面,阿末查基近期成功进军新领域打入高建筑市场,包括以6亿7300万令吉重新发展前马航大楼,以及3亿940万令吉的工程部第二大厦。

他指出,鉴于上述两个计划,阿末查基有望获得更多类似高建筑工程,如“敦拉萨国际贸易中心”(Tun Razak Exchange)、哈罗斯(Harrods)发展计划以及Warisan Merdeka计划。[南洋商报财经]

阿末查基資源 獲東巴生谷大道經營權

(吉隆坡13日訊)阿末查基資源(AZRB,7078,主要板建築)全資附屬公司EKVE私人有限公司獲公共工程部頒發東巴生谷大道(EKVE)特許經營權合約,興建費用估計15.5億令吉。

阿末查基資源向馬證交所報備指出,該合約內容有設計和建造大道,包含改善工程,擴大現有道路。

此外,該合約內容也包括,在特許經營權50年的有效期限內,該公司必須經營、管理和維護該大道。

報備文件也指出,在特許經營權有效期限內,阿末查基資源也需安置、管理和管理收費站,並收集和保留在營運期間所獲得的利益,即車輛在使用高速公路時,繳交的過路費。

上述大道的特許經營權期限為50年,整個建造工作需花費15億5113萬令吉的成本。

不過,政府同意提供最高6億3500萬令吉,以4%年利率的貸款給該公司,政府與該公司會協定每年的利率。

阿末查基資源相信,是項大道特許經營權將貢獻公司未來數財年的收益。[中国报财经]

PROPOSED DESIGN, CONSTRUCTION, COMPLETION, OPERATION, MANAGEMENT AND MAINTENANCE OF THE EAST KLANG VALLEY EXPRESSWAY
The Board of Directors of AZRB is pleased to announce that its wholly-owned subsidiary, EKVE Sdn Bhd (“EKVE” or "the Company"), had on 13 February 2013 executed the Concession agreement with the Government of Malaysia as represented by the Ministry of Works in relation to the design, construction, completion, operation, management and maintenance of the East Klang Valley Expressway  (“the Concession Agreement”).

Salient terms of Concession Agreement
i.    Grant of Concession  
Subject to the terms and conditions of the Concession Agreement and the Federal Roads (Private Management) Act, 1984, the Government hereby grants to the Company, the right and authority to :-

(a)    undertake the design and construction of the Expressway (including the Upgrading Works and widening of the Existing Road comprised thereof);

(b)    supply and install tolling and other equipment (including telecommunication equipment) at the Toll Plaza and manage, operate and maintain the same on the Expressway during the Concession Period;

(c)    demand, collect and retain toll for its own benefit from all vehicles liable to pay toll using the Expressway during the Operating Period;

(d)    subject to all prevailing relevant laws in respect thereof, exclusively design, construct, manage, operate and maintain the Ancillary Facilities during the Concession Period and to retain the income received or receivable and derived therefrom;

(e)    operate, manage and maintain (including, without limitation, utility charges incurred thereby) the Expressway during the Concession Period;

(f)    design, construct, operate, manage and maintain the Administrative Offices; and

(g)    undertake all other activities incidental to the performance of the Works referred to in the Concession Agreement.

ii.    Concession Period
    The Concession Period shall be for a period of fifty (50) years commencing from the Effective Date, subject to terms and conditions in the Concession Agreement.

iii.    Estimated Construction Costs
The estimated total construction costs for the Construction Works shall be Ringgit One Billion Five Hundred and Fifty One Million One Hundred and Thirty Thousand (RM1,551,130,000.00) only.

iv.    Financial Assistance
The Government agreed to provide to the Company a loan in the maximum principal amount of Ringgit Six Hundred And Thirty-Five Million (RM635,000,000.00) at an interest rate of four per centum (4%) per annum capitalized annually subject to a separate agreement to be entered into between the Government and the Company.

Financial effects
The Concession Agreement is expected to contribute positively to AZRB Group’s earnings and the net tangible assets for future financial years.

Directors’ and Substantial Shareholders’ interest
None of the Directors and Substantial Shareholders of AZRB or any persons connected to them have any interests, direct or indirect, in the Concession Agreement.

Statement by the Board of Directors
The Board of AZRB is of the opinion that the Concession Agreement is in the best interest of the Company.

獲EKVE15.5億‧50年經營權‧阿末查基大起7%

(吉隆坡14日訊)阿末查基資源(AZRB,7078,主板建筑組)獲頒15億5千萬令吉的巴生河流域東部大道(EKVE)經營權合約,股價應聲上揚,寫下2012年6月以來新高。

該股開盤先漲3仙至74.5仙,過後升上78仙高位,站上8個月新高,收盤掛76.5仙,共漲5仙或7%。

該公司週三公佈,獲得上述大道的50年經營權,政府將以4%常年貸款利息,提供最多6億3千500萬令吉貸款。

根據協議,阿末查基將負責大道的設計和建築,並供應和組裝收費站和其他設施、管理辦事處等配套設備,以及負責大道營運、管理和維修工作。

阿末查基近年積極擴充非建築業務、開拓高樓建築新業務,以及覬覦5億至6億令吉新建築合約,業務前景廣獲分析員看好,認為短期建築股雖恐遭大選因素拖累,但相信投資者將在選舉風險消逝後追捧基本面強勁的領域類股。

擴大非建築業務規模

興業研究近期與阿末查基管理層會晤,發現公司近年悄悄展開“寂靜革命"(QuietRevolution)將非建築業務規模顯著擴大,其中包括甘馬挽(Kemaman)供應基地的供油業務、西加里曼丹油棕種植等。

“通過他們的防禦、永續和低週期性收入特徵,相關業務將可為公司帶來可持續、可預見和穩定的收入。"興業認為,傳統上,盈利組合出現顯著調整多發生在風險趨避(Risk Averse)相關市場,而盈利穩定度強化也意味著股權風險溢價(Equityrisk premium)獲得降低,將帶來更高的股票估值或再評估。

手握23億建築合約
爭取6億新合約


至於建築業務方面,興業透露,阿末查基放眼2013財政年贏得5億令吉至6億令吉新合約,其中多數來自大學和學院建築工作,以及東海岸經濟特區(ECER)基礎工程,但卻顯著較2012財政年的14億4千萬令吉為低。

目前,阿末查基手握23億令吉建築合約。

此外,興業說,阿末查基近年也積極開拓高樓建築等新業務環節,其中已獲得總值6億7千300萬令吉的前馬航大廈再開發計劃、3億零940萬令吉第二公共工程大廈(Kompleks Kerja Raya2)合約等。

“隨著相關工程入袋,將為阿末查基爭取敦拉薩國際貿易中心(Tun Razak Exchange)、獨立遺產(Warisan Merdeka)大樓和哈羅茲酒店(Harrods Hotel)等高樓建築工程。"

整體而言,興業相信,隨著全國大選腳步逼近,建築類股將在2013年初呈現跌勢,但料大選結果塵埃落定後,投資者將重新專注於基本面良好的建築類股,主要是建築上漲週期將帶來合理的吸引力。

We refer to our announcement made on 8 August 2008 in relation to the Renewal of Throughput Agreement with Petronas Dagangan Berhad (“Agreement”).

The Directors of AZRB are pleased to announce that its wholly-owned subsidiary, Inter-Century Sdn Bhd  (“ICSB") had on 30 May 2013 entered into a new Agreement for ICSB to continue providing the marine high speed diesel bunkering services to all Petronas Dagangan Berhad’s customer’s vessels at the Port of Kemamam in Terengganu Darul Iman. This Agreement will be effective for a period of five (5) years commencing from 1 June 2013 and to expire on 31 May 2018.

With the above Agreement, ICSB shall be able to continue its bunkering activities at the Kemaman Supply Base and therefore continues to generate revenue for ICSB and AZRB Group.

The above Agreement shall not have any effect on the issued and paid-up share capital of AZRB. However, the Agreement is expected to contribute positively to ICSB and AZRB Group’s earnings and net assets for the current financial year.

None of the other directors, substantial shareholders or person connected with the directors or substantial shareholders has any direct or indirect interest in the above Agreement.

The Board, having considered all the aspects of the Agreement, is of the opinion that the Agreement is in the best interest of the Company and the Group.

(吉隆坡27日訊)阿末查基資源(AZRB,7078,主板建筑組)迄今手握36億令吉未完成建築訂單,正競標20億令吉建築工程,預料可延續上財政年業績或創出佳績。

公司董事經理拿督旺查卡利亞在股東大會後,沒有正面答覆是否恢復至2009年全球金融風暴前榮景,惟表示公司無論在營業額與淨利方面有正面增長與復甦之勢。

展望這個財政年業績表現,他預料大約可保持去年佳績,或表現較去年更佳。

他披露,新近獲頒發的巴生河流域東部大道(EKVE)特許經營權大約可於2018財政年起作出貢獻長達46年(扣除約4年建築期),去年獲標的4億5千840萬令吉伊斯蘭大學醫院發展計劃,所獲的維修保養等特許經營權從2016財政年貢獻達21年半,提供較穩定的循環收入。

該公司今年2月獲政府頒發總值15億5千萬令吉的EKVE的設計、建築、供應和組裝收費站等設施,及負責大道營運、管理大維修工作。

他說,大道全長36公里,由雙溪龍直延續至中環公路,有利疏散美拉瓦蒂、安邦、蕉賴、班丹等區每日交通嚴重堵塞情況。

他指出,有關大道為封閉式收費站,過路費視使用大道距離而定,收費將根據政府所訂定的每公里收費計算,以車流量增長趨勢看,對營運後展望樂觀。

提到承建6億7千300萬令吉國民投資(PNB)大廈,他說,有關工程進展順利,預料可於2018年完工。

該公司所獲其他工程包括巴生河流域S6配套計劃,即涉蕉賴九英哩附近的提過站承建,工程計劃斥資1億7千460萬令吉。

專注國內業務

他說,其建築業專注國內,暫不分心海外,印尼若契機湧現才會前往。

他指出,基於手上很多計劃,使負債由去年0.8倍增至2.9倍,惟會審慎監督負債比。

“在印尼有種植業務,總共有2萬2千公頃園坵地,已種植約4千700公頃,未來將種植達5千至1萬公頃,使已種植地段達1萬5千公頃。”

Introduction
The Board of Directors of Ahmad Zaki Resources Berhad (“AZRB or the Company”) is pleased to announce that its wholly-owned subsidiary, Ahmad Zaki Sdn Bhd (“AZSB”) had on 11 July 2013, received the Letter of Award from Universiti Teknologi Malaysia (“UTM”) for a project known as “Design and Build for the Construction of Students Accommodation Complex at UTM Kuala Lumpur Jalan Semarak, Kuala Lumpur” (“the Works”).

Information on the Works
The Award for the Works amounts to a total value of RM171,500,000.00 (Ringgit Malaysia: One  Hundred Seventy One Million and Five Hundred Thousand Only). The date of completion is 21 July 2016.

Financial effects
The said Works shall not have any effect on the issued and paid up capital of AZRB. However, the Works is expected to contribute positively to AZRB Group’s earnings and the net tangible assets for the financial years ending 2013 to 2016.

消息公佈後,該公司週五股價一度攀升8仙或8.33%,至1令吉零4仙的16個月新高,閉市掛1令吉,揚4仙或4.17%,全日成交量達783萬零900股。

●分析
分析員看好阿末查基攫取新合約的能力,新增的合約將提高阿末查基手中持有的訂單至37億5千萬令吉。

以5至7%賺利計算,這項合約可在截至2016年止的合約期間,帶來860萬至1千200萬令吉盈利。

財測維持不過,興業研究和安聯研究依然維持財測不變。

興業維持2013年財測於2千670萬令吉,主要是預測已經納入會攫取5億令吉合約的假設;安聯也表示,今年迄今攫取的17億2千萬令吉訂單,在預測的18億令吉訂單範圍內。

分析員也對該公司目前所競標的工程合約相當有信心,尤其是涉及公共領域的工程,而據公司管理層披露,現階段正在競標的合約價值達16億令吉。

該公司所競標的包括工程朝聖基金大廈,以及布城新國家基建有限公司(Prasarana)總部和辦公樓,兩者的工程價值在2至3億令吉之間。

興業表示,該公司近年積極擴充非建築業務已見成效,包括甘馬挽(Kemaman)供應基地的供油業務、西加里曼丹油棕種植、關丹依斯蘭國際大學教室醫院等,這些業務比較少週期性,能夠為公司帶來持續性收入,加強盈利的穩定性。

此外,該公司也是最後兩家入圍競標冷岳第二濾水站計劃(Langat2)的機構之一,另一方為金務大(GAMUDA,5398,主板建筑組),而阿末查基則是與M MC機構(MMCCORP,2194,主板貿服組)及實康(SALCON,8567,主板貿服組),3家公司聯營競標。

阿末查基在聯營公司持有30%股權。冷岳第二濾水站計劃總值12億令吉,如果成功中標,阿末查基的部份是3億6千萬令吉。

雖然對手金務大擁有雪河水供計劃第一階段(SSP1)和第三階段(SSP3)的建築經驗,但安聯認為聯營公司有一半的勝出幾率,因為實康亦有水務基建的經驗。( 星洲日報/財經)

Subsequent to our announcement made on 3 September 2010 in relation to the Contract Agreement with Alfaisal University (“AFU”) for Alfaisal University Campus Development Project Phase 1 & 2 in Riyadh, Saudi Arabia (“the Contract”), the Board of Directors of Ahmad Zaki Resources Berhad (“AZRB” or “the Company”) is pleased to announce that the Company has on 29 July 2013 received notification that the Sole Arbitrator in ICC Arbitration case No. 17768/ND/MCP, AZRB  Vs AFU and King Faisal Foundation (“KFF”) pertaining to the Contract (“the Arbitration”) has issued his final judgement and award. In the aforesaid final judgement and award, the Sole Arbitrator had ordered AFU and KFF to jointly and severally pay to AZRB the total amount of SAR 92,570,300 in respect of claims made by the Company in the Arbitration. The Company through its Legal Counsels in Riyadh, Saudi Arabia is now taking all necessary steps to execute the aforesaid judgement and award.

沙地官司獲賠7907萬‧阿末查基股價走高

(吉隆坡30日訊)阿末查基資源(AZRB,7078,主板建筑組)在沙地阿拉伯工程官司中勝出,仲裁庭判處兩位被告――AFU和KFF必須就Alfaisal大學發展計劃,賠償阿末查基9千257萬零300里亞爾(約7千907萬令吉)。

該公司目前正在當地法律顧問協助下,針對判決執行必要工作。

隨著上述利好消息,使該公司股價週二一度揚升5仙或5%至1令吉零5仙的全天最高峰。全天收市仍起4仙至1令吉零4仙,全天成交量為327萬2千400股。

分析
安聯研究認為上述發展正面,該公司將獲得的9千257萬零300里亞爾,足以應付清盤債券5千260萬里亞爾款項。該公司管理層表示,其餘3千萬里亞爾將作償還拖欠二手承包商的余款。

無回撥款項

安聯指出,由於該公司之前沒有為上述款項作出準備金,所以,將不會有攤回款項,這對該公司盈利沒有任何影響。目前該公司沒有在沙地阿拉伯競標工程,僅專注在大馬市場。

安聯認為,若將阿末查基印尼加里曼丹的種植地(4千750公頃)價值包括在內,每公頃保守估計為2萬令吉,將使潛在目標價可上調至1令吉56仙。

“該公司持有顯著工程合約,料從2014年開始作出較顯著盈利貢獻,3年复合平均成長率達到28.4%。”

興業研究看好阿末查基強勁盈利透明度;該公司目前手持22億令吉建築工程合約,及兩項特許專營權工程計劃,內部回酬率最少可達8%。

這些計劃包括值4億1千300萬令吉的大馬國際伊斯蘭大學的關丹校園,以及值15億5千萬令吉的東巴生河域高速大道,後者料可為該公司增加約15億令吉工程合約,使手握合約增加至37億令吉。

興業認為阿末查基前景樂觀,主因全國大選後市場情緒改善,小資本建築股也受看好,同時,該公司也具抗禦性的非建築業務――船只燃料供應及種植領域。(星洲日報/財經)

合理價:1.33令吉

阿末查基資源(AZRB,7078,主要板建築)首半年財報低于預期,但建築業務仍穩健,另有其他非建築又高抗跌力的業務支撐,公司前景佳。

該公司首半年淨利按年滑落64%,遜于預期,僅達全年預估淨利的18%,主要是旗下種植業務虧損較預期來得大,有建築業務賺幅偏低所致。

我們因此調降阿末查基資源今、明兩個財年盈利預估,個別減少41%及29%;合理價也從1.47令吉降至1.33令吉。

縱使調降該公司盈利預估,但國內建築領域基本面仍穩健,且還有許多大于基建、房地產與油氣工程待動工,故我們還是喜歡阿末查基資源。

阿末查基資源目前握有總值20億令吉未結算建築工程訂單,另有2項內部回酬率至少達8%的專利工程,分別為關丹大馬國際伊斯蘭大學,及東巴生谷大道建設。

這兩項工程興建個別達4億1300萬令吉與15億5000萬令吉。另外,我們也看好該公司非建築業務如種植與卸貨業務,具有高防禦性可助抵抗動盪。

週五(30日)閉市時,阿末查基資源收在89.5仙,起0.5仙,成交量83萬3800股。[中国报财经]

The Board of Directors of Ahmad Zaki Resources Berhad (“AZRB” or “the Company”) wishes to announce that its wholly-owned subsidiary, Ahmad Zaki Sdn Bhd (“AZSB”) has on 30 August 2013 acquired two (2) shares of RM1 each representing  100% of the issued and paid-up share capital of Peninsular Precast Sdn Bhd (“Peninsular Precast”) for a cash consideration of RM2 only (“the Acquisition”)

Peninsular Precast was incorporated on 11 December 2012 with an authorised share capital of RM100,000 divided into 100,000 ordinary shares of RM1 each and issued and paid-up share capital of RM2 divided into two (2) ordinary shares of RM1 each.   

Subsequently, the paid-up share capital was increased up to RM100,000 divided into 100,000 ordinary shares of RM1 each. AZSB has subscribed RM80,000 new shares divided into 80,000 ordinary shares of RM1 each in Peninsular Precast. Following to the subscription of the new shares, Peninsular Precast will be an 80% subsidiary of AZSB.

The principal activities of Peninsular Precast are principally engaged in the fabricating and marketing of Industrial Building Products and System (“IBS”) and undertaking any other activities relating the development of the IBS.  

The acquisition of subsidiary does not have any material impact on the earnings and the net assets of AZRB.

Save for Dato’ W Zulkifli bin Haji W Muda, who is a common director and shareholder in AZRB and Peninsular Precast, none of the directors and/or major shareholders of AZRB and persons connected with them have any interest, direct or indirect in the Acquisition of the aforesaid subsidiary.

The Directors of AZRB is of the opinion that the investment in Peninsular Precast is in the best interest of the Company.

阿末查基印尼子公司获2 . 8 亿贷款

(吉隆坡2日讯)阿末查基(AZRB,7078,主板建筑股)持有95%股权的印尼子公司———PT Ichtiar Gusti Pudi,分别获大马及印尼的马银行回教银行提供7500万美元(约2亿4247万令吉)及1620亿印尼盾(约4536万令吉)的有期贷款。

根据文告,阿末查基同时获得我国的马银行回教银行,以及印尼的马银行回教银行PTBank Maybank Syariah Indonesia提供贷款。

阿末查基说:“PT Ichtiar Gusti Pudi在印尼加里曼丹岛西部拥有种植园,上述贷款将作为该种植园的部分营运与扩充资金。”

此外,阿末查基在另一个文告中宣布,与Malaysian Harvest私人有限公司及Primary Horizon私人有限公司签署联营协议,共组Peninsular IFM私人有限公司。

文告显示,Peninsular IFM主要是为建筑物、设施或特定项目,提供综合设施管理服务。[南洋网财经]

The Board of Directors of Ahmad Zaki Resources Berhad ("the Company" or “AZRB”) wishes to announce that PT Ichtiar Gusti Pudi ("PT IGP") being a 95% subsidiary of AZRB, has on 02 October 2013 signed the Facilities Agreements amounting to USD75.0 million of Commodity Murabahah Term Financing granted by Maybank Islamic Berhad, Kuala Lumpur, Malaysia and IDR162.0 billion of Murabahah Term Financing granted by PT. Bank Maybank Syariah Indonesia to part finance the operation and expansion of PT IGP’s plantation located at Kalimantan Barat, Indonesia.

AZRB will provide a corporate guarantee in favour of Maybank Group in respect of the aforesaid banking facilities.

To the best knowledge of the Board, none of the directors and / or substantial shareholders of the Company and / or persons connected to them have any interest, direct or indirect, in the aforesaid banking facilities.
