Description	Boilermech Holdings Berhad ("Boilermech" or "Company")Acquisition by Boilermech of 420,000 ordinary shares representing 60% of the issued and paid-up share capital of TERA VA Sdn Bhd ("TERA") from Otofin Power Sdn Bhd ("OPSB" or "Vendor") for a total cash consideration of RM2,500,000.
Pursuant to Paragraph 10.05 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors (“Board”) of Boilermech wishes to announce that the Company has on 22 May 2020 entered into a Share Acquisition Agreement (“Agreement”) with OPSB to acquire 420,000 ordinary shares in TERA representing 60% of the issued share capital of TERA (“Sale Shares”) for a cash consideration of RM2,500,000 (“Purchase Price”) (“Acquisition”). The Board of Directors of Boilermech (“Board”) wishes to announce that the Board has today received a notice of conditional mandatory take-over offer (“Notice”) from UOBKH on behalf of the Offeror, a wholly owned-subsidiary of QL Resources Berhad, to acquire all the remaining ordinary shares in Boilermech not already held by the Offeror (“Offer Shares”) for a cash offer price of RM0.95 per Offer Share (“Offer”). Pursuant to Paragraph 3.06 of the Rules on Take-overs, Mergers and Compulsory Acquisitions, an independent adviser will be appointed by the Board in due course to provide comments, opinions, information and recommendation on the Offer to the non-interested directors and holders of the Offer Shares.
