We refer to the announcement dated 25 September 2012 in relation to the Proposed Acquisition.

全年獲利3152萬 僑豐實業派息2.5仙

(吉隆坡7日訊)僑豐實業(OSKPROP,6661,主要板房產)全年銷售勝往年,截至2012財年12月底淨利按年增長28%至3152萬令吉,並建議派息每股2.5仙。

馬證交所報備指出,該公司第4季營業額雖按年下滑4%至5470萬3000令吉,但淨利卻錄得479萬7000令吉,增長13%。

總結僑豐實業全年營業額跌21%,達2億1561萬令吉,但淨利卻揚28%;同時末季派息每股2.5仙,使全年股息維持在每股7.5仙。

該公司全年每股收益,亦從13.14仙增長至15.33仙。

報備文件指出, 該公司全年累積銷售為7億4800萬令吉,相較2011財年為6億2900萬令吉。

展望今年,僑豐實業看好我國經濟前景穩定,並預計今年將可推出兩項新發展計劃,分別位于斯里白沙羅鎮(Bandar Sri Damansara)及莎阿南。

另一報備文件指出,原任僑豐實業執行董事的丹斯里黃宗華,如今受委為董事經理;他也是擔任僑豐控股僑豐控股(OSK,5053,主要板金融)總執行長兼董事經理。

至于僑豐實業的執行董事拿督尼莫哈末丁,如今受委為非執行董事;他也是僑豐企業基金(OSKVI,0053,創業板金融股)的非獨立非執行主席。[中国报财经]

- PROPOSED FINAL DIVIDEND
The Board of Directors of OSKP had resolved to recommend a final dividend of 2.5 sen per share less 25% income tax for the financial year ended 31 December 2012, subject to Shareholders' approval at the forthcoming Twenty-Third Annual General Meeting of the Company.

The date of entitlement and date of payment in respect of the aforesaid proposed final dividend will be determined and announced in due course.

Dato' Nik Mohamed Din is a lawyer by profession. He read law at Lincoln's Inn, London and was admitted to the English Bar in 1968.
Working experience and occupation
Dato’ Nik Mohamed Din served as a Magistrate for the Malaysian Judicial Services in 1969. He joined private legal practice at Mah, Kok and Din as a lawyer for 13 years. 侨丰产业莎亚南购商用地

(吉隆坡3日讯)侨丰产业(OSK Prop,6661,主板产业股)宣布,以1519万29令吉收购莎阿南两块商业地,并计划发展总值约1亿9000万令吉的商业发展项目。

土地收购计划由侨丰产业独资子公司———Ribuan Ekuiti有限公司进行,卖方则是KualaDimensi有限公司(KDSB)。

两块土地面积分别近6535平方米及5225平方米。土地价格接近每平方尺120令吉。

根据初步洽谈,侨丰产业将以20%内部融资及80%银行贷款融资收购。预计收购计划将在今年第三季完成。

发展总值1.9亿

根据初步发展计划,侨丰产业会将发展420个单位的多用途小型办公室(Small Office Flexible Office,简称SOFO),以及2层楼零售店。

这项计划发展总值料近1亿9000万令吉。若成功取得相关批准,计划在今年末季推出有关项目。

收购计划将扩增侨丰产业发展地库,及加强公司在莎阿南地位。

僑豐實業首季淨利跌47%

(吉隆坡10日訊)僑豐實業(OSKPROP,主要板房產)宣布截至本財年3月底首季業績,營業額雖增,但淨利卻按年下跌近50%。

該公司今日向馬證所報備,首季淨利達634萬4000令吉,相比去年同期的1250萬1000令吉,下跌47.4%。

文告指出,由于該公司兩個位于雙溪毛糯和雙溪大年的項目還未能達到施工階段,所以貢獻較低淨利,導致淨利減少。

僑豐實業分別在賽城和白沙羅蘇特拉最新推出的高級公寓及發展連棟屋(townhouse)、和都很受買家歡迎,使公司尚有約10億令吉的未進賬銷售(unbilled sales)。

僑豐實業看好未來房地產市場,也會繼續善用本品牌和創新房產,推出更多有吸引力的促銷和價格適中的房產,以可強力競爭。[中国报财经]

APMSB is presently dormant and its intended principal activity is to carry on car park management and operations.

The Acquisition does not have any material effect on the earnings and net tangible assets of the Company.

黄宗华家族增持至45.7% 侨丰产业再传私有化

(吉隆坡30日讯)侨丰产业(OSKPROP,6661,主板产业股)近期频频透过公司主要股东的私人公司———土地管理有限公司(Land Management Sdn Bhd)购入侨丰产业股权,短短一周内,所持股权从41.59%增加至45.7%,让人不禁揣测侨丰产业或将私有化。

《星报》报道,侨丰产业董事经理及总执行长丹斯里黄宗华,以及家族成员在本月23日至25日之间,已在公开市场,以每股1.33令吉,购入侨丰产业股权。

需耗9092万

券商指出,这或许是私有化的前兆,如同两年前大股东提出全面献购案一样,近期也传出公司股东已就私有化事宜,进行多次讨论。

彭博社资料显示,黄氏家族共持有侨丰产业至少72%股权,相当于1亿7260万股;黄宗华在侨丰产业直接持股28%,他的儿子黄祖星持股2.21%。

若以目前该股的1.35令吉股价计算,黄氏家族若要将该公司私有化,需付出9092万令吉。

从年初至今,侨丰产业股价已从1.05令吉,扬升至1.35令吉左右,增幅约29%。

在2011年时,黄宗华以每股87仙或1亿1956万令吉,全面献购公司股权,但大股东有意保留公司上市地位,因此,黄宗华未能全面购下100%股权。

(吉隆坡31日讯)针对私有化公司传言,侨丰产业(OSKProp,6661,主板产业股)董事经理及总执行长丹斯里黄宗华强烈否认,并强调增持股权不等于有意私有化公司。

黄宗华今日向《南洋商报》表示,私有化侨丰产业只是传言,他从来没有这个打算。

“股票买卖本来就很正常,我和我的家人的确是在近期内增持股权,但这并不代表什么,这只是正常的买卖。”

《星报》日前报道指,侨丰产业近期频频透过公司主要股东的私人公司———土地管理有限公司(Land Management Sdn Bhd)购入侨丰产业股权,并在短短一周内,所持股权从41.59%增加至45.7%。

现年68岁的黄宗华在2月从执行董事调升为董事经理。

他也同时兼任侨丰控股(OSK,5053,主板金融股)的总执行长兼集团董事经理。

僑豐產業次季淨利漲74%

(吉隆坡26日訊)受賽城、吉隆坡與雙溪大年產業發展火紅銷售與收入激勵,僑豐產業(OSKPROP,6661,主板產業組)截至2013年6月30止,次季淨利漲73.98%至1千123萬6千令吉,前期為645萬8千令吉。

首半年淨利則受更高行銷成本所累,淨利微挫5.02%至1千758萬令吉。

派息5仙
僑豐產業每股派5仙股息。

次季營業額增長96.75%至1億零371萬2千令吉,首半年增長54.78%至1億6千零59萬8千令吉。(星洲日報/財經)

黄祖星任侨丰产业执董

(吉隆坡10日讯)侨丰产业(OSKPROP,6661,主板产业股)宣布,委任黄祖星为执行董事。

根据文告,年届28的黄祖星是该公司董事经理兼总执行长丹斯里黄宗华的儿子,毕业于英国伦敦大学商业管理学士学位,并在英国剑桥大学考获土地经济哲学硕士。

资料显示,黄氏家族目前持有侨丰产业至少72%股权,相当于1亿7260万股;黄宗华在侨丰产业直接持股28%,黄祖星则持股2.21%。

黄祖星曾在多个行业的跨国公司任职,包括安永(Ernst&Young)、汇丰银行的消费者银行,以及瑞士信贷(Credit Suisse)的投资银行等等。[南洋网财经]

傳黃宗華合併辟捷僑豐產業

(吉隆坡16日訊)丹斯里黃宗華崛起為辟捷控股(PJDEV,1945,主板產業組)大股東,引發市場揣測後者可能與僑豐產業(OSKPROP,6661,主板產業組)合併。

根據《The Edge》報導,部份市場人士並不排除相關可能,因黃宗華為兩家公司大股東,將兩者整合將可取得協同效益,其中辟捷控股可透過僑豐產業的品牌效益來推動銷售,特別是即將推介的新產業發展計劃銷售,而僑豐產業則可從辟捷控股建築和建材等其他業務中受惠。

因此,現在的問題是黃宗華將如何掌控兩家產業發展公司,而重組計劃會否如市場傳言般浮現。

交易所資料顯示,黃宗華胞弟--黃宗秋是在11月12日宣佈脫售持有辟捷控股20.34%股權的Dindings Consolidated私人有限公司全數股權後,宣佈退出前者的大股東行列。

Dindings Consolidated視為黃宗華和黃宗秋兩兄弟的投資臂膀。隨著黃宗秋全數脫售其在Dindings Consolidated的持股權之後,黃宗華現以21.31%持股,成為辟捷控股最大股東,同時透過投資臂膀Land Management私人有限公司持有僑豐產業71.65%股權。

值得一提的是,黃宗華妻子潘斯里許彩梅也是通過Dindings Consolidated持有辟捷控股的重大股權,現與小兒子黃祖星同樣擔任後者執行董事。(星洲日報/財經)

待时机成熟发展Atria商场 侨丰产业深谋远虑

二零一三年十二月二十八日 晚上七时二十五分
(吉隆坡28日讯)低调的侨丰产业控股有限公司(OSKPROP,6661,产业组)最突出的项目是复兴位于八打灵再也的白沙罗再也区Atria综合商场。

该商场曾经在20世纪80年代是‘非常之旺盛’。在2007年3月,侨丰产业以7500万令吉的现金代价,向联和机构有限公司(LIENHOE,3573,产业组)购入该商场。

侨丰产业执行董事黄祖星说:“我们在2011年11月于该商场推出392间小型灵活办公套房(SOFO)单位,每平方尺售价高达1100令吉,是该地区中高层物业价格最高。虽然如此,反应非常热烈并在7个小时内售罄。”

在该两幢办公大楼的底部是楼高5层半的购物中心,它的净出租面积达47万平方呎,包括250家店铺,这将是侨丰产业的经常性收入来源。

侨丰产业向马交所发布文告称:“我们已经收购了Atria购物商场私人有限公司和Atria停车场管理私人有限公司用作经营上述商场,预计在明年第3季度开始营业。”

也是该集团董事经理兼首席执行员丹斯里黄宗华的幼子黄祖星指出:“我们拥有实力强大的租户,但是我们不能透露任何细节。这家商场将可满足一个尚未开发的市场。”

侨丰产业的计划是将该商场定位为,类似孟沙购物中心和花园购物中心的高档社区购物中心,目前灵市是没有的。

他表示:“白沙罗再也是灵市其中一个最富裕的住宅区,但是Atria商场失去光彩,因为它没有与时代并进。此外,一些新商场陆续在该区出现。”

黄氏透露,集团看到白沙罗再也拥有巨大的潜能,因为它是一个久经考验的地点作为兴建社区购物中心。

“该处的居民正在寻找更高档,以及独特的产品和服务。”

他补充:“我们将会在该区建立一个有利可图的市场。”

该处的顾客包括在那里生活了几十年的老年人,以及刚迁入的新家庭和年青一族。

黄氏还指出,白沙罗再也的产业价格也颇为昂贵。

他说:“早在2007年,每间店屋的价格大约100万令吉。现在,同样的店屋已超过400万令吉。”

黄氏称,随着该购物中心即将落成,该处有望创造另一个孟沙巴鲁。

他表示:“当孟沙村I和II落成后,很多在特拉威区的店屋经历了转变,并且引用新的零售概念来吸引不同种类的客户。”

为什么侨丰产业一直维持低调的形象,黄氏透露:“市场是非常敏锐的。即使我们作风低调,不过精明的投资者或买家亦能够了解我们的计划。”

侨丰产业不喜欢进行土地储备。它是侨丰控股有限公司(OSK,5053,金融组)其中一名成员,而侨丰控股将会以保守形式分配资源予旗下9项业务。

他说:“集团的理念是经营一家良好的公司,而不以冒险的生意来作为增长的代价。”

该集团的产业组合包括:名叫Emira的莎阿南综合发展项目,以及位于斯里白沙罗商业区名为Opus的小型灵活办公套房。

该集团将在今年底和2014年第一季,分别推出Emira精品商铺及服务式公寓。

该集团没有透露有关Opus办公套房的详情,但是,其他项目有可能于明年推出。

侨丰产业的其他正在进行中的项目,包括赛城的Pangaea综合发展计划,当中最近推出的Eclipse公寓第3期,包括两幢高级共管公寓。

而第4和第5期,包括一幢精品酒店和写字楼、购物广场和街区式购物中心。该购物中心将拥有净出租面积达30万平方呎。

它也在舒特拉白沙罗城镇推出Vale II,它是结合了一个现代概念的低密度排屋。黄氏称,上述产业是在该城镇中最后一项,也是迄今为止位置最好的产业,因为它坐落在山顶上。

接近70%的单位经已售出。Vale I将在明年底落成,而Vale II则在一年后完成。

最近,该集团还进军工业产业发展。这些项目坐落在莎阿南第22区,包括大型工厂、仓库和陈列室。该项目被称Gravitas。

该集团还计划在双溪大年兴建一个最大的购物中心,以及在吉打州进行一项面积达2582英亩名为布特里再也市的发展计划。

侨丰产业的总发展值大约90亿令吉,当中Pangaea占了35亿令吉,布特里再也市占20亿令吉,随后是Atria 10亿令吉。[光华日报财经]

僑豐產業淨利暴增271%

(吉隆坡18日訊)歸功於產業認購率良好,以及旗下產業發展進程良好,僑豐產業(OSKPROP,6661,主板產業組)截至2013年12月31日止第四季淨利從前期的479萬7千令吉暴增271%至1千779萬8千令吉,拉動全年淨利走揚75.96%至5千546萬4千令吉,比較去年同期為3千152萬1千令吉。

第四季營業額走揚167%至1億4千604萬2千令吉,推高全年營業額大起111.36%至4億5千569萬9千令吉。

派息5仙

該公司董事部建議派發每股5仙股息,令全年股息增至10仙。

僑豐產業發文告表示,2014年對產業發展業務將是充滿挑戰的意念,但董事部樂觀相信集團已準備就緒迎接挑戰,並預見集團將可取得另一個令人滿意的年度表現。

“雖然今年產業市場展望清淡,但可負擔產業價格將繼續吸引投資者目光,集團將持續槓桿化品牌和產品創新,以及黃金和策略性發展地段資源,並開拓聯營機會來進一步強化表現,同時提供穩定增長。”(星洲日報/財經)
