Query Letter Contents	We refer to your Company's announcement dated 8 January 2021, in respect of the aforesaid matter. In this connection, kindly furnish Bursa Malaysia Securities Berhad with the following additional information for public release:- 1. Basis of arriving at the disposal consideration of RM27 million despite having the audited NBV of RM47.3 million as of 31/3/2020, and other than on a “willing buyer willing seller”. 2. The justification for the disposal consideration. 3. It is noted that the unaudited NBV as of 31/9/2020 is RM27.8 million after the inventory write down of RM19.5 million. 1. INTRODUCTION The Board of Directors of Sentoria Group Berhad (“Sentoria” or the “Company”), wishes to announce that Sentoria and its wholly-owned subsidiary, Sentoria Harta Sdn. Bhd. [Registration Number 200201031993 (599658-M)] (“Sentoria Harta”) has on 13th October 2023, entered into a Facility Agreement (the “Agreement”) with a Financial Institution (the “Bank”) to organize and enable the issuance of a bank guarantee within a facility arrangement amounting to Malaysian Ringgit Eight Million One Hundred Seventy-Seven Thousand Only (MYR8,177,000-00) only (the “Bank Guarantee”) in favour of Pengurusan Air Selangor Sdn. Bhd. [Registration Number 201401006213 (1082296-U)] of Head Office, Jalan Pantai Baharu, 59200 Kuala Lumpur (“Air Selangor”) upon the terms and conditions as stipulated in the Agreement. 2. INFORMATION ON SENTORIA HARTA Sentoria Harta is a private limited company incorporated in Malaysia on 23 November 2002 with its business address at 56 & 58, Jalan Dagang SB 4/2, Taman Sungai Besi Indah, 43300 Seri Kembangan, Selangor Darul Ehsan. Sentoria Harta is a wholly-owned subsidiary of Sentoria with total issued share capital of RM11,000,000 comprising 11,000,000 ordinary shares. Its principal activity is property development. 3. PURPOSE OF THE BANK GUARANTEE The Bank has granted Sentoria Harta the Bank Guarantee to Air Selangor as security for due compliance by Sentoria Harta of the conditions required by Air Selangor under project reference no. AIS/PCW/DVS/KLT/KLT/INTPLOTM&N/23(02091) RT2022030085 (hereinafter referred to as “the Project”) to the placement of certain deposit by Sentoria Harta. 4. DETAILS OF THE BANK GUARANTEE The Bank Guarantee issued by the Bank on behalf of Sentoria Harta shall be valid for a tenure of one (1) year commencing from the date of the Agreement. 5. CORPORATE GUARANTEE Sentoria Harta and the Company have agreed to act as co-guarantors for the Bank Guarantee to ensure repayment of the Bank Guarantee if utilized and undertakes to execute all necessary and relevant documents to effect the corporate guarantee to the Bank. Sentoria Harta and the Company shall be equally and severally liable for the corporate guarantees provided to the Bank in the event the Bank exercises their right. 6. FINANCIAL EFFECTS OF THE BANK GUARANTEE 6.1 Share capital and substantial shareholders’ shareholdings The Bank Guarantee is not expected to have any effect on the issued and paid-up share capital and the substantial shareholders’ shareholdings of Sentoria as the Bank Guarantee does not involve any issuance of new securities by Sentoria. 6.2 Earnings and Earnings per share (“EPS”) The Bank Guarantee would result in Sentoria Group incurring finance cost. As it would be used to fund the on-going development projects such finance cost will be covered by the revenue derived from the said projects . However, it is expected to contribute positively to the future earnings of Sentoria Group given that the Bank Guarantee will enable Sentoria to complete its current ongoing projects in Morib Selangor.   6.3 Net assets (“NA”) and NA per share The Bank Guarantee is not expected to have any immediate material effect on the NA and NA per share of Sentoria Group. Notwithstanding that, the effects on the NA per share are dependent on the financial performance of the Project in the future. 6.4 Gearing The gearing of Sentoria Group is expected  to increase by 0.05 times computed based on the utilization of the Bank Guarantee over the audited Equity attributable to Owners of the Company of RM170.8 million as at 31 March 2022. 7. RISK FACTORS The Board of Directors is not aware of any major risk factors arising from the Bank Guarantee other than the normal market and global economic risks. 8. APPROVALS REQUIRED The Bank Guarantee is not subject to the approval of Sentoria’s shareholders or any regulatory authorities.   9. DIRECTORS’ AND/OR MAJOR SHAREHOLDERS’ INTEREST None of the Directors and/or major shareholders and/or persons connected with a Director or major shareholders of the Company has any interest, direct or indirect in the Bank Guarantee. 10. DIRECTORS’ STATEMENT The Board of Directors of Sentoria having considered all aspects of the Bank Guarantee is of the opinion that the Bank Guarantee is in the best interest of Sentoria Group to sustain its current operations and launch future developments in its masterplan project Morib Bay Resort City.
