The Board of Directors of PRG wishes to announce the following:- (i)  Furniweb Holdings Limited (“FHL”), a 54.19%-owned subsidiary of PRG has on 1 November 2021 entered into a shares sale agreement (“SSA”) with Pua Lay Cheng and Lee Eng Lock (“LEL”) in respect of the sale and purchase of 3,725 ordinary shares equivalent to 37.25% of the issued and paid-up share capital of Energy Solution Global Limited (“ESGL”), subject to and upon the terms and conditions stipulated in the SSA; (ii) Following the completion of the SSA, FHL will enter into a shareholders’ agreement with Dato’ Ng Yan Cheng and LEL as shareholders of ESGL to record the intention of the shareholders in respect of the organisation, management and operation and further to specify the relationship between the shareholders of ESGL.
