(吉隆坡28日訊)ALAQAR保健信托(ALAQAR,5116,主板產業投資信托組)建議以1億1千200萬令吉,脫售旗下一項位於柔佛新山、佔地5千156.62平方公尺的27樓酒店與31樓辦公大廈產業。

該公司發文告說,脫售上述資產志在釋放投資價值,預計公司將從中淨賺2千150萬令吉,脫售產業所獲得的資金,將用來償還銀行貸款或充當營運資本。( 星洲日報/財經)

ALAQAR產托 末季淨利漲37%

(吉隆坡28日訊)ALAQAR產托(ALAQAR,5116,主要板房產)上財年截至12月底末季,營業額按年增0.3%至2682萬令吉,淨利漲37%至3107萬令吉。

該公司今日發布最新業績,上財年全年營業額按年增長4%至1億742萬令吉,淨利漲17%至7331萬令吉。

ALAQAR產托指出,公司去年淨租金收入達1億130萬令吉,按年增長3.7%,主要貢獻自巴生新鎮專科醫院,貢獻了740萬令吉或7%租金收入。

另外,公司已完成收購居鑾第1專科醫院和巴生新鎮專科醫院。

ALAQAR產托今日向馬證交所報備,公司管理層與Smartwheels Intelligence私人有限公司簽署買賣協議,以1億1200萬令吉出售旗下一項綜合商業發展項目,當中包括酒店和公寓。【中国报财经】

(吉隆坡3日讯)回教实业投资(ALAQAR,5116,主板产业信托)宣布,终止脱售商业发展用地给Smartwheels Intelligence的协议。

回教实业投资2月宣布,建议以1亿1200万令吉将一片商业发展用地,包括一栋27层楼的酒店和31层楼的办公楼,脱售给Smartwheels Intelligence。

该公司通过文告表示,已在8月8日向买家发出21天通知。若买家无法在8月29日之前支付剩余的1亿80万令吉,回教实业投资将终止买卖协议。

然而,随着买家无法在21天的期限内支付该笔金额,因此回教实业投资今天再次发出通知,确定买卖协议正式终止及失效。

因此,回教实业投资将退还买家672万令吉及没收224万令吉。

此买卖协议的结束,也意味着该公司可与其他潜在买家展开洽谈。【南洋网财经】

Al-`AQAR HEALTHCARE REIT ("AL-`AQAR" OR "REIT")

PROPOSED DISPOSAL OF SELESA TOWER FOR A TOTAL CASH CONSIDERATION OF RM112.0 MILLION ("PROPOSED DISPOSAL")
Reference is made to the Al-Aqar’s announcement dated 28 February 2014 in relation to the Proposed Disposal (“First Announcement”). Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the First Announcement.

The Board of Directors of Damansara REIT Managers Sdn Berhad (“Board”), being the manager of Al-`Aqar (“DRMSB” or “Manager”), wishes to announce that the solicitor for Al-`Aqar , as represented by the Trustee, had on 8 August 2014 issued a twenty one (21) days notice to the Purchaser’s solicitor to terminate the SPA in the event the Purchaser fails to settle the Balance Disposal Consideration amounting to RM100.8 million on or before 29 August 2014 (“Notice of Termination”).

The Notice of Termination has lapsed and the Purchaser has failed to settle the Balance Disposal Consideration within the twenty one (21) days period. Thus, the solicitor for Al-`Aqar has on 3 September 2014 served a notice dated 2 September 2014, on the Purchaser’s solicitor confirming that the SPA is deemed to have been terminated and cease to be of any further effect. Al-‘Aqar will refund to the Purchaser, the sum of RM6.72 million (equivalent to six percent (6%) of the Disposal Consideration) and shall forfeit RM2.24 million (equivalent to two percent (2%) of the Disposal Consideration). The RPGT Retention Sum which has been paid to the Inland Revenue Board (“IRB”) pursuant to the Proposed Disposal shall only be refunded to the Purchaser upon the Vendor receiving the same from IRB.

The Purchaser shall henceforth have no interest in the Selesa Tower and neither party shall have any claim against each other.

The termination of the SPA will allow the Manager to commence negotiations with other interested potential buyer(s) of Selesa Tower.

This announcement is dated 3 September 2014.

(吉隆坡3日讯)回教实业投资(ALAQAR,5116,主板产业信托)斥资7780万令吉,向柔佛医药保健(KPJ,5878,主板贸服股)独资子公司,购置位于森美兰州汝来两块土地。

该公司向马交所报备,已在今日与Puteri护士学院有限公司签署购地合约,购置汝来Kota Sri Mas新镇两块永久地契土地和建筑。

相关土地面积达7万2188平方公尺,其中一块为住宅用地,另一块则为商业地,地上的建筑包括教学大楼、2个国能电站以及学生宿舍。

回教实业投资将通过回教融资设施,或是通过发行新单位筹取资金。

柔佛医药保健指出,在完成交易后,回教实业投资将把相关建筑回租予Puteri护士学院有限公司,租约长达15年,每3年更新一次,在到期后,可选择再延长15年。【南洋网财经】

(吉隆坡10日讯)回教实业投资(ALAQAR,5116,主板产业信托)献议私下配售筹4000万令吉,以向柔佛医药保健(KPJ,5878,主板贸服股)收购森美兰汝来两块土地。

文告指出,私配的规模和投资者未定,假设发售价为每单位1.26令吉,则将发行3174万6000单位,占该产托现有规模的4.6%。

所筹得的4000万令吉中,将有3890万令吉用来购地,也就是总收购价的一半,另110万令吉为私配活动开支。【南洋网财经】

Alaqar(5116,REITs) 公佈了 3Q2014 report:
Revenue上揚1.6% 或RM429k
Profit上揚RM268k 或1.8%
Alaqar在這季度沒宣布派息。
Nav微微下滑1.34%

與其說這是分析還不如說這是告訴大家alaqar公佈季度報告了,因為,沒什麽特別的事情發生,與2013年相差無幾。

Alaqar表示Revenue與profit的增長是由於年度調整所致,而在旗下所有產業都保持100%出租率的帶動下,alaqar 得以保持增長。(這是廢話啦,因為所有的產業都回租給母公司KPJ healthcare)

接下來alaqar的催化劑應該是近來購入的Puteri Nursing College,完成收購後理應能派發更高的dividend。

題外話:alaqar的母公司,KPJ healthcare (5878) 也交出了優良的成績單

PROPOSED ACQUISITION BY AMANAHRAYA TRUSTEES BERHAD, ON BEHALF OF AL-`AQAR, OF TWO (2) PARCELS OF FREEHOLD LANDS TOGETHER WITH BUILDINGS ERECTED THEREON FROM PUTERI NURSING COLLEGE SDN BHD, A WHOLLY OWNED SUBSIDIARY OF KPJ HEALTHCARE BERHAD FOR A TOTAL CONSIDERATION OF RM77,800,000 (“PROPOSED ACQUISITION”)
This announcement is dated 13 February 2015.

We refer to the announcement dated 3 October 2014 (“Earlier Announcement”) in relation to the Proposed Acquisition.

Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcement.
On behalf of the Board of Directors of Damansara REIT Managers Sdn Berhad, the management company of Al-`Aqar (“DRMSB” or the “Manager”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that AmanahRaya Trustees Berhad, being the trustee of Al-`Aqar, had on 12 February 2015, on behalf of Al-`Aqar, exchanged letter with the Vendor, to vary the terms of the Deferred Consideration Units (“Exchange Letter”) for the inclusion of the following terms:-

(i)                Minimum issue price for the Deferred Consideration Units

The issue price of the Deferred Consideration Units shall not be below RM1.04, based on the net assets value per unit of Al-`Aqar of RM1.15 as at 30 September 2014, being the latest available quarterly results of Al-`Aqar as at the date of the Exchange Letter, incorporating ten percent (10%) discount.

(ii)           Abnormal Market Condition

The Deferred Consideration Units shall not be issued during abnormal market conditions.

Items (i) and (ii) shall be referred to as “Proposed Variation”.

For illustration, in the event the Balance Purchase Consideration is satisfied by the Purchaser via the issuance of the Deferred Consideration Units at the minimum issue price of RM1.04, 37,403,846 Al-`Aqar Units will be issued and Al-`Aqar’s fund size will increase from 696,226,468 Al-`Aqar Units to 733,630,314 Al-`Aqar Units (excluding the proposed private placement of new Al-`Aqar Units at a price to be determined later, to raise gross proceeds of up to RM40.0 million, which was announced on 10 November 2014).

On behalf of the Board of Directors (“Board”) of Damansara REIT Managers Sdn Berhad, the management company of Al-`Aqar (“DRMSB” or “Manager”), AmInvestment Bank Berhad (“AmInvestment Bank”), wishes to announce that AmanahRaya TrusteesBerhad (“Trustee” or “Purchaser”), had on 18 March 2015 entered into a sale and purchase agreement with Seremban Specialist Hospital Sdn Bhd (“SSHSB” or “Vendor”), a wholly-owned subsidiary of KPJ, to acquire a parcel of freehold land in Seremban, Negeri Sembilan (“SSH Land”) for a total cash consideration of RM4.25 million (“SSH SPA”) upon the terms and conditions of the SSH SPA (“Proposed Acquisition”).

As a condition to the Proposed Acquisition, the Trustee and DRMSB will enter into a supplemental lease agreement with SSHSB, for the lease of the SSH Land to SSHSB (“SSH Supplemental Lease Agreement”) upon the terms and conditions to be agreed between the aforesaid parties (“Proposed Leaseback”).  The SSH Supplemental Lease Agreement shall supplement a lease agreement dated 12 December 2012 entered into between SSHSB, the Trustee and DRMSB for the lease of the Existing Properties for the second (2nd) lease term period (as defined herein) to SSHSB (“SSH Existing Lease Agreement”).
