alaqar 买入 seremban specialist hospital 地皮

alaqar (5116,REITs) 于3月19日以RM4.25 mil宣布购入新产业。

alaqar 购入的是位于seremban的一块freehold地皮,卖方是Seremban Specialist Hospital Sdn Bhd,它是seremban specialist hospital的经营者,也是母公司KPJ的子公司。这块地皮临近seremban specialist hospital,其实 alaqar 于19 August 2008已成功收购seremban specialist hospital,现在进一步收购这一块新地皮。

根据2014年年报,这新地皮的net book value为RM3.43mil,可是最新的估价为RM4.25mil,所以 alaqar 当然会以市价向母公司买入啦~ 新地皮的总面积为5,644 sq metres。

之前这块新地皮充当seremban specialist hospital的open car park,此外,尚有TNB的电房,以及货仓。而目前正在进行seremban specialist hospital的扩充计划,计划在新地皮兴建8层高的医疗中心,以及在旧地皮新建6层高的附加建筑物,以连接新医疗中心。这里必须强调的是,这扩张计划中位于新地皮的建筑物属于seremban specialist hospital所有,alaqar 只是购入地皮,不包括建筑物。

这收购预测将于2015年第三季度完成,而收购这新地皮以后,alaqar 与seremban specialist hospital的租约也将步入第三个lease rental term,而seremban specialist hospital也会根据3rd lease rental term缴付新地皮的租金,根据announcement,新地皮的租金为7.1% x purchase consideration,大约为RM297,000。

由于 alaqar 以现金购入这地皮,所以对NAV, distribution income等等并没有显著的影响。但是依我看来,迟些新building落成后,alaqar也会一起收购,KPJ现在需要钱嘛~

We refer to the announcements dated 10 November 2014, 12 May 2015, 13 July 2015 and 27 July 2015 (“Announcements”) in relation to the Proposed Private Placement to raise proceeds of up to RM40.0 million.

On behalf of the Manager, AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that the Securities Commission Malaysia (“SC”) had vide its letter dated 2 November 2015 approved Al-‘Aqar’s application for an extension of time until 30 November 2015 to complete the Proposed Private Placement. The SC had previously in its approval letter dated 11 May 2015 in relation to the Proposed Private Placement stated that the Proposed Private Placement must be completed within six (6) months from the date of the SC’s approval (i.e. by 10 November 2015).

On behalf of the Manager, AmInvestment Bank wishes to further announce that the Board of Directors of the Manager has fixed the issue price at RM1.25 for the placement of 32,000,000 new units in Al-‘Aqar (“Units”) to be issued to third party investors pursuant to the Proposed Private Placement.

(吉隆坡23日讯)回教实业投资(ALAQAR,5116,主板产业信托)截至3月杪首季净利按年升6.6%,至1633万6000令吉,或每股2.24仙,去年同期为1532万3000令吉。

同期营业额则按年跌4.2%,报2641万5000令吉,逊于去年同季的2756万6000令吉。

营收或跌·ALAQAR净利有望增8%

(吉隆坡15日讯)在租金成长和融资减少下,MIDF研究看好ALAQAR保健信托(ALAQAR,5116,主板产业投资信托组)的2016财政年核心净利将增长8%。

不过,MIDF研究指出,ALAQAR保健信托新收购资产回酬,并不足以弥补之前脱售印尼资产所失去的营收,预期营业额可能下跌。

该公司最近收购两项资产,包括邻近柔佛医药保健芙蓉专科医院的土地,以及汝来柔佛医药保健大学的建筑。

去年年秒,该公司还清8千万令吉伊斯兰贷款後,融资开销跟着降低。

综合以上,MIDF研究给予1令吉55仙目标价。

回教实业投资减债
1亿卖Selesa大厦


2016年11月15日
(吉隆坡14日讯)回教实业投资(ALAQAR,5116,主板产业信托)以总值1亿令吉,脱售新山一项包含了酒店与办公楼的大厦给Optimum Impress私人有限公司,以便降低债务。

回教实业投资向马交所报备,上述资产包括了27层的酒店,以及31层名为办公楼“Metropolis大厦”的办公楼,整个项目的名称为Selesa大厦。

目前,Selesa大厦是租给Selesa酒店(新山)私人有限公司使用,后者也是Selesa大厦的营运者。该项租约为期15年,每年的净租金收入为720万令吉。

回教实业投资指出,在1亿令吉的脱售所得,其中8000万令吉将用作偿还银行贷款,另外1860万令吉将用作运营资本和未来收购,其余140万令吉则是脱售开销。

脱售计划将不会对单位资本、主要股东、净资产价值与负债率,以及截至12月杪的本财年每单位净利,造成任何影响。【e南洋】

The Board of Directors of Damansara REIT Managers Sdn Berhad, the manager of Al-`Aqar (“DRMSB” or “Manager”), is pleased to announce that Al-`Aqar, represented by its trustee, AmanahRaya Trustees Berhad (“Trustee” or “Vendor”), had on 11 November 2016 entered into a sale and purchase agreement with Optimum Impress Sdn Bhd (“OISB” or “Purchaser”) to sell a freehold land erected with an integrated commercial development comprising a twenty-seven (27) storey hotel (“Hotel Selesa”) and a thirty-one (31) storey office block (“Metropolis Tower”) with basement and elevated car parks erected thereon (collectively, referred to as “Selesa Tower”) (“SPA”) for a disposal consideration of RM100.0 million to be satisfied in cash (“Disposal Consideration”).

售资产影响微.柔医保财测不变

(吉隆坡15日讯)柔佛医药保健(KPJ,5878,主板贸服组)旗下的ALAQAR保健信托(ALAQAR,5116,主板产业投资信托组)脱售柔佛Selesa资产,达证券认为上述脱售对前者影响低于1%,因此维持柔佛医药保健净利预测不变。

达证券表示,柔佛医药保健持有上述产托45%的股权,该产托以1亿令吉脱售资产,因此对柔佛医药保健的影响只低于1%。

ALAQAR保健信托脱售上述资产后,两家公司皆有动力可寻找更多的产业投资计划。

达证券说,ALAQAR保健信托除了接受柔佛医药保健资产注入计划外,亦会寻找其他资产,如制药厂、健保与生物医学相关资产。

综合上述看法,达证券决定维持柔佛医药保健“买进”评级与4令吉70仙的目标价不变。
