明年9月大限将至 CLIQ能源续购SPV

（吉隆坡25日讯）虽然油价和令吉走低，但“大限将至”的CLIQ能源（CLIQ，5234，主板特殊收购股），将会继续收购，在哈萨克经营两块油田的特殊用途公司（SPV）。

董事经理兼总执行长阿末吉雅依里阿斯出席股东大会后表示，目前油价已接近谷底，相信此刻是收购的绝佳时机”。

“我们没有时间去寻找其它替代方案。”

根据条例，特殊收购公司必须在36个月内，完成收购合格资产（QA）。而CLIQ能源是在2013年4月10日上市马股，“大限”在明年9月。

CLIQ能源为国内第二家特殊功能收购公司，于2013年10上市，因此必须在明年9月前，完成上述条件。

油价40元有利可图

早前，该公司与哈萨克斯坦卡拉赞巴斯（Karazhanbas）北矿床的唯一营运商Phystech公司达成协议，以1亿1730万美元（4亿9330万令吉），收购SPV的51%股权。

根据该公司的敏感测试，只要油价处于每桶40美元，这项交易还是有利可图。

不行。没有QA, warrant 没有价值。

（吉隆坡3日讯）市场传出，CLIQ能源（CLIQ，5234，主板特殊收购股）将有大股东崛起，持有公司控制性股权。

财经周报《The Edge》引述消息报道，CLIQ能源计划发行附加股，筹集用来进行合格收购（QA）的资金，并从特殊收购公司（SPAC）行列中“毕业”。

目前仅持少数股权的一名股东，有意认购大批附加股，成为CLIQ能源大股东。

“一名大股东将在公司崛起，他将会认购30%的附加股，取得控制性股权。”

由此推测，这名股东可根据本身持股比例，认购附加股之余，也能够购入其他未被认购的附加股。

消息续称，随着令吉走软，加上预期有25%的股东会反对进行合格收购，CLIQ能源目前需要1000万至1500万美元（约4413万至6619万令吉）来应对。

“公司预期25%的股东会反对合格收购，所以，必须把部分存在信托户头的资金，回退给这些股东，这些资金回退约为每股73仙。”

消息补充道，这名即将购入控制性股权的股东，也会投票反对合格收购，取得每股73仙的资金回退；接着再以更低价格，认购30%附加股。【南洋网财经】

发附加股凭单 CLIQ 冀筹2.1亿

（吉隆坡8日讯）为了解决信托户口的潜在现金短缺，CLIQ能源（CLIQ，5234，主板特殊收购股）建议发售附加股及凭单，至少筹资2.1亿令吉。

根据文告，该公司建议根据最低认购水平来展开附加股发售活动，而公司单一大股东Best Oracle私人有限公司，将根据20%的持股权，认购附加股和凭单。

CLIQ能源表示，所筹得的其中1.384亿令吉，将作为填补潜在的短缺金额。

而另外的6580万令吉，则将在未来的12个月内，用来应付额外的财务开销。

由于回购股票及汇率贬值，CLIQ能源信托户口的现金将潜在下滑。

若短缺的资金是少于1.384亿令吉，剩余的金额将用来支付发展计划首年的营运资本。

随后，才提前支付延期付款的金额。

早前，CLIQ能源献议以1亿1730万美元（约5亿1850万令吉），收购在中东哈萨克斯坦（Kazakhstan）经营两块油田的特殊用途公司。

为了潜在回购收购建议中异议股东的股票，该公司需要预留一笔钱来回购股票，加上令吉贬值，所以公司需要额外的现金。

更改部分买卖条款

同时，该公司也宣布签署补充协议，以更改部分买卖协议的条款。

另外，也建议将注册股本，从24亿8000万股普通股及2000万股可赎回可换股优先股，扩大至39亿8000万股普通股及2000万股可赎回可换股优先股。
