(吉隆坡8日讯)随着IJM Corp Bhd终止了收购Giant Hectares私人有限公司的有条件股份出售协议,总值12亿令吉的槟城威中县(Seberang Perai Tengah)发展项目也随之告吹。

IJM今日发布文告宣布,该集团不再收购Giant Hectares,后者收购了一块地皮,打算进行发展总值(GDV)达12亿令吉的综合发展项目。

IJM向大马交易所报备,独资子公司IJM置地(IJM Land Bhd)及Aseania Development私人有限公司双方同意终止于2017年7月签署的有条件股份出售协议。

IJM预计,此举不会对集团截至2019年3月31日止财年的收益或每股净资产,造成任何显著冲击。

2017年7月份,IJM与Aseania Development签署有条件股份出售协议,以现金25万令吉全购Giant Hectares的25万股。

Giant Hectares于2015年1月份在威中县收购了4块空置的商用地皮,总值1亿2504万令吉。收购事项须待若干先决条件达成后方可作实,例如经济策划单位(EPU)的批准。

Termination Of The Share Sale Agreement In Relation To The Acquisition Of The Entire Share Capital Of Giant Hectares Sdn Bhd
Further to our announcement of 11 July 2017, IJM Land Berhad, a wholly-owned subsidiary of the Company, and Aseania Development Sdn Bhd have mutually agreed to terminate the conditional Share Sale Agreement (“SSA”) dated 11 July 2017 in relation to the acquisition of the entire issued shares of Giant Hectares Sdn Bhd comprising 250,000 ordinary shares. The termination was due to the non-fulfillment of the condition precedent of the SSA till to-date.

The termination of the SSA will not have any significant effect on the earnings or net assets per share of the Group for the financial year ending 31 March 2019.

IJM Construction Sdn Bhd, a wholly-owned subsidiary of the Company, has today accepted the Letter of Award from Affin Bank Berhad for the construction and completion of the superstructure works of the proposed 47-storey office building (Package 4 - Main Building Works) at Tun Razak Exchange, Jalan Tun Razak, Kuala Lumpur, Wilayah Persekutuan (“the Project”) for a contract sum of RM505 million.  The completion period of the Project is 26 months, which is expected to be completed by December 2020.

None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the Project.

Description
DISPOSAL OF 99.99% EQUITY INTEREST IN IJM STEEL PRODUCTS PRIVATE LIMITED
ICPB (Mauritius) Limited, a wholly-owned subsidiary via ICP Investments (L) Limited, has today entered into a Share Purchase Agreement to dispose of 32,083,669 ordinary shares of INR10 each, representing 99.99% of the issued and paid up share capital of IJM Steel Products Private Limited (“IJMSPPL”) to Pravan Holdings LLP and Highworth Holdings LLP in equal proportion for a total cash consideration of INR63,999,998 (equivalent to about RM3.6 million) (“the Disposal”).

IJMSPPL is a private limited company incorporated in India and is presently dormant.  

The total consideration of the Disposal was arrived at on a willing-buyer-willing-seller basis after taking into account the obsolescence of the plant of IJMSPPL. The expected loss from the Disposal is approximately RM998,000.

None of the Directors or major shareholders of the Company, or persons connected with them, has any direct or indirect interest in the Disposal.

Description
Disposal of Equity Interest in Swarna Tollway Private Limited
Further to the announcement on 20 July 2015 in relation to the disposal of 70% issued and paid up share capital of Swarna Tollway Private Limited (“STPL” or “Concessionaire”) by IJMII (Mauritius) Limited (a wholly-owned subsidiary via IJM Investments (M) Limited) to MAIF Investments India 3 Pte Ltd (“MAIF”) (“Disposal of 70% Shares”), CIDB Inventures Sdn Bhd (“CIDBI”) (a wholly-owned subsidiary of the Company) has today exercised its rights pursuant to a Shareholders Agreement dated 26 October 2015 to dispose of the remaining 30% issued and paid up share capital of STPL comprising 81,000,000 equity shares, to MAIF for a total consideration of INR2,419.43 million (equivalent to about RM143.4 million) (“Disposal of 30% Shares”).

STPL is a private limited company incorporated in India and the Concessionaire for the improvement and upgrading of existing 2-lane highways from km 52.8 to km 163.6 of Tada-Nellore section and km 217 to km 252 of Nandigama-Ibrahimpatnam section of the National Highways No. 5 and No. 9 respectively in Andhra Pradesh, India on a Build-Operate-Transfer basis (“the Project Highway”).

The total consideration of the Disposal of 30% Shares was arrived at on a willing-buyer-willing-seller basis and adjusted for the following:-

1. the amount of dividends received by CIDBI during the period from the completion of the Disposal of 70% Shares up to the completion of the Disposal of 30% Shares; and
2. non-conclusion of pending disputes with the National Highway Authority of India for the revised date of commencement of concession period and the increase of tollable length of National Highway No. 9 of the Project Highway to 49.2 kilometers.

The expected loss from the Disposal of 30% Shares is approximately RM37.5 million due to the reversal of share of profits recognised by CIDBI during the period from the completion of the Disposal of 70% Shares up to the completion of the Disposal of 30% Shares (“the Period”) pursuant to MFRS 128 (Investments in Associates and Joint Ventures), and the foreign exchange loss incurred arising from the diminution of CIDBI’s book value of STPL due to devaluation of INR against RM during the Period.

None of the Directors or major shareholders of the Company, or persons connected with them, has any direct or indirect interest in the Disposal of 30% Shares.
