VSOLAR東亞集團合作 看好下財年貢獻獲利

（吉隆坡21日訊）VSOLAR集團（VSOLAR，0066，創業板科技）與日本東亞集團株式會社締合作協議，放眼進軍興建太陽能發電廠領域，並預計下財年可貢獻盈利。
該公司執行主席拿督馬南回應《中國報》詢問時透露，獲授權使用日本東亞集團（Eastasia Group）開發的工程、採購及建築（EPC）方案，實際合作計劃及詳情將在6個月內確定。
“目前正式合作金額未定，相信會在未來6個月內達致協議，興建太陽能發電廠以產能計算，目前市價每兆瓦約200萬美元（約729萬令吉）。”
擬進軍海外
他指出，若一切進展順利，下財年即可大幅貢獻盈利。
馬南亦在文告中指出，最新升級版太陽能系統比競爭對手提供的舊系統更具效率。
“我們也有計劃進軍海外如菲律賓及印尼市場，不過需待本地業務穩定之后，目前未深入探討海外拓展計劃。”
該公司文告指出，這項合作計劃有助擴大再生能源業務服務範圍，其中包括工程、採購及建築方案，成為國內太陽能科技一站式方案供應商。
VSOLAR集團將率先在本身太陽能發電廠使用這項方案，過后再擴展至為第3方裝置。
日本東亞集團為太陽能發電廠建築、材料、電工及土木工程等行業佼佼者，已與多家太陽能業先驅公司締結合作。

The Company intends to utilise the engineering, procurement and construction solutions offered by Eastasia for its own solar facilities and expand for our solar renewable business.
This collaboration will not have any effect on :- i) the issued and paid-up share capital and the substantial shareholders’ shareholding of the Company; ii) the earnings and net assets of the Company for the financial year ending 31 December 2015. However, the Board of Directors of the Company expects this collaboration will broaden the business offering and capabilities of the Company in the renewable energy sector to include engineering, procurement and construction solutions offered by Eastasia, making the Company a one stop solution provider of solar technology.
The Board of Directors of the Company is of the opinion that the CA is in the best interest of Vsolar group of companies and in line with the Company’s diversification plan and expansion into the renewable energy development business. VSOLAR集團與憑單VSOLAR集團-WA（VSOLARI-WA，0066WA，創業板憑單）今早開市不到15分鐘，交投熾熱，齊齊衝破千萬股，攀入10大熱門股榜。
授權使用東亞集團方案
VSOLAR集團早盤以36仙開市，微揚0.5仙，隨后大漲10.5仙或30%至46仙歷史新高價位，為10大上升股之一。
該股休市報43仙，起7.5仙，半日交投達4759萬1400股；閉市時，VSOLAR集團報38仙，漲2.5仙，成交量8210萬4200股。
憑單VSOLAR集團-WA則以15仙開跑，休市掛17仙，起2仙，半日交易量報8499萬6400股；閉市時，VSOLAR集團-WA起1.5仙至16.5仙，成交量1億1346萬4100股。
據報導，VSOLAR集團獲授權使用日本東亞集團（Eastasia Group）開發的工程、採購及建築（EPC）方案，實際合作計劃及詳情將在6個月內確定。

VSOLAR集團交投過火遭質詢

（吉隆坡29日訊）近來股價大幅波動和交投火熱的VSOLAR集團（VSOLAR，0066，創業板科技），今日再以火熱交投登入十大熱門股榜，因此遭馬證交所發出“異常交易活動”（UMA）。
VSOLAR集團今日開盤時報平盤25仙，隨后下滑2.5仙至22.5仙，休市時，該股報23仙，跌2仙，半日成交量達4108萬900股。
閉市時，該股起0.5仙至25.5仙，成交量達6424萬6800股，名列十大熱門股榜。
鑑于該股近來股價大幅波動，交投量異常走高，馬證交所對該股發出“異常交易活動”質詢，要求公司對此做出解釋。該公司晚間針對“異常交易活動”質詢作出回應，表示不知情，並指出近來並無可能導致異動的活動及消息，若有任何進展將遵循創業板上市條例報備。
踏入2015年，VSOLAR集團股價漲勢如虹，從原本11仙勁漲至上週三（22日）46仙最高水平，短短4個月內勁漲了4倍之多。
然而，該股在過去一周內突然慘遭滑鐵盧，股價狂瀉，累積跌幅達40%。

VSolar否认造垃圾厂

（吉隆坡8日讯）VSolar集团（VSOLAR，0066，创业板科技股）否认，曾与永续能源发展机构（SEDA）洽谈建造20兆瓦私人垃圾处理厂的项目。
该公司昨天向马交所报备，公司和旗下子公司管理层，不曾与任何单位洽谈有关私人垃圾处理厂的项目。
VSolar集团的这项声明，是针对《The Malaysian Reserve》在本月6日的一篇报道，因而作出否认。
根据文告，VSolar集团表示，截至今日，集团主要是一家投资控股公司，业务也包括再生能源、出版媒体、软件解决方案和制片。
“公司董事部重申，公司和旗下子公司并没有洽谈这项垃圾处理厂，或与此领域相关的建造或运营业务。”
周五闭市时，VSolar集团报21仙，起0.5仙或2.44%，成交量有2536万1800股。【南洋网财经】

太阳能发电投产在即 VSolar冀可转盈
二零一五年五月十八日 晚上七时四十六分
（吉隆坡18日讯）前身为Fast Track方案控股有限公司，从事软件方案、媒体印刷及最近投资再生能源的VSolar集团有限公司（VSOLAR，0066，创业板），依赖其于霹雳近打1兆瓦太阳能发电厂投入操作后，于截至2015年12月31日止现财政年度让公司扭转表现。
这座象征着该集团首次进军再生能源领域的工厂，成本达460万令吉。
VSolar集团执行董事阿米占透露：“我们在去年已经达成初期经营日期。目前我们仍然等待有关当局的批准，以正式开始操作。这将推高收益，并希望我们可在今年开始转亏为盈。”
继4月21日宣布与日本东亚集团签署一份合作协议，以提供工程与建造方案发展商业太阳能发电厂后，该股过去一个月都吸引了积极的购兴。
阿米占说，VSolar集团有意扩充其基础，从一个资产拥有和经营商，至提供工程、补给与建造服务予商业太阳能发电厂。

VSolar集团透过独资单位Solar Interactive私人有限公司，管理位于近打的1兆瓦太阳能发电厂。该集团已与在2013年国家能源有限公司（TENAGA，5347，贸易服务组）签署一份21年再生能源电力收购协议，将以每千瓦小时1.3812令吉的固定收费率，出售所生产的电力。
阿米占表示：“随着2013年8月进军太阳能发电业务后，我们的投资相当庞大，并预期可在开始经营的7年内，带来13%的投资回酬。我们相信一旦操作，太阳能发电业务将改善我们的流动现金问题。”
“国家能源交易对我们有利，因它将提供持续收入。每兆瓦预料每月将带来约15万令吉的收益。”
展望未来，阿米占称，VSolar集团将心注于太阳能发电成为其核心业务，并于未来3年内，着手在国内兴建多座新太阳能发电厂，以装置高达10兆瓦的产能。
与此同时，配合成长其业务到下一阶段，VSolar集团预料将从其于去年12月8日宣布的最新一轮筹资活动中，集资高达1亿1531万令吉。这项活动预期可在今年中旬完成。
建议中附加股配凭单的发行价也已订为每股10仙。
VSolar集团现有大部分收入是来自生活杂志Jasmine的印刷和销售，预测每月出版1万2000份，以及电脑软件的贸易。
他补充：“这些是过去传统的业务。由于激烈的竞争，我们不预期它们可带来更高的成长。我们仍将把它们保留，因我们仍然拥有忠诚客户。但未来，太阳能业务将成为我们的焦点。”
在2014财政年，该集团蒙受的净亏损从204万令吉扩大到343万令吉，相等于按年累积亏损达到2217万令吉。2014财政年的营业额也从一年前的159万令吉减少3%至154万令吉，主要是因为其杂志业务营业额急挫74%所致。

威能進軍再生能源工程

发股集资 争新合约 VSolar转盈2关键

虽然已经完成1兆瓦回购电价（FiT）太阳能发电厂，及另外1兆瓦正在进行中，但VSolar集团有限公司（VSOLAR，0066，创业板）是否能够转亏为盈，仍胥视其1亿1531万令吉附加股发行的成功，及争取新太阳能合约的能力。
该蒙亏前资讯工艺公司的第一道障碍将是大马交易所批核的结果。
执行董事阿米占表示：“大马交易所了解我们的业务模式。它们只是提出了例常的询问。耗资9至12个月批核并非不寻常。我们已在约6个月前呈交，并预料可在9月左右获得批准。这项活动将在10月完成。”
“虽然FiT计划只进行了一段时间，但我不认为它有任何筹集资金的方式。因此，大马交易所必须认同这个商业模式。”
基于其内部回酬率，FiT商业模式是相当有利可图，足以在7年内回本。而且，它也在再生能源付款协议下，获得21年的付款担保。
不过，它仍然存在其他考虑因素，如附加股规模太大。前身为Fast Track方案有限公司的VSolar集团，现正尝试以每股10仙发行价，透过1配3附加股方式，筹措1亿1530万令吉资金。这将包括每认购2附加股送1凭单。
比较之下，基于14.5仙股价，该公司的市值只有4400万令吉。
为筹集上述巨额资金，VSolar集团必须展现它可利用作扩充业务的可靠性。不过，由持续能源发展局透过招标方式管理和颁发的FiT太阳能配额，却面对激烈的竞争。
实际上，今年内也不会再发出更多太阳能配额。
虽然如此，阿米占有信心VSolar集团将可正确地利用上述资金。
“尽管今年不会获得持续能源发展局的任何更多配额，但我们可与其他赢得配额但却未能获得融资的团体合作。”
一旦一名个人或公司获颁太阳能FiT计划，他们只拥有6个月时间，以争取融资，否则计划将被撤回。
自太阳能FiT计划配额于2011年推介以来，已有近20兆瓦的计划遭持续能源发展局撤回。
“太阳能FiT计划难以从银行获得融资。它们并不实际了解这项业务。每1兆瓦太阳能产能，你需要约1000万令吉发展这项计划。大部分赢得上述计划的人，都没有这样的财力。”
若附加股发行成功，VSolar集团计划积极与接洽探讨融资的配额持有人，并透过股份或计划融资的方式与它们合伙。
阿米占说：“我们已拥有数个目标。一旦我们获得资金，我们将与他们展开谈判。”
根据持续能源发展局的条例，VSolar集团本身不可成为超过10兆瓦产能的最终股东，以避免太阳能产能过于集中。
不过，阿米占称，它仍可能透过架构计划融资其他团体的太阳能计划，而不拥有计划的控制权，以规避有关条例。
另一个问题是，VSolar集团股东们是否认购上述附加股。除了执行主席拿督玛南承诺认购总值900万令吉附加股外，该集团其他大股东都没有同样承诺。
不过，阿米占透露，其最大股东，即持有19.51%的亚洲生物能源科技有限公司（ASIABIO，0150，创业板），已表明有意认购这批附加股。
基于其股份，亚洲生物能源将需要拨出1650万令吉，全面认购其附加股，惟它仅拥有283万令吉的净现金。
展望未来，一旦其于霹雳新邦波赖的1兆瓦太阳能发电厂达成其商业运行日期，VSolar集团将可推高其收益，至每年约100万令吉。
“我们已经经过初期经营日期，意味着工厂已经全面操作。我们正等待持续能源发展局和国家能源有限公司（TENAGA，5347，贸易服务组）解决一些问题，以落实我们的商业运行日期，以开始带来赚益。”
与此同时，该集团也探讨在雪兰莪万挠发展另一项1兆瓦计划。它已经在一幅可建2兆瓦发电厂的地点完成一项电力系统研究，并获得持续能源发展局批准1兆瓦产能。
随着2座工厂的设立和操作，它将可增加集团收益约200万令吉或130%。
不过，这仍未足以让VSolar集团脱离赤字。该集团于截至2014年12月31日止财政年蒙受净亏损375万令吉，主要是因为偏高的行政开销。比较之下，其前一年的净亏损为230万令吉。
而且，该集团过去已经连续9个财政年蒙亏。惟资产负债表实质上已没有借贷。
阿米占指出，集团的亏损是由其之前的核心业务资讯工艺，转移到太阳能发电。
另外，阿米占也对本月初的报道作出否认。有关传言指VSolar集团正洽商兴建一座20兆瓦废料发电厂。

On behalf of the Board of Directors of the Company, we wish to announce that Mr. Chieng Siong Kuong, the Director of Vsolar Engineering Sdn. Bhd. (“VESB”) had on 11 June, 2015 transferred to VGB one (1) ordinary share of RM1.00 each in VESB which was held in trust by him for and on behalf of the Company, representing 50% of the issued and paid-up share capital of VESB. Consequently, VESB becomes a wholly-owned subsidiary company of the Company on 11 June, 2015.

(Company No. 943284-W), the wholly-owned subsidiary of Asia Bioenergy Technologies Berhad with its registered office at 10th Floor, Menara Hap Seng, No.1 & 3, Jalan P.Ramlee, 50250 Kuala Lumpur, Malaysia (“ASSB”), to collaborate in the planting and intercropping of food crops utilising ASSB’s effective micro-organisms (“EM”) products at SISB’s photovoltaic energy generation sites (hereinafter referred to as “Parties”).
