活跃于砂朥越州的大万有限公司(Natural Avenue Sdn Bhd)成立于1995年8月,是美得士国际无限公司(Matrix International Bhd)的子公司。同时也是砂朥越赛马与马术俱乐部博彩唯一代理公司。该公司获得1967年博彩法令批准执照以经营测字业务。大万有限公司所提供的游戏包括千字(3D)及万字(1+3D),最近也推出了全保玩法(I-Cash)。

值得一提的是,Matrix International Berhad -- (主要事业是一般贸易,提供谘询和相关服务予彩票公司。)目前也是隶属成功集团旗下,看来陈老板对的博彩业钟情的很。

成功資產斥3.85億新山購地

(吉隆坡10日訊)成功資產(BJASSET,3239,主要板房產)獨資子公司Pesaka Ikhlas,以現金3億8500萬令吉收購新山數塊地。
 
該公司向馬證交所報備說,益聯科技(Atlan Technology)、Kelana Megah(KMSB)和Darul Metro(DMSB),已接受Pesaka Ikhlas的購地獻議。
 
Pesaka Ikhlas將繳付2%或770萬令吉訂金給賣主。
 
益聯科技是益聯控股(ATLAN,7048,主要板工業)的獨資子公司;KMSB和DMSB則是新加坡上市公司國際免稅公司(DFIL)的獨資子公司。

收购租赁权益,涉及新山3块约23英亩的土地包括新山免税区地
成功资產发表文告说,益联控股(ATLAN,7048,主板工业產品组)旗下益联科技(Atlan Technology)和免税国际有限公司(Duty Free International Limited)属下两家公司等卖方,將向新山市政局或有关当局租赁较早同意卖给成功资產的土地,因此原本的土地买卖將转为租赁权益交易。

Description
DISPOSALS OF SHARES IN DIJAYA CORPORATION BERHAD
The Board of Directors of Berjaya Assets Berhad (“BAssets”) wishes to announce that its wholly-owned subsidiary, Sublime Cartel Sdn Bhd (“Sublime”) had disposed a total of 4.70 million ordinary shares of RM1.00 each (“Dijaya Shares”) in Dijaya Corporation Berhad (“Dijaya”) between 30 November 2012 and 13 December 2012 for a total cash consideration of RM4.90 million or at an average price of RM1.04 per Dijaya Share (“Disposals”), representing 0.59% of the issued and paid-up share capital of Dijaya.

Following the Disposals, BAssets Group now holds a total of 5.30 million Dijaya Shares representing 0.67% equity interest in Dijaya.

The total carrying value of the investment of Dijaya Shares pertaining to the Disposals is about RM4.70 million. The disposed Dijaya Shares were purchased since 2010. The Disposals has resulted in a net gain of approximately RM197,000 at the BAssets Group level. The net proceeds from the Disposals will be utilised as working capital of the BAssets Group.

The Disposals have no effect on the issued and paid-up share capital or substantial shareholders’ shareholdings of BAssets. The Disposals also have no material effects on the net assets and earnings per BAssets Share.


The Disposals are not subject to the approval of the shareholders of BAssets or any other relevant authority.

Tan Sri Dato’ Seri Vincent Tan Chee Yioun (“TSVT”) is a major shareholder of BAssets.

Tan Sri Dato’ Tan Chee Sing (“TSDT”) is a major shareholder of Dijaya and has an indirect interests of 0.26% through his spouse in BAssets. TSDT is the Group Chief Executive Officer of Dijaya and a brother of TSVT.

Dickson Tan Yoong Loong (“DTYL”) is a non-independent non-executive Director of BAssets and the Deputy Managing Director of Dijaya. DTYL is a son of TSDT. DTYL has abstained from deliberating and voting on all board resolutions pertaining to the Disposals.

At present, Berjaya Sompo Insurance Berhad, a 30%-owned associated company of Berjaya Capital Berhad, which in turn is a 100%-owned subsidiary of Berjaya Corporation Berhad, also has a shareholding of about 4.92% equity interest in Dijaya.

Save as disclosed, none of the other Directors and/or other major shareholders of BAssets or persons connected with them has any interest, direct or indirect, in the Disposals. The Board of Directors of BAssets (save for DTYL) is of the opinion that the Disposals are in the best interest of the BAssets Group.

The Audit and Risk Management Committee of BAssets is of the opinion that the Disposals are fair, reasonable and on normal commercial terms and are in the best interest of BAssets Group. In addition, the Audit and Risk Management Committee is also of the view that the Disposals are not detrimental to the interest of the minority shareholders of BAssets.

The highest percentage ratio applicable to the Disposals pursuant to paragraph 10.02(g) of the Bursa Securities Main Market Listing Requirements is 0.26%.

ACQUISITIONS OF ORDINARY SHARES IN BERJAYA CORPORATION BERHAD
The Board of Directors of Berjaya Assets Berhad (“BAssets”) is pleased to announce that its wholly-owned subsidiary, Sublime Cartel Sdn Bhd (“Sublime”) had acquired a total of 8.8 million ordinary shares of RM1.00 each (“BCorporation Shares”) in Berjaya Corporation Berhad (“BCorporation”) in the open market during the period from 23 November 2012 to 30 January 2013 for a total cash consideration of about RM5.08 million (“Acquisitions”).

Following the Acquisitions, BAssets Group now holds a total of about 77,725,800 BCorporation Shares representing 1.84% equity interest in BCorporation.

The cash consideration of the Acquisitions were at prevailing market prices of BCorporation Shares at the time of acquisition. The BCorporation Shares were acquired free and clear of all liens, charges and claims of any kind or restriction. The Acquisitions represent an opportunity for the BAssets Group to invest in BCorporation with its surplus internally-generated funds.

The Acquisitions have no effect on the issued and paid-up share capital or substantial shareholders’ shareholdings of BAssets. The Acquisitions are not expected to have any material effect on the consolidated net assets and earnings of BAssets for the current financial year ending 30 June 2013.

The Acquisitions are not subject to the approval of the shareholders of BAssets or any other relevant authority.

Tan Sri Dato’ Seri Vincent Tan Chee Yioun is a major shareholder of BAssets and BCorporation.

Mr. Chan Kien Sing, a Non-Independent Non-Executive Director of BAssets, is an Executive Director and a shareholder of BCorporation.

Datuk Robert Yong Kuen Loke is a common director of both BAssets and BCorporation. He is also a shareholder of BCorporation.

Dato’ Dickson Tan Yong Loong is a common director of both BAssets and BCorporation. He is a nephew of Tan Sri Dato’ Seri Vincent Tan Chee Yioun.

Save as disclosed above, none of the other Directors and/or other major shareholders of BAssets or persons connected with them has any interest, direct or indirect, in the Acquisitions. The Board of Directors of BAssets is of the opinion that the Acquisitions are in the best interest of the BAssets Group.

成功资产副主席辞职

(吉隆坡2日讯)配合英国全面负责卡迪夫城足联主席职位,拿督曾长义辞去在成功资产(BjAsset,3239,主板产业股)副主席职位。

成功资产向马交所报备,曾长义辞职即日生效。

另外,成功资产也向马交所报备,独资子公司Sublime Cartel私人有限公司去年11月23日至今年1月30日期间已经以508万令吉收购了成功机构(BjCorp,3395,主板贸服股)880万股,每股面值1令吉。

Following the Disposals, BAssets Group now holds a total of 464,000 Dijaya Shares representing 0.06% equity interest in Dijaya.

成功资产净利跌45% 售成隆机构0.61%股权

(吉隆坡7日讯)成功资产(BjAsset,3239,主板产业股)截至2013财年次季,净利按年暴跌44.84%;同时,另外,集团宣布脱售成隆机构(Dijacor,5407,主板产业股)0.61%股权。

成功资产现财年次季净利报1260万50000令吉,低于上财年同季的2285万1000令吉。相比上财年的8491万8000令吉,成功资产营业额微跌1.93%至8328万1000令吉。

成功资产现财年首6个月写下3545万8000令吉净利,逊于上财年5361万6000令吉,跌幅为33.87%。

集团上财年首6个月营业额报1亿6101万4000令吉,微扬2.03%,至现财年1亿6429万令吉。

另一方面,成功资产旗下独资子公司Sublime Cartel私人有限公司,去年12月13日至今年2月6日期间以497万令吉或每股1.03令吉,脱售成隆机构483万6000股。

成功资产目前还持有成隆机构的46万4000股,或0.06%股权。集团2010年买进成隆机构股权,脱售行动让集团成功获利约13万3319令吉,并将作为营运资本。[南洋商报财经]

Description
PROPOSED ACQUISITIONS OF LEASE INTERESTS IN PROPERTIES LOCATED IN STULANG LAUT, JOHOR BAHRU FOR A TOTAL CASH CONSIDERATION OF RM385.00 MILLION (“PROPOSALS”)
Reference is made to Berjaya Assets Berhad’s (“BAssets”) announcements dated 10 April 2012, 17 April 2012 and 18 December 2012 in relation to the Proposals. As announced, BAssets via its wholly-owned subsidiary, Pesaka Ikhlas (M) Sdn Bhd had proposed to undertake the Proposals, details of which are as follows:-
1)        The acquisition of the remaining lease interest in a parcel of vacant land held under H.S. (D) 19350, PTB 10710 located in Stulang Laut, Johor Bahru for a cash consideration of RM32.01 million (“ATSB Lease Interest Acquisition”);

2)        The acquisition of the remaining lease interest in six parcels of land together with buildings erected thereon, held under H.S. (D) 19348, PTB 10707, PTB 20380, PTB 20438, PTB 20006, PTD 146378 and PTD 148062 in Stulang Laut, Johor Bahru for a cash consideration of RM325.00 million (“DMSB Lease Interest Acquisition”); and

3)        The acquisition of the intended lease interest in a parcel of land under Lot No. PTB 20379 located in Stulang Laut, Johor Bahru for a cash consideration of RM27.99 million (“Proposed KMSB Pending Lease Interest Acquisition”)

博彩贡献大跌 成功资产净利挫88%

(吉隆坡16日讯)成功资产(BjAsset,3239,主板产业股)截至3月31日财年第三季净利仅录得188万3000令吉,比上财年同期的1535万4000令吉低87.74%。

成功资产表示,为证券投资做减值亏损以及由Natural Avenue私人有限公司经营的博彩业务贡献盈利较少,导致净利走低。

不过,产业发展业务和成功时代广场私人有限公司旗下投资业务收入贡献更高,第三季营业额扬升3.94%至9371万8000令吉。

截至3月31日首9个月,成功资产净利也下跌45.86%至3734万1000令吉,营业额则微升2.72%至2亿5800万8000令吉。

公司现财年第三季和首9个月每股盈利分别录得的0.17仙和3.35仙。[南洋网财经]

The Board of Directors of Berjaya Assets Berhad ("BAssets") wishes to announce that its wholly-owned subsidiary, Berjaya Waterfront Sdn Bhd (formerly known as Pesaka Ikhlas (M) Sdn Bhd) (“BWSB”), has on 26 June 2013 acquired and completed the acquisition of 100% stake comprising 2 ordinary shares of RM1.00 each in Jauhari Maksima Sdn Bhd ("JMSB") for a total cash consideration of RM2.00 ("Acquisition").

JMSB was incorporated on 28 May 2013 under the Companies Act, 1965 with an issued and paid-up share capital of RM2.00 comprising 2 ordinary shares of RM1.00 each and is presently dormant. JMSB’s intended principal activities are property development and investment holding.


The Acquisition has no material effect on the Group's earnings or net assets for the current financial year ending 30 June 2013. The Acquisition is not subject to the approvals of the shareholders of BAssets or any relevant authority.


None of the Directors and/or major shareholders of BAssets and/or persons connected with them has any interest, direct or indirect, in the Acquisition.


This Announcement is dated 26 June 2013.

(吉隆坡16日訊)成功資產(BJASSET,3239,主要板房產)投資房地產估值不如人意、博彩業務開彩率高,末季淨利按年下滑92%至892萬令吉,不過仍宣布每股派息1.5仙。

截至今年6月底,該公司末季營業額則按年增29%至1億364萬令吉,每股盈利0.80仙。

成功資產全年淨利亦受累下滑74%至4626萬令吉,不過營業額按年增9%至3億6165萬令吉,全年每股盈利4.16仙。

該公司向馬證交所報備指出,房地產發展及成功時代廣場旗下投資業務報捷,加上博彩業務Natural Avenue開彩季增加,收入提高2%,帶動營業額上揚。[中国报财经]

(吉隆坡13日訊)成功資產(BJASSET,3239,主要板房產)2014財年首季(截至9月30日)淨利按年下滑25.62%,至1699萬令吉,去年同期為2285萬令吉。

該公司首季營業額則按年上揚24.35%,至1億73萬令吉,去年同期為8100萬令吉。

成功資產指出,首季淨利下滑主要因為脫售房地產投資的收益比去年同期少。

不過,數項因素協助緩解淨利壓縮,第一、Natural Avenue私人有限公司(NASB)經營的博彩業務獲更高稅前盈利;第二、新山 Berjaya Waterfront 房地產更高的盈利貢獻,及成功時代廣場(Berjaya Times Square)私人有限公司更高的租金收入。[中国报财经]

(吉隆坡10日讯)成功资产(BJASSET,3239,主板产业股)今日宣布以每股1.67令吉或总值2.5亿令吉脱售其子公司———成功时代广场私人有限公司的20%股权给柔佛苏丹依布拉欣殿下。

根据文告,成功时代广场私人有限公司持有及管理成功时代广场,同时,旗下还有3家营运子公司。

其中两家负责经营成功时代广场的停车场及主题乐园,而另外一家则持有及管理柔佛Berjaya Waterfront。

成功资产指,股权脱售让公司能够即刻套现之外,亦能够邀请柔佛苏丹直接投资在成功时代广场私人有限公司,更积极参与公司未来的发展。

脱售亏1.5亿

成功资产因脱售活动将蒙受1亿4915万令吉亏损;所得资金将用于营运资本或未来投资项目。

Description
DISPOSAL OF 20% EQUITY INTEREST IN BERJAYA TIMES SQUARE SDN BHD FOR A CASH CONSIDERATION OF RM250.00 MILLION
1.        INTRODUCTION


    The Board of Directors of Berjaya Assets Berhad (“BAssets” or “Company”) wishes to announce that the Company has on 9 December 2013 entered into a Share Sale Agreement (“SSA”) for the disposal of 150.00 million ordinary shares of RM1.00 each representing 20% equity interest in its subsidiary, Berjaya Times Square Sdn Bhd (“BTSSB”) to D.Y.M.M. Sultan Ibrahim Ismail Ibni Almarhum Sultan Mahmud Iskandar Al-Haj (“DYMM Sultan Ibrahim”) for a total cash consideration of RM250.00 million or at RM1.67 per BTSSB share (“Disposal”).

2.        DETAILS OF THE PROPOSED DISPOSAL

2.1        The total cash consideration for the Disposal of RM250.00 million is payable within 14 days from the date of the SSA.

2.2        The 150.00 million BTSSB shares were disposed of free from all encumbrances and with all rights and benefits of whatsoever nature attaching thereto. There are no liabilities to be assumed by DYMM Sultan Ibrahim pursuant to the Disposal.

2.3        The RM250.00 million cash consideration was arrived at on a willing buyer willing seller basis after taking into consideration, amongst others, the discount of the market price to the net assets of BAssets shares and the net assets value of the BTSSB Group.

2.4        On completion of the Disposal, BAssets’ equity interest in BTSSB will reduce from 100% to 80%. BTSSB remains a subsidiary of BAssets.

3.        INFORMATION ON BTSSB


    BTSSB was incorporated in Malaysia as a private limited company under the Companies Act, 1965 on 12 May 1984. Presently, BTSSB has an issued and fully paid share capital of RM750.00 million comprising 750.00 million ordinary shares of RM1.00 each. The principal activities of BTSSB are property investment, property development and investment holding whereas its subsidiaries are involved in operation of theme park, car park operator, hotel, commercial complex and ferry terminal management.

    BTSSB is the principal subsidiary of BAssets and it owns and manages Berjaya Times Square Mall (“BTS”) with a gross built-up area of 7.5 million square feet on a 10-acre piece of land located along Jalan Imbi, Kuala Lumpur. BTS is an international landmark that is popular amongst the middle income and mass markets. It comprises a 12-level shopping mall, 46 storeys towers of service suites and hotel, 5 levels of basement and 10 floors of annexed car parks.

    BTSSB has 3 operating subsidiaries of which 2 are involved in BTS covering the operations of car parks and theme park whilst the other subsidiary owns and manages Berjaya Waterfront, Johor Bahru (formerly known as The Zon, Johor) with properties spreading over 18 acres of prime land in Johor.

4.        RATIONALE FOR THE DISPOSAL


    The Disposal represents an opportunity for BAssets to raise immediate cash and invite DYMM Sultan Ibrahim to invest directly in BTSSB which will enable DYMM Sultan Ibrahim to participate more actively in the future direction and developments of the BTSSB Group.

    The gross cash proceeds of RM250.00 million arising from the Disposal will be utilized by the BAssets Group for working capital and/or future investments of the Group.

5.        EFFECTS OF THE DISPOSAL
5.1        The Disposal will not have any effect on the issued share capital, major shareholders’ shareholdings and shareholding structure of BAssets.

5.2        The Disposal will realise an exceptional gain of about RM7.02 million to BAssets at company level and an exceptional loss of RM149.15 million at BAssets Group level, which will reduce the retained earnings by the same amount. Based on the last audited accounts of BAssets Group as at 30 June 2013, the consolidated net assets per BAssets share will be reduced by RM0.14 to RM1.85.

6.        CONDITIONS OF THE DISPOSAL
The Disposal is not subject to the approval of the shareholder of BAssets or any relevant authority.

7.        DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS
None of the Directors and major shareholders of BAssets or persons connected with them has any interest, direct or indirect, in the Disposal.

8.        DIRECTORS' RECOMMENDATION


    The Board of Directors of BAssets is of the opinion that the Disposal is in the best interest of the BAssets Group.

9.        HIGHEST PERCENTAGE RATIO


    The highest percentage ratio pursuant to Chapter 10, Paragraph 10.2(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad that is applicable to the Disposal is 19.9%.

10.        DOCUMENT AVAILABLE FOR INSPECTION


    The SSA is available for inspection at the Registered Office of BAssets at Lot 13-01A, Level 13 (East Wing), Berjaya Times Square, No.1, Jalan Imbi, 55100 Kuala Lumpur, during normal office hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this Announcement.
