嘉年1千萬購2.5億建築計劃

(吉隆坡4日訊)作為部份重組計劃以脫離PN17陷困行列,嘉年建築(BGYEAR,7023,主板建筑組)以1千萬令吉收購訂單值2億5千萬令吉建築計劃。

該公司發文告指出,收購計劃極為重要,因為可藉此重建建築業務,並增強營業額及盈利水平。

建築計劃賣主Astinas建築及發展公司已打造良好的營運紀錄及管理技術,因而嘉年建築期望能從中受惠,並擴大計劃組合。

上述收購價也包括客戶拖欠Astinas建築及發展公司的應收賬項。(星洲日報/財經)

(吉隆坡17日讯)嘉年建筑(BGYEAR,7023,主板建筑股)建议进行一系列企业重组计划,以解决公司目前面对的财务困境,以及减轻被除牌的风险。

该公司建议进行的7项企业活动为:
1.把每股面值1令吉,削减99仙,至每股面值1仙;再把每10股面值1仙的股票,整合为1股面值10仙的股票。
2.以每1股配50股附加股,发售高达2亿5439万9000股附加股,发售价暂定为每股10仙。
3.让债权人认购4828万9620股新股,认购价为每股10仙。
4.私下配售5000万股新股给特定投资者,发售价为每股10仙。
5.进行债务偿还计划。
6.以1000万令吉收购Astinas建筑及发展私人有限公司的建筑业务。
7.发行9628万8900股新股,以总值962万8890令吉,收购Ontime Privilege的28%股权。

(1) Proposed capital restructuring comprising of the Proposed Par Value Reduction, Proposed Consolidation and Proposed Share Premium Reduction as defined in Section 2.1 herein (“Proposed Capital Restructuring”)

(2) Proposed renounceable rights issue of up to 254,399,000 new BGB shares (“Rights Shares”) on the basis of fifty (50) Rights Shares for every one (1) BGB share held of RM0.10 par value (“BGB Share(s)”) after the Proposed Capital Restructuring (“Proposed Rights Issue”);

(3) Proposed offer for subscription of up to 48,289,620 new BGB Shares to be offered for subscription by the Scheme Creditors at the subscription price of RM0.10 each (“Proposed Offer for Subscription”);

(4) Proposed private placement of 50,000,000 new BGB Shares (“Placement Share(s)”) to identified investors at an issue price of RM0.10 per Placement Share (“Proposed Private Placement”).

嘉年積極重組‧有信心年內脫困

(吉隆坡31日訊)PN17公司嘉年建築(BGYEAR,7023,主板建筑組)正在企業重組活動進程中,有信心在一年內脫離PN17公司行列。

該公司董事經理巫憲章在股東大會後說,整個重組計劃正積極進行,料2014年2月可提交相關當局批准。

他說,手握2億5千萬令吉建築工程至少可忙上兩三年,料於2014年2月後展開,同時會積極競標建築工程,放眼競標巴生河流域與柔佛山帶的3億令吉工程。

“嘉年建築以1千萬令吉收購訂單值2億5千萬令吉建築計劃,現正在進行精密審核中。”

整個業務重組活動包括進行資本重組、附加股、私下配售、資產收購等系列企業重組活動,以解決現有公司財務情況和避免公司陷入除牌厄運。

該公司先把每股面值1令吉股票削減99仙至每股1仙,並隨後將10股整合成1股面值10仙股票,以釋出5千零37萬1千令吉和取消股票溢價賬戶的729萬7千令吉來抵銷累積虧損。

隨後,嘉年建築將以1配50比例發售最多2億5千439萬9千股附加股,發售價將在稍後決定,同時透過新債代舊債方式,將債務轉移至特別用途公司(SPV),並以每股10仙價格配售最高4千828萬9千620股新股給債權人,再來私下配售5千萬股新股給待定投資者。

該公司料可藉此籌措最多3千526萬9千令吉,其中1千萬令吉將用來收購建築工程、1千764萬令吉營運資本、482萬9千令吉和280萬令吉為協議安排和企業重組計劃成本。

在完成上述計劃後,嘉年建築計劃以1千萬令吉現金收購Astinas建築與發展私人有限公司的建築業務,再以發售9千628萬8千900股新股方式,以962萬8千890令吉收購Ontime Pivilege私人有限公司28%股權來取得土地發展權,以確保公司在債務重組後擁有穩定的產業發展業務。

嘉年建築取消收購OPSB

(吉隆坡14日訊)PN17公司嘉年建築(BGYEAR,7023,主板建築組)取消收購Ontime Pivilege私人有限公司(OPSB)的交易。

該公司發文告表示,由於雙方無法達致共識,該公司和OPSB的賣主同意終止收購和發展土地的計劃。

嘉年建築是在2013年12月17日宣佈進行資本重組、附加股、私下配售、資產收購等系列企業重組活動,以解決財務困境,避免除牌。

On 17 December 2013, Kenanga Investment Bank Berhad (“KIBB”) on behalf of the Board of Directors of BGB (“Board”), announced that the Company proposes to undertake the Proposed Restructuring Scheme to regularise the financial position of the Company.

On even date, KIBB on behalf of the Board, had also announced that BGB had entered into a share sale agreement with Low Yew Yern, Chng Puay Fong, Yong Wei Lian and Yong Chew Lian (collectively referred to as the “OPSB Vendors”) to facilitate the Proposed Acquisition of Development Land Interest (“OPSB SSA”). Pursuant to a valuation exercise that was carried out on OPSB’s leasehold industrial land after the execution of the OPSB SSA, the basis of valuing OPSB’s land would be as vacant industrial land as the conversion premium has yet to be advised and paid, notwithstanding that the development order had already been approved with conditions.

In view of this, the parties have been unable to reach a consensus on this issue. Hence, KIBB on behalf of the Board, wishes to announce that BGB and the OPSB Vendors have on 14 March 2014 mutually agreed to terminate the OPSB SSA.

With the termination of the OPSB SSA, the Proposed Restructuring Scheme shall hereinafter comprise the following:
(1) Proposed Capital Restructuring;
(2) Proposed Rights Issue;
(3) Proposed Offer for Subscription;
(4) Proposed Private Placement;
(5) Proposed Scheme of Arrangement, which consists of the following proposals:
(i) Proposed Novation;
(ii) Proposed Liquidation of SPV; and
(6) Proposed Acquisition of Construction Projects.

The Board of Directors of Bina Goodyear Berhad ("BGB" or "Company") wishes to inform that the Company had on 14 March 2014 acquired the entire equity interest in BGB CONSTRUCTION SDN BHD (1083879-W) ("BGBCSB") comprising 3 ordinary shares of RM1.00 each for a total cash consideration of RM3.00 only ("Acquisition") for the purpose of receiving and carrying out future construction contracts.  

BGBCSB is a newly incorporated company and its authorised share capital is RM400,000 comprising of 400,000 ordinary shares of RM1.00 each.
The intended principal activities of BGBCSB are construction works and housing development.

The Acquisition has no material effect on the earnings per share, net tangible assets per share, share capital and the substantial shareholdings of the Company for the financial year ending 30 June 2014.

Except Mr Moo Hean Chong and Mr Eng Kim Leng who had abstained from all deliberations and voting on the transaction which was related to them, none of the Directors or major shareholders or persons connected to the Directors or major shareholders of BGB or its subsidiaries have any interest, direct or indirect, in the Acquisition.

应收款变拨备遭申诫 嘉年建筑须复审财报

(吉隆坡18日讯)因2012年时没有就进行中工程,向顾客收取2960万令吉的款项,也未将之记入已审计账目中,嘉年建筑(BGYEAR,7023,主板建筑股)今日遭马交所公开申诫。

根据文告,由于嘉年建筑在2012年11月19日时宣布,需将上述金额列为拨备金,影响股东权益,公司也因此被列入PN17,股价也在隔日大挫56.3%。

这也意味着截至2012年6月30日的已审计账目,并未反映出确切的应收账款。

马交所指出,嘉年建筑此举触犯上市条例,必须要复审和确保季度财报的准确,也必须安排外部审计师检阅截至今年9月30日的四个季度财报。

同时,马交所也促请董事部确保公司遵守上市条例,给予投资者正确的财报和资讯。【南洋网财经】

BURSA MALAYSIA SECURITIES PUBLICLY REPRIMANDS BINA GOODYEAR BERHAD FOR BREACH OF MAIN MARKET LISTING REQUIREMENTS

LISTING'S CIRCULAR NO. L/Q : 71109 OF 2014

Bursa Malaysia Securities Berhad (635998-W) (Bursa Malaysia Securities) has publicly reprimanded Bina Goodyear Berhad (BGYEAR or the Company) for breaching paragraph 9.16(1)(a) of the Bursa Malaysia Securities Main Market Listing Requirements (Main LR) in respect of the Company’s announcement dated 29 October 2012 on its annual audited accounts for the financial year ended 30 June 2012 (AAA 2012) which was not factual and accurate particularly with regards to the carrying value of the amounts due from customers on contracts and trade and other receivables.

Pursuant to paragraph 9.16(1)(a) of the Main LR, a listed issuer must ensure that each announcement made is factual, clear, unambiguous, accurate, succinct and contains sufficient information to enable investors to make informed investment decisions.

The public reprimand was imposed pursuant to paragraph 16.19(1) of the Main LR after taking into consideration all facts and circumstances of the matter and upon completion of due process.

BGYEAR is also required to review and ensure the adequacy and effectiveness of its financial reporting function and carry out a limited review on its quarterly report submissions. The limited review must be performed by the Company’s external auditors for four quarters commencing no later from the quarterly report for the financial period ended 30 September 2014. In addition, BGYEAR must ensure all its directors and relevant personnel attend a training programme in relation to compliance with the Main LR particularly pertaining to financial statements.

While Bursa Malaysia Securities has not found any of BGYEAR’s directors to have caused or permitted the breach by the Company, Bursa Malaysia Securities wishes to highlight that it is the duty of the directors to maintain appropriate standards of responsibility and accountability in ensuring compliance of the Main LR. The Board of Directors of BGYEAR at the material time of the announcement of the AAA 2012 was as follows:-

(i) Md Azar bin Ismail
(ii) Moo Hean Chong (appointed as Executive Director on 20 December 2011 and re-designated as Managing Director on 30 March 2012)
(iii) Eng Kim Leng (appointed as Executive Director on 29 December 2011)
(iv) Foo San Kan (appointed as Independent Non-Executive Director on 30 March 2012 and re-designated as Non-Independent Non-Executive Director on 26 September 2012)
(v) Tay Choon Yong (appointed as Independent Non-Executive Director on 23 July 2012)

Bursa Malaysia Securities views the contravention seriously and has reminded BGYEAR and its Board of Directors of their obligation to uphold appropriate standards of responsibility and accountability to shareholders and the investing public.

BACKGROUND

BGYEAR had on 19 November 2012 made an announcement that the Senior General Manager, Finance in charge of the accounts of the Group had brought to the attention of the board that approximately RM29.6 million of the work-in-progress (WIP) was not billable and chargeable to the customers and the Group would need to make a provision for this amount. Prior to this, there was no evidence including from the findings of the Investigative Audit Report announced by BGYEAR on 22 February 2013 that the Board of Directors was aware of such significant unrecoverable WIP.

As a result of the provision which affected the Company’s shareholders’ equity, the Company triggered the prescribed criteria under paragraph 2.1(a) of Practice Note 17 and made the First Announcement on 19 November 2012. The Company’s share price had decreased by RM0.225 / 56.3% from RM0.400 on 19 November 2012 to RM0.175 on 20 November 2012 i.e. the next market day of the First Announcement.

Subsequently, BGYEAR had on 30 November 2012 announced its quarterly report for the financial period ended 30 September 2012 (QR Sept 2012) in which the Company had made the following provisions which were related to prior year:-

  • Provision for amount due from customers on contracts / WIP amounting to RM43.02 million; and
  • Provision for doubtful debts amounting to RM8.60 million.

重组计划遭否决 嘉年建筑9月8除牌

(吉隆坡4日讯)马交所否决嘉年建筑(BGYEAR,7023,主板建筑股)重组计划,该公司将在9月8日除牌。

文告指,该公司将会从8月12日开始暂停交易。

除非在9月3日或之前,嘉年建筑向马交所提出上诉,否则就会在9月8日除牌。

嘉年建筑是在2012年被列为PN17公司,曾在去年预计,最快在2014年杪转亏为盈,并脱离PN17公司行列。

马交所表示,嘉年建筑持续冀望依赖现有业务转亏为盈,不过该公司在过去五年均蒙亏。

即使2011年有新股东加入,惟嘉年建筑核心业务营业额和净利可否持续增长,仍受关注。

另外,该公司在2012至14财年仅获得少量订单及合约。

2013财年截至6月、9月和12月季度,皆没有录得营业额。

因此,嘉年建筑再次赢得订单的能力,亦是个担忧。

PN17 - SUSPENSION AND DE-LISTING

LISTING'S CIRCULAR NO. L/Q : 71195 OF 2014

Bursa Malaysia Securities Berhad ("Bursa Securities") had on 4 August 2014 rejected Bina Goodyear Berhad ("the Company")’s proposed regularisation plan.

In the circumstances and pursuant to paragraph 8.04(5) of the Bursa Securities Main Market Listing Requirements:-

(a)        the trading in the securities of the Company will be suspended with effect from 12 August 2014; and




(b)        the securities of the Company will be de-listed on 8 September 2014 unless an appeal against the rejection of the regularisation plan and de-listing is submitted to Bursa Securities on or before 3 September 2014 ("the Appeal Timeframe"). Any appeal submitted after the Appeal Timeframe will not be considered by Bursa Securities.

In the event the Company submits an appeal to Bursa Securities within the Appeal Timeframe, the removal of the securities of the Company from the Official List of Bursa Securities on 8 September 2014 shall be deferred pending the decision on the Company’s appeal.

With respect to the securities of the Company which are currently deposited with Bursa Malaysia Depository Sdn Bhd ("Bursa Depository"), the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa Securities. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.

Alternatively, shareholders of the Company who intend to hold their securities in the form of physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at anytime after the securities of the Company have been de-listed from the Official List of Bursa Securities. This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa Securities and/or Bursa Securities’ General Line at 03-2034 7000 for further information on the withdrawal procedures.

Upon the de-listing of the Company, the Company will continue to exist but as an unlisted entity. The Company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the Company’s performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa Securities.

重組遭駁回‧嘉年暴跌65%

(吉隆坡5日訊)嘉年建築(BGYEAR,7023,主板建筑組)重組計劃遭交易所駁回,股票將從本月12日(下週二)開始暫停交易,消息一出即引發市場賣壓,拖累股價在週二開市後一度暴跌10仙或64.52%,刷新超過8個月新低。

由於投資者相競脫售股票,嘉年建築早盤開市即大跌6.5仙或41.94%至9仙低點,之後因洶湧賣壓而持續走低,盤中一度挫至5.5仙全日低點,終場閉市掛6.5仙,跌9仙或58.06%,成交量322萬2千200股。

嘉年建築週一發文告說,公司建議的重組計劃遭交易所駁回,主要因交易所對公司將連續5年蒙受虧損的現有核心業務作為重組計劃的一部份缺乏信心,且公司和主要顧問並無法消除交易所這方面的顧慮。

同時,交易所也對公司建議透過收購活動來改善財務狀況的建議有所顧慮,因無法確定Astino建築與發展私人有限公司能否將承諾的2億5千萬令吉訂單帶入公司,Astino的過往財政表現也是交易所考量因素之一。

據交易所上市條例,若嘉年建築無法在1個月內作出上訴,股票則將在9月8日從交易所除牌,該公司最遲得在9月3日限期前提出上訴,方能避開除牌厄運。(星洲日報/財經)

与Trinity谈倒置收购 嘉年建筑提出除牌上诉

(吉隆坡2日讯)嘉年建筑(BGYEAR,7023,主板建筑股)向马交所就除牌活动争取上诉,进行相等于倒置收购的活动,并和Trinity集团达成暂定协议(HOA),以执行重组计划。

在这之前,嘉年建筑在马交所拒绝重组计划,决定不上诉,但现在决定为了倒置收购活动,而就除牌决定提出上诉,并要求额外时间提出重组计划。

根据新计划,该公司将进行资本重组活动,包括削减面值、整合股票和削减溢价户口活动,并且会成立新的特别用途公司,与嘉年建筑进行换股计划。

至于该新公司在这之后将进行附加股活动,并和债权人进行债务和解安排。

随后,新公司发出新股于Trinity集团,以购入Darul Disnasti、Kensington Vision、Luxury Concord和Scotia Commerce等公司。

以上公司业务涉及开发住宅和商业大楼的产业发展计划。

完成以上活动,这家新公司还会进行私下配售活动,而嘉年建筑也会将上市地位转换于前者。【南洋网财经】

On behalf of the Board of Directors of BGB (“Board”), Kenanga Investment Bank Berhad (“Kenanga IB”) wishes to announce that the Board has deliberated and decided not to appeal against Bursa Securities’ rejection of the previously submitted regularisation plan. However, the Board intends to submit to Bursa Securities an appeal against the delisting of the securities of BGB and to request for additional time to submit a new regularisation plan involving the injection of assets which will tantamount to a reverse take-over of BGB.

(吉隆坡11日讯)嘉年建筑(BGYEAR,7023,主板建筑股)宣布,接获莎阿南高庭发出的清盘令。

法庭也宣布,接管人获委为嘉年建筑的清盘师。该公司向马交所报备,公司将寻求法律咨询,之后再决定是否清盘或提出上诉。

嘉年建筑因无力偿还起诉人Boon Wah冷气工程的23万4959令吉欠款,遭高庭发出清盘令,相关款项为该公司总债务一部分。【南洋网财经】

Reference is made to the Company’s announcements on 20 February 2013, 24 April 2013, 15 May 2013, 31 May 2013, and 4 July 2013.

The Board of Directors of the Company wishes to announce that the High Court of Malaya at Shah Alam has on 10 September 2014 granted an order to wind up the Company and for the appointment of the Officer Receiver Malaysia as the liquidator of BGB.


The circumstances leading to the Order against BGB was due to default of outstanding payment of RM234,959.56 owing to the Petitioner. The said debt is part of the debts of the Company which are subject to the scheme of arrangement of the Company under Section 176 of the Companies Act 1965, as approved by the requisite majority of the Scheme Creditors of the Company at a court convened meeting held on 2 April 2013.


The Directors of the Company are seeking the necessary legal advice for the next course of action to be taken to stay the Winding Up Order and/or appeal against the Winding Up Order.


Further announcement on the development of the above matter will be made to Bursa Securities in due course.
